LAST WILL AND TESTAMENT
I, ELVA G. BEATTIE, of the Township of southampton, County
of Cumberland and Commonwealth of Pennsylvania, being of sound
and disposing mind, memory and understanding, do make, publish
and declare this as and for my Last Will and Testament, hereby
revoking and making void all former wills and codicils by me at
any time heretofore made.
FIRST. I order and direct that all my just debts and
funeral expenses be paid by my Executors or Executor, as the case
may be, hereinafter named, as soon as conveniently may be done
after my decease.
SECOND. I give and bequeath the sum of Five Hundred
($500.00) Dollars unto my great-granddaughter, namely, LAURAN
FREY, to be invested in a certificate of deposit with income to
be accumulated and reinvested until she attains the agB of
eighteen (18) years, at which time said sum and accumulated
income shall become hers absolutely. I authorize and empower my
Executors or Executor, as the case may be, to hold said sum and
certificate in trust for the foregoing uses and purposes.

the foregoing uses and purposes.

($1,000.00) Dollars unto my nephew, namely, EDWIN GOODHART,
absolutely.
SEVENTH. I give and bequeath the sum of One Thousand
($1,000.00) Dollars unto my great-nephew, namely, BRIAN GOODHART,
absolutely.
EIGHTH. If my son, HUGH CARL BEATTIE, should survive me, I
give, devise and bequeath all the rest, residue and remainder of
my Estate, real, personal and mixed, whatsoever and wheresoever
situated, unto GEORGE C. GOODHART and ALAN L. GOODHART, or either
of them in the event that either ot' them should fail to qualify
hereunder, or cease so to serve, as my testamentary trustees, IN
TRUST, NEVERTHELESS, to hold, manage, invest and reinvest for the
use and benefit of my said son, HUGH CARL BEATTIE, for and during
the term of his natural Ufetime. During the existence of said
trust, I authorize and empower my said Trustees as follows:
A. To invest the trust assets or retain the
assets in killd without regard to so-called "legal"
investments of trust assets, it being my intention to
grant to said Trustees, broad and rlexible authority to
invest said assets in a reasonable manner to carry out
the purposos of the trust.
B. To use, expend and apply from time to time such
amounts of principal and income as my said Trustees in the
sole exercise of their discretion shall deem to be

necessary and proper for the comfortable support, care
and maintenance of my said son. In the exercise of
their discretion, my said Trustees shall take into
consideration my following intention and philosophy:
I recognize that my son has a separate estate
which may be sufficient to care for his needs. It
is my intention that his personal estate should be
consumed for his care before consuming the assets
of this trust. On the other hand, it is not my
intention to d~ny my son appropriate care. My
first priority is to assure his comfortable
maintenance, but I do not intend to have the
effect of this trust to be the preservation of his
separate assets.
C. To retain my dwelling house for the residence
of my said son for as long as said son is able, in the
sole judgment of my said Trustees, to live
appropriately in said house, subject to my son's
payment for the routine maintenance of said house
including real estate taxes, casualty insurance
premiums, utilities and routine repairs and
maintenance. At such time as said Trustees shall
determine that my son carmot l.i ve appropriately in said
house, they shall make alternative living arrangements
for him and then sell said house and add the net
proceeds thereof to the corpus of the trust.
Upon the death of my said son, I order and direct that said trust
shall be terminated and the then remaining net balance thereof
shall be distributed in equal shares unto such of the following

said son, to wit: ALAN L. GOODHART (my nephew), EDWIN L.
GOODHART (my nephew), and MARK GOODHART (my great-nephew), share

NINTH. If my son, HUGH CARL BEATTIE, does not survive me,

GOODHART (my nephew), EDWIN L. GOODHART (my nephew), and MARK

LASTLY. I nominate, constitute and appoint my brother,
namely, GEORGE C. GOODHART, and my nephew, namely, ALAN L.
GOODHART, to be the Executors of this, my Last Will and
Testament, but if either should fail to qualify hereunder or
cease so to serve, I nominate, constitute and appoint the one so
qualifying or surviving to be the sole Executor hereof, each and
both to serve without bond or other aecurity as a condition of
qualification hereunder.

III. Explanation of Compromise Offerl
Hugh Carl Beattie is the beneficiary of the Life Interest created
by his mother Elva G. Beattie, by will on her death July 4, 1994.
Hugh Carl Beattie is oonfined to a wheelchair as a result of
Multiple Sclerosis. He currently resides in his own residence with
the assistanoe of paid caretakers. He depends on the caretakers for
assistanoe in dressing, bathing, eating and transportation.
The Exeoutors/Trustees have been informed that Hugh Carl Beattie has
in his own right income which includes the following:
1. Income I Combined Social Security and retirement payments of
$1,300.00 per month, which produce $15,600.00 anr~ally.
2. Other Assets: The Executors/Trustees believe that Mr. Beattie
has other assets in his own right as his personal estate.
However, Mr. Beattie refuses to disclose the identity and
value of such other assets.
His alleged expenses are approximately $2,200.00 per month or
$26,400.00 annually.
The estimaterl annual payments required from the Trust fund would
be approximately $10,800.00 annually.
His life style includes the following:
1. Confinement to a wheelchair, requiring physical assistance
to get into and out of the chair.
2. Living in a mobile home, apparently modified to accommodate
his needs.
3. His daily routine includes the requirement of assistance
for dressing, bathing, grooming, meal preparation and feeding.
4. Hugh is able to exit his home with the assistance of a care
giver and the use of his specially equipped van.
His medioal prognosis iSI
1. Continued deoline due to the advancement of the Multiple
Solerosis.
2. Continued need for physical therapy.
3. Continued need for a professional care giver to assist
in daily living.
The trust created under the will, Item Eighthl "If my son, HUGH
CARL BEATTIE, should survive mB, I give, devise and bequeath all
the rest, residue and remainder of my Estate, real, personal and
mixed, whatsoever and wheresoever situated, unto to George C.
Goodhart and Alan L. Goodhart, or either of them in the event that
either of them should fail to qualify hereunder, or cease so to
serve, as my testamentary trustees, IN TRUST, NEVERTHELESS, to hold,

manage, invest and reinvest for the use and benefit of Hugh Carl
Beattie for and during the term of his natural lifetime.
During the existenoe of said trust, the Testatrix authorizes and
empowers the Trustees as follows I
a. "'1'0 invest the trust assets or retain the assets in kind
without regard to so-called legal investments of trust
assets, it being my intention to grant to said Trustees,
broad and flexible authority to invest said assets in a
reasonable manner to carry out the purpose of the trust."
b. "To use, expend and apply from time to time suoh all\ounts
of principal and income as my said Trustees in the sole
exeroise of their discretion shall deem to be neoessary
and proper for the comfortable support, oare and main-
tenanoe of my said son. In the exercise of their disoretion
my said Trustees shall take into consideration my following
intention and philosophy I
I reoognize that my son has a separate estate which may be
suffioient to care for his needs. It is my intention that
his personal estate should be oonsumed for his care before
oonsuming the assets of this trust. On the other hand, it
is not my intention to deny my son appropriate oare.
My first priority is to assure his comfortable maintenance,
but I do not intend to have the effeot of this trust to be
the preservation ot his separate assets."
The trustees have the right to invade the prinoipal from time
to time to satisfy the provisions of the Trust. Therefore, it
is diffioult, if not impossible, to det.ermine the applioable tax
rate.
We offer the following compromiae tax rates.
One-fourth of the residue at 6% for the Hugh Carl Beattie
Three-fourths of the residue at 15% for the Remainder
beneficiaries under the Life Interest

A Compromise Tax Agreement Is hereby offered this 6th day of December, 1997, by the
Pennsylvania Department of Revenue, hereafter the "Department", to personal representatives,
hereafter the "Representatives", of the Estate of Elva G. Beattie, late of Cumberland County,
Pennsylvania, and who died on the 4th day of July, 1994, File No. 2194-0594.
TO WIT:
The Department has offered to compromise the tax due on all future interests In the above
estate where the tax rate could not be established with certainty for the amount of $16,687.21.
The Representatives have accepted the Compromise Tax amount of $16,667.21, and
The Representatives have agreed to pay the above Compromise Tax amount, plus any
applicable interest, within sixty (60) days of the date of acceptance of this Agreement, and
The Representatives hereby authorize the Department to apply to the above Compromise Tax,
any and all e)(lstlng Pennsylvania Inheritance and/or Estate Tax credits in excess of the Inheritance tax
due in the above estate on all current Interests as well as on all future Interests where the tax rate has
been established with certainty, and
The Department agrees that payment of the above Compromise Tax In full, Including applicable
Interest, within sixty (60) days of the date of acceptance of this Agreement. will constitute full payment
of all inheritance tax otherwise due on the transfer of the future Interests considered In this
Compromise Tax Agreement and, consequenlly, no additional assessment will be Issued, and
This offer is made subject to the condition that acceptance thereof must be received by the
Department within thirty (30) days of receipt of this Agreement by the duly authorized estate
Representatives reported on the Pennsylvania Inheritance Tax Return.
The Representatives hereby accept the above offer and agree to the terms thereof this
