MURDOCH, DECEASED ATTACHMENT TO SCHEDULE "F" JOINTLY - OWNED PROPERTY On October 26, 1990, the decedent, Mary C. Murdoch, her husband, Donald M. Mur.doch (who died March 23, 1994) and her son, William A. Murdoch, entered into a continuing Care Agreement with a Retirement community called Cumberland crossings (copy attaohed). Under the Agreement, each had the right to live there for their respeotive lifetime. The purohase price for the unit was $120,543.00. Upon all thr.ee of them vaoating the unit, a refund of $120,543.00 was payable, less one percent of that amount amortized for eaoh month of occupanoy, payable at the time of resale of the unit by Cumberland Crossings. At the time of decedent's death, $40,751 was amortized, leaving a balance of $80,792 unamortized, which would be amortized in 67 months. To receive the unamortized amount, decedent's son, William A. Murdoch would have to give up what he already had before the dacedent's death -- the right to live in the property for the remainder of his lif.etime and to pay for the oost of substitute quarters to be entitled to receive decedent's share (one-half of the $80,792 unamortized amount of $40,751). At the time of decadent's death, William A. Murdoch was age 53. His life expectancy was more than 20 years beyond the date when the refund feature expires. Moreover, the Cumberland crossings Agreement is a personal servioe contract and the rights of Mary Murdoch,terminated upon her death. In the event that the related person does not meet the requirements for entry, Resident may exercise his/her option to termInate this Agreement. Unrelated persons will be treated as new residents at such time as they desire to receive any of the services or benefits granted under CUMBERLAND CROSSINGS' Continuing Care Agreement. 2.3 In the event that two current Residents wish to share a unit and one wishes to give up his/her present unit section 2.2 is waived and section 3.6 will ~pply. Section 3. Refund Po_licv 3.1 A $250.00 application processing fee, payable by Resident upon making application for residency, is non-refundable. ~. 2 For a seven (7) day period after receipt. of the inJ.tial deposi t, Resident shall have the right to terminate this Agreement with the only penalty or forfeiture against the initial deposit being those costs, if any, incurred at the specific written request of Residont. 3.3 If Resident should terminate this Agreement for any reason after seven (7) calendar days of making the initial deposit and signing the Continuing Care Agreement but prior to construction start, all monies will be refunded less those costs incurred at the specific written request of Resident, and the a $250.00 appI'icatiCln processing fee. After occupancy, all applicable refunds will be made only after resale of the right of occupancy of the unit by CUMBERLAND CROSSINGS. Payment of t.he refund shall be made within thirty (30) days after the full resale payment has been received by CUMBERLAND CROSSINGS (or, if such resale is an installment sale with payments to be made over a period greater than twu (2) months, within sixty (60) days of the receipt of the initial payment thereunder by CUMBERLAND CROSSINGS). Every effort will be made by CUMBERLAND CROSSINGS t.o fill the vacated unit and refund any monies due as soon as possible after termination. In addition, there w1.ll be no chargo to Hesident or Resident's estate for any costs associated with the resale of the unit. Section 5. Monthl Y Service Fee 5.1 In addi tJon to the Entrance Payment and in consideration of the facilities and services provided to Resident by CUMBERLAND CROSSI~GS, Resident agrees to pay a Monthly Service Fee of $ ,:'2c:.:l6. The Monthly Service Fee may be adjusted from time to time by CUMBERLAND CROSSINGS to ref lect changes in the cost to CUMBERLAND CROSSINGS of achieving its purposes. However, CUMBERLAND CROSSINGS will endeavor to malnt,1in the Monthly Service Fee at the lowest possible figure consistent with operating on a sound financial basis and with the maintenance of a high quality of service. CUMI3EHLAND CROSSINGS will give not less than thirty (30) days advance' notice of any change in fees or scope of services, except for changes required by state or federal regulations, 5.1 Payment of the Monthly Service Fee shall begin on the date the unit is available for occupancy and will be prorated if applicable. Payments shall be made on the first day of each month during the time that the Agreement remains in force. The penalty for payments not received within five (5) bus iness days from such due date will be one percent (1%) per month of the outstanding balance. 5.3 Resident's acceptance into CUMBERLAND CHOSSINGS has been based on facts recorded in Resident's Financial Statement. It is the Resident's responsibility to maintain his or her stated financial position in a woy that will not jeopardize Resident's obility to meet the finoncial requirements stated in this Agreement. 5.4 In the event that any Monthly Service Fee is not paid within thirty (30) days after it is due, CUMBERLAND CROSSINGS may, on one (1) month's written notice and at its discretion, do any of the following: 5.4.1 Require Resident to liquidate capital assets in order to keep his/her account on a current basis and/or require Resident to apply through family, church, state or federal agency for. any asaistance which may be available for application to the Monthly Service Fee. 5.4.2 Allow Heside~t to remain in the unit and apply Monthly Service Fee charges to any applicable refund amount, provided that such accrual of charges does not exceed such refund amount and pr.ovided further that such accrual of charges does not jeopardize the financial integrity of Cumberland Crossings; 5.4.3 In the event the provisions of 5.4.1 and 5.4.2 hereof are not feasible, require Resident to vacate the unit:. 6 I.AW llfTI<:f:S - ,\IAIIT~ON, Ilf:AIIIlIlIIl'f'. Section 7. An:anqement for Guardian.sh,LTI-or Cons9rvatorshlp and for Elltate 7.1 Resident shall furnish CUMBERLAND CROSSINGS, no later than the date of occupancy, a durable power of attorney (including health care decision-making) I in favor of an. individual chosen by Resident who shall be reasonably available, which power of attorney shall be executed by Resident and shall be at all times 1n effect and physically located in CUMBERI~D CROSSINGS' files. 7.2 If Resident becomes unable to properly care for his/hel" property, and if Resident has made, no other designation of a person or legal entity to serve as guardian, or under deed of trus t or power of a ttorney I then Resident hereby authorizes CUMB!':RI,AND CROSSINGS to nominate a legal guardian to serve when approved by a court as provided by low. Sectlon 8. Helinquiohment of the Rlqht of Occupancy 8.1 Resident may terminate this Agreement by providing CUMBERLAND CROSSINGS thirty (30) days prior written notice. Residency shall not tEjrminate until the end of that period. CUMB8RLAND CROSSINGS shall refund to Resident amounts paid to CUMBERLAND CROSSINGS in accordance with the Refund Policy set forth in Section 3 of this Agreement. 8.2 Unless soonE'r terminated by i t5 own provisions, this Agreement shall terminate at the death of Resident, whereupon all obligations of ClJMBERIJ\ND CROSSINGS under this Agreement, other than those relating to removal of personal property and refund, sha 11 cease. 'I'he removal and storage expenses shall be the responsibility of the Resldent. CUMBERLAND CROSSINGS will cooporate with the Resident's, estate by storing the property at the expense of the estate should more than 30 days be required for removal. 8.4 Upon vacating the unlt, Resident shall leave it in the same condition and repair as exlstml upon Ills/her acquisition thereof, normal wear and use except.ed. The Resident. agrees that. all reasonable attorney's fees and other related cants so incurred by CUMBERLAND CROSSINGS shall be deducted from said refund prior to payment of the remainder of the refund into court. 'I'he petition filed with the court shall itemize and specify any deductions. Resident specifically releases CUMBERLAND CROSSINGS from any liability which may be incurred as :the result of actions consistent with this subparagraph. 8.8 CUMBERLAND CROSSINGS' Execu ti ve Director wi th the advice of Resident's attending physician may consider Resident' s unit vacant if Resident has been transferred to a nursing or a special service facility (whether owned by CUMBERLAND CROSSINGS or not) or hospital for ,health conditions which, in the opinion of Resident's physician, require permanent occupancy of such quarters. A prorated Monthly Service Fee will continue to be due until Resident's personal belongings are removed. Section 9. Miscellaneous provisions 9.1 Resident's age, medical information, financial statements and Application for Residence constitute a material part of this contract and are attached het'eto and become part of this Agreement. In the event of fire or natural disuster which might preclude the occupancy of Resident's unit, CUMBEIlLAND CROSSINGS will maintain its obligation to provide sheltor and will assist in every way in placing Resident in equivalent alternate shelter. 9.5 ResidfJllt will pormi t CUMBERLAND CROSSINGS or its agents, or any representativo of any holder of a mortgage on the property, or when authori l.8d by CUMBERLAND CROSSINGS, the employees of any contractor, utility company, municipal agency or others, to enter the premises for the purpose of making reasonable inspections and repairs or replacemonts. The Trustee shall not be restricted to making equal payments to my husband aud my son, WILLIAM, from these trust assets, but may make those payments as my Trustee deems best. B. Upon the death of both of the above-named beneficiaries, my Trustee shall divide the then remaining principal an~ undistributed income of this trust into as many equal shares as I have children who are either then surviving or who are deceased but have children surviving, and as to each of my children, the Trustee ~hall pay to Buch child his or her share. If a~y of my children fail to survive the time of this distribution, but have living issue then surviving, the Trustee shall hold that share for such child or children until they are age twenty-five (25).
