I, JOSEPH A. FALONEY, of The Borough of Shiremanstown,
Cumberland County, Pennsylvania, make, publish and deolare this as
and for my Last Will and Testament, hereby r.evoking all other
Wills and Codioi1s heretofore made by me.
~: I give and bequeath the sum of $10,000.00 to my
great-grandson, JOSHUA JOSEPH BABBITT.
SECOND: I devise and bequeath all the rest, residue and
remainder of my estate of whatever nature and wherever situate,
inoluding any property over which I hold power of appointment and
together with any insurance polioies thereon, to my granddaughter,
ZOE NICOLE BABBITT, or to her issue, per stirpes by representa-
tion.
THIRD: Should JOSHUA JOSEPH BABBITT not have attained
the age of ~ighteen (18) yearu at the time for distribution to
him, I give, devise and bequeath his share or shares under this,
my Last Will and Testament, to my hereinafter named Trustee, IN
TRUST, to hold, manage, invest and reinvest the shares so
reoeived, and to aooumulate all prinoipal and income therefrom.
All income and principal so accumulated shall be retained and
accumulated until JOSHUA JOSEPH BABBITT reaches eighteen (18)
years of age at which time the Trust shall be deemed terminated,
with all princip^l and accumulated income being paid to JOSHUA
J9SEPH BABBITT. In the event JOSHUA JOSEPH BABBITT predeceases me
or dies prior to the termination of this Trust, his .interest in
said trust shall cease with any income and principal being paid
directly to ZOE NICOLE BABBITT, absolutely.

law and by other provisions of this Will, I give the fiduciaries
acting hereunder the following powers, applicable to all property,

(A) To sell at publio or private sale, or to lease, for
any period of time, any real or personal property and to give
options for sales, exohanges or leases, for suoh prioes and upon
suoh terms (inoluding oredit, with or without seourity) or oondi-
tions as are deemed proper. This inoludes the power to give
legally suffioient instruments for transfer of the property and to
, reoeive the prooeeds of any disposition of it.
(8) To partition, subdivide, or improve real estate and
to enter into agreements oonoerning the partition, subdivision,
improvement, zoning or management of real estate and to impose or
extinguish restriotions on real estate.
(e) To compromise any olaim or oontroversy and to
abandon any property which is of little or no value.
(D) To invest in all forms of property, inoluding
stocks, oommon trust funds and mortgage investment funds, without
restriotion to investments authorized for Pennsylvania fiduoi-
aries, as are deemed proper, without regard to any prinoiple of
diversifioation, risk or productivity.
(E) To exercise any option, right or privilege granted
in insuranoe pOlioies or in other investments.
(F) To exercise any election or privilege given by the
Federal and other tax laws, including, but not neoessarily being
limited to, personal income, gift and estate or inheritance tax
laws.
(G) To make distributions to my herein named benefici-
afies in oash or in kind or partly in each.
(H) To borrow money from themselves or others in order
to pay debts, taxes, or estate or trust administration expenses,
to protect or improve any property held under my will, and for
investment purposes.
(I) To select a mode of payment under any qualified
retirement plan (pension plan, profit Sharing plan, employee stock

ownership plan, or any other type of qualified plan) to the extent
the plan or the law pel~its them to do so, and to exercise any
other rights whioh they may have under the plan, in whatever
manner they oonsider advisable.
FIFTH: I nominate and appoint ZOE NICOLE BABBITT as
Trustee of the hereinabove desoribed trust. In the event of the
death, resignation or inability to serve for any reason whatsoever
of the said ZOE NICOLE BABBITT, I nominate and appoint COMMON-
WEALTH NATIONAL BANK, of Carlisle, Pennsylvania, as Trustee of the
hereinabove described trust. The Trustees appointed herein shall
serve without bond and shall receive fair and reasonable oompen-
sation, if desired.
SIXTH: I direot that all inheritance, e9tate, transfer,
succession and death taxes, of any kind whatsoever, which may be
payable by reason of my death, whether or not with respect to
property passing under this will, shall be paid out of the princi-
pal of my residuary estate.
SEVENTH: All interests hereunder, whether principal or
income, which ar.e undistributed and in the possession of the
fiduciaries acting hereunder, even though vested or distributable,
shall not be subject to attachment, execution or sequestration for
any debt, oontract, obligation or liability of any beneficiary,
and furthermore, shall not b~ subject to pledge, assignment,
conveyance or anticipation.

I, ZOE NICOLE BABBITT, the undersigned, a residuary beneficiary
in the above-captioned estate, have periodically received and
examined statements of inccme and principal cash receipts and
disbursements or have been afforded an opportunity to examine a
final accounting, being informal or otherwise, and have agreed to
waive an accounting of the administration of the subject estate
or the filing of such an account for oourt audit.
Therefore, the undersigned, intending to be legally bound and in
consideration of the immediate termination of the subject estate
and distribution to the undersigned of the corpus thereof,
without the delay incident to the preparation and submission of
an accounting of the administration of the estate as aforesaid,
hereby:
A. Represents and warrants that the undersigned has read and
understands this instrument and that the facts set forth
above are true and correct to the best of the undersigned's
knowledge, information and belief.
B. Waives the filing of an accounting of the administration of
the estate before the court having jurisdiction over this
estate. Declares that the undersigned has received and
examined the periodic statements of inoome and principal
cash receipts and disbursements or has been afforded an
opportunity to examine a final aocounting, being informal or
otherwise. The undersigned finds them to be correct in all
particulars and accepts them and approves them, as if a
complete income and principal aooounting had been duly
filed, audited, adjudicated and confirmea absolutely by the
court having jurisdiction over this estate.
C. Requests the above-named fiduciary to make distribution of
the balance shown on the attached sheet and, effective upon
delivery to the undersigned of the amount sh?wn as

D. Agrees to refund to the above-named fiduciary any amount
