7. The Defendants are the owners of a tract of ground containing S.27 acres situate on Creekview Road,
Hampden Township, Cumberland County, Pennsylvania, said lot being known as Lot No.2 on a Final Subdivision
Plan No.1 for Charles M. Kemberling, recorded in Cumberland County Plan Book 32, Page 110, as more particularly
described in Exhibit 'A' attached hereto and made a part hercof by reference.

8. The Plaintiffs are the owners of approximately 137 acres of ground located on the southern boundary
line of the tract of ground owned by the Defendants as more particularly described in Exhibit 'B" attached hereto and
made a part hereof by reference. The Plaintiff Jean Grandon acquired an interest in this land subsequent to the
agreement set forth as Exhibit 'C' attached hereto and made a part hercof by reference.
9. On or about March 29, 1984, Grandon and the Leisenrings entered into an written agreement
(hereinafter sometimes referred to as 'Agreement") a true and correct copy of which is attached hereto at Exhibit 'C"
and is made a part hereof by reference.
10. Under the terms of the aforesaid Agreement, the Leisenrings agreed to grant Grandon a 50 foot wide
right of way extending in a northerly direction from Grandon's land to Creekview Road as set forth in the aforesaid
Agreement.
11. Under the terms of the aforesaid Agreement the precise location of the right of way was to be
determined by the Leisenrings in accordance with a survey to be paid for by Grandon.
12. The Leisenrings entered into the Agreement knowing that Grandon wished to obtain the right of way
in order to be able to develop his land for a higher density residential use and knew that the obtaining of the right of
way was critical to the success of the development of Grandon's farm.
13. In reliance upon the aforesaid Agreement, Grandon engaged the services ofland planners and engineers
to layout a development plan for his land.
14. On or about January 9, 1996, pursuanttfJ the Agreement, Grandon asked the Leisenrings to advise
Grandon of the precise location in which they wish to have the right of way located.

IS. After numerous delays, the Leisenrings, on or about August IS, 1996, finally supplied Grandon with
the location of the rigbt of way and approved the location in accordance with a survey as sct forth in Exhibit "0"
attached hereto and made a part hereof by rcfcrence.
16. On or about, November 27, 1996, the Board of Commissioners of Hampden Township approved a
Preliminary Subdivision Plan for the Grandon Farm togethcr with a Final Subdivision Plan for Phase 1 thereof which
Plan depicted an access road through the SO foot right of way in the location specified by the Lciscnrings as set forth
in Exhibit "0" allached hereto and made a part hereof by refcrence.
17. Grandon, pursuant to thc Agreemcnt, has agrced to and rcmains rcady, willing and able to pay for the
cost of installing a road on the right of way including watcr lines and scwcr lincs in conformity with thc specifications
of Hampden Township at Grandon's sole cost and expensc.
18. The Lcisenrings arc in violation of thc aforcsaid Agrccmcnt, in that thcy havc refused to sign a right
of way agreement and have refused to permit Grandon to commencc construction of the roadway for thc stated rcason
that the gradc called for in thc roadway is a scven (7%) perccnt gradc whcrcas thc Lciscnrings dcsirc that the roadway
bc constructed on a tcn (10%) pcrccnt grade.
19. Thc specifications for the aforesaid roadway as rcquired by Hampdcn Township rcquirc the road bc
built at a scven (7%) percent grade.
20. Grandon has agrced and is rcady, willing and ablc to construct thc road in accordance with the
requiremcnts of Hampdcn Township, as is rcquired by the Agrccment.
21. The Plaintiffs have no adequate rcmedy at law.
WHEREFORE, thc Plaintiffs prays that your Honorablc Court cntcr an order (a) requiring Lcisenrings to
execute, acknowledge and dcliver to Grandon a SO foot right of way as sct on Exhibit "0" attached hcreto and made
a part hcreof by rcfcrcncc; (h) ordcring thc Lciscnrings to allow Grandon to procced to enter upon their land and
construct the municipal improvemcnts including the right of way, water lines, sewer lines and sewer laterals in
accordance with the specifications of Hampdcn Township which specifications have bccn prcviously approved by the
Township; and (c) grant any and all such other rclicf as may be just and proper.

22. Paragraphs 1-22 of Count I are IncorjlGrated by reference and are made a part hereof.
23. The failure of the Lelsenrings to grant the right of way to Grandon in accordance with the Agreement
has prevented Grandon from developing his ground and proceeding with the plans that have been approved by
Hampden Township.
24. The delay caused to Grandon in the development of bis farm is causing and is continuing to cause
Grandon damages, lost profits, interest expense and additional engineering and land planning fees.
25. The damages caused by the wrongful breach of the Agreement by Leisenrings are in excess of
$25,000.00.
WHEREFORE, the Plaintiffs demand judgment against the Defendants in excess of $25,000.00 and the costs
of this suit.

set forth on the attBched sketched plan of H. Edward Black and Associates. The
precise location of the right-of-way shsll be determined by the Leisenrings in
accordance with a survey to be paid for by Grandon.
2. In consideration of being sble to use the right-of-way, Grandon
agrees to pay for the costs of installing a road on the right-of-way including
curbing, water line, sewer lines, and such sewer laterals as are built within
the right-of-way. All such improvements shall be made in conformity with the
specHicationa of Hampden Township in effect at the time such improvements are
made. In the event that Leisenrings develop their ground prior to the time
that Grandon develops his ground, the Leisenrings shall have the right to
construct the road, curbin~s, water lines, sewers and laterals as set forth

above and Grandon shall reimburse the ieisenrings for the actual cost of
installing said improvements. Such reimbursement shsll be made within six
months of the completion of the road on the right-of-way except that if the
road is constructed within five years of the date of this Agreement, Grandon sh 11
not be obligated to reimburse the Leisenrings until the fifth anniversary of
the date of this Agreement. Under no circumstances, however, shall Grandon
be entitled to make use of the right-of-way until he has reimbursed the
Leisenrings for the cost of constructing said improvements ss set forth above.
3. This agreement may be cancelled by Grendon if Hampden Township
does not rezone Grandon's land R-T. In the event Hsmpden Township rezones
Grandon's lond R-T, and the zoning of Grandon's land remains R-T, neither
Grandon nor Leisenrings may cancel this Agreement, it. being understood and
