I, .1. HOWARD GAINES, of Hagers town, Maryland, dec lare this to be my
will, hereby revoking any and all prior wills and codicils.
1. 1 give, bequeath and devise all of my estate, of whatsoever nature
and wheresoever situate, unto my wife, MARY E. GAINES, if she survives me.
However, should MARY E. GAINES predecease me, or die within sixty (60) days
following the date of my death, then all of the hereinafter stated disposi-
tive provisions shall govern the distribution and administration of my
estate.
2. 1 give and bequeath the sum of $10,000 in cash to each of my
daughters, ROSITA G. RAY and ANNE G. MIL1,ER, and like sums to my grand-
daughter, DEBORAH ANNE RAY, and my grandson, JOHN GAINES RAY. If any said
legatee predeceases me, his/her legacy shall abate.
3. In my lifetime I have either made inter vivoe gifts of a subatan-
tial portion of my personal property, including particularly various clocks.
antique furniture alld other similar items, or, as an alternative, I have
designated on certain items the name of the person who is to receive same.
As to the last-mentioned items, these designations shall be regarded as
testamentary in character and shall be gi.ven full force and effect by my
personal representative. The balance of my personalty shall be disposed of
as follows:
(a) I give and bequeath my George Woltz tall caee clock unto
the Hagerstown Museum, in memory of our daughter, SARAH JANE
GAINES, providing the governing body of said Museum agrees to
recognize the gift as such and agrees to maintain said clock as
part of ita permanent collection. Should the Museum not so elect,
said clock shall be distributed with the residue of my personal
estate as hereinafter directed.
(b) I give and bequeath my repeater watch to my son-in-law,
G. THOMAS MILLER, in recognition of past services, and I give a
watch of hie choice to my son-in-law, JOliN G. RAY. The remainder
of my watch collection shall be sold by my executor along with the
residue of my personalty persusnt to subparagraph 3.(e), below.
(c) Any item of personalty which was given to my said hus-
'/.. band or me, or to us jointly, by either of our said daughters
shall be returned to the respective daughter who gave such item.
(d) My 18th century Queen Anne maple highboy shall be sold
to the highest bidder among my family legatees, excluding sons-in-
law.
(e) All the residue and remainder of said personalty, except
cash, stocks, bonds, cash instruments, time or demand deposits,
choses in action and similar items, shall be 801d at public or
private 8~le at such time and place and under such conditions as
my executor shall determine, and the net proceeds shall be added
to the corpua of the trust hereinafter established.

5. All estate, inherit.ance and succession taxes that may be assessed
in consequencc of my death, of whatever lIature and by whatever jurisdiction
imposed, shall be paid out of the principal of my general estate as if Baid
taxes were expenses of admini.strlltlon, and all property included in my
taxable estate for federal and Btate tax purposes, whether or not passing
under this will, shall pass free and clear of said taxes.
6. If any beneficiary should die within sixty (60) days after me, or
within sixty (60) days after any other person the survival of whom deter-
mines hia rights hereunder, then such beneficiary shall be deemedl:o have
predeceased me or such other person for all purposes hereunder.
7. No interast of any beneficisry of my estate or any trust created
herein shall be subject to anticipation or to pledge, encumbrance, assign-
ment, sale or tranofer in any manner, nor shall any such interest be liable
while in the possession of my fiduciaries for any liabilit.y of such benefi-
ciary, whether such liability arises from his debts, contracts, torts or
other engagements of any type.
)/-, 8. Any amounts which are payable to a minor or incompetent from any
estate or trost created herein may. at the discretion of the fiduciaries,
be paiel to the parent or guardian of such minor or incompetent, to the per-
son with whom such minor or incompetent resides, or directly to such minor
or incompetent, or may be applied for the use or benefit of Bueh minor or
incompetent.
9. I grant to my fiduciaries and their successors the following
powers in the administrat ion of my estate and trust and any minor I s estate

of which they are guardian, without not ice to or consent of any COUl t, in
addition to and not in limitation of such powers as they may hold by law:
(a) To retain all or any part of my property, real or per-
sonal, in the form in which it may be held at the time of its
receipt, aa long as in the exercise of their discretion it may be
advisable so to do, notwithstanding that aaid property may not be
of a character authorized by law.
(b) To invest and reinvest any funds held by them in any
property, real or personlll, including, but not by way of limita-
tion, bonds, preferred stocks, common stocks and other securities
of domestic or foreign corporations or investment trusts, mortga-
ges or mortgage participations, and common trust funds, even
though such property would not be considered appropriate or legal
for a fiduciary apart from this provision.
(c) To sell, convey, exchange, partition, give options .to
buy or lease upon, or otherwise dispose of any property, real or
personal, at the time held by them, at public or pr.ivate sale or
otherwise, for cash or other consideration or on credit, and upon
such terms and for such price as they may determine, and to convey
such property free of all trusts.
(d) To borrow money from any person, including any fiduciary
hereunder, for any purpose in connection with the administration
of my estate or any trust created herein, to execute promissory
notes or other obligations for amounts so borrowed, to secure the

paymenta of such amounts by mortgages or pledges of any property,
real or personal, which may be held by them.
(e) To make 10an8, 8ecured or unsecured, in 8uch amounts,
upon such term8, at such rate8 of intere8t, and to such persons,
firms, or corporations as they may deem advisable.
(f) To renew or eKtend the time for payment of any obliga-
tion, secured or unsecured, payable to or by them, for BS long a
period or periods of time and on such terms, a8 they may deter-
, mine, and to adjust, settle, and arbitrate claims or demands in
favor of or against them.
(g) In dividing or distributing any property, renl or per-
sonal, included herein, to divide or distribute in cash, in kind,
or. partly in cash and partly in kind, 88 they may determine; and
to allot specific securities or other property or IIn undivided
interest therein to any share or part.
(h) To hold, manage and develop any real e8tate which may be
held by them at any time, to mortgage any such proparty in such
amounts and on such terms a8 they may deem advisable, to lease any
such property for such term or terms and upon such conditions and
rentalo as they may deem adviaable; and to make repairs replace-
ments and improvements, structural or otherwise, in connection
with any such property.
(i) To employ 8uch brokera, banks, custodians, inve8tment
coun8el, attorneys, and other agent8, and to delegate to them 8uch

(j) To regi8ter any aucuritiea at allY time in their own
namea, in their nameA as fiduciary, or in the namoa of nClminoo8,

(k) To exerciae all electiona which they may have with
reapect to income, gift, eatate, inheritance and other taxes,
including withou~ Limitation execution of joint income tax
returna, election to deduct expenaea in computing one tax or
another, election to aplit gifta, and election to payor to defer
payment of any tax, in all event A without their being bound to
require contribution from any other person.
(m) None of the power veated herein ahall relieve my fidu-
ciariea of compliance with the "reaAonnble prudent man" rule.
10. I appoint my wife, MARY E. GAINES, aa the Executrix of thia
will. If ahe ia unable to nct or continue to act in such capacity, then I
appoint in her place and stead with the same powers and duties, my aon-in-
low, G. THOMAS MIJ,LER, and if further alternate executor a are necessary, my
granddaughters, SARAH G. MILLER and LESLU; A. MIUER, and my grandson,
THOMAS R. MILLER, sholl serve in turn. Further, I appoint the said G.
THOMAS MII.LEK as Truatee of the tl'ust herein created, and guardian of the
estate of any minor taking hereunder, and if he is unable to act or to
