COMPLAINT
AND NOW this ~ day of May 1997, comes the Plaintiff, Graphic
Tech, by and through its owner, Vincent Williams, and files this
Complaint, and in support thereof, avers as follows:
1. The plaintiff, ZEPLIN SECURITY GROUP, is a Pennsylvania
company, located at 2026 Market Street, Camp Hill, Cumberland
county, Pennsylvania;
2. Plaintiff's owner is Fred Zeplin, an adult individual;
3. Defendant, GRAPHIC TECH, is a pennsylvania corporation
located at 2104 Market Street, Camp Hill, Cumberland County,
pennsylvania;
4. Defendant's owner is Vince Williams, an adult individual;
5. On or about August 16, 1996, Plaintiff and Defendant
entered into a written agreement whereby Defendant would
manufacture, deliver and install a custom made sign according to
the size, color, and materials as specified by Plaintiff (Exhibit
A) .
4. Plaintiff insisted upon adding his chosen date as a
completion date for sign, in spite of insistence by Defendant that
it was not realistic;
5. Defendant requested a deposit for purchase of materials
for said custom made sign;
6. Under the terms of the written contract between the
parties hereto, "Price and Payment Terms", paragraph one, "work
won't start until 50\ of deposit is received";
7. Defendant did not receive Plaintiff's deposit until August
27, 1996, 11 days after signing the contract, delaying the purchase
of materials for the manufacture of said custom sign;
B. Prior to Plaintiff paying a deposit to Defendant,
Defendant made Plaintiff aware that orders for materials delivered
to Defentant are trucked to Harrisburg, leaving Pittsburgh every
Teusday morning, arriving in Harrisburg every Thursday morning
unless there is a short week due to a holiday, in which case all
shipments are delivered the following week;
9. Defendant took extra care to explain this delivery
schedule in detail because of the approaching Labor Day hOliday,
September 1, 1996;
10. Delays caused by uncontolled circumstances are clearly
outlined in Defendant's contract, "Title to Merchanidse, Delivery,
Claims" under paragraph heading, "Time of Delivery", (Exhibit A);
11. All materials were delivered the week of September 12,
1996, only 4 days prior to the self-imposed due date by Plaintiff,
forcing Defendant to construct and paint a sign in 4 days which
normally takes six weeks;
12. Defendant worked through the holiday weekend to complete
all work possible without the custom materials on order;

13. By September 30, 1996, Defendant had completed the post
and cap and all work on the small-rider sign except for the final
paint, finished all the computer cut lettering, cut out the custom
sign shape and finished transferring all the carving guides and
lettering (Exhibit B);
14. On September 30, 1996, Plaintiff entered Defendant's
business and demanded the return of his deposit;
15. On October 18, 1996, Defendant sent Plaintiff a letter
offering him the materials that were purchased and worked on by
Defentant because the deposit had been used to purchase (Exhibit
C);
16. Defendant's contract, agreed upon and signed by both
parties, clearly states, just above the signature line on page 1,
that "no cancellations after productiuon has begun on custom
orders" (Exhibit A).
WHEREFORE, Plaintiff agreed to and signed a written contract
which clearly stated that Defendant cannot be held liable for
delays beyond its control, and that there can be no cancellations
after work had begun on custom orders;
And FURTHER, that Plaintiff broke the written contract with
Defendant;
NOW, THEREFORE, Defendant GRAPHIC TECH, asks this Honorable
Court:
a. To find Plaintiff liable for the entire costs of the
written contract between Plaintiff and Defendant, including
interest to date of payment, and all court costs and expenses

ANSWER TO COMPLAINT WITH NEW MATTER
AND NOW this .::2- day of July 1997, comes the Defendant,
Graphic Tech, by and through its owner, Vincent Williams, and makes
the following Answer to plaintiff's complaint, and avers as
followS:
1. Admitted.
2. Admitted.
3. Admitted in part and Denied in part. It is admitted that
on or about August 16, 1996, Plaintiff and Defendant entered into
a written agreement whereby Defendant would manufacture, deliver
and install a custom-made sign according to the size, color, and
materials as specified by Plaintiff (Exhibit A)i it is denied that
Defendant agreed to install said sign by september 15. On the
contrary, Defendant assured Plaintiff that it was not possible to
do so, in spite of plaintiff's wishes.
4. Admitted, although the original quote was for $2400 (See
quote attached as Exhibit B)
5. Admitted.
6. Denied. On the contrary, Defendant had completed all
work on the manufacture of the custom-made sign that was within the
control of Defendant (see photos, Exhibit C)
7. Admitted in part and Denied in part. Plaintiff demanded
a refund of his deposit, a breach of the terms of the written
contract (Exhibit A). It is denied that Defendant agreed to return
deposit which had already been spent for materials for Plaintiff's
sign.
8. Admitted. Plaintiff refused delivery and installation of
sign for which he had contracted.
9. Defendant is without sufficient evidence to make a
conclusion as to the facts in paragraph 9, and to the extent those
averments are relevant, strict proof thereof is demanded at the
time of trial.
NEW MATTER
10. Defendant incorporates Paragraphs 1-9 inclusive to this
Answer with New matter as if set forth in full.
11. Under the terms of the written contract between the
parties hereto (see Exhibit A): Price and Payment Terms", paragraph
one, "work won't start until 50% of deposit is received".
Defendant did not receive Plaintiff's deposit until August 27,
1996, 11 days after signing the contract, delaying the purchase of
materials for the manufacture of said custom sign;
12. Prior to Plaintiff paying a deposit to Defendant,
Defendant made Plaintiff aware that orders for materials delivered
to Defendant are trucked to Harrisburg, leaving Pittsburgh every
Tuesday morning, arriving in Harrisburg every Thursday morning
unless there is a short week due to a holiday, in which case all

shipments are delivered the following week;
13, Defendant took great care to explain this delivery
schedule in detail because of the approaching Labor Day holiday,
September 1, 1996;
14. Delays caused by uncontrolled circumstances are clearly
outlined in Defendant's contract, "Title to Merchandise, Delivery,
Claims" under paragraph heading, "Time of Delivery", (Exhibit A);
15. All materials were delivered the week of September 12,
1996, only 4 days prior to the self-imposed due date by Plaintiff,
forcing Defendant to construct and paint a sign in 4 days which
normally takes six weeks;
16. Defendant worked through the holiday weekend to complete
all work possible without the additional custom materials which had
not been received;
17. By September 30, 1996, Defendant had completed the post
and cap and all work on the small-rider sign except for the final
paint, finished all the computer cut lettering, cut out the custom
sign shape and finished transferring all the carving guides and
lettering (Exhibit C);
18. On September 30, 1996, Plaintiff entered Defendant I s
business and demanded the return of his deposit;
19. On October 18, 1996, Defendant sent Plaintiff a letter
offering him the materials that were purchased and worked on by
Defendant because the deposit had been used to purchase materials
(Exhibit D);
20. Defendant's contract, agreed upon and signed by both

AS I later explained to you I have to place my orders on Mondays to receive material that
Wednesday, So with the lollowlng Monday being a holiday, I recalved me sign material
Wednesday, Saptember 10th - giving me lour days to complete tne six week Job. I worked
on your sign as much as possible, but since I wasn't making any money on your Job, I had
to complete omer jObS In order to pay my billS, Even belore the 15th came you were a
constant VIsitor, WhiCh I must say didn't bother me. Some 01 your comments did however,
like when you told my employee to marry me and get Insurance because your sign was
late and she would be able to collect soon. You know why thOse thIngs bothered me,
Fred, because I was the one doing you the lavor not the other way around. Then,
your letter said It was the 30th 01 September - I don't know exactly, but thaI's close enough,
Anar you saw I was close to completing your Sign, you stomped In one morning and demanded
your money back. Well Fred, at that point I had your post completed, me main algn cut out,
the secondary sign primed, and the letters cut out for It, I would gladly give you your deposit
beck, but you ordered a custom sIgn, Fred, that was to be made to your speClllcatlOns and then
you canceled the order leaVIng me with material I cannot use for any other cu.tomer, I gueas
this Is the reason lor deposits (SO a bUSiness IS not len bankrupt over a customers indecisions),
Fred, I don't think thiS was lair 01 you to force me Into committing to you, and then changing
your mind and expecting me to take the lOSS. I'm prepared to return to you all material your
deposit paid for IInd the balance Of $ 105.00, but I can not return your whole deposit nor will

agaInst you personally, and I truly hope tnls wont affect our relationship toO much In the future,
