MICHAEL ADLER, Individually, and t/dlb/a WASTEC ASSOCIATES, Defendants JURY TRIAL DEMANDED COMPLAINT AND NOW, comes the Plaintiff, Statler-Brehm Associates, Inc., by and through its attorneys, MARTSON, DEARDORFF, WILLIAMS & OTTO, and hereby avers as follows: I. Plaintiff Statler-Brehm Associates. Inc., is a Pennsylvania corporation with a place of business at 26 State Avenue, Suite 102, Carlisle, Cumberland County, Pennsylvania. 2. Defendant Norman Elam is an adult individual with a residence at 25 North Acorn Drive, Boiling Springs, Cumberland County, Pennsylvania. 3. Defendant Roy E. Sheffer is an adult individual with a residence at 510 North York Road, Mechanicsburg, Cumberland County, Pennsylvania. 4. Defendant Wesley A. Tate is an adult individual with a residence at 95 Zion Road, Carlisle, Cumberland County, Pennsylvania. 5. Defendant Frank Wirth is an adult individual with a residence at 1441 Raven Hill Road, Mechanicsburg, Cumberland County, Pennsylvania. 6. Defendant J. Michael Adler is an adult individual whom resides in Cumberland County and has a business address of 1442 Trindle Road, Carlisle, Cumberland County, Pennsylvania. 7. At all times relevant hereto, Plaintiff was in the business of providing professional land development services including, but not limited to, engineering, planning, and surveying. 8. At all times relevant hereto, the above identified Defendants were trading and/or doing business under the fictitious name Wastec Associates (Wastec). 9. At all times relevant hereto, Defendants Adler, Tate, and Wirth were acting as agents or partners of Was tee. COUNT I BREACH OF CONTRACT 10. Paragraphs I through 9 are hereby incorporated by referenced thereto as set forth at length herein. II. Before or during December 1993, Defendant Adler approached PlaintilT on behalf of Wastec and sought to engage PlaintilT to provide land development services for Waslec's proposed land development known as "Olde York Estates." 12. PlaintilT agreed to provide professional land development services to Wastec under the tenns of a contract forwarded to Defendant Adler on April 13, 1994. An unsigned copy of said contract is attached hereto and marked as Exhibit "A." 13. Pursuant to said contract, PlaintilT expended services and/or costs, the outstanding balance of which. as of November I, 1995, was $16,189.50, plus 1.5% late charges accruing thereon. 14. PlaintilT has made several unsuccessful requests for payment for this past due amount. 15. Defendants have failed to pay said past due amount. 16. Defendants' failure to pay this past due amount, plus late charges thereon, constitutes a breach of contract. WHEREFORE, PlaintilT demands judgment against the Defendants jointly and severally in the amount of$16,189.50. plus pre and post-judgment interest and costs allowed thereon. COUNT II UNHiST ENRICHMENT 17. Paragraphs! through 16 are hereby incorporated by referenced thereto as set forth at length herein. 18. At the request of Defendant Adler, an agent and or partner of Wastec, PlaintilT provided professional land development services for Wastec with regard to "Olde York Estates." 19. Extersive copying and typing, will be invoiced separately. Statler-Brehm Associates, Inc. charges for services are based on actual time expended in preparing submissions for regulatory approvals, as well as conferences and telephcae consultations with and attendance at meetings of regulatory officials and their consultants. Statler-Brehm Associates, Inc. invoices are prepared monthly and due within thirty (30) days of the date of the invoice. A 1.5 percent service charge will be added to past due accounts for each payable regardless of whether approvals are granted. The timely granting of approvals cannot be gull ran teed as the same are bubject to a number offactors beyond the control of Statler-Brehm Associates, Inc. including, but not limited to, additional and unanticipated demands for information and documentation made by regulatory bodies as well as possible appeals taken from the granting of approvals by adjoining landowners or citizens groups or other regulatory bodies. Past due accounts are subject to cessation of work at Statler-Brehm's discretion until such time as the account is brought to a current status. Defendant Roy E. Shetfer is an adult individual with a residence at510 North York Road. Mechanicsburg, Cumberland County, Pennsylvania. 4. Defendant Wesley A Tate is an adult individual with a residence at 95 Zion Road. Carlisle. Cumberland County. Pennsylvania. 5. At all times relevant hereto. Plaintiff was in the business of providing professional land development services including. but not limited to. engineering, planning. and surveying. S. At all times relevant hereto. the above identitied Defendants were trading and/or doim! business under the fictitious name Wastec Associates (Wastec). \) .\t all times relevant hereto. Paragraphs I through 9 are hereby incorporated by referenced thereto as set forth at length herein. II. Betore or during December 1993. Defendant Adler approached Plaintiff on behalf of Wastec and sought to engage Plaintiff to provide land development services for Wastec's proposed land development known as "Olde York Estates." 12. Plaintiff agreed to provide professional land development services to Wastec under thetenns ofa contract forwarded to Defendant Adler on April 13. 1994. An unsigned copy of said contract is attached hereto and marked as Exhibit "A" 13. Pursuant to said contract. Plaintiff expended services and/or costs. the outstanding balance of which. as of November I. 1995. was $16.189.50. plus 1.5% late charges accruing thereon. 14. Plaintiff has made several unsuccessful requests for payment for this past due amount. 15. Defendants have failed to pay said past due amount. 16. Defendants' failure to pay this past due amount. plus late charges thereon, constitutes a breach of contract. WHEREFORE. Plaintiff demands judgment against the Defendants jointly and severally in the amount of $16.189.50. plus pre and post-judgment interest and costs allowed thereon. CO! TNT n I ~JlJST ENRICHMENT 17. At the request of Defendant Adler. an ageJ1l and or partner of Wastec, Plaintiff provided professional land development services for Wastec with regard to "Olde York Estates:' 19. The past due amount for the services provide by Plaintiff to Defendants is 516.189.50. plus 1.5% interest thereon. 20 The past due amount represents the lair and reasonable value of the services provided to Defendants by PlaintitT. 21. Defendants have tailed to pay said past due amounts. " Defendants have been unjuslly enriched in the amount ofSI6.18950. plus 1.5% interest thereon in that they have received the benelit of such services and have failed to pay therefore. WHEREFORE. Extensive copying and typing, will be invoiced separately. Statler-Brehm Associates, Inc. charges for services are based on actual time expended in preparing submissions for regulatory approvals, as well as conferences and telephone consultations with and attendance at meetings of regulatory officials and their consultants. Statler-Brehm Associates, Inc. invoices are prepared montWy and due within thirty (30) days of the date of the invoice, A 1.5 percent service charge will be added to past due accounts for each payable regardless of whether approvals are granted. The timely granting of approvals cannot be guaranteed as the same are subject to a number of factors beyond the control of Stat:er-Brehm Associates, Inc, including, but not limited to, additional and unanticipated demands for information and documentation made by regulatory bodies as well as possible appeals taken from the granting of approvals by adjoining landowners or citizens groups or other regulatory bodies. Past due accounts arc subject to cessation of work at Statler-Brehm's discretion until such time as the account is brought to a current status.
