denied that sueh written contract as attached to Plaintiffs' Complaint at
Exhibit "A" is the only contract existing between the parties. To the contrary,
Plaintiffs required of Defendant various change orders and/or contract
modifications in the course of construction which materially changed the
contraet between the parties. These change orders are collectively attached
hereto and incorporated by reference herein as Exhibit "A." Moreover, on
November I, 1994 the parties hereto executed a construction contract prepared
by Plaintiffs' lender, Harris Savings Bank. Such contract is attached hereto
and incorporated by reference herein as Exhibit "B,"
7. Admitted in part; denied in part. It is admitted that the January
7, 1995 Construction Agreement lists as a purchase price for said construction
Two Hundred Twenty-two Thousand ($222,000.00) Dollars. However, it is
specifically denied that said alleged purchase price is the actual purchase price
for the eonstruction. To the eontrary, Plaintiffs modified the contract on
numerous occasions, demanding additional items in the construction of greater
price than originally contracted for, thereby increasing the total purehase
price.

9. Denied. Paragraph 9 is a conclusion of law to which no
responsive pleading is required. To the extent a response is deemed necessary
by this Court, it is specifically denied that the construction of Plaintiffs' home

by Defendant was required to be or was able to be completed within one
hundred eighty (180) days of sil!l1inl! the Al!Teement as alleged by Plaintiffs.
To the contrary, Plaintiffs did not obtain financing for the project in a timely
fashion, delaying the start date of the home to March 19, 1995. Moreover,
Plaintiffs' numerous change orders required Defendant to spend a considerable
amount of time in excess of that originally contemplated by the January 7,
1995 Agreement. As to Plaintiffs' additional living expenses, after reasonable
investigation, Defendant is without knowledge as to the truth of the matter
alleged, and therefore, strict proof of same is demanded at the time of trial.
10. Admitted in part; denied in part. It is admitted that Plaintiffs
submitted a list of items to Defendant. It is specifically denied, however, that
such items had not been completed as alleged by Plaintiffs. To the contrary,
all items indicated were either completed by Defendant or Plaintiffs sought
changes to said construction, cont:-ary to the specifications and agreed-upon
change orders.
11. Denied. It is specifically denied that Plaintiffs agreed to move
into the subject property and withhold Ten Thousand ($10,000.00) Dollars in
an escrow account as alleged by Plaintiffs. To the contrary, Plaintiffs forcibly
moved into the subject property and withheld Ten Thousand Six Hundred
($10,600.00) Dollars in escrow, Correspondence dated January 2, 1996
indicting the withholding ofTen Thousand Six Hundred ($10,600,00) Dollars

16. Admitted in part; denied in part. It is admitted that Defendant's
counsel received a letter from Plaintiffs' counsel dated August 29, 1996 in
which eertain items and eosts were listed. It is specifically denied, however,
that such items as listed were outstanding or had not been completed by
Defendant as alleged by Plaintiffs. To the contrary, the work contracted for
was completed pursuant to the specifications and was performed in a
professional and workmanlike manner.
17. Denied. It is specifically denied that Plaintiffs took any effort to
notify Defendant of items at the construction site. To the contrary, Plaintiffs
continuously hired other contractors to perform work at the site without
notification to Defendant. By way of further response, Defendant performed in
a professional and workmanlike manner at all times relevant hereto and
completed the construction of Plaintiffs' home pursuant to the Agreement.
Moreover, when Defendant was provided an opportunity to repair or replace
items at the site, such items were repaired and replaced in a timely and
workmanlike fashion.
COUNT 1 . BREACH OF CONTRACT

COUNT II. BREACH OF EXPRESS WARRANTY OF DEFENDANT
23. Defendant incorporates by reference his Answers contained in
paragraphs 1 through 22 as though fully set forth herein.
24. Denied. Paragraph 24 is a conclusion of law to which no
responsive pleading is required. To the extent a responsive pleading is
deemed necessary, Defendant specifically denies that there were any defects in
the quality of Defendant's construction of Plaintiffs' home and that there were
any defective materials requiring repair and replacement, To the contrary,
Defendant constructed Plaintiffs' home in a professional and workmanlike
manner.
25. Denied. It is specifically denied that Plaintiffs duly notified
Defendant of defects in construction. To the contrary, Plaintiffs praised
Defendant's construction of the home until final draws were due and owing.
Moreover, Defendant specifically denies that there were any defects in the
construction of Plaintiffs' home. To the contrary, Plaintiffs' home was
constructed by Defendant in a professional and workmanlike manner.

COUNT 111. BREACH OF IMPLIED WARRANTY
27. Defendant incorporates by refcrence his Answers contained in
paragraphs 1 through 26 as though fully set forth herein.
28. Denied. Paragraph 28 is a conclusion of law to which no
responsive pleading is required. To the cxtent this Court deems a response
necessary, Defendant specifically denics that he failed to eonstruct Plaintiffs'
home in a workmanlike manner. To the contrary, Plaintiffs' home was
constructed in a professional and workmanlike manner and was completed fit
for the purpose for which it was intended pursuant to the Agreement between
the parties.

29. Denied. Paragraph 29 is a conclusion of law to which no
responsive pleading is required. To the extent this Court deems a response
necessary, Defendant specifically denies that he breached the implied
warranty. To the contrary, Defendant completed the home in a professional
and workmanlike manner and delivered it to Plaintiffs fit for the purpose for
which it was intended and completed, repaired, and/or replaced all items
pursuant to the Agreement between the parties.
30. Denied. Paragraph 30 is a conclusion of law to which no
responsive pleading is required. To the extent this Court deems a response
necessary, Defendant specifically denies that he breaehed any implied
warranty of fitness, or that Plaintiffs were required to incur additional time
and expense to complete, repair and replace construction items, as originally
contemplated by the parties in the Agreement. To the contrary, Defendant
constructed Plaintiffs' home in a professional and workmanlike manner and
pursuant to the Agreement between the parties,
WHEREFORE, Defendant requests this Honorable Court to dismiss
Plaintiffs' Complaint with prejudice and enter judgment in favor of Defendant

31. Plaintiffs failed to obtain financing for Defcndant's construction of
Plaintiffs' home in a timcly fashion.
32. Plaintiffs issued numcrous change orders and contract
modifications during the eoursc of the project.
33. Plaintiffs refused to allow Defcndant to perform necessary
grading, landscaping, and drainage on the property which would have
prevented any water intrusion into Plaintiffs' basement.
34. Plaintiffs physically interfered with the course of the project both
personally and in their storage of furniture and other items in the construeted
garage, contrary to the parties' Agreement.
35. On or about November 2, 1995 the parties came to an Agreement
whereby Plaintiffs agreed to pay to Defendants Ten Thousand Six Hundred
($10,600.00) Dollars, the remaining escrow amount, in full satisfaction of the
construction of Plaintiffs' home. The handwritten document evidencing such
Agreement, executed by Plaintiff Navin N. Vyas, is attached hereto and
incorporated by reference herein as Exhibit "D."
36. Plaintiffs independently contracted with other parties for certain
aspects of the project, including, but not necessarily limited to, eleetrical work,
kitchen cabinets and appliances, landscaping, and outside deck work.
37. The Agreement between the parties called for ceramie tile in the
prayer room, not marble; the marble was included pursuant to a change order.

38. The alleged damage to the marble was caused by Plaintiffs'
independently hired contractor.
39. All drywall. plywood paneling, and painting was completed, with
the exception of the painting of the garage directly due to Plaintiffs' storage of
furniture and other items in the garage preventing Defendant from performing
the work.
40. The alleged damage to the concrete step and driveway was caused
by Plaintiffs' independently hired landscaper.
41. As part of the Agreement between the parties, Defendant agreed
to provide certain professional engineering services to Plaintiffs in the
construction of their home.
42. Plaintiffs continuously demanded of Defendants' time and
engineering expertise over and beyond that originally contemplated by the
parties.
43. On numerous occasions, Defendant put Plaintiffs on notice that
Plaintiffs would be charged for Defendant's additional services at his usual
rates, to which Plaintiffs orally agreed.
44. Defendant expended approximately three hundred (300)
additional hours of engineering and other professional services during the
course of construction at a rate of One Hundred Five ($105.00) Dollars per
hour.

45. Plaintiffs' presently owe Defendant Fifty-eight Thousand Six
Hundred Three ($58,603.00) Dollars plus interest and costs for items
requested via change order, repairs necessitated by Plaintiffs and/or their
agents, additional services rendered, and remaining escrow.
46. Plaintiffs have waived and are estopped from claiming the
amounts set forth in their Complaint, as any delays or repairs and/or
replacement of items, if any, are the direct and proximate result of Plaintiffs'
own conduct.
47. Plaintiffs' claims are barred by the doctrine of impossibility of
performance.
48. Plaintiffs' claims are barred by the doctrine of accord and
satisfaction.
49. Plaintiffs' claims are barred due to lack of privity between the
parties.
50. Plaintiffs' claims are barred by lack of and/or failure of
consideration in Plaintiffs' failure to make payment to Defendant.
WHEREFORE, Defendant respectfully requests this Court to dismiss
Plaintiffs' Complaint and enter judgment in favO!' of Defendant in an amount
of Fifty-eight Thousand Six Hundred Three ($58,603.00) Dollars plus interest,
costs, and such other amounts as this Court deems just and appropriate.

however, to the extent Defendant is alleging that Plaintiffs and Defendant were not
bound by the original Agreement with respect to timely and good and workmanlike
construction, same is specifically denied.
33. Denied. It is specifically denied that Plaintiffs refused to allow
Defendant to perform work necessary to complete appropriate and required
landscaping surrounding the subject property.
34. Denied. It is specifically denied that Plaintiffs physically interfered with
the course of the project and on the contrary, Plaintiffs made numerous efforts and
in fact pleas to Defendant in order to attempt to have Defendant properly complete
the project; that the Plaintiffs were required to move into the house prior to its
actual completion date was caused by the conduct of and was the fault of
Defendant.
35. Denied. It is specifically denied that the parties came to an agreement
as alleged by Defendant or that Exhibit D evidences an agreement as alleged by
Defendant. It is unclear what the writing attached to Defendant's Answer and New
Matter as Exhibit D represents; however, it clearly indicates that the parties were
not in agreement regarding the construction of Plaintiffs' home and that
Defendant's work was inadequate; and by way of further response, Defendant's
Exhibit C which is subsequent to Exhibit D and Plaintiffs' Exhibit B, clearly indicate

that Defendant's Exhibit D did not evidence an understanding of full and final
satisfaction of the disagreements of the parties.
36. Admitted in part and denied in part. It is admitted that other parties
performed work; in fact it was necessary for Plaintiffs to contract with other parties
because this was necessitated by Defendant's inadequate and incomplete work. It
is specifically denied that work by other contractors was the cause of Defendant's
delay or poor and inadequate construction.
37. Admitted in part and denied in part. It is admitted that the parties
agreed subsequent to the original agreement to install marble instead of ceramic
tile; it is specifically denied that such a change caused the problem with the marble
or installation thereof.
38. Denied. It is specifically denied that the damage to the marble was
caused by a contractor independently hired by Plaintiffs.
39. Denied. It is specifically denied that the drywall, plywood paneling, or
painting was completed by Defendant; it is specifically denied that Defendant was
unable to perform or complete the work because Plaintiffs' move into the property
and on the contrary, Defendant could have completed the work in a timely and
workmanlike manner but failed to do so.
40. Denied. It is specifically denied that the damage to the step and
driveway was caused by the landscaper as alleged by Defendant.

41. Admitted in part and denied in part. It is admitted that Defendant
agreed to provide professional engineering services and it is on that premise that
Defendant promoted himself as a professional contractor and specifically a
professional residential home contractor. It is specifically denied that Defendant
delivered the services which he promised or that such services would be charged
separately or independently of the original agreement of the parties to construct
Plaintiffs' home.
42. Denied. It is specifically denied that Plaintiffs demanded Defendant's
time over and above that which was originally contemplated by the parties and on
the contrary, Plaintiffs were merely attempting to have Defendant perform and
complete the project of constructing Plaintiffs' home in accordance with the
agreement of the parties.
43. Denied. It is specifically denied that Plaintiffs orally agreed to pay
Defendant any additional money for performance of the engineering services which
Defendant represented and held himself out to Plaintiffs that he. Defendant, would
perform in order to construct the Plaintiffs' home.
44. Denied. After reasonable investigation, Plaintiffs are without sufficient
information or knowledge to admit or deny the number of "additional hours of
engineering or other professional services" during the construction of Plaintiffs'
home and same is therefore denied and strict proof is demanded at the time of trial.

By way of further response, it is specifically denied that Plaintiffs are responsible
for any additional time, engineering services as alleged by Defendant because all of
Defendant's engineering services and expertise to whatever extent he possessed
same, was represented to Plaintiff to be part and parcel of the original contract
price for the construction of Plaintiffs' home.
45, Denied. It is specifically denied that Plaintiffs owe Defendant any
additional money and on the contrary, it is the Defendant who owes Plaintiffs
money for work not performed pursuant to the agreement of the parties for work
performed in a substandard and non-workmanlike manner.

specifically denied that the delays or repairs or replacement of items were

5. The purchase price for the parcel of real estate was $43,000.00.
6. On or about January 7. 1995, Plaintiffs entered into a contract with
Defendant for the construction of a single family home on the parcel of real estate
which Plaintiffs purchased from Defendant. A true and correct copy of the
Agreement is attached hereto and incorporated herein by reference as Exhibit A.
7. The purchase price for the construction of the Plaintiffs' home was
$222,000.00, to be paid pursuant to the Agreement of the parties attached hereto
as Exhibit A.
8. Pursuant to the terms of the Agreement, construction of the home was to
commence shortly after signing the Agreement. and be completed within one
hundred eighty (180) days from January 7, 1995.
9. Defendant did not complete the construction of the home within one
hundred eighty (180) days from the date of the signing of the Agreement and as a
result, Plaintiffs incurred additional living expenses.
10. Prior to moving into the subject property, Plaintiffs submitted a list of
items which had not been completed. A true and correct copy of Plaintiffs' letter
and list of items to be completed or repaired is attached hereto and incorporated
herein by reference as Exhibit B.
11. Plaintiffs nevertheless agreed to move into the subject property and
withhold $10.000.00 in an escrow account to be released upon Defendant's

satisfactory completion of the items on Plaintiffs' list which required completion or
repair.
12. Plaintiffs moved into the house on or about December 29, 1995.
13. Despite Plaintiffs' notification to Defendant, Plaintiffs moved into the
subject property and were required to clean up mud and debris out of the basement
as well as the backyard and incur additional time and expense of repairs and
completion of various items as more fully set forth herein.
14. Shortly after moving into the house, the basement sustained water
damage due to flooding in the basement because of Defendant's faulty construction
of the basement walls and improperly installed caulking and sealing around the
basement windows.
15. Defendant represented to Plaintiffs that the construction of the house
would be accompanied by a home builders warranty. which warranty would be in
effect for twelve (12) months; however, Plaintiffs never received the warranty from
Defendant.
16. By letter dated August 29, 1996, Plaintiffs notified Defendant, through
his attorney, of the outstanding items which had been completed at Plaintiffs'
expense and which remained incomplete.

AGREEMENT
Tms AGREEMENl' made this 7th day of January. 1995, by and between KASH
BATRA, of Camp Hill, Pennsylvania, (hereinafter "Batra") and NAVIN N. VY AS and
INDU N. VYAS, his wife, of Harrisburg, Pennsylvania (her.inafter "Vyas").
Whereas, concurrently herewith, Batra is conveying to Vyu a certain tract of land
located in Hampden Township, Cumberland County, Pennsylvania; and
Whereas, Batra, u a general contractor, has agreed to build a home on the tract for
Vyas in accordance with the terms and conditions hereinafter set forth.
Now, 1'BEREFoRE, the parties hereto. intending to be legally bound hereby, agree as
follows:
1. All provisions of a standard AlA small construction contract, except as modified
herein, are incorporated by reference and shin be binding upon the panies u if said
provisions bad been set forth at length herein.
2. The home shall be constructed by Batra in accordance with plans and specifications
separately identified by the parties in writing and there shall be no changes to these plans or
spec:ifications ex~t those that are acknowledged in writing by the parties.

3. The total purchase price for all the work to be done shall be $222,000.00, payable

(a) $30,000.00 shall be paid upon completion of the basementj

(c) $40,000.00 shall be paid upon completion of brick work and siding;
(d) $52,000.00 shall be paid upon completion of remaining work and the obtaining
of an occupancy permit; and

fmal settlement which shall take place no later than thirty days from completion of the work..
4. It is understood that Vyas will refrain from occupying the home until the work has
been completed, an occupancy permit has been obtained and the $52,000.00 payment (Par.
3(d), above) has been made.
5. Batra warrants that the home will be complete and the occupancy permit obtained
within 180 days of the date hereof.

6. Notwithstanding the foregoing'schedule of payments, Vyas shall have the option ta
forego making the specified payments until time of occupancy, in which case Vyas will
reimburse Batra for the interest Batra will ineur to fund the postponed payments and the full
principal amount owing to date of occupancy, together with such interest charge, if any, shall
be paid to Batra at time of occupancy. Notwithstanding the foregoing, Batra represents that
such interest reimbursement will not exceed $4,280.00.
7. Further, the parties agree that at any time before occupancy, Vyas, by written
notice to Batra, may elect to cancel this agreement, in which case, Vyas will be responsible
for all transfer taxes, including reimbursement of any Batra has paid, but all payments made
by Vyas to Batra, including, if any, interest or principal payments, for the lot purchase or
the construction of the home, slialI be returned by Batra to Vyas. The parties agree that
settlement, in the event of such cancellation, shall take place at the time the property is
resold by Batra or by 4..,'tvsf- U /99.s- ,whichever flIst occurs. At such
settlement, and upon paymen( of the atnounts due, Vyas shall convey title to the lot to Batra
or to Batra's nominee. Vyas warrants that at the time of conveyance Vyas will not have
