THIS STIPULATION is made this~, 1997,
WHEREAS, Vanguard Townhome Limited Partnership of Jenkintown, Pennsylvania
("Owner") and Vanguard Homes, Ine, of Jenkintown, Pennsylvania ("Contractor") have
executed on -~~~:-:-~"{ 1997, certain contracts designated "Abbreviated Form of
Agreement be~ontractor" (the "Contracts") by which Contractor agrees to
provide general construction services to Owner for the following:
General Construction services for the construction of four Townhome units on
the property owned by the Owner consisting of four building lots located in the
Borough of Carlisle, Cumberland County, Pennsylvania as more fully described
in the legal description auached hereto as Exhibit A and incorporated herein by
reference,
which Contracts, together with all amendments, supplements, extensions, substitutions and
replacements thereof is referred to herein as the "Contracts",
Intending to be legally bound hereby, the parties hereto agree and acknowledge that, at
the time of and immediately before the execution of the Contracts, and before any authority has
been given by the said Owner to the said Contractor to commence work on the said building
construction, or purchase materials for the same, in consideration of the making of the Contracts
with Owner and the further consideration, receipt of which is hereby acknowledged, provided to
Contractor by Owner, Owner agrees on its own behalf and on behalf of all subcontractors or
others who provide work or materials under the Contracts, that no mechanic's lien or other lien
shall be filed against the Real Estate or any improvement, structure or building thereon, nor on
any part or portion of any of the foregoing by the Contractor, or any subcontractor, nor by any of
the material men or workmen or any other person for any labor or materials purchased, or extra
labor or materials purchased in furtherance of the site improvements or in the construction of the
buildings under the Contracts, Owner's right to file such liens is hereby expressly waived, on its
own behalf and on behalf of all subcontractors, material men, laborers and all others who supply
work or materials to the Real Estate,

ALL THOSE CERTAIN tracts of land situate in the Borough of Carlisle,
Cumberland County, Pennsylvania, appearing as Lot Nos. 46 through 49
on Phase III of the Final Subdivision Plan of Walnut Court as recorded
in Cumberland County Plan Book 62, Page 58, and being more
particularly bounded and described in accordance with said Subdivision
Plan as follows:

BEGINNING at a point along the right-of-way for Georgetown Circle at
the corner of Lot No. 47; thence along Lot No. 47 North 83 degrees 45
minutes 00 seconds East 170,39 feet to a point, thence South 06
degrees 15 minutes 00 seconds East 60 feet to a point; thence South 83
degrees 45 minutes 00 seconds West 145.53 feet to a point; thence by a
curve with a chord bearing of North 51 degrees 08 minutes 14 seconds
West a length of 35.43 fep.t with a radius of 25.00 feet and an arc
distance of 39,37 feet to a point on Georgetown Circle; thence along
Georgetown Circle North 06 degrees 01 minutes 29 seconds West 34.90
feet to a point, the Place of Beginning,
BEING No. No, 46 on Phase III of the Final Subdivision Plan of Walnut
Court as recorded in Cumberland County Plan Book 62, Page 58.

BEGINNING at a point along the right-of-way for Georgetown Circle at
the corner of Lot No, 46; thence along the said Georgetown Circle

along Lot No. 48 North 83 degrees 45 minutes 00 seconds East 170.27
feet to a point; thence South 06 degrees 15 minutes 00 seconds East 30
