LAST WILL AND TESTAMENT
OF
ROBERT H. MAKIBBIN
I, ROBERT H. MAKIBBIN, of 53 East North Street In the Borough of Carlisle,
Cumberland County, Pennsylvania, being of sound and disposing mind, memory and
understanding, do hereby make, publish and declure this us und for my Last Will and Testament
hereby revoking and making void any and all Wills by me ut any time heretofore made,
1 , I direct my herelnufler numed Executrix or Executors to puy all of my just debts and
funerul expe,nses us soon after my deuth as muy be found couvenientto do so, I direct that my
funeral services and the Intennenl of my body be us my suid Executrix or Executors shull deem
appropriate,
2, All of the rest, residue and remuinder of' my estate, reul, personalund mixed, und
wheresoever the same muy be situutc, up to u maximum of the umountallowed as an exemption for
purposes of federul estate tux which ut the present time is $600,000,00, I give, devise und
bequeath to my hereinufter numed Trustee, in trust, to receive and to invest the same, und to puy
the income arising therefrom ut least annuully to or for the benefit of my wife, Louise M,
Makibbin, so long us she shull live, and ut her death the sume shulltenninate and be divided
equully between such of my two (2) children us shall survive me by a period of ninety (90) days,
their heirs and assigns, per stirpes, My two children are Putriciu A, Schmaus und Robert H,
Makibbin, Jr,
Should either child of mine die before becoming entitled to distribution of corpus then
such undistributed corpus shull be puid 11l1d trunsferred to such of the issue of such beneficiary, If
any, as shall be living at the time of death of the life income beneficiary, per stirpes, and In the
absence of such issue then the rcmlllning corpus shall be added to the share provided for my other
child, per stirpes,
No title in a trust hereby crellted, or in the income ac~ruing therefrom, or In its
accumulation, shall vest in any beneficiary anu no beneficiary shall have the right or power to
transfer, assign, anticipate or encumber his or her Interest in said trust, or the income therefrom,
prior to the actual distribution thereof by the Trustee to such beneficiary, Further, neither the
lIlcome nor the principal of suid trust shull be liable in any manner, in the possession of the
Trustee, for the debts, contracts or engugements of uny beneficiury,
3, All of the rest, residue and remainder of my estate which has not hereinbefore been
disposed of, I give, devise und bequeath to my wife, Louise M, Mllkibbin, to the exclusion of my
children, born und unborn, provided she shull survive me by u period of ninety (90) duys, bUI
should she predecease me or fuil to so survive me, then I give, devise und beqlleuth the sume in
equal shures to such of my two children as shull survive me by u period of ninety (90) duys, their
heirs und ussigns, per stirpes, but should either of them fuilto so survive me then the share such
deceused child of mine would huve received shull puss to such of his or her Issue as shull survive
me by a period of ninety (90) duys, their heirs and ussigns, per stirpes, und if there be no such
issue the sume shull lupse and be udded to the shure of my other child, per stirpes, My two
children ure Patricia A, Schmuus and Robert H, Mukibbin, k
4, Should uny person less than thun 21 yeurs of age be entitled to distribution from my
estute, In such event I nominute, constitute und appoint my hereinafter named Trustee und her
successors, as Guurdiun of the estute of each such person and authorize und direct said Guardiun to
receive and to invest the sume and to pay the income urislng therefrom together with so much of the
principal thereof as in the Guardian's opinion is necessury or desiruble to be expended for the
proper malnttnance, support and education of such person, to or for the benefit of such person,
and upon such person attuining 21 years of uge, to puy to him or her the then remuinlng principal
together with uny undistributed income,
5, I hereby nominute, constitute und uppoint my wife, Louise M, Muklbbln, us Executrix
of this my Lust WiIlund Testument but ~hould she predeceuse me or full to qUlllify or ceuse serving
as such, then in such event I nominule, constitute and uppolnt my two (2) children, or either of
them, Patricia A, Schmuus und Robert H, Mukibbin, Jr" us uiternllle or successor Executors, I
further direct thut none of them shull be required to post ullY bond to secure the fulthful
perfornlllnce of his, her or its duties in the Commonweulth of Pennsylvunia or in uny other
Jurisdiction,

862, Lundlsburg, Pennsylvaniu 17040, us Trustee of each trust hereinbefore creuted, but should

7. In addition to the powers conferred by law, my Executrix or Executors and my Trustee
and Guardian hereinbefore named are empowered:
a. To invest any part of the trust corpus in such se~'urities, investments, or o.ther
property as may be deemed advisable and proper, irrespective of whether the same are authorIZed
for the investment of tnlst funds under the laws of any goveming jurisdiction.
b, With respect te any corporutlon, the stocks, bonds, or other securities of which may
be held, (0 vote In person or by proxy on any shares of stock; to consent to the merger,
consolidation or reorganization of such corporutions; to consent to the leasing, mortgaging or sale
of the property of any such corpol'lltions; to make any surrender, exchange or substitution of such
stocks, bonds or other securities as an incident to the merger, consolidation or reorganization of
such corporutlons; to pay ali assessments, subscriptions and other sums of money which may be
deemed wise und expedient for the protection and maintenance of the proportionate Interest of the
Investment in such corporutions; to exercise any option or privilege which may be conferred upon
the holders of such stocks, bonds, or other se('urities of such corporutlons either for the conversion
of (he same into other securities or for the purchase of udditional securities, and to make any and all
necessary payments which may be required in connection therewith; und ~enerully to have and
exercise as to all such stocks, bonds and other sel,uritles, the powers of an mdividual owner who
is under trust obligation,
c. To hold the trust corpus In one or more consolidated funds in which separute shares
shull huve undivided interests,

period us may be found expedient.
f, To compromise, settle or arbitrute any claim or demand In favor of or against the
trust estate,
g, And authorized in the discharge of fiduciary duties, to employ counselund to
detennine and to puy such counsel reasonuble compensution which shull be charged aguinst the
principal or income of the trust fund, and shull further be entitled to churge against the principal or
lIlcome such other reasonable expenses und charges us muy be necessury and proper to incur for
the proper discharge of fiduciary duties and for the proper management and administration of the
trust estate.
h. In making any division of property into shures for the purpose of any distribution
thereof directed by the provisions of the trust, to make such division or distribution, either in cash
or in kind, or partly in cash and partly in kind, as shall be deemed most expedient, and in making
any division or distribution ill kind may ullot uny specific security or property or uny undivided
interest therein to anyone or more of such shares, and to that end muy uppraise uny or all of the
property so to be allotted und the judgment as to the propriety of such allotment and liS to the
relative value for purposes of distribution of the securities or property so allotted shall be final and
conclnslve upon all persons interested in the trust or in the division or distribution thereof.
8, All powers, duties, und discretionary authority grunted to my Executrix or Executors
and my Tmstee and the Guardian hereunder, or their successors, may be exercised without posting
any bond and without obtaining any order or approval of an)' court, and without any notice to or
consent of anyone,
9. If any provision of this Will shall be unenforceable, the remaining provisions shall
nevertheless be carried into effect.
