Witnesseth:
Whereus, Owner is the owner of certuin property in Upper Allen Township, County of
Cumberland, Commonweulth of Pennsylvnnia, loe.ued on Cumberlnnd Pnrkwny nnd Reynolds
Street described in Exhibit "A" ("Property"); nnd
Wherens, Owner nnd Contrnctor hnve entered into nn ngreement of snme dnte herewith
("Agreement"), whereby Colllrnctor ngreed to perform certnin work relnted to construction of un
office building (Pennsylvania State Bank branch facility) on the Property in nccordance with the
Agreement ("Work"); nnd
Whereas, Owner and COlllrnctor intend thnt neither the Property nor any improvements on,
or to be built on, the Property shnll be subject to .IIlY lien of debts due by Owner to Contractor, or
by Contractor to any subcontractor, for labor or nmterials furnished to the Property or delivered or
used in connection with the Work.
Now, therefore, for the sum of One Dollar ($1.00) nnd other valunble consideration, the
receipt and sufficiency of which arc hereby ucknowledged, and intending to be legally bound
hereby, the pnrties hereto covennnt and agree as follows:
I. Contrnctor hereby covenants and agrees, on behalf of itself, its subcontractors,
materialmen, laborers and parties acting for, through or under Contractor, thnt no mechanic's lien,
claim or other lien or claim of any kind whatsoever shall be filed or maintained against the Property
or any improvements on, or to be built on, the Property, by anyone nnd that all of the Contractor's
subcontractors, materinlmen and laborers shall look to nnd hold Contrnctor, nnd not Owner or the
Property, linble for nil subcontrncts, mnterinls furnished .lI1d work and labor done in connection
with the Work.
2. Notwithstnnding anything to the contrnry in the Agreemelll or herein. and in nddition to
other indemnifications in the Agreement, Contractor shnll indemnify, defend and hold hannless
Owner from any claim, liability, damage. suit, cost nnd expense (including without limitntion
rensonable nllorney's fees nnd court costs) arising, directly or indirectly, from any mechanic's lien,
suit, demand, claim for sums owed or lien threatened or filed by Contrnctor, its subcontractors,
materinlmen or laborers agninst Owner or the Property or the improvements on, or to be built on,
the Property.
3. Contractor covenants and agrees to notify nil of its subcontractors, materialmen and
laborers that no mechanic's lien, claim or other lien may be liIed ngainst the Property or the
improvements on, or to be built on, the Property,
4. This Agreement, wniving the right of lien by anyone, shnll be an independent covenant
and shall operate nnd be effective with respect to work done nnd materinls furnished under any
supplemental contract for extra work in the construction nnd instnll.uion of improvements in the
building ns well ns to any work and labor done and materials furnished in connection with the
Work.
