Testament, hereby revoking any will previously made by me.
I - I direct the payment of all my just debts and
funeral expenses out of my estate as soon as may be practical

II - I devise and bequeath all of my estate of what-
ever nature and wherever situate unto my issue per stirpes,
III - I appoint my sons, David C, Apgar and Gregory N.

(hereinafter referred to as the "Executors"), and DAVID C, APGAR
and GREGORY N, APGAR (hereinafter collectively referred to as
"beneficiariesn),
WITNESSETH:
WHEREAS, Esther E. Apgar, of the Borough of Camp Hill,
Cumberland County, Pennsylvania, died on September 27, 1994,
leaving a Last Will and Testament dated July 23, 1981 which was
admitted to probate on October 12, 1994; and
WHEREAS, David C. Apgar and Gregory N. Apgar were appointed
Executors of the Estate on October 12, 1995 by the Register of
WIlls of Cumberland County and continue to serve as Executors of
the Estate; and
WHEREAS, David C. Apgar and Gregory N. Apgar are the surviving
children of the decedent; and

WHEREAS, David C, Apgar and Gregory N, Apgar are each entitled
to receive fifty percent (50%) of the rest, residue and remainder
of the Estate I and
WHEREAS, the parties hereto agree that they are the sole
beneficiaries of the Estate of Esther E. Apgar and are entitled to
share in the Estate as stated abovel and
WHEREAS, each of the parties in this Agreement has been
furnished with a complete listing of the Estate assets, receipts,
disbursements and distributions, all as set forth on the Accounting
attached hereto and marked as Exhibit "Ali, and
WHEREAS, the duties and responsibilities of the Executors
incident to the administration of the Estate have been
substantially completed I and
WHEREAS, the beneficiaries desire to have the balance of the
Estate distributed without a formal accounting by the Executors to
the Orphans' Court Division of the Court of Common Pleas of
Cumberland county, Pennsylvania (the Court having juriSdiction over
the matter) in order that expense and delay may be avoided.
NOW, THEREFORE, the parties hereto, for good and valuable
consideration, receipt of which is hereby acknowledged, and
intending to be legally bound hereby, agree with one another as
follows:
1, The foregoing provisions of this Agreement are
incorporated herein by reference.

2.
Each party hereto acknowledges and agrees that the

Executors will not file an account or petition for distribution or
secure a decree of distribution from any court having jurisdiction
in the matter of the Estate of Esther E. Apgar, deceased, and they
further acknowledge their right to compel an accounting, which
right they and each of them hereby waives.
3, Each beneficiary acknowledges and agrees that the schedule
of proposed distribution attached hereto as Exhibit "B" is
satisfactory and proper and each of them accepts distribution in
accordance with its provisions and by executing this Agreement each
acknowledges receipt from the Executors of the property allocated
to him on Exhibit "B" in full and complete satisfaction of his
interest in the Estate of Esther E. Apgar, deceased.
4. The beneficiaries agree that if any claims or debts of the
estate are discovered after distributj.on under this Agreement, said
beneficiaries will refund a proportionate share of their respective
distributions to pay said claims or debts.
5. The beneficiaries, and each of them, hereby release and
discharge the Executors from any and all claims and liabilities of
any kind or nature whatsoever arising from or relating to his
services or status as Executor of the Estate,

6, It is the express intention of the parties hereto that the
legal effect intended by the Agreement be the same in each and
every respect as would be obtained had a decree of distribution in
this Estate been entered by the orphans' Court Division of the
Court of Common Pleas of Cumberland County , Pennsylvania, which
decree had become final and unappealable.
7, This Agreement shall be interpreted pursuant to and
governed by the laws of the Commonwealth of Pennsylvania and shall
inure to the benefit and be binding upon the parties hereto, their
personal representatives and heirs at law, as the case may be.
IN WITNESS WHEREOF, we hereto set our hands and seals the day
and year first above written.
