I, B. TITUS RUTT, of the Borough of Mount Joy, County of Lancaater and
Commonwealth of Pennsylvania, make and publieh this my Laat Will and Teatament,
hereby revoking and making void all former Wills by me at any time heretofore made.
FIRST: I direct that my juat debta and funerel expenees shall be paid
out of my estate as soon ae conveniently may be done after my death.
SECOND: I declare that my wife, RUTH H. RUTT, and I O~I all of the
furniture, rugs and other household effects as tenants by the entireties, and the
same shall pass to her absolutely.
THIRD: I give and bequeath to my wife, RUTH H. RUTT, all tangible
personal property, including any automobiles which I may own at the time of my death
together with sny policiea of insurance thereon; PROVIDED, however, that if my said
wife should fail to survive me for a period of thirty (30) days, I give and bequeath
to my surviving children and to the issue of any of my children then deceased, so
much of said property se they or the person hsving custody of any of them may select,
in equal shares per stirpes, and the rest of said property shall be sold and the
proceeds added to my residusry estate. In the event such beneficisry should then
be a minor, 1 authorize my Executor to deliver such minor's share of ssid property,
without bond to the pereon having custody of such minor, and the receipts of such
person shall be a complete discharge of ell obligations of my Executor with regard
to such minor's share of said property.
FOURTH, All the rest, residue snd remainder of my estate, real and per-
sonal, and wherever situate, I give, devise and bequeath to my son, JAMES W. RUTT
and my daughter, HELEN J. KOSER, in trust, to be added to and form a part of the
trust or trusts under that certain Trust Agreement already created by me and dated
the 11th day of December, A.D., 1975, as amended from time to time, by a complete
Restatement or otherwiee, whether prior to or subsequent to the date of the execution
of this Will, or in the event that such trust should not be in existence at the time
of my death, to be held by said Trusteee under and subject to the terms and condition
of a trust, which terms and conditions shall be exactly the same as those specified
in my eforesaid Trust Agreement ae it exieted at the time of the execution of this
my Will, or of the last Codicil hereto, with like effect as if said terms and

conditions were set forth snd incorporated herein verbatim.
FIFTH: I direct that all estate, inheritance, transfer, succesaion and
death taxes of any kind whatsoever, other than generation ekipping transfer taxes,
togsther with any intereet ond penalties thereon, becoming payable because of my
desth with respect to the property constituting my gross estste for death tax
purpoees, whether or not such property passes under thie Will, other than with
reepect to any pension plan, profit sharing plan, retirement plan, or other employee
benefit plan, ehsll be paid from the residue of my estate paseing under Article
FOURTH hereof; and no legatee or devisee or sny person having s beneficial interest
in any such property whether under this Will or any Codicil thereto or otherwise,
shall at any time be required to refund any part of such tsxes, provided that sny
taxes on the trust or trusts of the sbove mentioned Trust Agreement may be paid
from the sesets of that trust as provided therein. In the obsolute discretion
of my Executor taxee on future or remainder interests may be paid immediately,
or the payment of euch taxes may be postponed until the time possession thereof
accrues to the beneficiaries, in which event euch taxea ehall be paid by the
Trustees out of the principal of the trust subject thereto.
SIXTH: I constitute ond appoint my son, JA}lliS W. RUTT and my daughter,
HELEN J. KOSER, Executors of thie Will or either one of them if the other should die
or be unwilling or unable to act. I authorize any personal representative named
herein to exercise the following powers, in addition to those given by law, to be
exercised in the sole discretion of my personal representative: to retain any real
and personal property which may at any time form port of my estate for as long
as my personal representotive may deem advisable; to repair, alter, improve
or lease, for ony period of time, any real or personal property and to give
options for leases; to sell ot public or private sale, for cash or credit, with
or without security; to exchonge or to partition ony reol or personal property
and to give options for soles or exchanges; to continue any business in which I
am engaged or in which I have an interest ot the time of my deoth; to compromise
claims without court approvol; to retain and pay agents, employees, accountants
and counsel for advice and other professional services; to make dietribution in
kind: and to invest and reinvest according to the standards of prudent inveetment

ORPHANS' COURT DIVISION
FAMILY sETTLEMENT AGREEMENT
KNOW ALL MEN BY THESE PRESENTS, that we, James W. Rutt and
Helen J. Koser, Trustees under Trust Agreement of B. Titus Rutt
dated December 11, 1975, as amended, (hereafter referred to as
"Trustees") being the sole beneficiary of the entire above
captioned Estate under the will of B. Titus Rutt, a/kia, B. T.
Rutt, a/kia, Benjamin T. Rutt, deceased (the "Decedent"), filed
for probate in the Office of the Register of wills in and for
Cumberland County, Pennsylvania, do hereby acknowledge that upon
execution of this Family settlement Agreement that we shall
receive from James W. Rutt and Helen J. Koser, Executors of the
Will of the Decedent, the assets available for distr.ibution as
set forth in the First and Final Settlement of said Executors
attached hereto and marked Exhibit "A" in full satisfaction and
payment of our shares, claims, bequests, of, in and to, the
aforesaid Estate of the Decedent in the hands of the Executors,
as indicated by the aforesaid First and Final Settlement.
We hereby acknowledge that we have examined the First and
Final Settlement and agree that it is correct and that the
aforesaid distribution is correct and in accordance with the will
of the Decedent in all respects; and we hereby waive our right to
have an account adjudicated by the Orphans' Court of cumberland
county.
And now, therefore, we, by these ~resents, remise, release,
quitclaim and forever discharge James W. Rutt and Helen J. KOBer,
Executors of the Estate of the Decedent and their heirs and
aSBigns, of and from the said sums of money so paid and
securities and coins delivered as set forth in Exhibit "A"
attached hereto and of and from all actions, reckonings, claims
and demands whatsoever for or by reason thereof, and of and from
every other act, matter, cause or thing touching or covering the
same.
And we, and each of us, agree, that we at all times in the
future and whenever necessary, appropriate or convenient, do
make, execute and deliver to the said Executors, any and all
instruments, documents, conveyances, deeds, releases, or other
papers of any kind necessary or convenient to carry out the
intention of this Family Settlement Agreement and/or to permit,
aBsist and enable the Executors to fulfill their duties with
reference to said Estate and all the assets thereof.
And we, and each of us, in consideration of the distribution
hereby agree to indemnify and hold harmless, the Executors of the
Estate of the Decedent, from and against any and all claims,
loss, liability or damages which they may suffer or to which they
may be SUbjected (including all tax liability and inclUding
liability, loss and expense reSUlting from their own negligence)
to the extent that monies or anything of value have been or will
be received by us as Trustees or anyone of us, as a result of
such negligence; and we, and each of us, do further declare it to
be our intention to be legally bound by the execution of this
instrument.
