Seller. 2. Seller to replace roof and pay for new roof by
certified roofer".
5. Settlement on the sale/purchase of the premises was
completed on July 1, 1996.
6. Prior to settlement the Defendant, through her agent,
Wayne Ulsh of prudential-Stewart Real Estate selected Lloyd's
Septic Service to perform septic inspection and/or repairs and
Robert S. Musgrave to replace the roof.
7. At the time of settlement Plaintiffs were advised that
the roof had been replaced. At the settlement Robert S. Musgrave
was paid the sum of $4,295.
B. On or about November, 1996, the roof began to leak.
Plaintiffs immediately contacted the Defendant's agents,
George F. Douglas, III, Esquire, her attorney, and Wayne Ulsh
(who was then employed by another realtor) and Musgrave providing
Musgrave an opportunity to complete the repairs. Musgrave never
responded and other Defendant's agents failed to take corrective
action.
9. Plaintiffs therefore contacted Delessandro Construction
services to inspect the roof. It was determined that the roof
installation had not been completed and that the plywood had not
been properly installed.
10. When the Defendant, her agents and contractor failed to
perform the work, Plaintiffs had the work performed by
Delessandro. The work was completed for the sum of $415 and the
resecuring of the shingles and plywood for $600, a total of
$1,015. True and correct copies of Delessandro's bills are
attached hereto, made a part hereof and marked Exhibits "B" and
"C". The amounts charged were reasonable and necessary and the
work was performed and completed properly.
11. At the time of settlement, the necessary repairs to the
septic system had not been completed. At the time of settlement
a $10,000 escrow was created for completion of the septic work.
A true and correct copy of the HUD-l settlement statement and
attachment reflecting the escrow are attached hereto, made a part
hereof and marked Exhibit "D".
12. On or about August 5, 1996, Defendant's agent,
Prudential-Stewart Real Estate, advised the escrow agent, Dale F.
Shughart, Jr., to pay Lloyd's Septic the sum of $3,700. Lloyd's
was paid on August 6, 1996.
13. On September 12, 1996, Defendant's agents, Prudential-
Stewart Real Estate and Attorney Douglas directed the escrow
agent to release the balance of the escrow being held for the
septic repairs. The bala~ce was remitted to the Defendant on
September 13, 1996.
14. In fact, Lloyd's Septic had not completed the work.
The trench which was dug to complete the septic repairs was not
filled with top soil, graded and seeded. Plaintiffs advised the
escrow agent on or about October 8, 1996.
15. On October 8, 1996, the escrow agent wrote to
Defendant's agents, Attorney Douglas, Wayne Ulsh and Lloyd's
Septic that the septic work had not been completed, providing
Defendant through her agents and contractors an opportunity to
complete the work.
16. When the work was not completed by the Defendant's
agents, Plaintiffs retained Robert Lisenbach Excavating to
prepare an estimate for completing the work. Eventually, when
the Defendant did not take steps to complete the work, Plaintiffs
had the work performed by Lisenbach.
17. In the process of completing the work Lisenbach
discovered that a down spout from the roof had been improperly
installed by Lloyd's into the septic system. Plaintiffs
requested Lisenbach to reinstall the drain spout properly.
Plaintiffs paid Lisenbach $1,800 to complete the septic work and
$620 to remove and reinstall the down spout. True and correct
copies of Lisenbach's bills, which have been paid by the
Plaintiffs, are attached hereto, made a part hereof and marked
Exhibit "E" and "F". The amounts charged were reasonable and
necessary and the work was performed and completed properly.
18. Repeatedly, Plaintiffs through their escrow agent and
subsequently through the undersigned attorney, have endeavored to
obtain reimbursement for these expenses from the Defendant,
through her agent, Attorney Douglas.
19. Attorney Douglas' position on behalf of the Defendant
was that the parties actually responsible were Lloyd's Septic
Service, Robert S, Musgrave roofing contractor, Wayne UIsh and/or
Prudential-Stewart. Plaintiffs, through their attorney,
requested that the Defendant pay the Plaintiffs and then pursue
any cause of action she may have against the contractors and/or the realtors.
20. In order to secure a judgment and allow the matters to be resolved,
Plaintiffs instituted this action before a District Justice on the understanding that the
Defendant simultaneously would pursue an action against the contractors and/or realtors.
Defendant did not do so.
21. Plaintiffs arc advised and therefore aver that at least a portion of the funds
owed to Plaintiffs have been paid to Attorney Douglas by one or more of the contractors.
Defendant has remitted nothing to Plaintiffs.
22. Defendant has failed to institute appropriate proceedings against the parties
that the Defendant contends are responsible to her.
23. Following the District Justice proceeding, Plaintiffs, through their attorney,
implored the Defendant. through her attorney to pay the amount due and pursue her
claims against the parties she believed to be responsible.
24. Defendant instead chose to appeal the District Justice Decision resulting in
the filing of this Complaint.
25. No privity exists between the Plaintiffs and the contractors and realtors who
acted as agents for the Defendant. Not only arc the Plaintiffs not required to proceed
against the Defendant's agents, they arc without a contractual basis for doing so.
26. Plaintiffs believe and therefore aver that there is no genuine issue of the
Defendant's liability to the Plaintiffs.
27, As a result of the actions taken in this Appeal, Plaintiffs will unnecessarily

29. Paragraphs I through 28 of the within Answer are incorporated
herein by reference thereto,
30. Plaintiffs' claims are barred by the Doctrine of Accord and
Satisfaction as money was placed in escrow and payment was made in
satisfaction of the account created.
31 Plaintiffs' claims are barred by the Doctrine of Consent, as the
plaintiffs controlled the escrow funds and consented to the payment of the
independent contractors for the services they provided to the plaintiffs.
32. Plaintiffs' claims are barred by the Doctrine of Waiver. By paying
the independent contractors, they waived any action they may have against
the defendant.
33. Plaintiffs' claims are barred by the Doctrine of Estoppel, as the
plaintiffs paid the independent contractors out of the funds made available by
the defendant, and the plaintiffs' claims may be barred by an impossibility of
performance, as the plaintiffs obstructed any remedial measures being done
by the independent contractors,
34, Plaintiffs' claims are barred by the Doctrine of Merger, as the terms
of the sales agreement ceased to be effective upon the transfer of the real
estate from the defendant to the plaintiff,

Seller. 2. Seller to replace roof and pay for new roof by
certified roofer".
5. Settlement on the sale/purchase of the premises was
completed on July 1, 1996.
6. Prior to settlement the Defendant, through her agent,
Wayne Ulsh of Prudential-Stewart Real Estate selected Lloyd's
Septic Service to perform septic inspection and/or repairs and
Robert S. Musgrave to replace the roof.
7. At the time of settlement Plaintiffs were advised that
the roof had been replaced. At the settlement Robert S. Musgrave
was paid the sum of $4,295.
8. On or about November, 1996, the roof began to leak.
Plaintiffs immediately contacted the Defendant's agents,
George F. Douglas, III, Esquire, her attorney, and Wayne Ulsh
(who was then employed by another realtor) and Musgrave providing
Musgrave an opportunity to complete the repairs. Musgrave never
responded and other Defendant's agents failed to take corrective
action.
9. Plaintiffs therefore contacted Delessandro Construction
Services to inspect the roof. It was determined that the roof
installation had not been completed and that the plywood had not
been properly installed.
10. When the Defendant, her agents and contractor failed to
perform the work, Plaintiffs had the work performed by
Delessandro. The work was completed for the sum of $415 and the
resecuring of the shingles and pl,~ood for $600, a total of
,.
$1,015. True and correct copies of Delessandro's bills are
attached hereto, made a part hereof and marked Exhibits "B" and
"C". The amounts charged were reasonable and necessary and the
work was performed and completed properly.
11. At the time of settlement, the necessary repairs to the
septic system had not been completed. At the time of settlement
a $10,000 escrow was created for completion of the septic work.
A true and correct copy of the HUD-1 settlement statement and
attachment reflecting the escrow are attached hereto, made a part
hereof and marked Exhibit "D".
12. On or about August 5, 1996, Defendant's agent,
Prudential-Stewart Real Estate, advised the escrow agent, Dale F.
Shughart, Jr., to pay Lloyd's Septic the sum of $3,700. Lloyd's
was paid on August 6, 1996.
13. On September 12, 1996, Defendant's agents, prudential-
Stewart Real Estate and Attorney Douglas directed the escrow
agent to release the balance of the escrow being held for the
septic repairs. The balance was remitted to the Defendant on
September 13, 1996.
14. In fact, Lloyd's Septic had not completed the work.
The trench which was dug to complete the septic repairs was not
filled with top soil, graded and seeded. Plaintiffs advised the
escrow agent on or about October 8, 1996.
15. On October 8, 1996, the escrow agent wrote to
Defendant's agents, Attorney Douglas, Wayne Ulsh and Lloyd's
Septic that the septic work had not been completed, providing
Defendant through her agents and contractors an opportunity to
complete the work.
16. When the work w~s not completed by the Defendant's
agents, Plaintiffs retained Robert Lisenbach Excavating to
prepare an estimate for completing the work. Eventually, when
the Defendant did not take steps to complete the work, Plaintiffs
had the work performed by Lisenbach.
17. In the process of completing the work Lisenbach
discovered that a down spout from the roof had been improperly
installed by Lloyd's into the septic system. Plaintiffs
requested Lisenbach to reinstall the drain spout properly.
Plaintiffs paid Lisenbach $1,800 to complete the septic work and
$620 to remove and reinstall the down spout. True and correct
copies of Lisenbach's bills, which have been paid by the
Plaintiffs, are attached hereto, made a part hereof and marked
Exhibit "E" and "F". The amounts charged were reasonable and
necessary and the work was performed and completed properly.
18. Repeatedly, Plaintiffs through their escrow agent and
subsequently through the undersigned attorney, have endeavored to
obtain reimbursement for these expenses from the Defendant,
through her agent, Attorney Douglas.
19. Attorney Douglas' position on behalf of the Defendant
was that the parties actually responsible were Lloyd's Septic
Service, Robert S. Musgrave roofing contractor, Wayne Ulsh and/or
Prudential-Stewart. Plaintiffs, through their attorney,
requested that the Defendant pay the Plaintiffs and then pursue
any cause of action she may have against the contractors and/or the realtors.
20. In order to secure ajudgment and allow the matters to be resolved,
Plaintiffs instituted this action before a District 1ustice on the understanding that the
Defendant simultaneously would pursue an action against the contractors and/or realtors.
Defendant did not do so.
21. Plaintiffs are advised and therefore aver that at least a portion of the funds
owed to Plaintiffs have been paid to Attorney Douglas by one or more of the contractors.
Defendant has remitted nothing to Plaintiffs.
22. Defendant has failed to institute appropriate proceedings against the parties
that the Defendant contends are responsible to her.
23. Following the District 1ustice proceeding, Plaintiffs, through their attorney,
implored the Defendant, through her attorney to pay the amount due and pursue her
claims against the parties she believed to be responsible.
24. Defendant instead chose to appeal the District 1ustice Decision resulting in
the filing of this Complaint.
25. No privity exists between the Plaintiffs and the contractors and realtors who
acted as agents for the Defendant. Not only are the Plaintiffs not required to proceed
against the Defendant's agents, they are without a contractual basis for doing so,
26. Plaintiffs believe and therefore aver that there is no genuine issue of the
Defendant's liability to the Plaintiffs,
27. As a result of the actions taken in this Appeal, Plaintiffs will unnecessarily
