MARTIN, INC., Defendants JURY TRIAL DEMANDED DEFENDANT'S PRELIMINARY OBJECTIONS TO PLAINTIFFS' COMPLAINT AND NOW comes the Defendant. Michael L. Martin, Inc" by and through its attorneys, ADLER & CLARA VAL. and respectfully files the following Preliminary Objections to Plaintiffs' Complaint: L FAILURE TO STATE A CAUSE OF ACTION (DEMURRER) Count I: Breach of Contract L Count I of the Plaintiffs' Complaint alleges that Defendant breached its contract with the Plaintifis by "failing to construct the Plaintiffs' house in a workmanlike manner in keeping with generally accepted standards of workmanship and quality of construction, , , , " Complaint, para, 5(b), 2. Plaintiffs go on to allege that Defendant particularly breached the contract by failing to properly install and/or repair numerous items, including but not limited to: the elevator and elevator door; the hardwood flooring; the outside air conditioning unit; the heating system; the kitchen lights; the microwave oven; the master bathroom floor; screws in the dining room window lever; cracks in the drywall; and cracks in the tile on the outside patio, 3, These generalized. vague allegations are insufficiently specific to state a cause of action for breach of contract upon which relief may be granted and, therefore. Count I of the Complaint should be dismissed, Count II: Fraud 4. Count II of Plaintiffs' Complaint alleges that Defendant defrauded Plaintiffs by substituting less costly archways for the original archways in the house; and for purchasing and planting shrubbery for $5,000, when in fact it was purchased and planted for less, 5, The essential elements of common law fraud are: 1) misrepresentation of a material fact; 2) scienter; 3) intention by the declarant to induce action; 4) justifiable reliance by the party defrauded upon the misrepresentation; and 5) damage to the properly defrauded as a prmdmate result. 2 6. Apart from alleging that Defendant made material misrepresentations of fact, the Plaintiffs fail to allege any other of the essential elements of fraud and, therefore, its pleading of fraud is defective on its face. 7. Pa,R,C.P. IOI9(b) mandates that fraud must be averred with particularity, 8. Plaintiffs' Complaint fails to allege with any specificity how Defendant defrauded them, beyond making the boilerplate allegation: "The conduct of the Defendant was fraudulent. . 9, Accordingly, Count II of the Complaint must be dismissed for failure to state a cause of action for fraud upon which relief may be granted, Count III. Violation of Pennsylvania Unfair Trade Practices and Consumer Protection Law tUTPCPU 10, Count III of Plaintiffs' Complaint alleges generally that Defendants's failure to perfonn its work on the house to the standard to which it agreed in writing constitutes a violation of the UTPCPL. 3 11. In order to prove a violation of the UTPCPL, Plaintiffs must show that Defendant acted fraudulently. 12, The Plaintiffs make no allegations whatsoever that Defendant's conduct in failing to perform the work on their house as agreed in writing was fraudulent as opposed to merely negligent and, therefore, have failed to state a cause of action under the UTPCPL. 13, Further, Pa,R,C,P. 1019(b) mandates that fraud must be averred with particularity, 14, By failing to allege how Defendant's conduct was fraudulent as opposed to negligent with any specificity. Plaintiffs have violated Pa,R,C.P, 1019(b), 15, Accordingly. Count III of the Complaint should be dismissed for failure to state a cause of action upon which relief may be granted under the UTPCPL. 4 37. To state a cause of action justifying the award of punitive damages. a plaintiff must allege sufficient facts supporting a finding that a defendant's conduct was outrageous due to his evil motive or reckless indifference to the rig hIs of others. 38, Count II fails to state a cause of action for fraud. and, therefore. does not support the award of punitive damages. 39. Count II is insufficiently specific to state a cause of action for fraud and, therefore, does not support the award of punitive damages, 40, Count II makes no allegation that Defendant's conduct was outrageous due to its evil motive or its reckless indifference to the rights of the Plaintiffs. 41, Even had Count II properly plead fraud. under these facts such allegation of fraud would be inadequate to support the award of punitive damages, 9 Date: 7/z</17 Robert F, Claraval. HOROWITZ, husband and wife, of 553 Bridgeview Drive, Lemoyne, Cumberland County, Pennsylvania 17043. 2, Defendant is MICHAEL L. MARTIN, INC., a corporation registered and doing business under the laws of the Commonwealth of Pennsylvania, with an address of 584 Grandview Drive, Lewisberry, York County, Pennsylvania 17339. 3, On or about November 14, 1995, the parties entered into a written agreement whereby Martin agreed to construct a home for the Plaintiffs and, in 12. The plans required archways that conform to Morgan Millwork specifications. 13. Despite the requirements of the plans, the Defendant, without the knowledge of the Plaintiffs, substituted less costly archways. 14. At or before the Plaintiffs closed on the purchase of the home, Defendant represented to them that the home had been built in accordance with the plans and specifications for the project. 15. Based on Defendant's representations, Plaintiffs paid Defendant all but $4,800 of the contract price, 16. Defendant knew, or should have known, that the archways it installed were not consistent with the plans and specifications. 17. Defendant knew, or should have known, that the Plaintiffs would rely on its representation that the home was built in accordance with the plans and specifications. 18. The Agreement provided that Plaintiffs were to receive a $5,000 allowance for shrubbery. 19. Defendant purchased and planted the shrubbery without consulting with Plaintiffs. .6. COUNT III VIOLATION OF PENNSYLVANIA UNFAIR TRADE PRACTICES AND CONSUMER PROTECTION LAW ("UTPCPL") 25. The Plaintiffs incorporate by reference herein paragraphs one (1) through twenty.four (24) as if more fully set forth. 26. Under the UTPCPL, the definition of "unfair methods of competitive" and "unfair or deceptive acts or practices" includes: . . . making repairs, improvements or replacements on tangible, real or personal property of a nature or quality inferior to or below the standard of that agreed to in writing. 73 P.8. ~201.2(4)(xvi). 27. Pursuant to the Agreement, Defendant promised, among other things. to provide all necessary labor and materials and perform all work required to complete the building within the scope of these specifications and in accordance with the plans attached hereto and made a part hereof. 28. Defendant failed to perform its work in accordance with the standard it agreed to in writing, 29. Defendant's failure to perform its work to the standard to which it agreed in writing constitutes a violation of the UTPCPL, -8. '; 30. Section 201,9.2 of the UTPCPL authorizes an award of treble damages and attorneys' fees. WHEREFORE. Plaintiffs DENNIS and DYAN R. HOROWITZ respectfully request th.iB Honorable Court to enter judgment in their favor and against Defendant MICHAEL L. MARTIN, INC. in an amount in excess of $74,000,00, plus interest and the costs of th.iB action, along with treble damages and attorneys' fees as authorized by the UTPCPL.
