OPINION OF COURT
DOMALAKES, J.
The Court is called to rule upon Preliminary Objections filed by the Defendant,
Spankey's Auto Sales, Inc. (hereinafter "Spankey's").
The Plaintiff filed a Complaint on March 11, 1997. The Complaint alleges the
following relevant facts. The Plaintiff purchased a used vehicle from Spankey's.
Contemporaneously with the vehicle purchase, the Plaintiff purchased a warranty from
Power One Warranty Corporation. A copy of the warranty agreement is attached to the
Complaint. During the warranty period, a time arose when the vehicle needed repairs.
The repairs were made and paid for by the Plaintiff. Upon finding out that Power One
Warranty Corporation had filed for protection in U.S, Bankruptcy Court, the Plaintiff
sought damages from Spankey's alleging that Spankey's was Power One's agent.
Spankey's filed the pending Preliminary Objections, along with a Brief in support
thereof, on April 11, 1997. The Plaintiff filed a Response to the pending Preliminary
Objections, along with a Brief, on May 5, 1997.

Spankey's Preliminary Objections state three separate objections. The first one
is a demurrer pursuant to PaRC.P. 1028(a)(4). The second one is an objection to
venue pursuant to PaRC.P. 1028(a)(1). The third one is a motion to strike pursuant to
PaRC.P. 1028(a)(2). The Court will address the objection relating to venue first,
because proper venue should be established before the substantive issues in the case
are addressed.
The requirements for venue against a corporation are stated in Pa.R.C.P. 2179.
An action against a corporation must be brought in a county where the corporation's
registered office or principal place of business is located, where it regularly conducts
business, where the cause of action arose, or where a transaction or occurrence took
place out of which the cause of action arose. See PaR.C.P. 2179(a)(1 )-(4).
The Complaint states that Spankey's office is in Mechanicsburg. The
Preliminary Objections allege that Mechanicsburg is in Cumberland County. The
Response to the Preliminary Objections allege that the Plaintiff, after reasonable
investigation, is without knowledge whether Mechanicsburg is in Cumberland County.
The Court finds that a reasonable investigation would have revealed whether
Mechanicsburg is in Cumberland County, and therefore concludes that the Plaintiff has
admitted Mechanicsburg is in Cumberland County. See Pa.R.C.P. 1029 (relating to
improper denials) and PaRC.P. 1017 (relating to an answer to a preliminary objection
being a necessary pleading when the preliminary objection alleges facts not of record).
Spankey's registered office or principal place of business is, therefore, in Cumberland
County.
The Complaint contains no allegation that Spankey's regularly conducts
business in Schuylkill County, nor any allegation indicating the cause of action arose in
Schuylkill County.
Additionally, the Court finds that the Complaint does not allege any transaction
or occurrence out of which the cause of action arose as occurring in Schuylkill County.

The Complaint does allege, in Paragraph 13 (mislabeled Paragraph 11), that the
repairs to the vehicle were performed at a garage in Pottsville, Schuylkill County. The
Complaint further alleges, in Paragraph 15 (mislabeled Paragraph 13), that the Plaintiff
paid for the repairs. The Court finds, however, that neither the act of presenting the
vehicle for repair, nor the act of paying for the repairs, is a transaction or occurrence
out of which this cause of action arose. The failure of Spankey's, or Power One, to pay
is an occurrence from which the cause of action arose, not the Plaintiffs payment. If
the Plaintiffs payment were an occurrence out of which the cause of action arose, it
could lead to unjust results. For example, if the Plaintiff moved to California, the
vehicle broke there, and the Plaintiff paid to have the vehicle repaired there, it would be
unjust to hold that Spankey's subjected itself to venue in California. The Complaint is
silent as to where the denial by Spankey's occurred. The fact is that there is no
allegation in the Complaint detailing any transaction or occurrence out of which the
cause of action arose which is specifically alleged to have occurred in Schuylkill
County.
The Court is aware that Pa.R.C.P, 1006(c) provides for venue against all
defendants if venue is proper against anyone of them. The Court concludes that there
are no allegations in the Complaint which make venue in Schuylkill County proper
against Defendant Elizabeth Shell.
There are no allegations in the Complaint which establish Schuylkill County as
the proper venue in the instant action, The Court having found Schuylkill County is not
the proper venue in the instant action, it will not address the merits of Spankey's
demurrer or motion to strike.
Accordingly, we enter the following:

Objections", averring in support thereto
I. PROCEDURAL IIISTORY
On or about February 24, 1995. plai,t1iff entered into an agreement wilh the defendanls for
the purchase of a 1985 Ford, 1'-150 truck Plaintiff further purchased extended, 6-month 6,000 mile
warranty coverage for said lruck from defcndants who were acting as agents of the Power One
Warranty Corporation (Power). a corporation now in hankruplcy On or hefore June 26. 1995
plaintiffs engine hroke, rendering it totally useless and need of complete rebuilding or replacement
PlaintilTcontacted Power and was authorized 10 solicit repaics up 10 a certain dollar amount
from a local Ford dealer in Pottsville. Schuylkill Counly In addition. plaintiff was granted a S20 00

In order 10 have the use of his truck, plaintin: on his VisalMastercard, charged the costs of
repair to his own account, all the time trying 10 contact Power for paymenl/reimbursement for the
value of said repairs, to no avail.
On or about March 6, 1996, aHer many allempts to contact Power, plaintiff filed a civil
magistrate's aClion for the recovery of the cosioI' repairs and rental car. Several days later,
presumably whenlhe principals of Power rcccived notice of said action through the mail, plaintitrs
allorncy was notified that Power had tilcd for proleclionunder the Fcderal Bankruptcy Act.
Plaintiff contcnds that dclendants Elizabeth Shcll, and Spankey's Auto Sales, having acted
as agents of Power, also bear liability to the warranty contract as they, for all intents and purposes,
were the ;-rincipal actors in the actual cOlllract negotiations Dcfendants made an offer to the plaintiff
on behalf of Power for the extended warranty, which plaintiff accepted for monetary consideration.
Funher, il will be proven during the discovery phase of this action that defendants, as well as Power,
benefilcd from the premium for said coverage sold to plaintiff, thereby substantiating there liability
to plaint in's claims
II. SUMMARY OF THE ARGUMENT
As agents, and 1(Ir the benclit of Span key's Aulo Sales and I'ower One Warranty Corporation
(Power), Elizabeth Shell presented an extcnded warranty coverage for plaintitrs used truck. In doing
so, the hereinl1amed dclendants extended 10 plaintill. an implied warranty of soundness, viability, and
reliability of Power Dclendants as Power agents directly benelilled liOln directing plaintiff to
purchase a warranty packel liOln Power They received the benelit of negating any liability to

III. ARGUMENT
A.
PLAINTIFF HAS SUCCESSFUl.L Y STATED A CAUSE OF ACTION
AGAINST DEFENDANTS AS AGENTS OF POWER ONE
Delendant is liable for IJreadl of Contract because it acted on behalf of Power in the sale of
the warranty to the plaintiff. It also benefitted financially from both the sale of the vehicle and the
warranty 10 the plainlitl~ By doing so il now bears a responsibility for the loss which the plaintiff has
incurred,
The Defendant oflered as an incentive to the Plaintiff for purchasing the vehicle the option
of an extended warranty. Said incentive led 10 the purchase of the vehicle by the plaintiff and as a
result benefitted the defendant
Further, the defendant received compensation Irom Power for it's sale of the warranty and
was in essence receiving payment Irom both the plaintill'and warranty company. It's name appears
upon the warranty contract as the authorized selling agent.
During the discussion about an extended warranty plan, plaintifl' was never offered the names
of any other warranty companies from which to choose Plaintifl' relied solely on defendants advice,
and ultimate expertise and experience, lor his purchase of the warranty package from Power. In not
offering, or having available. Ihe names of any other warranty companies, defendants conveyed to
plainhlf (;,1\ only a moral, but an implied warranty obligation as to the viability and soundness of
Power One Wananty Corporation and the warranty coverage itself Defendant held itself out as a

witnesses and relevant evidence, including the automobile, are present in Schuylkill County. A
transfer nfvenue to another county would create grcat inconvenience to all witnesses and
unecessary delay in producing relevant evidcncc.
If this Court finds that this action is not propcrly bcfore it then resolution of Defendants
other Preliminary Objections should be vested in the court in which jurisdiction is transferred.

PARAGRAPII SIX AND TWENTY-NINE (a), (b), and (I)
ARE PROPERLY ALLEGED FOR GOOD CAUSE
Plaintifl's prayer for relief for damages in the form of "embarrassment", "inconvenience",
and "attorney fees", is properly pleaded in the complaint. Said damages are consequential, and
further, are obvious remedies available subsequent to a breach of contract action, This doctrine is
well set out in the Uniform Commcrcial Codc, which providcs at @2,7IS(2)(a): "(2)
Consequential damages resulting from the scllcr's breach include (a) any loss resulting from
general or particular requirements and needs of which thc seller at the time of contracting had
reason to know and which could not reasonably be prevented by cover or otherwise." From the
time oflladley v Baxendale, 9 Ex 341, 156 EngRep. 145 (1854), the law has required that
consequential damages to be recoverable must have been reasonably foreseeable,
Plaintifl' maintains that dcfendants, who do busincss and enter into contracts for sale of
automobiles, warranty's and the likc, are, and at the time he contractcd with them for the
purchase of his truck and the extended warranty, were well verscd of the ramifications which

BRIEF OF THE DEFENDANT, SPANKEY'S AUTO SALES INC.
IN SUPPORT OF ITS PRELIMINARY OBJECTIONS
I. HISTORY OF THE CASE
On or about March 10, 1997, Plaintiff, Calvin Forsythe ("Forsythe")
commenced a breach of contract action against Spankey's Auto Sales, Inc.
I"Spankey's"} and Elizabeth Shell ("Shell"). The complaint asserted inter alia that
Spankey's and Shell were agents for Power-One Warranty Corporation ("Power")
(H 19, 20, 27, 29); that they had sold Forsythe a warranty from Power at the
time that he had purchased a vehicle from Spankey's, in Mechanicsburg, PA (H
6,9); that the vehicle encountered certain mechanical problems (, 10); that Power
failed to pay the claim for the requisite repairs (" 14, 15); that Forsythe had
commenced an action against Power to recover the monies due, but that Power
was in bankruptcy I' 15); and that as consequence, Spankey's and Shell were

liable for the cost of the repairs, and other damages, as they had entered into the
contract as the agent of Power I' 27).
Forsythe asserted losses for out of pocket expenses in the approximate
amount of $3,300 11 29) as well as damages for "embarrassment",
"inconvenience" and attorney fees. Based upon this, he asserts that his claim is
above the arbitration limits in Schuylkill County.
II. SUMMARY OF ARGUMENT
Forsythe's captioning of the action as against Spankey's "as agent of Power
One", correctly acknowledges the facts of the case. Accordingly, his assertions
in the Complaint that he entered into a warranty agreement binding Spankey's is
belied by both his caption, and the explicit language of the warranty itself, which
Forsythe has attached to the Complaint. As such, Forsythe has no cause of action
against Spankey's as the parties had no agreement between them.

state a cause of action, the action must in any event be transferred to Cumberland
County. As Forsythe asserts that his agreement is between he and Spankey's,
venue does not lie in Schuylkill County as the entire transaction took place in
Mechanicsburg. Since Forsythe's Complaint forsakes the "as agent of" caption
and asserts that the contract was with Spankey's, the fact that Power One may
have been located in Schuylkill is irrelevant.
Assuming arguendo that the Complaint should not be dismissed for failure
to state a cause of action and assuming arguendo that venue does lie in Schuylkill

County, the Court must strike those portions of the Complaint asserting that the
case is beyond the statutory limits of arbitration; that Forsythe is entitled to
damages for "embarrassment", "inconvenience" and attorney fees as Pennsylvania
case law does not permit such a recovery under the alleged facts of the case.
III. ARGUMENT
A. FORSYTHE HAS FAILED TO STATE A CAUSE OF ACTION FOR
BREACH OF CONTRACT AGAINST SPANKEY'S
Forsythe has captioned his action as being against Shell and Spankey's "as
agents of Power One Warranty Corp." Case law in Pennsylvania is clear that one
can commence an action against a principal for the actions of an agent, performed
in the scope of the agent's authority. In that instance, the principal (not the agent)
is liable to the third party. Bolus v. United Penn Bank, Pa. Super. , 525

A.2d 1215 (1987). Our research has failed to reveal however, any cases which
hold that the opposite is true. This is as it should be as the agent is not acting on
his own behalf, but rather on behalf of the principal. Accordingly, the law in
Pennsylvania continues to be that the terms of a contract cannot bind persons, not
a party to it. Estate of Barilla, _ Pa. Super. _, 535 A.2d 125 (1987).

C. PARAGRAPHS SIX AND TWENTY-NINE (a), (b) and (f) MUST BE
STRICKEN
Forsythe avers at 1 6 that this case exceeds the arbitration limits of
Schuylkill County. A review of 1 29 reveals that Forsythe's out of pocket loss is
approximately $3,200. (H 29 (c). (d). (e). Forsythe otherwise asserts in 1 29,
damages for "embarrassment", "inconvenience" and "attorney fees". Forsythe
cannot recover damages for "embarrassment" or "inconvenience" in a breach of
contract action. Unlike a tort action, damages in a breach of contract action are
limited to those damages, which are a direct and foreseeable result of the breach.
Moreover, those damages must be proven with reasonable certainty. Damages for
"embarrassment" and "inconvenience" are neither direct, foreseeable, nor provable
with any certainty whatsoever. See In re American Spinnina Mills. Inc., 43 B.R.
365 (1984); Iron Mountain Sec. Storaae Corp. v. American Specialtv Foods. Inc.,
457 F. Supp 1158 (1978).
Further, even if this were not true, Forsythe has not pled any facts which
assert that the actions of Spankey's caused him "embarrassment" or
"inconvenience." In fact, he does not allege that he asked Span key's to pay the
claim and that it refused. Moreover, even if he could assert such damages, it
would not place him over the arbitration limit of $25,000.

NOW COMES, the Defendant, Spankey's Auto Sales, Inc. ("Spankey's"),
by its counsel McNees, Wallace and Nurick and files the following Preliminary
Objections to the Complaint of the Plaintiff Calvin Forsythe ("Forsythe").
I. DEMURRER
1. Forsythe has captioned this action against Span key's "as agent of"
Power One Warranty Corporation ("Power").
2. Forsythe has asserted that he purchased a vehicle from Spankey's,
in Mechanicsburg, PA and at that time, purchased an extended warranty
through Spankey's. ("3,6.7,9, Exhibits "A" and "B").

3. Forsythe acknowledges, by captioning the case "as agents of
Power One Warranty Corporation" that the warranty was Power's and not
Spankey's.
4. Forsythe has attached to the Complaint, as Exhibit "B", a copy of
the warranty. The warranty is on the stationary of Power and states:
"I further understand and accept that what I am purchasing is an
agreement between myself and the power-one warranty
corporation and that the car dealer from which I purchased this
contract is not a party to this agreement and is not liable for
anything arising out of this agreement."
5. Forsythe's Complaint contains one count, which states:
COUNT I - BREACH OF WARRANTY CONTRACT
6. Forsythe also alleges that he previously commenced his action
against Power, but discovered that it was in bankruptcy. (, 16)
7. Forsythe has failed to state a cause of action against Spankey's as
not only does he admit in his caption that Spankey's was Power's agent, but
the contract itself, which Forsythe signed, clearly indicates that it was with
Power and not with Spankey's.
WHEREFORE, it is respectfully prayed your Honorable Court dismiss the
Complaint for failure to state a cause of action.

II. VENUE
8. Forsythe's Complaint states that he purchased a vehicle from
Span key's, a corporation with a registered place of business in Mechanicsburg,
PA. (H 3,6, Exhibit "S").
9. This Court may take judicial notice that Mechanicsburg,
Pennsylvania is in Cumberland County.
10. Pa.R.C.P. Rule 2179 mandates that actions against a corporation
may be brought in one of four locations. That rule states:
(a) Except as otherwise provided by an Act of Assembly
or by subdivision (b) of this rule, a personal action against a
corporation or similar entity may be brought in and only in
(1) the county where its registered office or principal place
of business is locates;
(2) a county where it regularly conducts business;
(3) the county where the cause of action arose; or
(4) a county where a transaction or occurrence took place
out of which the cause of action arose.
11. In' 19, Forsythe asserts that he has a cause of action against
Spankey's as the contract was with Spankey's.
12. Forsythe does not allege any connection between Spankey's, the
purchase of the vehicle and warranty, and Schuylkill County.
13. Sased upon the allegations in the Complaint, the transaction took
place in Mechanicsburg, PA.

JURISDICTION
I. Plaintiff, John H. Forsythe, Jr, is an adult male resident of Schuylkill County,
currently residing at 302 Main Street, Schuylkill Haven
2. Defendant, Elizabeth Shell, at all times relevant to the herein cause of action, and
as a direct result of her employment with Defendant, Spankey's Auto Sales, Incorporated, was an
agent of Defendant, Power One Warranty Corporation
3. Defendant, Spankey's Auto Sales, Incorporated, at all times relative to the herein
cause of action, is a duly registered corporation, registered and licensed to transact auto sales
business in the Commonwealth of Pennsylvania. maintaining an ollice atl\1ain Streel,

4. Defendant, Power One Warranty Corporation, at all times relative to the herein
cause of action, is a duly registered corporation, registered and licensed to transact auto sales
warranty business in the Commonwealth of Pennsylvania, maintaining an ollice at 639 Main
Street, Avoca.
5. This cause of action is not subject to mandatory arbitration as the satisfaction
sought exceeds the statutory limits.
6. On or about February 24,1995, Plaintiff entered into an agreement with
Defendant, Elizabeth Shell, and Spankey's Auto Sales, Incorporated, for the purchase of a used,
1985 Ford F-150 pickup truck, VIN# IFTEFI4Y6FLA78803. (See exhibit "A ", attached
hereto)
7. Plaintiff agreed to purchase said pickup for and in consideration of Seven
thousand four hundred fifty ($7,450.00) dollars
8. Said pickup truck was, at the time of purchase, verified as having 76,149 original
miles on it's speedometer.
9. In addition to the Ford pickup truck, Plaintiff purchased from Defendants,
Elizabeth Shell and Spankey's Auto Sales, Incorporated, acting as agents for Power One
Warranty Corporation, a 6-rnonth, 6,000 mile extended warranty for, and in consideration of One
hundred ninety ($190.00) dollars (See Exhibit "B ", attached hereto)
I o. On or before June 26, 1995. approximately 4 months 29 days after the purchase of
the Ford pickup, and having only enjoyed the use of said vehicle for a total of5,714 miles,
Plaintilrs engine broke down
11 At or about the same time, Plaintifl' solicited estimates for repair or replacement of
the engine, and also the cost of a rental vehicle while the truck was being repaired

12. On or about June 26, 1995, Plaintiff contacted Power One Warranty Corporation,
and was given authorization by a Power One agent for either repair or replacement of the bad
engine up to One thousand eighty-nine ($1,089.00) dollars. Said agent also authorized the sum of
Twenty ($20.00) per day for a rental vehicle to be used during the estimated 5 days required for
the repairs or replacement.
II. On, or about, July 21, 1995, Plaintiff presented to Fairlane Ford Sales, Inc
Pottsville, for needed repairs to his vehicle. Upon inspection of the engine it was determined that
the damage was more extensive that originally estirnated; the specifics of which are more
thoroughly set out in Exhibit "c n
12. Repair to Plaintiff's engine cost Three thousand fifteen and .91/100 ($3,015.19)
dollars. In addition, the cost of the rental vehicle was One hundred forty-one and .60/100
($141.60) dollars; for a total expense to Plaintiff in the amount of Three thousand one hundred
fifty-six and. 79/100 ($3,15679) dollars
Il Plaintiff paid for all expenses related to the repairs of his pickup truck and the
rental vehicle himself charging it to his VISAlMASTERCHARGE.
14. Plaintiff tried for some time to contact Power One Warranty Corporation to
discuss reimbursement of his repair-related expenses.
15. On or about March 6. 1996, as a result of Plaintiff's futile attempts to contact
Power One Warranty Corporation, Plaintiff filed a Magistrate Civil Complaint against the
defendant
16. Several days after filing his l\1agistrate Complaint, Plaintiff was notified by
Defendant's counsel. l\1ark J Conway, 400 Spruce Street. Scranton, that Power One Warranty
Corporation had filed for protection in II S Bankruptcy Court on or about February 29 1996
(See Exhibit "D ")
COUNT I
BREACH OF WARRANTY CONTRACT
17. Paragraphs 1 through 16 are incorporated herein in the following paragraphs as
though set out at length.
I 8. Under the law the principal elements of a contract requires: first, an offer; second,
an acceptance; and third, consideration.
19. Although the underwriter of the warranty policy was Power One Warranty
Corporation, it was Elizabeth Shell and Spankey's Auto Sales, Incorporated that Plaintiff entered
into contract.
20. Defendant's Elizabeth Shell and Spankey's Auto Sales, Incorporated offered, as
agents of Power One Warranty Corporation, an extended life warranty in consideration ofa
certain sum.
2 I. Plaintiff accepted said offer the Defendants
22. Plaintiff conveyed to the Defendants consideration in the amount of One hundred
ninety ($190.00) dollars
23. The Power One Warranty Corporation Limited Service Contract, attached hereto,
bears Defendant, Elizabeth Shell signature. as agent for Spankey's Auto Sales, Incorporated, and
also a agent for Power One Warranty Corporation
24 As direct and proximate result of this contractual agreement, Def~ndant's
Elizabeth Shell and Spankey's Auto Sales, Incorporated. in lieu of Power One Warranty
Corporations' subsequent bankruptcy proceedings, owe the same duty of warranty to the Plaintiff

25. In their capacity as agent for Power One Warranty Corporation, defendant's
Elizabeth Shell and Spankey's Auto Sales, Incorporated, sold to Plainliffan extended 6-
month/6,000 mile warranty which was intended to cover repairs to the engine, transmission, drive
axle, seals & gaskets, electrical, brakes, suspension, cooling, steering, and labor, to the extent
more fully set out in Exhibit "B ", attached hereto.
26. Defendant, Power One Warranty Corporation's subsequent bankruptcy barred
Plaintiff from any reimbursement for repairs to his pickup truck and other related expenses.
27. Plaintiff contends that in selling said warranty contract as agents of Power One
Corporation, Defendant's Elizabeth Shell, and Spankey's Auto Sales, Incorporated, owe the same
duty to him as that owed by Power One Warranty Corporation for his losses as a result of the
required repairs to his truck's engine and other related expenses more fully set out herein.
28. But for Defendant's breach of warranty, Plaintiff would not have suffered any
harm to the extent set out in the hereinafter.
29. As the direct and proximate result of defendant's Elizabeth Shell and Spankey's
Auto Sales, Incorporated direct breach of contract of warranty, but not limited to the following
damages:
a) embarrassment;
b) inconvenience;
c) cost of engine repairs in the amount of$30IS.91;
d) cost of rental car during repair of engine in the amount of$141.60;
e) interest as of June 21,1996, and ongoing, at a rate of approximately
$3600/month based on a $3,000 00 balance, for the
VISAlMASTERCHARGE account where all expenses were charged; and
