I. In the Complaint filed to the above docket, Plaintiff Snappy Car Rental, Inc.
("Snappy") seeks recovery against Defendant Stephen P. Gipe ("Gipe") for damages arising out of
an automobile accident involving a car operated by Gipe and rented by Gipe from Snappy.
2. At the time of the accident, Gipe had a personal automobile insurance policy issued
by Progressive.
3. At the time of the accident, the automobile in question was insured under a policy
issued by Zurich Insurance Company.
4. Prior to the initiation of this action, Progressive filed a Declaratory Action Complainl
with the Dauphin County COUrl of Common Pleas seeking a detennination of coverage for the
accident giving rise to this Complaint. That action is docketed at 5103-S-1995, A copy of the
Declaratory Judgment Complaint is attached hereto and marked as Exhibit "A".
5 On or about January 5, 1996, Snappy filed an answer and new matter which included
a cross claim against Gipe. A copy of this Answer and New Matter with Cross Claim is attached
hereto and marked as Exhibit "B"
6 Snappy's cross claim against Gipe in the Dauphin County action seeks recovery
based upon the same transaction

1. Progressive Companies is an ohio corporation licensed
to sell insurance in Pennsylvania with a principal place of
business at P. O. Box 4037, Harrisburg, Dauphin County,
Pennsylvania, 17111.
2. Snappy Car Rental, Inc., is an Ohio corporation doing
regular business in Pennsylvania with a place of business at 4825
Derry Street, Harrisburg, Dauphin County, Pennsylvania, 17111,
and its registered agent for service is CT Corporation System,
1635 Market Street, Philadelphia, Pennsylvania, 19103.
3. Zurich Insurance Company is a New York corporation
licensed to sell insurance in Pennsylvania with a principal place
of business at Zurich Towers, 1400 American Lane, Shamburg,
Illinois, 60196-1056.
4. Jay Johnson is an adult individual residing at 4220 D.
storey Court Road, Harrisburg, Dauphin county, Pennsylvania,

Rosemary Nye, at 231 North Railroad street, Palmyra, Lebanon
County, Pennsylvania, 17078.
7. Irene Flemming is an adult individual ~e8iding at 4220
D. storey Court Road, Harrisburg, Dauphin County, Pennsylvania,
17109.
8. On December 26, 1994, defendant Gipe was driving
westbound on Derry street in Swatara Township, Dauphin County,
when he was involved in a motor vehicle accident with defendant
Johnson whose vehicle was stopped westbound on Derry str~et
apparently waiting to turn south on to South 42nd street.
9. At the time of the aforesaid collision, defendants Nye
and Flemming were apparently passengers in defendant Johnson's
vehicle and allegedly sustained personal injuries, along with
defendant Johnson, as a result of the accident.
10. At the time of ~he aforesaid collision, defendant Gipe
was allegedly intoxicated and cited for numerous criminal and
traffic offenses.
11. At the time 9f the aforesaid collision, defendant Gipe
was operating a 1993 Dodge Sundance automobile which he had
leased under a rental agreement ("Rental Agreement") with

defendant Snappy. A copy of the Rental Agreement is attach~d
hereto, marked as Exhibit "A" and incorporated herein by
refei:'ence.
12. At the time of the aforesaid cOllision, defendant
Zurich provided liability insurance coverage for defendant snappy
and defendant Gipe. A cdpy of the applicable policy pages and
endorsements are attached hereto, marked as Exhibit "B" and
incorporated herein by reference.
13. At the time of the aforesaid collision, plaintiff
provided personal automobile liability insurance coverage for
defendant Gipe. A copy of the policy is attached hereto, marked
as Exhibit "C" and incorporated herein by reference. .
14. On July 28, 1995, defendant Flemming, through her
counsel, made a formal demand on plaintiff under its aforesaid
liability coverage for personal injuries allegedly sustained by
defendant Flemming and on or about September 19, 1995, filed a
civil action against defendant Gipe in the Court of Common Pleas
of Dauphin County at 4203-5-1995. A copy of the complaint is
attached hereto, marked as Exhibit "0" and incorporated herein by
reference.
15. Prior to the aforesaid demand and action, defendant
Zurich, through its agent, stated that its liability coverage
would be co-primary with plaintiff's but that it would seek

indeMification from defendant Gipe because of his alleged
violation ot the Rental Agreement by driving while intoxicated.
16. The Snappy Rental Agreement provides, in pertinent part
as follows:
Under this Rental Agreement ("Agreement"), Snappy Car
Rental, Inc. ("You", "Your", "Yours" or "Snappy")
agrees to rent to the renter ("I", "Me", or "My") who
signed this Agreement, the vehicle ("Car") described on
the, other side of this Agreement.
3. PROHIBITED USE.
THE CAR HAY NOT BE USED: ... (F) BY ANYONE WHILE
UNDER THE INFLUENCE OF ALCOHOL OR DRUGS.
7. LIABILITY, INDEMNIFICATION AND INSURANCE.
A. I represent to You that I have a valid policy
of automobile liability insurance in force
for bodily injury or death of another, and'
for property damage. You are relying upon My
representation about My automobile insurance,
and You are not providing automobile
liability insurance, or any other form of
insurance covering the Car, to Me or to any
other person using or riding in the Car while
it is on rent to Me.
B. I and all Authorized Renters will defend,
indemnify, and hold You harmless from all
claims, liabilities, and expenses for bodily
injury, death or property damage, arising out
of the use, operation, or possession of the
Car by anyone while the Car is on rent to Me.
C. It You are required by law to provide
automobile liability or nO-fault insurance
coverage, the limits will be the minimum
required by the tinancial responsibility law
of the jurisdiction in which I signed this
agreement. If You are required to provide
such coverage, then I and all Authorized

Renters will defend, indemnify and hold You
harmless from and against any loss, liability
and expense in excess of the limits or
protection that You so provide.
17. The Rental Agreement does not contain any clause~
incorporating any of the terms of defendant Zurich's aforesaid
insurance policy, does not contain any "other insurance" clauses
such as an excess clause and does not state that any applicable
insurance coverage will be denied because of violation of any
"prohibited uses."
18. Defendant Gipe is a party to the Rental Agreement and
was not a party to defendant Zurich's aforesaid insurance policy
with defendant Snappy, and therefore defendant Snappy's.
obligations toward defendant Gipe are governed solely by'the
terms of the Rental Agreement.
19. The Pennsylvania Motor Vehicle Financial Responsibility
Law ("MVFRL") requires that the owner of any motor vehicle of the
type required to be registered which is registered or currently
registered in Pennsylvania must be covered by financial
responsibility. 75 Pa.C.S.A. Section 1786.
20. The vehicle leased by defendant Snappy and operated by
defendant Gipe was registered and operated in Pennsylvania.
21. The MVFRL defines financial responsibility as the
"ability to respond ill damages for liability on account or
accidents arising out of the maintenance or use of a motor

vehicle in the amount of $15,000 because of injury to one person
in anyone accident, in the amount of $30,000 because of injury
to two or more persons in anyone accident and in the amount of
$5,000 because of damage to property of others in anyone
accident." 75 Pa.C.S.A. Section 1702.
22. The terms of the Rental Agreement require defendant
Snappy to provide up to the minimum required by the MVFRL which
in this case is $15,000 for one person and $30,000 for two or
more persons.
23. Plaintiff herein requests that this Court enter a
Declaratory JUdgment directing that defendant Snappy must provide
primary liability coverage in the amount of $15,000 for one
person and $30,000 for two or more persons for defendant Gipe.
24. Defendant Zurich's policy provides that they "will pay
all sums [Snappy) legally must pay as damages because of 'bodily
injury' or 'property damage' to which this insurance applies,
caused by an 'accident' and resulting from the ownership,
maintenance or use of a covered 'auto.'" and "have the right and
duty to defend any 'insured' against a 'suit' asking for such
damages." See Exhibit "8" at p. 2.
25. Defendant Zurich's policy also provides that "[f)or any
covered 'auto' you own, this Coverage Form provides primary
insurance" and that the coverage is "primary for any liability

assumed under an 'insured contract.'" See Exhibit "B" at pp.
8-9.
26. Defendant Zurich's policy also contains an endorsement
12 for liability coverage which includes as an insured "[a]nyone
who rents a covered 'auto' ~rom [Snappy] under a written contract
or agreement for rental of an 'auto' in your auto rental business
(a "rental agreement"), or anyone who operates, drives or in any
way uses a covered 'auto' rented under such 'rental agreement.'"
27. Defendant Zurich's policy also contains endorsements
for business auto coverage which state:
c. For "bodily injury" or "property damage" assumed by
you under a written contract or agreement for '.
rental of an "auto" in your auto rental business (a
"rental agreement"), when the permitted user of a
covered "auto" under the "rental agreement" is in
compliance with all the terms and conditions of the
"rental agreement". Notwithstanding the terms of
any "rental agreement", the limit of insurance
hereunder for any such contractual liability
assumed under a "rental agreement" shall be limited
to, and in no instance exceed, an amount equal to
the minimum limits specified by the compulsory
insurance or financial responsibility laws relating
to the automobile liability coverage in the state
in which the rental occurred.
Notwithstanding the language contained in Section
IV - Business Auto Conditions, Part B., General
Conditions, paragraph 5., Other Insurance, in the
event that an authorized renter or operator under a
"rental agreement" agrees in writing to provide
primary insurance, then this contractual liability
coverage shall be excess of any other coverage
available to the authorized renter but only to the
extent necessary to satisfy minimum limits
specified by the compulsory insurance or financial

responsibility laws relating to automobile
liability coverage in the state in which the rental
occurred.

All other terms and conditions remain unchanged.
It is understood and agreed that the Liability Limit of
Insurance is the minimum compulsory insurance/financial
responsibility limit established by the financial
responsibility law or other applicable statute of the
state in which a covered "auto" is being used.
All other terms and conditions remain unchanged.
Each and every exclusion set forth elsewhere in this
policy or its endorsements shall apply in addition to
the following exclusions.
This insurance does not apply:
1. To a renter as those terms are defined in any
written Rental Agreement, while such auta is
used or operated in violation of any term'or
condition of the Rental Agreement under which
such auto is rented.
2. To any other person not authorized in writing
by the terms of the Rental Agreement to
operate the vehicle.
28. Plaintiff's policy provides as follows:
PART I - LIABILITY
COVERAGE A - LIABILITY COVERAGE
We will pay damages, other than punitive or exemplary
damages, for which an insured person is legally liable
because of bodily injury or property damage resulting
from the ownership, maintenance or use, including
loading and unloading, of a car or utility trailer.
OTHER INSURANCE
If there is other applicable auto liability insurance
for an occurrence covered by this Part, ve will pay our

proportionate share as our limits of liability bear to
the total of all applicable liability limits. But
insurance afforded under this Part for a vehicle you do
not own is excess oVe~ any ~~h~~ ~~llectible auto

29. Defendant Gipe was operating a vehicle rented from
defendant Snappy and therefore the rental car was a non-owned
vehicle and plaintiff's liability coverage is excess and
defendant Snappy must provide primary coverage under the terms of
its Rental Agreement which does not include any "other insurance"
clause.
30. Moreover, defendant Zurich's policy provides that its
coverage is primary for liability assumed by defendant S~appy
under its Rental Agreement and provides coverage for defendant
Gipe as a renter of defendant Snappy's vehicle.
31. Plaintiff herein requests that this Court enter a
Declaratory Judgment directing that defendant Snappy and Zurich
provide liability coverage in the amount of $15,000 for one
person and $30,000 for two or more persons for defendant Gipe.
32. Defendant Zurich's policy attempts to exclude liability
coverage to any renter who violates any term of the Rental
Agreement while using or operating the rented vehicle.
33. However, the Rental Agreement does not contain such
exclusion and therefore it is inapplicable.

34. Notwithstanding, defendants Zurich and Snappy contend
that coverage is excluded because defendant Gipe operated the
vehicle whi'~ '~nder the influence of alcohol or drugs in
violation of the "prohibited use" in (f).
35. The MVFRL provides in 75 Pa.C.S.A. Section l724 that
"[p]rovisions of an insurance policy which exclude insurance
benefits if the insured causes a vehicular accident while under
the influence of drugs or intoxicating beverages at the time of
the accident are void" and the Pennsylvania courts have confirmed
that such provisions are against public policy.
36. Plaintiff herein requests that this Court enter a
Declaratory Judgment directing that defendants Snappy and zurich
cannot rely on any violation of the Rental Agreement to exclude
liability coverage for defendant Gipe.
37. Defendants Snappy and Zurich contend that defendant
Gipe would be obligated to indemnify them for any payments they
made under their liability coverage because of his alleged
violation of the Rental Agreement's terms.
38. However, neither the Rental Agreement nor defendant
Zurich's policy contains any terms requiring indemnification for
any Rental Agreement violations and the sole indemnification
provision is triggered only if any coverage is provided by
defendant Snappy in excess of the MVFRL requirements.

39. Furthermore, since the plaintiff's policy provides
excess coverage above defendant snappy's liability coverage, the
aforesaid indemnification provision is inapplicable.
40. Plaintiff herein requests that this Court enter a
Declaratory Judgment directing that defendants Snappy and Zurich
have no rights of indemnification against defendant Gipe for any
liability coverage they may provide.
41. Defendant Zurich's policy also provides under the
endorsement for other insurance that notwithstanding the terms of
any Rental Agreement, the limit for any liability as assumed
under the Rental Agreement will be limited to, and not exceed,
the minimum limits specified by the MVFRL and further pr~vides
that if the renter agrees in writing in a Rental Agreement to
provide primary insurance, then the contract liability coverage
shall be in excess of any other insurance coverage available to
renter but only to the extent necessary to satisfy the minimum
requirements of the MVFRL.
42. Pennsylvania courts have consistently held that
defendant Zurich's "other insurance" endorsement is an escape
clause and unenforceable against defendant Gipe and plaintiff and
that defendant Zurich should provide primary coverage under these
circumstances.

43. Plaintiff herein'requests that this Court enter a
Declaratory Judgment directing that defendant Zurich's "other
insurance" endorsement is invalid and ~hat defendants zurich and .
snappy must provide primary coverage.
44. Furthermore, plaintiff requests that this Court enter
such other relief as deemed equitable and just under the law and
the facts in this case.
45. An actual controversy exists between plaintiff and
defendants within the jurisdiction of this Court regarding the
rights and responsibilities of the insurers and the legal
relations of the parties.

46. Therefore, for all of the above reasons, the plaintiff
requests that this Court declare the rights, status and legal
relations of the parties hereto.
WHEREFORE, plaintiff, Progressive companies, herein requests
that this Court enter a Declaratory Judgment setting forth the

COUNTERCLAIM OF DEFENDANTS, SNAPPY CAR RENTAL AND
ZURICH INSURANCE COMPANY. AGAINST PROGRESSIVE COMPANIES
Defendants/Third-Party Plaimiffs, Snappy Car Remal, Inc. and Zurich Insurance
Company, aver as follows:
I. Steven p, Gipe. on September 26, 1994, was an insured pursuam to a
policy of insurance issued by the Progressive Companies with coverage applicable to the
accident set forth in the Complaint titled Flenunin~ v. Gipc, Civil Action No. 4203-S-1995.
2, At all times relevam to this Counterclaim, the Progressive Companies
acted through their agents, servants and/or employees,
3, On or about January 25, 1995, Third-Party Defendam, Progressive
Companies, acting by and through their authorized agents, servams or employees, reached an
agreement with, Third-Party Plaintiffs, Snappy and/or Zurich, that they would have
indemnification rights back against their insured. Gipe, if it was determined that he was
operating the rental vehicle under the inOuence of alcohol and was convicted for same, and
that Progressive would defend and indemnify Gipe in connection with the underlying
litigation arising from Gipes' operation of the vehicle.
4. It was further agreed that if the renter, Gipe, was convicted of driving
under Ihe inlluence, then Ihe Progressive Companies would he elllirely and solely responsihle
for all of the claims and its cost up to their limits of liability,
5. Third-Parry Plaillliffs elllered into such an agreemelll in good faith and
in selllemelll and compromise of a disputed claim, for valuable consideration and relied
thereon,
6. Subsequently, the Progressive Companies, by and through their agents,
servallls and employees, breached Ihe aforementioned agreement without just cause, as a
result of which Third-Pany Plaintiffs suffered damages for which the Progressive Companies
are legally liahle.
WHEREFORE, Defendants/Third-Parry Plaintiffs, Snappy Car Rental, Inc. and
Zurich Insurance Company, herehy request that this Coun enter a Declaratory Judgment
declaring the rights, duties and obligations of the panics hereto as follows:
I. Progressive Companies o\\'e primary liability coverage up to the limits
of their policy on hehalf of Steven Gipe and also have the duty 10 defend Gipe againsl any
claims arising out of the accident of September 26, 1994.
2. Progressive Companies are legally obligated to reimburse and
indemnify Snappy Car Rental, Inc. and/or Zurich Insurance Company for any and all costs,
fees or expenses Ihat have been or will he incurred in the handling of the claim set forth hy
Irene M. Flemming, and in connection with this Declaratory Judgmelll action, in enforcing its
cOlllractual rights.
3. Snappy Car Rental and/or Zurich Insurance Company is entitled 10
indemnification as against Gipe and Progressive Companies for ,my Iiahility Cllverage, costs,
fees and expenses, provided and/or incurred on hehalf of Steven Gipe.
