I appoint my friend and attorney,
PAUL G. MARSHALL, Executor of this Will. I authorize and
empowar PAUL, by instrument in writing duly acknowledged, or
by will duly admitted to probate, to appoint ftny citizen of
the United states or any corporation having fiduciary powers
to be suocessor to him as Executor of this Will, and to
revoke any such appointment prior to the time such successor
has undertaken his duties and to appoint a different
successor.
B. No bond or other security shall be
required of any Executor or Trustees appointed by this Will,
or their respective successor, for any purposes or in any
jurisidction.
C. I authorize and empower any
Exeoutor to resign by giving written notice of his
resignation to eaoh beneficiary hereunder, and by filing
such notice in the court in which this Will is probated.

In the administration of my estate and

Trustees shall have all of tho power.s conferred upon
fiduciaries by the laws of tho stats of Connecticut. In

or upon credit, with or without security, upon such
terms as may be considered advisable, or otherwise
dispose of, any property, real or personal, of which I
may die soized or possessed or which from time to time
thore may be an investment or reinvestment, including

retain so long as may seem advisable, any kind of real

inoluding, but not limited to, such common or preferred
stooks, unseoured obligations, interests in
discretionary common trust funds maintained by any
corporate fiduciary, whether acting as an Executor or
Trusteo hereunder or not, and securities, foreign or
domestic, or to hold cash uninvested, as may seem
advisable, without diversification as to kind or amount
and without being limited to investments authorized by
law for the investment of trust funds, it being my
intention to give the same powers of investment and
reinvestment in real and personal property which I
might myself possess nnd exercise as absolute owner of
such property.
(E) To organize and participate in the
organization of corporations, and to transfer to them
any part or all of the property of my estate or of any
trust.
(F) To participate in any partnership, joint
venture or other unincorporatod onterprlse as a general
partner, a limitod partnor or otherwise.
(G) To borrow money, from others or from
themselves in other capacities, for investment or other

by delivery.
(L) To settle and adjust my partnership interest
in any firm upon such terms as they shall deem proper.
I authorize them to continue in any firm. und subject
to the risks of the business, the assets representing
my interest therBin at the time of my death, for such
periods und upon such terms as they shall determine.
No change in tho constitution of such firm by tho death
or rstirement of any partnBrs shall affect the powers
herein given. My Rxecutor and Trustees shall not
subject to the risks of the business any assets of my
estate other than those representing my internst in
such firm at the time of my death. No Rxecutor nnd
Trustees shall be disquulified by reason of being a
partnor in such firm from participating on behalf of my
estate in any dealings herein authorized to he carried
on between my Executor and/or Trustee and the purtners
of such firm.
(M) To retain or employ agents of Dny kind und to
delegate ministerial and discretionary powers to uny
such agents.
(N) To maintain bank accounts in the nama of my
Executor or Trustees acting hereunder aud to provide
for deposits theroin or withdrawals therefrom upon thB
signature of uny then acting Executor or Trustee.

(0) To keep any seourities or other property at
any time held with a firm of brokers, trust company,
bank or institution undsr afi agreement providing that
such firm, trust company, b~nk or inetitution will
collect and 'distribute income and/or will, upon the
directions of my Executor or Trustees from time to time
acting hereunder, pUrd\ftBe, solI, dioposo of or
otherwise deal with, such securities or other property.
(P) To conduct sales, purchaseD, or any other
transactions on behalf of my estate or any trust
through any firm or corporation, whether or not any
fiduciary acting hereunder is an officer, director,
member or employee of such firm or corporation or has
any intorest therein, and to pay the usual commission
or other reasonable compensation to such firm or
corporation as would be payable to an Independont third
party.
(Q) To remove from any State or from the tlnl ted
States all or any portion of the personal property (or,
in the case of such property the ownership of which is
evidencsd only by securities or other documents, such
sscurities or other documents) at any time held hy
them.
(R) To continue or to permit the continuation of
any business, incorporated or unincorporated, which J
may own or in ~hich I may have any interest at the time
of my death for such period, or to liquidate the same
upon such terms as in their discretion they shall
determine. My Executor and Trustoe shall be entitled

The foregoing Last will and Testament was subscribed in
our presenc~ and sight at the end thereof by DAN IIARTMAN the

NEW YORK, NEW YORK.
Each of the undersigned thereupon signed his or her
name as a witness at the end of said Will at the request of
said testator and in his presence and sight and in the
presence and sight of each other.
Said testator was, at the time of so executing said
Will, over the age of 18 years and, in the opinion of each
of the undersigned, of sound mind, memory and understanding
and not under any rertraint or in any respect Incompetnnt to
make a will.

court together with any continuances thereof, as of record appears, on
petitioner'S Application for the probate of will and any codicils, and
the issuance of Letters Testamentary, as in said application on file
more fully appears.

After due hearing THE COURT FINDS that:
The above named decedent died on March 22, 1994, domiciled at the time
of death at Westport, CT and having estate whereof the administration
appertains to this court and that administration of said estate ought
to be granted.
All persons known to be interested in said proceedings have signed and
filed in court a written waiver of notice of hearing on said
application~ subsequent to issuance of order of notice of hearing which
were then withdrawn.
The fiduciary named above has accepted the position of trust
designated above, and the fiduciary, being excused by the will from
giving probate bond, or being a bank or trust company duly qualified
according to law, the court dispenses with the requirement of a
probate bond.
The fiduciary, a non-resident or. a foreign cor.poration, has duly
appointed an agent for service of process in this state; and the
foreign corporate fiduciary, if any, is domiciled in a state which
grants like powers to act as executor or trustee or connecticut banks
and trust companies.
And it is ORDERED AND DECREED that:
said will (and codicils, if any) is duly proved and the same is
approved, and admitted to Probate as the LAST WILL AND TESTAMENT of
said deceased I and the fiduciary named above is approved, and letters
tostamentary are hereby issued to said fiduciary.

Dear Donna:
Pursuant to our telephone conversation this morning
concerning the future ancillary administration of the abave
referenced estate, I enclose herewith a copy of the New York
statute which allows notaries to administer Oaths. As I
explained to you on the phone, our Chester County Register
advised me that there are some New England states that do not
have a Register and hence Oaths are commonly administered in this
manner. It is acceptable to our Register here in Chester County.
I have sent this information to you under separate cover for
your file as I am uncertain if the Executor will send the
Petition for Grant of Letters to us or directly to your
attention.
