ITEM I. I direct that all my just debts and funeral expenses, including my
gravemarker and all expenses of my last illness, and any and all taxes and assessments
imposed by any governmental body as a result of my death, whethBr on property passing

state Association of Township supervisers for the fair market value
of $115,000.00 reserving a life estate for herself in said
property. (see attached deed and agreement), She died on November
3, 1994 thus terminating her life estate. Since she received the
amount of $115,000.00 and the right to reside in the subject
property in 1991 and the attached appraisal indicates the fair
market value at the time of death is $120,000.0~ our position is
that no tax is owing the Commonwealth.

AGREEMENT FOR PURCHASE OF RESIDENTIAL REAL ESTATE
THIS AGREEMENT FOR PURCHASE OF RESIDENTIAL REAL ESTATE
("Agreement"), made this _ day of January, 1991, by and
between Carrie E. Bushey of 3009 Gettysburg Pike, Camp Hill,
Pennsylvania 17011 ("Seller"), and the Pennsylvania state
Association of Township supervisors, an ur.incorporated
association, having offices at 3001 Gettysburg Pike, camp Hill,
Pennsylvania 17011 ("Buyer").
WITNESSETH, that for and in consideration of the
mutual promises, covenants and agreements hereinafter
contained, the parties hereto INTENDING TO BE LEGALLY BOUND
HEREBY, promise and agree as follows:
1. Propertv. The Seller agrees to sell and convey to
Buyer, and Buyer agrees to purchase from the seller, upon the
terms and conditions hereinafter set forth, all that certain
tract of ground, with the buildings and improvements thereon
erected, known as 3009 Gettysburg Pike, Camp Hill, Cumberland
county, pennsylvania, ~.ore fully identified on Exhibit A
attached hereto and ~ncorporated herein by reference (the
"Property") .
2. Purchase Price and pavment Provisions. The total
purchase price of the Property shall be One Hundred Fifteen
Thousand ($115,000.00) Dollars. The purchase price for the
Property shall be paid as follows: Five Thousand ($5,000.00)
Dollars at the time of execution of this Agreement, and the
balance by cash, certified check or attorney's escrow check at
settlement.
3. Settlement and Time of the Essence. The
settlement hereunder, the closing of title and the delivery of
the deed shall be completed on or before March 31, 1991.
Settlement shall be held at the offices of wix, Wenger, Weidner
& Gunnison, 508 North Second Street, Harrisburg, Pennsylvania,
or such other time and place as the parties shall agree. Tho
time of settlement and the time of performance of all other
terms and conditions of this Agreement shall be of the essence
to this Agreement.
4. Nonperformance Damaqes. In the event Buyer fails
to make settlement within the time provided for any reason
other than Seller's default, Seller shall be entitled to any
and all remedies available to Seller at law or in equity. In

the event Seller fails to make settlement within the time
provided for any reason other than Buyer's default, Buyer shall
be entitled to any and all remedies available to Buyer at law
or in equity.
5. Title. The property is to be conveyed free and
clear of all liens, encumbrances and easements, excepting,
however, the following: existing building restrictions,
ordinances, easements of roads, easements visible upon the
ground and privileges or rights oe public service companies, if
any. Buyer specifically reserves a life estate in the property
and further reserves a six (6) month possessory interest
measured from the date of Buy~r's death in favor of the
individual(s), if any, residing in the residence on the
property at the time of Buyer's death; provided, however, that
Buyer may utilize a reasonable portion of the Property for
parking at the rear of the Property during the Seller's life
estate and the subsequent six (6) month possessory term. See
the plan attached hereto as Exhibit B and incorporated herein
by reference. Otherwise, the title to the property shall be
good and marketable and such as will be insured by a reputable
title insurance company at regular rates.
6. EXDenses Durina Life Estate. commencing on the
closing date and during the term of Buyer'S life estate and the
six (6) month possessory term, if any, the parties agree to
provide the following:
(a) Seller shall be responsible for:
(i) All utility charges;
(ii) Interior maintenance; and
(iii) Property, casualty and liability
insurance for the contents and interior
improvements of the residence on the property.
(b) Buyer shall be responsible for:

7. Realtv Transfer Taxes/Apportionable Items. Each
party shall pay one-half (1/2) of all real estate transfer
taxes applicable to the conveyance. Current real estate taxes,
utility charges and any municipal service fees or rents will be
prorated at the time of settlement.
8. Failure of Seller to Deliver Title. If, at the
time for settlement and closing hereunder, Seller is unable to
deliver title-to the Property as set forth in this Agreement,
Buyer shall have the option of taking such title as the Seller
can give without abatement of price or of being repaid all
costs actually and reasonable incurred by Buyer for title
abstracts, reasonable legal fees and other expenses relating to
the purchase of the property.
9. Fixtures. Trees. Shrubberv. Etc. Subject to
Seller's rights under Paragraph 5 hereof, all existing
plumbing, heating and lighting fixtures (including
chandeliers), and systems appurtenant thereto and forming a
part thereof, and other permanent fixtures, as well as all
laundry tubs, T.V. antennas, masts and rotor systems, together
with wall-to-wall carpeting, screens, storm sash and/or doors,
shades, awnings, venetian blinds, couplings for automatic
washers and dryers, etc., radiator covers, cornices, kitchen
cabinets, drapery rods, drapery rod hardware, curtain rods,
curtain rod hardware, all trees, shruberry and plantings now in
or on the property, if any, and any of such items which are
placed on the Property prior to Buyer obtaining full possessory
rights to the property, unless specifically excepted in this
Agreement, are included in the sale and purchase price. Any
remaining heating and/or cooking fuels stored on the Property
at the time of Buyer taking possession of the Property are also
included under this Agreement. Seller hereby warrants that
Seller will deliver good title to all of the articles described
in this Paragraph 9 and any other fixtures or other items of
personalty specifically scheduled and to be included in this
sale.
10. Possession. Except as set forth in Paragraph 5
hereof, possession of the property is to be given to Buyer by
Seller at the expiration of the life estate and six (6) month
possessory term, if any, as set forth in Paragraph 5 hereof,
free and clear of all tenancies.
11. Municipal Improvements. Seller represents that,
as of the date of this Agreement, Seller has received no notice
of assessments for municipal improvements (such as sidewalks,
curbs, etc.). Seller shall be responsible for any notice of
improvements or assessments received on or before the date of
this Agreement. Buyer shall be responsible for any notice
served upon Seller after the date of this Agreement and for the
payment thereafter of any public improvement assessments.

12. Brokeraqe. The parties respectively warrant to
each other that no finders, real estate brokers or other
persons entitled to claim a fee or commission have interested
either of them in this transaction. Each party shall indemnify
and save the other harmlesR from and against the payment of
finders' and brokers' fees and commissions.
13. Waiver of Tender. The tender of an executed deed
by Seller and the tender of the monies to be paid at settlement
by Buyer are hereby mutually waived.
14. Status of Sewer and Water. The Property is
served by public sewer and public water.
15. Bindinq successors and Assiqns. This Agreement
shall be binding upon and shall inure to the benefit of the
heirs, executors, administrators, personal representatives,
successors and assigns of the respective parties hereto. The
terms "Buyer" and "Seller" shall mean the designated parties,
jointly and severally, and, where appropriate, their respective
heirs and assigns.
16. Gender/Number. Whenever the context herein so
requires, the singular number shall include the plural, the
plural shall include the singular, and the use of any gender
shall be applicable to all genders.
17. Whole Aqreement/A1teration or Amendment. The
whole agreement of the parties is herein written, and the
parties are not bound by any agreements, understandings or
conditions otherwise than are as expressly set forth and
stipUlated hereunder. No change, alteration, amendment,
modification or waiver of any of the terms or provisions hereof
shall be valid unless the same be in writing and signed by the
parties.
18. captions/Headinqs. The captions or headings of
the paragraphs hereof are for convenience only and shall not
control or affect the meaning or construction of any of the
terms or provisions of this Agreement.
19. Counterparts. This Agreement shall be executed
two (2) or more counterparts, any or all of which shall
constitute one and the same instrument.
20. Inva1iditv of Provisions. In the event anyone
or more of the provisions contained in this Agreement shall for
any reason be held to be invalid, illegal or unenforceable in
any respect, such invalidity, illegality or unenforceability
shall not affect any other provisions of this Agreement, but
this Agreement shall be construed as if such invalid, illegal
or unenforceable provisions had never been contained herein.

21. survival of Terms. Any and all terms or
provisions hereof which are directly or indirectly intended to
survive settlement and delivery of the deed to the property
shall survive Closing hereunder and shall be enforceable at any
time and by either party.
22. Recordation. This Agreement may be recorded by
either party in the cumberland county Recorder of Deeds Office.

agent, and Seller, INTENDING TO BE LEGALLY BOUND HEREBY, have

study of all faotors that influenoe the market value of the property being
appraised. In order to do thie, the appraiser usually studies a property
frDm three different view pDinte whioh are typioally known as the three
approaohes to value. They are as follows:

future benefits and oapitalizes this into an indioation

Dbtained from the market through researoh and analysis and it should be noted
that the approaohes are interrelated. Separate indioations of property value
are usually derived from eaoh approaoh. These approaohes to value are
