I, JOSBPII C. HcGLINCllEY, of Cumberland County, Pennsylvania, declare
this to be my will and hereby revoke all prior wills and codicils made by
me.

1. Personalty. I bequeath to my wife, Irene H. HcGlinchey, all of my
tangible personal property not uRed in business or for the production of

jewelry, objects of art and decoration, and the like, and any mdtor
vehicles which I own, together with the insurance thereon, if she survives
me. If my wife does not survive me, then I bequesth all said property,
together with the insurance thereon, In equal shares to those of my
children who survive me, except that I bequeath any and all of my wife's
jewelry that may be owned by me at my death to my daughters, Hary J.
HcGlinchey snd Barbara A. HcGlinchey, in equal shares, if they survive me,
or, if one should fail to survive me, then all of sald jewelry I bequeath
to the other if she surviveR me. If sald children (and/or issue) are not
all competent adults, or if they cannot agree on the divisions, then my
ellecutor(s) shall make the division, and may sell any items pS88ing
hereunder and distribute the proceeds.
2. Residue. I bequeath, devise, and appoint all the rest of my prop-
erty, of whatever nature and wherever situated, including property over
which I hold a power of appointment, except that I do not exercise any

4. Spendthrift Clouse, No Interest of any beneflcisry hereunder
shall be subject to snticipation, pledge, nulgnment, sale or trsnsfer In
any manner, nor shall any beneficiary have power In any manner to chsrge or
encumber his Interest, nor shall the Interest of any beneficiary be llsble
or subject in any manner wh lle In the posseuion of my fiduclsrles (or any
llsbllity of such beneflciary, whether such llabllity arises from hls
debts, contracts, torts, or other engagements of any type.
S. FacLllty of Payment for Minors or Incompetents. Any amounts or
usets which are pnyable or distributable to a minor or incompetent
hereunder may, at the discretion of my fiduciaries, be paid or distributed
to the parent or guardian of such minor or Incompetent, to the person with
whom such minor or incompetent resides, or directly to such minor or incom-
petent, or may be applled for the use or benefit of such minor or Incom-
petent.

6. Powers. In add it ion to such other powers and dut ies as may be
granted elsewhere herein or which may be granted by law, my fiduciaries
hereunder shall have the following powers and duties, without the necessity
of notice to or consent of any courtl
(a) To retain all or any part of my property, real or per-
sonal, in the form in which it may be held at the time of its
receipt, including any closely held busineas in whIch 1 have an
interest as Ions as in the ellercise of their discretion it may be
advisable so to do, notwithstanding that said property may not be
of a character authorized by law.
(b) To invest and reinvest any funds heid hereunder in any
property, real or personal, including, but not by way of limita-
tion, bonds, preferred stocks, common stocks and other securities
of domestic or foreign corporations or investment trusts, mortga-
ges or mortgage part lc ipat ions, mutual funds wIth or without sales
or redemption charges, and common trust funds, aven though such
property would not bo considored sppropriato or logal for s fidu-
ciary apart from this provision.
(c) To sell, convey, ellchange, partition, give options to
buy or leaso upon, or otherwiso dispose of any property, real or
personal, at the time held by thorn, at public or private sale or
otherwise, for cash or other consideration or on credit, and upon
such terms and for such price as they mny determine, and to convey
such property free of all trusts.
