LAST WILL AND TESTAMENT
OF
M. JOSEPD MUNCHEL
I, M. JOSEPH MUNCHEL, now of Camp lIill, Cumberland County,
Pennsylvania, declare this to be my Last will and Testament and
hereby revoke all prior Wills and Codicils made by me.
ITEM I. I direct that all of my just debts and funeral
expenses, including the cost of my gravemarker, if any, shall be
paid for from my residuary estate as soon as practical afte~ my
decease as a part of the administrative expenses of my estate.
ITEM I. I give to my son, JAMES F. MUNCHEL, the sum of
Five Thousand ($5,000.00) Dollars.
ITEM II. All of the rest, residue and remainder of my
estate of every nature and wherever situate, I give and devise in
equal shares, share and share alike, unto my daughter, MARY ANN
MILLER, and my son, MICHAEL J. MUNCHEL, JR., or their children,
per stirpes.
ITEM III. If any income or principal shall be payable
to any person who shall be minor or who shall be incapacitated
for any reason, my personal representative as trustee shall hold
such income and principal during minority or incapacity and shall
be entitled to apply such income and principal to the health,
maintenance, support and education of such person during minority
or incapacity, without the appointment of any guardian or committee
or any authority of court, and shall be entitled to make direct

application hereunder or to make application by payment thereof
to the parent or other person in charge of such minor or incapacitated
person, or to his or her guardian or to a custodian under the
Uniform Gifts to Minors Act. Any remaining income and principal
to which such person shall be entitled shall be paid and distributed
to such person upon the termination of minority or incapacity.
ITEM IV. I appoint my daughter, MARY ANN MILLER, and
my son, MICHAEL J. MUNCHEL, JR., Co-Executors, or the survivor of

them Executor(rix), of this my Last Will and Testament. No bond
shall be required by my personal representative in any jurisdiction.
ITEM V. In addition to the powers given to my Personal
Representative(B) by operation of law, the following powers are
herein given to him to be exercised by him at his sole discretion.
A. To retain any property received and to invest any
funds held by him during the term of my Personal Representative's
service in any stocks, bonds, notes or other securities or property,
real or personal, within the limitations of the law.
B. To continue the operation of any business in which
I am engaged or in which I have an interest at the time of my
death for the term of his service as he deems advisable, with
the power to borrow money and to pledge the assets of the business
and to do all other acts which I, in my lifetime, could have
done, or to delegate such powers to a partner, manager or employee
without liability for any loss occurring therein.
C. To hold investments in the name of a nominee, exercise
and dispose of warrants.
D. To sell or otherwise dispose of any property, real
or personal, at any time forming a part of my estate, during
the term of his service, for cash, property or credit, in such
manner and on such terms as my Personal Representative deems
advisable within the limitations of the law.
E. To manage, operate, repair, improve, mortgage or
lease for any term any real estate at any time held or owned
by my Personal Representative.
F. In general, to exercise all powers in the management
and settlement of my estate which any individual could exercise
in the management of similar property owned in his own right
upon such terms and conditions as my Personal Representative
deems best, and to execute and deliver all instruments and to
do all acts which he may deem necessary or proper to carry out
the functions of a Personal Representative.
G. To engage in litigation and compromise, arbitrate
or abandon claims and property.

H. No interest of any beneficiary of my estate shall
be subject to anticipation or to pledge, assignment, sale or
transfer in any manner, nor shall any beneficiary have power
in any manner to charge or encumber his or her interest, nor
shall the interest of any beneficiary be liable or subject in
any manner while in the possession of the Personal Repr.esentative
hereunder for the liability of such beneficiary, whether such
liability arises from his or her debts, contracts, torts or other
agreements of any type.

I, M. JOSEPH MUNCHEL, now of Camp Hill, Cumberland County,
Pennsylvania, declare this to be my Last Will and Testament and
hereby revoke all prior Wills and Codicils made by me.
ITEM I. I direct that all of my just debts and funeral

expenses, including the cost of my gravemarker, if any, shall be
paid for from my residuary estate as soon as practical after my
decease as a part of the administrative expenses of my estate.
ITEM I. I give to my son, JAMES F. MUNCHEL, the sum of
Five Thousand ($5,000.00) Dollars.
ITEM II. All of the rest, residue and remainder of my
estate of every nature and wherever situate, I give and devise in
equal shares, Bhare and share alike, unto my daughter, MARY ANN
MILLER, and my son, MICHAEL J. MUNCHEL, JR., or their children,
per stirpes.
ITEM III. If any income or principal shall be payable
to any person who shall be minor or who shall be incapacitated
for any reason, my personal representative as trustee shall hold
such income and principal during minority or incapacity and shall
be en~itled to apply such income and principal to the health,
maintenance, support and education of such person during minority
or incapacity, without the appointment of any guardian or committee
or any authority of court, and shall be entitled to make direct
application hereunder or to make application by payment thereof
to the parent or other person in charge of such minor or incapacitated
person, or to his v~' her guardian or to a custodian under the
Uniform Gifts to Minors Act. Any remaining income and principal
to which such person shall be entitled shall be paid and distributed
to such person upon the termination of minority or incapacity.
ITEM IV. I appoint my daughter, MARY ANN MILLER, and
my son, MICHAEL J. MUNCHEL, JR., Co-Executors, or the survivor of

shall be required by my personal representative in any jurisdiction.
ITEM V. In addition to the powers given to my Personal
Representative(s) by operation of law, the following powers are
herein given to him to be exercised by him at his sole discretion.
A. To retain any property received and to invest any
funds held by him during the term of my Personal Representative's
service in any stocks, bonds, notes or other securities or property,
real or personal, within the limitations of the law.
B. To continue the operation of any business in which
I am engaged or in which I have an interest at the time of my
death for the term of his service as he deems advisable, with
the power to borrow money and to pledge the assets of the business
and to do all othdr acts which I, in my lifetime, could have
done, or to delegate such powers to a partner, manager or employee
without liability for any loss occurring therein.
C. To hold investments in the name of a nominee, exercise
and dispose of warrants.
D. To sell or otherwise dispose of any property, real
or personal, at any time forming a part of my estate, during
the term of his service, for cash, property or credit, in such
manner and on such terms as my Personal Representative deems
advisable within the limitations of the law.
E. To manage, operate, repair, improve, mortgage or
lease for any term any real estate at any time held or owned
by my Personal Representative.
F. In general, to exercise all powers in the management
and Bettlement of my estate which any individual could exercise
in the management of similar property owned in his own right
upon such terms and conditions as my Personal Representative
deems best, and to execute and deliver all instruments and to
do all acts which he may deem necessary or proper to carry out
the functions of a P~rsonal Representative.
G. To engage in litigation and compromise, arbitrate
or abandon claims and property.
