LAST WILL AND TBSTAMENT
OF
GUY J. DB PASQUALE
I, GUY J. DEPASQUALE, now of Camp lIill, Cumberland County,
Pennsylvania, declare this to be my Last Will and Testamsnt and
hereby revoke all prior wills and Codicils made by me.
ITEM I. I direct that all of my just debts and funeral
expenses, including the cost of my gravemarker, if any, shall be
paid for from my residuary estate as soon as practical after my
decease as a part of the administrative expenses of my estate,
ITEM II. I give all of my articles of personal and household
use, including automobiles and all insurance on that property, to
my wife, JEAN DEPASQUALE, provide she survives me by thirty (30)
days. Should my wife, JEAN DEPASQUALE, predecease me or die on
or before the thirtieth (30th) day following my,death, I give and
devise the same in equal shares unto my then living children, particular
items to be allocated among them as they agreel or, if they cannot
agree, as my personal representative determines.
ITEM III. I give my real estate situate in Silver Spring
Township, Cumberland County, Pennsylvania, being tracts l' and 2
on subdivision plan made by Robert G. Hartman, P.E., dated July 31,
1980 and recorded in Cumberland County Plan Book 41, Page 82, unto
my daughter, JEAN M. DEPASQUALE, Camp Hill, Pennsylvania, as Trustee,
to administer and distribute as follows:
A. Trust~e shall pay the net income thereof to or for
the benefit of my wife, JEAN DEPASQUALE.
B. Trustee shall pay to or for the benefit of my wife,
JEAN DEPASQUALE, from time to time, such portion of the principal
of this trust as Trustee, in her sole discretion, deems necessary
for the maintenance and support of my wife.
C. Notwithstanding the above provisions of paragraph B
hereof, during any calendar year of this trust, my wife shall have
the unqualified right, at her sole discretion, to demand, in writing,

delivered by her to Trustee, that she be paid from the principal
of this trust an amount not in excess of the greater of Five Thousand
($5,000.001 Dollars or five (5\) percent of the aggregate market
value of the aesets of this trust as of January 1 of the calendar
year during which time the demand is made. The right permitted
to my wife under this provision must be exercised by her as therein
provided on or by December 31 of the calendar year applicable and
any amount to which such right is not so exercised for any given
calendar year shall lapse and shall not accumulate or carryover
to any future calendar year.
D. Upon the death of my wife, Trustee shall pay the income
in equal shares to my children, JEAN M. DEPASQUALE, JACK DEPASQUALE
and JOSEPH DEPASQUALE, or their issue, per stirpes, until such time
as a living grandchild of mine has entered college or commenced
post-high school technical or vocational education. At that time,
Trustee shall pay so much of the income and principal as necessary
to pay for such education, not to exceed four years for each grand-
child. Should the cost of such education be less than the amount
of the income, Trustee shall distribute the remaining income in equal
shares to my children as set forth above. When all of my living
grandchildren have attained age twenty-three (231, Trustee shall
distribute any undistributed income and all of the remaining principal
absolutely, in equal shares, to my children, JEAN M. DEPASQUALE,
JACK DEPASQUALE and JOSEPH DEPASQUALE, or their issue, per stirpes.
Should any such child have predeceased me or died without issue
surviving, the share of such child shall be distributed to my other
children, or their issue, per stirpes, as the case may be.
ITEM IV. I give and devise all of the rest, residue and
remainder of my estate of every nature and wherever situate unto
my wife, JEAN DEPASQUALE, provided she survives me by thirty (30)
days. Should my wife, JEAN DEPASQUALE, predecease me or die on
or before the thirtieth (30th) day following my death, I give and
devise the same, in equal shares, to my children, JEAN M. DEPASQUALE,
JACK DEPASQUALE and JOSEPH DEPASQU LE, or their issue, per stirpes.

surviving, the share of suoh ohild shall be distributed to my other
children, or their issue, per stirpes, as the oase may be.

ITEM V. If any inoome or prinoipal shall be payable
to any person who shall be minor or who shall be inoapaoitated
for any reason, my personal representative as trustee shall hold
suoh inoome and prinoipal during minority or inoapaoity and shall
be entitled to apply suoh inoome and prinoipal to the health,
maintenanoe, support and eduoation of suoh person during minority
or inoapacity, without the appointment of any guardian or oommittee
or any authority of oourt, and shall be entitled to make direot
application hereunder or to make applioation by payment thereof
to the parent or other person in oharge of suoh minor or inoapaoitated
person, or to his or her guardian or to a oustodian under the
Uniform Gifts to Minors Aot. Any remaining inoome and prinoipal
to whioh suoh person shall be entitled shall be paid and distributed
to suoh person upon the termination of minority or inoapaoity.
ITEM VI. I appoint my wife, JEAN DEPASQUALE, Exeoutrix
of this my Last will and Testament. Should she fail to qualify
or oease to aot in such oapaoity, I then appoint my daughter,
JEAN M. DEPASQUALE, Contingent Exeoutrix of this my Last will
and Testament. No bond shall be required by my personal representa-
tive in any jurisdiotion.
ITEM VII. In addition to the powers given by law to my
per&onal representative(s) and trustee(s) [hereinafter fiduoiaries]
in the administration of my estate and of the trust(s) oreated
herein, they shall have the following disoretionary powers applioable
to all real and personal property held by them, inoluding property held
for minors, effeotive without oourt order until actual distribution.
A. To retain any property owned by me at my death and
to invest any funds held by them in any stooks, bonds, notes or
other securities or property, real or personal, inoluding common
trust funds, mutual funds and money market deposit acoounts operated
or offered by my oorporate trustee, if any, or any affiliate of it.

B. To sell or otherwise dispose of any property, real
or personal, at any time forming a part of my estate or the Trust
estate, for cash or upon credit, in such manner and on such terms
as they see fit, and no one dealing with the fiduciaries shall
be bound to see to the application of any monies paid.
c. To manage, operate, repair, improve, mortgage or
lease for any term any real estate at any time held or owned
by them as fiduciaries.
D. To hold investments in the name of a nominee and
exercise and dispose of warrants.
E. To engage in litigation and compromise, arbitrate
or abandon claims and property.
F. To conduct any business in which I am engaged or
in which I have an interest at the time of my death, for such
period as the fiduciaries deem advisable, with the power to borrow
money and to pledge the assets of the business and do all other
acts, which I, in my lifetime, could have done, or to delega~c
such powers to a partner, manager or employee, without liability
for any loss occurring therein.
G. To allocate items of receipt or disbursement between
principal and income as the fiduciaries deem equitable regardless
of the character given such items by law; to distribute in cash
or kind or partly in each at valuations fixed by the fiduciaries.
H. To borrow money, including the right to borrow
from any corporate trustee, if any, and to mortgage or pledge
as security or to hold its own stock if a corporate trustee.
I. To join in any merger, reorganization, voting-trust
plan or other concerted action of security holders, and to delegate
disuretionary duties with respect theret~.
J. Should the principal of any trust herein provided
for be or become too small in trustee's opinion so as to make
establishment or continuance of the trust inadvisable, my trusteels)
may make immediate distribution of the then remaining principal
and any accumulated or undistributed income outright to the person

or persons and in the proportion they are then entitled to income.
Upon such termination, the rights of all beneficiary(ies) who
might otherwise have an interest as succeeding income benefioiarylies)
or in remainder shall cease.
K. In general, to exercise all powers in the management
of the assets of my estate or the Trust estate which any individual
could exercise in the management of similar property owned in
his own right, upon such terms and conditions as the fiduoiaries
may deem best, and to execute and deliver all instruments and
to do all acts which the fiduciaries may deem necessary or proper
to carry out the purposes of this will or the Trust(s) created herein.
L. To apply income or principal to which any beneficiary
is entitled, directly for his or her comfort, maintenance and
support, should the fiduciaries deem such beneficiary incapable
of receiving the same by reason of age, illness, infirmity or
incapacity, or to pay the same to such person or persons as the
fiduciaries select to disburse it, whose receipt shall be a complete
acquittance therefore without the intervention of sny guardian.
M. To assume continuance of the status of any beneficiary
with reference to death, marriage, divorce, illness, incapacity
or other change in the absence of information deemed reliable
without liability for disbursements made on such assumptions.
N. All principal and income shall, until actual distribution
to any beneficiary, be free of the debts, contracts, alienations
and anticipations of any beneficiary, and the same may not be
liable for any levy, attachment, execution or sequestration while
in the hands of any fiduciaries.

The Subject Property Is a one story block building with an addition
of a small frame office and a two story addition having the following:
1. The front small addition houses a 390 square foot office with a rest
room. It Is the reception room and office for the 1500 square foot automo-
tive repair shop. The shop has 18 foot high ceilings, gas hot air heaters, a
wash room and three overhead doors. The neccessary plumbing and flxtures
to carry on their business belong to the tenant. They pay all their uti lites.
2. To the rear Is an area of similar style and construction In which there
are two shops. There Is an auto frame shop and an auto paint shop. Included
with each shop are a rest room and office. This area is an additional 8400
square feet.
3. In the front of the building are two small vacant offices. A second
floor over these offices is rented by a print screen shop.
The quality of this block building Is basic. The condition Is average and
typical for the type of businesses performed in the building.

LAST WILL AND TESTAMENT
OF
GUY J. DEPASQUALE
I, GUY J. DEPASQUALE, now of Camp Hill, Cumberland County,
Pennsylvania, declare this to be my Last Will and Testament and
hereby revoke all prior wills and Codicils made by me.
ITEM I. I direct that all of my just debts and funeral
expenses, including the cost of my gravemarker, if any, shall be
paid for from my residuary estate as soon as practical after my
decease as a part of the administrative expenses of my estate.
ITEM II. I give all of my articles of personal and household
use, including automobiles and all insurance on that property, to
my wife, JEAN DEPASQUALE, provide she survives me by thirty (30)
days. Should my wife, JEAN DEPASQUALE, predecease me or die on
or before the thirtieth (30th) day following my, death, I give and
devise the same in equal shares unto my then living children, particular
items to be allocated among them as they agreel or, if they cannot
agree, as my personal representative determines.
ITEM III. I give my real estate situate in Silver Spring
Township, Cumberland County, Pennsylvania, being tracts 1 and 2
on subdivision plan made by Robert G. Hartman, P.E., dated July 31,
1900 and recorded in Cumberland County Plan Book 41, Page 02, unto
my daughter, JEAN M. DEPASQUALE, Camp Hill, Pennsylvania, as Trustee,
to administer and distribute as follows:
A. Trustee shall pay the net income thereof to or for
the benefit of my wife, JEAN DEPASQUALE.
B. Trustee shall pay to or for the benefit of my wife,
JEAN DEPASQUALE, from time to time, such portion of the principal
of this trust as Trustee, in her sole discretion, deems necessary
for the maintenance and support of my wife.
C. Notwithstanding the above provisions of paragraph B
hereof, during any calendar year of this trust, my wife shall have
the unqualified right, at her sole

delivered by her to Trustee, that she be paid from the principal
of this trust an amount not in excess of the greater of Five Thousand
($5,000.00) Dollars or five (5%) percent of the aggregate market
value of the assets of this trust as of January 1 of the calendar
year during which time the demand is made. The right permitted
to my wife under this provision must be exercised by her as therein
provided on or by December 31 of the calendar year applicable and
any amount to which such right is not so exercised for any given
calendar year shall lapse and shall not accumulate or carryover
to any future calendar year.
D. Upon the death of my wife, Trustee shall pay the income
in equal shares to my children, JEAN M. DEPASQUALE, JACK DEPASQUALE
and JOSEPH DEPASQUALE, or their issue, per stirpes, until such time
as a living grandchild of mine has entered college or commenced
post-high school technical or vocational education. At that time,
Trustee shall pay so much of the income and principal as necessary
to pay for such education, not to exceed four years for each grand-
child. Should the cost of such education be less than the amount
of the income, Trustee shall distribute the remaining income in equal
shares to my children as set forth above. When all of my living
grandchildren have attained age twenty-three (23), Trustee shall
distribute any undistributed income and all of the remaining principal
absolutely, in equal shares, to my children, JEAN M. DEPASQUALE,
JACK DEPASQUALE and JOSEPH DEPASQUALE, or their issue, per stirpes.
Should any such child have predeceased me or died without issue
surviving, the share of Buch child shall be distributed to my other
children, or their issue, per stirpes, as the case may be.
ITEM IV. I give and devise all of the rest, residue and
remainder of my estate of every nature and wherever situate unto
my wife, JEAN DEPASQUALE, provided she survives me by thirty (30)
days. Should my wife, JEAN DEPASQUALE, predecease me or die on
or before the thirtieth (30th) day following my death, I give and
devise the same, in equal shares, to my children, JEAN M. DEPASQUALE,
JACK DEPASQUALE and JOSEPH DEPASQU LE, or their issue, per stirpes.

Should any such child of mine predecease me or die without issue
surviving, the share of such child shall be distributed to my other
children, or their issue, per stirpes, as the case may be.
ITEM V. If any income or prinoipal shall be payable
to any person who shall be minor or who shall be incapacitated
for any reason, my personal representative as trustee shall hold
such income and principal during minority or incapacity and shall
be entitled to apply such income and principal to the health,

" maintenance, support and education of such person during minority

or incapacity, without the appointment of any guardian or committee
or any authority of court, and shall be entitled to make direct
application hereunder or to make application by payment thereof
to the parent or other person in charge of such minor or incapacitated
person, or to his or her guardian or to a custodian under the
Uniform Gifts to Minors Act. Any remaining income and prinoipal
to which such person shall be entitled shall be paid and distributed
to such person upon the termination of minority or incapacity.
ITEM VI. I appoint my wife, JEAN DEPASQUALE, Executrix
of this my Last Will and Testament. Should she fail to qualify
or cease to act in such capacity, I then appoint my daughter,
JEAN M. DEPASQUALE, Contingent Executrix of this my Last Will
and Testament. No bond shall be required by my personal representa-
tive in any jurisdiction.
ITEM VII. In addition to the powers given by law to my
personal representative(s) and trustee(s) [hereinafter fiduciaries]
in the administration of my estate and of the trust(s) created
herein, they shall have the following discretionary powers applicable
to all real and personal property held by them, including property held
for minors, effective without court order until actual distribution.

A. To retain any property owned by me at my death and
to invest any funds held by them in any stocks, bonds, notes or
other securities or property, real or personal, including common
trust funds, mutual funds and money market deposit accounts operated
or offered by my corporate trustee, if any, or any affiliate of it.

B. To sell or otherwise dispose of any property, real
or personal, at any time forming a part of my estate or the Trust
eatate, for cash or upon oredit, in such manner and on such terms
as they see fit, and no one dealing with the fiduoiaries shall
be bound to see to the application of any monies paid.
c. To manage, operate, repair, improve, mortgage or
lease for any term any real estate at any time held or owned
by them as fiduciaries.
D. To hold investments in the name of a nominee and
exercise and dispose of warrants.
E. To engage in litigation and compromise, arbitrate
or abandon claims and property.
F. To conduct any business in which I am engaged or
in which I have an interest at the time of my death, for such
period as the fiduciaries deem advisable, with the power to borrow
money and to pledge the assets of the business and do all other
acts, which I, in my lifetime, could have done, or to delegate
such powers to a partner, manager or employee, without liability
for any loss occurring therein.
G. To allocate items of receipt or disbursement between
principal and income as the fiduciaries deem equitable regardless
of the character given such items by lawl to distribute in cash
or kind or partly in each at valuations fixed by the fiduciaries.
H. To borrow money, including the right to borrow
from any corporate trustee, if any, and to mortgage or pledge
as security or to hold its own stock if a corporate trustee.
I. To join in any merger, reorganization, voting-trust
plan or other concerted action of security holders, and to delegate
discretionary duties with respect thereto.
J. Should the principal of any trust herein provided
for be or become too small in trustee's opinion so as to make
establishment or continuance of the trust inadvisable, my trustee(s)
may make immediate distribution of the then remaining principal
and any accumulated or undistributed income outright to the person

or persons and in the proportion they are then entitled to income.
Upon such termination, the rights of all beneficiary(ies) who
might otherwise have an interest as succeeding income beneficiary(ies)
or in remainder shall cease.
K. In general, to exercise all powers in the management
of the assets of my estate or the Trust estate which any indivjdual
could exercise in the management of similar property owned in
his own right, upon such terms and conditions as the fiduciaries
may deem best, and to execute and deliver all instruments and
to do all acts which the fiduciaries may deem necessary or proper
to carry out the purposes of this Will or the Trust(s) created herein.
L. To apply income or principal to which any benefioiary
is entitled, directly for his or her comfort, maintenance and
support, should the fiduciaries deem such beneficiary incapable
of receiving the same by reason of age, illness, infirmity or
inoapacity, or to pay the same to such perDon or persons as the
fiduciaries select to disburse it, whose receipt shall be a complete
acquittance therefore without the intervention of any guardian.
M. To assume continuance of the status of any beneficiary
with reference to death, marriage, divorce, illness, incapacity
or other change in the absence of information deemed reliable
without liability for disbursements made on such assumptions.
N. All principal and income shall, until actual distribution
to any beneficiary, be free of the debts, contracts, alienations
and anticipations of any beneficiary, and the same may not be
liable for any levy, attachment, execution or sequestration while
in the hands of any fiduciaries.
