RECEIPT, RELEASE AND
REIMBURSEMENT AGREEMENT
WHEREAS, ISAAC S. CLINE, JR" late of the Borough of New
Cumberland, Cumberland County, Pennsylvania, died testate on, April
28, 1995 having first made his Last Will and Testament, duly
executed on May 1, 1986, which is recorded in the Office of the
Register of wills of Cumberland County, Pennsylvania;
WHEREAS, by his aforesaid Last Will and Testament, the
said ISAAC S. CLINE, JR., named LINDA R. CLINE as Executrix of his
Last Will and Testament;
WHEREAS, Letters Testamentary on the Estate of the said
ISAAC S. CLINE, JR., were duly issued by the Register of wills of
Cumberland County, Pennsylvania, unto LINDA R. CLINE on May 22,
1995;
WHEREAS, LINDA R. CLINE as Executrix of the Estate of
ISAAC S. CLINE, JR" has gathered the assets of the Estate;
WHEREAS, the debts and deductions, including payment of
the Pennsylvania Inheritance Tax in said Estate have been paid;
WHEREAS, it is the desire of the undersigned that
distribution be made without the formality of an accounting, and
the said Executrix, LINDA R. CLINE is willing to make such
distribution upon the receipt of a proper release and
indemnification, which it is the purpose of this Agreement to
provide,
NOW, THEREFORE, KNOW YE that we, LINDA R. CLINE and ROBERT
L. CLINE who are the sole residuary beneficiaries named i.n the Last
Will and Testament of ISAAC S, CLINE, JR., do hereby acknowledge
that we have this day had and received from the aforesaid Executrix
in full and final satisfaction and payment of all sum or sums of
money, legacies, bequests and devises as are given, devised or
bequeathed by the said Last Will and Testament of ISAAC S, CLINE,
JR., the amount or distribution which is set forth opposite our
names in the Schedule of Distribution in the Statement attached
hereto and marked Exhibit "A";
AND we acknowledge that articles of household goods and
items of personal lIse and adornment of the said ISAAC S. CLINE,
JR., which had been property of: the Estate have been divided in
kind amongst various family members and relatives of ISAAC S.
CLINE, and do hereby consent and agree to the aforesaid division of
such articles and items without specific accounting therefore;
AND we declare that we have examined the Account of the
said Execlltrix attached hereto as Exhibit "A" and find the same to
be true and correct in all particulars and hereby approve the same

and request her to make final distribution without the filing of
said Account for audit and approval by the Orphans' Court Division
of the Court of Common Pleas of Cumberland County, Pennsylvania, In
consideration of the delivery to us of the distribution as
aforesaid, for ourselves, our heirs, executors, administrators and
assigns, we do remise, release, quitclaim and forever discharge
LINDA R. CLINE individually and as Executrix of the Estate of ISAAC
S. CLINE, JR" Deceased, John R. Zonarich, Esquire, Thomas M. Kutz,
Esquire, and the law firm of Skarlatos & Zonarich, its successors
and assigns, of and from any and all actions, suits, payments,
accounts, claims and demands whatsoever or by reason of their
administration of the Estate of ISAAC S, CLINE, JR" Deceased,
hereby agreeing that the Orphans' Court Division of the Court of
Common Pleas, Cumberland County may, by its decree, confirm the
said account and discharge LINDA R, CLINE.
We further agree to indemnify and hold harmless LINDA R,
CLINE, JOHN R. ZONARICH, ESQUIRE, THOMAS M. KUTZ, ESQUIRE and
Skarlatos & Zonarich from any and all claims, loss, liability and
damage which they may suffer or to which they may be subjected by
reason of the settlement of this account and distribution of the
assets of the said ISAAC S, CLINE, JR. without Court approval.
We do further declare it is our intention to be legally
bound by the execution of this instrument and do hereby covenant

and agree with the said Executrix and with each other, that should
any liability come known against the Estate of ISAAC S, CLINE, JR,
after the signing of this Agreement, we will contribute pro rata
with LINDA R, CLINE up to our share of the residuary estate to
satisfy any and all claims, demands, suits or causes of action
which may be successfully prosecuted against the Estate of ISAAC S,
CLINE, JR., Deceased, or the aforesaid Executrix in her capacity as
such after the signing, sealing and delivery of this Receipt,
Release and Reimbursement Agreement,
hereunto set our hands and
