I, KATHERINE R. COPSEY, of 480 st, John's Drive, Camp Hill,
Cumberland county, Pennsylvania, do make, publish and declare this
to be my Last will and Testament, hereby revoking all wills and
Codicils by me at any time made.
ITEM I:
I direct that all inheritance
and estate taxes becoming due by reason of my death, whether such
taxes may be payable by my estate or by any recipient of any prop-
erty, shall be paid by the Executor out of the property passing
under ITEM III of this will, as an expense and cost of administra-
tion of my estate. The Executor shall have no duty or obligation
to obtain reimbursement for any such tax so paid, even though on
proceeds of insurance or other property not passing under this
will. In the absolute discretion of the Executor, such taxes may
be paid immediately or may be postponed on future or remainder
interests until the time possession thereof accrues to the bene-
ficiaries.
ITEM II:
I direct my Executor to pay
the expenses of my last illness and funeral expenses from the
property passing under this will as an expense and cost of
administration of my estate. It is my desire that my body
shall be placed in a crypt in the mausoleum, where my deceased
husband, Allan K. Copsey, is buried, in DUlaney Valley Memorial
Gardens, at 200 pedonia Road East, Cockeysville, Baltimore County,
Maryland, and I hereby so authorize and direct my Executor with
regard to my body.

ITEM I II :
I give, devise and bequeath all the
rest, residue and remainder of my Estate, not disposed of in the
preceding portions of this Will, including any property over which
I now have or hereafter acquire any power of appointment, to CCNB
Bank, N.A., as Trustee, IN TRUST NEVERTHELESS, to be held, adminis-
tered and distributed in accordance with the terms and provisions
of a certain Agreement of Trust executed by the said CCNB Bank, N.A.,
as Trustee and by me as Grantor on the 23rd day of June, 1983. I
hereby confirm and ratify said Agreement of Trust in every respect.
ITEM IV:
In the settlement of my estate,
the Executor shall possess, among others, the following powers:
(a) To retain any investments I may have at my
death, including specifically those consisting of
stock of any bank even if I have named such bank as
the Executor herein, as long as the Executor may deem
it advisable to my estate so to do.
(b) To vary investments, when deemed desirable
by the Executor, and to invest in such bonds, stocks,
notes, real estate mortgages or other securities or in
such other property, real or personal, as the Executor
shall deem wise, without being restricted to so-called
"legal investments", and without being limited by any
statute or rule of law regarding investments by fidu-
ciaries.
(c) In order to effect a division of the princi-
pal of my estate or for any other purpose, inclUding
any final distribution, the Executor is authorized to
make said divisions or distributions of the personalty

and realty partly or wholly in kind. In the event a
division or distribution is made in kind, such division
or distribution shall be made at the fair market value
of the property at the date of division or distribution.
should it appear desirable to partition any real estate,
the Executor is authorized to make, join in and consum-
mate partitions of lands, voluntarily or involuntarily,
including giving of mutual deeds, recognizances or
other obligations, with as wide powers as an individual
owner in fee simple.
(d) To sell either at public or private sale and
upon such terms and conditions as the Executor may deem
advantageous to the estate, any or all real or personal
estate or interest therein owned by the estate severally
or in conjunction with other persons or acquired after
my death by the Executor, and to consummate said sale
or sales by sufficient deeds or other instruments to the
purchaser or purchasers, conveying a fee simple title,
free and clear of all trust and without obligation or
liability of the purchaser or purchasers to see to the
application of the purchase money or to make inquiry
into the validity of said sale or sales; also, to make,
execute, acknowledge and deliver any and all deeds,
assignments, options or other writings which may be
necessary or desirable in carrying out any of the
powers conferred upon the Executor in this paragraph
or elsewhere in my Will.
(e) To mortgage real estate, and to make leases
of real estate.

(C) To borrow money Crom any party, including the
Executor, to pay indebtedness oC mine or of my estate,
expenses of administration or inheritance, legacy,
estate and other taxes, and to assign and pledge assets
of my estate therefor.
(g) To pay all costs, taxes, expenses and charges
in connection with the administration of my estate.
(h) To vote any shares of stock which form a part
of the estate, and to otherwise exercise all the powers
incident to the ownership of such stock.
(i) In the discretion of the Executor, to unite
with other owners of similar property in carrying out
any plans for the reorganization of any corporation or
company whose securities form a part of the estate.
(j) To hold investments in the name of a nominee.
(k) To do all other acts in the Executor's jUdg-
ment deemed necessary or desirable for the proper and
advantageous management, investment and distribution of
the estate.
ITEM V: I hereby nominate, constitute and
appoint CCNB Bank, N.A. to be the Executor. The Executor is
specifically relieved from the duty or obligation of filing any
bond or other security.
ITEM VI: I direct that Lloyd R. Persun,
Esquire, Harrisburg, Pennsylvania, serve as counsel to my Executor

I, KATHERINE R, COPSEY, formerly of Hampden Township,
Cumberland County, Pennsylvania, the within named Testatrix, do
hereby make and publish this Codicil to my Last Will and
Testament, dated July 25. 1983, hereby revoking all other
Codicils thereto by me at any time made including but not
limited to the Codicil dated January 30, 1984,
I hereby modify said Last Will and Testament by adding
the following ITEMS II-A, II-B and VII:
ITEM II A: I give and bequeath the
sum of FIVE THOUSAND DOLLARS ($5,000.00) to Camp
Hill United Methodist Church, 417 South 22nd
Street, Camp Hill, Cumberland County, Pennsylvania,
UEM II-B: I give and bequeath the
sum of TEN THOUSAND DOLLARS ($10,000.00) to
ISABELLE EROH, now or formerly of 104 Linden Drive,
Camp Hill, Cumberland County, Pennsylvania, if she
survives me.

I, KATHERINE R. COPSEY, of 490 St. John's Drive, Camp lIill,
Cumberland County, Pennsylvania, do make, publish and declare this
to be my Last Will and Testament, hereby ravoking all Wills and
codicils by me at any time made,
ITEM I:
I direct that all inheritance
and estate taxes becoming due by reason of my death, whether such
taxes may be payable by my estate or by any recipient of any prop-
erty, shall be paid by the Executor out of the property passing
under ITEM III of this Will, as an expense and cost of administra-
tion of my estate. The Executor shall have no duty or obligation
to obtain reimbursement for any such tax so paid. even though on
proceeds of insurance or other property not passing under this
Will, In the absolute discretion of the Executor, such taxes may
be paid immediately or may be postponed on future or remainder
interests until the time possession thereof accrues to the bene-
ficiaries.
ITEM II: I direct my Executor to pay
the expenses of my last illness and funeral expenses from the
property passing under this Will as an expense and cost of
administration of my estate. It is my dnsire that my body
shall be placed in a crypt in the mausoleum, where my deceased
husband, Allan K. Copsey, is buried. in Dulaney Valley Memorial
Gardens. at 200 Pedonia Road East, cockeysville, Baltimore County,
Maryland, and I hereby so authorize and direct my Executor with
regard to my body.

ITEM I I I: I give, devise and bequeath all the
rest, residue and remainder of my Estate, not disposed of in the
preceding portions of this will, including any property over which
I now have or hereafter acquire any power of appointment, to CCNB
Bank, N.A., as Trustee, IN TRUST NEVERTlmLESS, to be held, adminis-
tered and distributed in accordence with the terms and provisions
of a certain Agreement of Trust executed by the .aid CCNB Bank, N.A.,
as Trustee and by me as Crantor on the 23rd day of June, 1983, I
hereby confirm and ratify said Agreement of Trust in every respect.
ITEM IV: In the settlement of my estate,
the Executor .hall possess, among other., the following powers:
(a) To retain any investments I may have at my
death, including specifically those consisting of
stock of any bank even if I have named such bank as
the Executor herein, as long as the Executor may deem
it advisable to my estate so to do,
(b) To vary investments, when deemed desirable
by the Executor, and to invest in .uch bonds, stocks,
notes, real estate mortgages or other securities or in
such other property, real or personal, as the Executor
shall deem wise, without being re.tricted to so-called
"legal investments", and without being limited by any
statute or rule of law regarding investments by fidu-
ciarie.. .
(e) In order to effect a division of the princi-
pal of my estate or for any other purpose, inclUding
any final distribution, the Executor is authorized to
make said divisions or distributions of the personalty

and realty partly or wholly in kind. In the event a
division or distribution is made in kind, such division
or distribution shall be made at the fair market value
of the property at the date of division or distribution.
Should it appear desirable to partition any real estate,
the Executor is authorized to make, join in and consum-
mate partitions of lands, vOluntarily or involuntarily,
including giving of mutual deeds. recognizances or
other obligations, with as wide powers as an individual
owner in fee simple.
(d) To sell either at public or private sale and
upon such terms and conditions as the Executor may deem
advantageous to the estate, any or all real or personal
estate or interest therein owned by the estate severally
or in conjunction with other persons or acquired after
my death by the Executor. and to consummate said sale
or sales by sufficient deeds or other instruments to the
purChaser or purchasers, conveying a fee simple title,
free and clear of all trust and without obligation or
liability of the purchaser or purchasers to see to the
application of the purchase money or to make inquiry
into the validity of said sale or salesr also, to make,
execute, acknowlsdge and deliver any and all deeds,
assignments, options or other writinga which may be
necsssary or desirable in carrying out any of the
powers conferred upon the Executor in this paragraph
or elsewhere in my Will.
(e) To mortgage real estate, and to make leases
of real estate.

hereby make and publish this Codicil to my Last Will and

and CCNB BANK, N.A. a corporetion orqanized and existinq under
lawe of the Commonwealth of Pennsylvenia end maintaininq its
principal offices at 331 Bridqe Street, New Cumberland, Cumberland
County. Pennsylvania, as Trustee, hereinafter referred to as
ItTrustee".
WITNESSETIlI
WHEREAS, Grentor is the owner of certain essets more
fully described in Schedule "A". attached hereto and made a pert
hereof, and
WHEREAS, Grantor is desirous of beinq relieved of buei-
ness cares and worries and of the management of Grantor's property
and, for those reasons, amonq others, is desirous of placinq the
active menaqement and control of such propsrty in the hands of
TrUstee.
NOW, THEREFORE, in consideration of the mutual covenants
and aqreements herein conteined, it is aqreed by and between the
parties hereto as follows.
ARTICLE II Grantor, concurrently with or sub-
sequent to the execution of this Aqreement of Trust, will transfer
and convey to Trustee the assets listed on Schedule "A", attached
hereto and made e part hereof, which said assets are hereinafter
referred to as the "Trust", receipt of which assets hereby is
acknowledqed by Trustee, and Trustee, in consideration thereof,

agreee to hold and administsr said assets and any additions there-
to, as Trustee, IN TRUST NEVERTHELESS, for the following uses and
purposes:
(a) Trustee shall have. hold, manage, invest and
reinvest the same, collect the income end pay over the
net income in quarterly installments to Grantor during
Grantor's lifetime,
(b) During the 1i fetime of the Grantor, Trustee
shall pay to the Crantor such portion or all of the
principal of the Trust as such income beneficiary may
from time to time request in writing.

(c) Trustee may elso expend so much of the princi-
pal of the Trust as, in its discretion. may be necessary
and/or advisable to supplement all income of the Grantor
in order to provide support and maintenance, including
medical, hospital. nursing and nursing home care for
such beneficiary.

(d) Upon.the death of the Grantor, the Trustee

so-called "legal investments" and without being limited
to eny statute or rule of law regsrding investments by
fiduciaries,
(b) In order to effect a division of the princi-
pal of the Trust or for any other purpose, including any
final distribution of the Trust, the Trustee is author-
ized to make seid divisions or distributions of the
personelty and reelty pertly or wholly in kind. In the
event a division or distribution is made in kind. such
division or distribution shall be made at the fair
market value of the property at the date of division or
distribution. Should it appear desirable to partition
any real estate, the Trustee is authorized to make,
join in and consummate partitions of lands, voluntsrily
or involuntarily, inclUding giving of mutual deeds,
recognizances, or other obligations with as wide powers
as cen be exercised by an individual owner in fee
simple.
(c) To sell either at public or private sale and
upon such terms and conditions as the Trustee may deem
advantageous to the Trust, any or all real or personal
estate or interests thsrein owned by the Trust severally
or in conjunction with other persons, and to consummate
said sale or sales by sufficient deeds or other instru-
ments to the purchaser or purchasers, conveying a fee
simple title, free and clear of all trust and without
obligation or liability of the purchaser or purchasers
to see to the application of the purchase money, or to
make inquiry into the validity of said sale or sales/
also, to make, execute, acknowledge and deliver any and
all deeds, assignments, options or othsr writings which
may be necessary or desirable in carrying out any of

the powers conferred upon the Trustee in this paragraph
or elsewhere in this instrument.
(d) To mortgege real estate, and to make leeses
of real estate, extending beyond the term of the Trust
hereunder,
(e) To borrow money from any party, including the
Trustee, to pay indebtedness of the Trust and taxes, and
to assign and pledge assets of the Trust therefor,
(f) TO pay all costs. taxes, expenses and charges
in connection with the administration of the Trust,
including a reasonable compensation to agents.
(g) tn the discretion of the Trustee, to unite
with other owners of similar property in carrying out
any plans for the reorganization of any corporetion or
company whose securities form a part of the Trust.
(h) To vote any shares of stock which form a part
of the Trust.
(i) To assign to and hold in trust an undivided
portion of any esset.
(j) To hold investments in the name of a nominee.
(k) To do all other acts in its judgment deemed
necessary or desirable for the proper and advantageous
management, investment and distribution of the Trust.
