LAST WILL AND TESTAMENT OF
EDWIN W. PARKINSON
I, EDWIN W. PARKINSON, of Lemoyne, Cumberland County,
Pennsylvania, do hereby make, publish and declare this as and
for my Last will and Testament, hereby revoking any Wills or
Codicils thereto by me at any time heretofore made.
ITEM I. I order and direct that all my just debts
and funeral expenses be paid out of my estate by my Executrix
or Executor hereinafter named, as soon as conveniently may be
done after my death.
ITEM II. If my wife, DAPHNE BARROW PARKINSON, sur-
vives me by as many as sixty (60) days, I give and bequeath to
her all of my household furnishings, personal effects, jewelry
and other tangible personal property, including any automobile
or automobiles I may own, together with the policies of in-
surance carried thereon. If my wife does not so survive me, I
give and bequeath all such property to my children, Em~IN W.
PARKINSONf JR. and HOPE PARKINSON HAZZARD, to be divided between
them by my Executor in as nearly equal portions as may be deemed
practicable, having due regard for the personal preferences of
my two children.
ITEM III. If my wife, DAPHNE BARROW PARKINSON, sur-
vives me by as many as sixty (60) days, I give and bequeath to
her all the rest, residue and remainder of my estate, of what-
soever nature and wheresoever situate.
ITEM IV. If my wife, DAPHNE BARROW PARKINSON, should
predecease me or not survive me by as many as sixty (60) days,
I give and bequeath all of my said residuary estate, in equal

shares, to my son, EDWIN W. PARKINSON, JR., and to my daughter,
HOPE PARKINSON HAZZARD, or to their issue, per stirpes.
ITEM V. Any property which passes under ITEM IV of
this Will to a minor shall be held by DAUPHIN DEPOSIT BANK AND
TRUST COMPANY, as Trustee, for such minor during minority. In
the csse of any such minor, the Trustee may, during minority,
apply such amounts of principal of the property held in trust
and such amounts of income therefrom as, in its sole discretion,
it deems proper for the support, education and welfare of such
minor, and shall accumulate any unexpended balance of income.
Such amounts may be applied directly for the benefit of the
minor or may be paid to the person who has the care and control
of such minor, without the intervention of any guardian. The
Trustee shall not be obligated to supervise or inquire into
the application of such amounts by any person receiving them
and the receipt of such person shall be a complete release of
the Trustee. In administering any such Trust, the Trustee shall
have all the power and discretion conferred upon it under
ITEM X of this Will.
Should the amount thus held in trust for any such
minor, in the sole opinion of the Trustee, be or become too
small to warrant the continuation of such Trust, or should the
administration of the Trust become impractical for any other
reason, the Trustee, in its sole discretion, may pay such amount,
for the benefit of such minor, to the person who has the care
and control of such minor, or may deposit such amount in the
minor's name in a savings account in a savings institution of
its choosing, payable to the minor at majority.

ITEM VI. I hereby nominate, constitute and appoint
my wife, DAPHNE BARROW PARKINSON, as Executrix of this, my Last
Will and Testament. If my wife, DAPHNE BARROW PARKINSON, pre-
deceases me or fails to qualify as Executrix, or having quali-
fied, dies or resigns or becomes incapacitated to act as such,
then I hereby nominate, constitute and appoint my son, EDWIN W.
PARKINSON, JR., as the Executor of this, my Last will and Testa-
ment. It is my desire that my Executrix or my Executor not be
required to furnish bond or other undertaking to any jurisdic-
tion for faithful performance of that office.
I hereby nominate DAUPHIN DEPOSIT BANK AND TRUST
COMPANY of Harrisburg, Pennsylvania, its successor or successors
by any' merger, conversion or consolidation, as the Trustee of
any Trusts created by ITEM V of this Will.
ITEM VII. All estate, inheritance, legacy, succession
or transfer taxes (including any interest and penalties thereon)
imposed by any domestic or foreign laws now or hereafter in
force with respect to all property taxable under such laws by
reason of my death, whether or not such property passes under
this, my Will, and whether such taxes be payable by my estate
or by any recipient of any such property, shall be paid by my
Executrix or Executor, at such time or times as may be deemed
advisable, out of my general estate as part of the expenses of
administration thereof, with no right of reimbursement from
any recipient of any such property.
ITEM VIII. No interest of any beneficiary under this
Will or any codicil hereto, shall be subject to anticipation
or to voluntary or involuntary alienation.

ITEM IX. I hereby authorize my Executrix or Executor
to make partial or complete distribution to beneficiaries of
my estate, from time to time, during the administration thereof;
to distribute unequal amounts to similar beneficiarios, from
time to time, during such administration and to make such other
distributions during administration as they may determine.
Nothing contained in this Item shall be construed as authorizing
my Executrix or Executor to vary the dispositive provisions of
this Will.
ITEM X. I hereby expressly authorize and empower my
Executrix or Executor and also the Trustee of any Trust herein
created, in their sole and absolute discretion:
(a) To purchase or otherwise acquire, and to retain,
whether originally a part of my estate or subsequently acquired,
any and all stocks, bonds, notes or other securities, including
stock of the Trustee, or any variety of real or personal property,
including stocks or interest in investment trusts and common
trust funds, as may be deemed advisable, whether or not such
investments be of such character as to constitute legal invest-
ments by fiduciaries.
(b) To sell, lease, pledge, mortgage, transfer, ex-
change, convert or otherwise dispose of, or grant options with
respect to, any and all property at any time forming a part of
my estate or of any trust estate, in such manner, at such time
or times, for such purposes, for such prices and upon such terms,
credits and conditions as may be deemed advisable. Any lease
made by the Executrix or Executor or by the Trustee may extend
beyond the period fixed by statute for leases made by fiduciaries
and beyond the duration of any Trust.

(c) To borrow such sums of money as may be required
for the purposes of administering my estate or any trust estate
from my Executrix, Executor or Trustee, as individuals or as
fiduciaries under any other trust agreement, or from such other
persons as they may desire and to secure the loan by a pledge
of all or any part of the trust property, or mortgage, and to
execute an accompanying bond authorizing the confession of
jUdgment, and plain or collateral notes, or other evidences of
indebtedness. Persons or corporations advancing money to the
Executrix, Executor or Trustee need not inquire into the
necessity, expediency or propriety of such loan, nor see to the
application of the money advanced.
(d) To vote in person or by general or limited proxy
with respect to any shares of stock or other securities held by
them; to consent, directly or through a committee or other agent,
to the reorganization, consolidation, merger, dissolution or
liquidation of any corporation in which my estate or any trust
estate may have any interest, or to the sale, lease, pledge or
mortgage of any property by or to any such corporation; and to
make any payments and to take any steps which may be deemed
necessary or proper to obtain the benefit of any such trans-
action.
(e) To hold investments in the name of a nominee.
(f) To complete, extend, modify or renew any loans,
notes, bonds, mortgages, contracts or any other obligations which
I may own or to which I may be a party or which may be liens or
charges against any of my property or against my estate, although

I may not be liable thereon, in such manner as may be deemed
advisable 1 to pay, compromise, compound, adjust, submit to
arbitration, sell or release any claims or demands of my estate
or any trust estate as may be deemed advisable, including the
acceptance of deeds of real property in satisfaction of bonds
and mortgages, and to make any payments in connection therewith
which may be deemed advisable.
(g) To make distribution of my estate or of the
principal of any trust estate in kind and to cause any share to
be composedof cash, property or undivided fractional shares in
property different in kind from any other share.
(h) To execute and deliver any and all instruments
in writing which may be deemed advisable to carry out any of the
foregoing powers. No party to any such instrument in writing
signed by the Executrix, Executor or by the Trustee shall be
obliged to inquire into its validity, or be bound to see to the
application by the Executrix, Executor or Trustee of any money
or other property paid or delivered to them pursuant to the
terms of any such instrument.
(i) To join with my wife, in filing any income tax
return for any year in which Such joinder is permitted by law
and to pay all or such ratable share of any taxes thereon as
shall be deemed proper, and the exercise of such authority
shall be final and conclusive and not subject to question by
anl' person.
ITEM XI. DAUPHIN DEPOSIT BANK AND TRUST COMPANY shall
be entitled to compensation for its services as Trustee here-
under in accordance with its standard schedule of charges

Pennsylvania, do hereby make, publish and declare this as and

Codicils thereto by me at any time heretofore made.

ITEM I. I order end direct thst all my just debts
and funeral expenses be paid out of my estste by my Executrix
or Bxecutor hereinafter named, 8S soon as conveniently may be
done after my death.
ITEM II. If my wife, DAPIINE DARROW PARKINSON, sur-
vives me by as many as sixty (60) days, I give and bequeath to
her all of my household furnishings, personal effects, jewelry
and other tangible personal property, inclUding any automobile
or automobiles I may own, together with the policies of in-
Burance carried thereon. If ~ wifo does not BO survivo me, I
give and bequeath all such property to my children, EDWIN W.
PARKINSON, JR. and IIOPE PARKINSON IIAZZARD, to be divided bstween
them by my Executor in as nearly equal portions as may be deemed
practicable, having due regard for the personal preferences of

ITEM III, If my wife, DAPIINE DARROW PARKItlSON, sur-
vives me by as many as sixty (60) days, I give and bequeath to
her all the rest, residue and remainder of my estate, of what-
soever nature and wheresoever situato.

ITEM V. Any property which passes under ITEM IV of
this Will to a minor shall bo hold by DAUPIIIN DEPOSIT DANK AND
TRUST COMPANY, as Trustoe, for such minor during minority, In
the case of any such minor, the Trusteo may, during minority,
apply such amounts of principal of the property held in trust
and such amounts of income therefrom as, in its solo discretion,
it deoms proper for the support, education and wolfare of such
minor, and shall accumulato any unexpended balance .of income,
Such amounts may be applied directly for the benefit of the
minor or may be paid to the person who has the caro and control
of such minor, without the intervention of any guardian. The
Trustee shall not be obligated to supervise or inquire into
the application of such amounts by any person receiving them
an4 the receipt of such person shall be a complete release of
the Trustee. In administering any such Trust, tho Trustee shall
have all the power and discretion conferred upon it under
ITEM X of this Will.
Should the amount thus held in trust for any such
minor, in tho solo opinion of the TrustoD, bo or become too
small to warrant the continuation of such Trust, or should the
administration of the Trust become impractical for any other
reason, the TrusteD, in its sole discretion, may pay such amount,
for the benefit of such minor, to the person who has the care
and control of such minor, or may deposit such amount in the
minor's nome in a sovings account in Q savings institution of
its choosing, payable to the minor'at majority.

Will and Testament. If my wife, DAPIINE DARROW PARKINSON, pre-
deceaees ... or fails to qualify as Executrix, or havin9 quali-
fied, dies or resi9ns or becomee incapacitated to act as such,
thsn I hersby nominate, conetitute and appoint my son, EDWIN W.
PARKINSON, JR., as the Executor of this, my Last Will and Testa-
ment. It is my desire that my Executrix or my Executor not be
required to furnish bond or other undertakin9 to any j urisdic-
tion for faithful performance of that office.
I hereby nominate DAUPIIIN DEPOSIT DANK II/le TRUST
COMPANY of lIarrisburg, Pennsylvania, its SUccessor or succ:essors
by any: marger, conversion or consolidation, as the Trustee of
any Trusts created by ITEM V of this Will,
ITEM VII. All estate, inheritance, le9acy, succession
,or transfer taxes (includin9 any interest and penal ties thereon)
imposed by any domestic or forei9n laws now or hereafter in
force with respect to all property taxable under such laws by
reason of my death, whether or not Such property pssses under
this, my Will, and whether such taxes be payable by my estate
or by any recipient of any such property, shall be paid by my
Executrix or Executor, at such time or times as may be doemed
advisable, out of my general estate as part of the expenses of
administration thereof, with no right of reimbursement from
any recipient o~ any such property,
ITEM VIII. No interest of any beneficiary under this
Will or any Codicil hereto, shall be subject to anticipation
or to voluntary or involuntary alienation.

to make partial or complete dhtribution to beneficiaries of
my estate, from time to time, during the adminhtrotion thereof,
to distribute wlequal amounts to eimllar beneficiaries, from

my Executrix or Executor to vary the dispositive provisions of

Executrix or Executor and also the Trustee of any Trust herein
created, in their sole and absolute discretion.

whether originally a port of my estate or subsequently acquired,

stock of the Trustee, or any variety of real or personel property,

investments be of such character as to constitute legal invest-
ments by fiduciaries.
