BEATTY, of the Borough of Camp Hill, Cumberland County, Pennsylvania, declare this to be my last will and revoke any will previously made by me~ ITEM I. I direct that all my just debts and funeral expenses, inclUding my gravemarker and all expenses of my last illness, and any and all taxes and assessments imposed by any governmental body as a result of my death, whother on property passing under this will or otherwise, shall be paid from my residuary estate as soon as practi- cable after my decease as a part of the expense of the administration of my estate. ITEM II. I give and bequeath the sum of One Thousand ($1,000.00) Dollars to MR. AND MRS. DEAN BRUNNER, or the survivor of them, of Camp Hill, Pennsylvania, provided they or either one of tbem survive my death by thirty (30) days. In the event neitber of them survive my death by thirty (30) days, this bequest shall lapse and pass instead as a part of the residue of my estate. ITBH III. I give and bequeath the sum of One Thousand ($1,000.00) Dollars to MR. AND MRS. MARCUS ALBRIGHT, or the survivor of thom, of Camp lIill, Pennsylvania, provided tbey or either one of tbem survive my death by thirty (30) days. In the event neitber of tbem survive my death by thirty (30) days, this bequest shall lapse and pass instead as a part of the residue of my estate. ITEM IV. I give and bequeath to HARTIN M. CHRONISTER, of Lemoyne, Pennsylvania, my Curley Maple antique wash stand, my two antique walnut mantle clocka, and any two antique hand decorated trays of bis choosing, provided he survives my death by thirty (30) days. In the event he fails to survive my death by thirty (30) days, this bequest sball lapse and pass instead as a part of the bequest contained in Item VII of this will. 1 '. ~ ITEM V. In recognition of his friendsbip and his good counsel and advice, I give and bequeath tbe sum of Ten Thousand ($10,000.00) Dollars to MARTIN M. CHRONISTER, of Lemoyne, Pennsylvania, provided he survives my deatb by thirty (30) days. In the event he fails to survive my death by thirty (30) days, this bequest shall lapse and pass instead as a part of the residue of my estate. ITEM VI. I give and bequeath the sum of Five Thousand ($5,000.00) Dollars to ROBERT MANNING of Boca Raton, Florida, provided he survives my death by tbirty (30) days. In the event be fails to survive my deatb by thirty (30) days, this bequest sball lapse and pass instead as a part of the residue of my estate. ITEM VII. I give and bequeath all of my remaining household goods, automobiles, jewelry, and all otber articles of household and personal use, equipment and ornament, together with all insurance thereon and relating thereto, to the PENNSYLVANIA TRUST COHPANY as trustee under and pursuant to that certain Revocable Trust Agreement executed by me and dated 16 January 1995, as amended. ITEM VIII. I give, devise, and bequeath all the rest, residue, and remainder of my possessions and estate of every nature and wherever situate to the PENNSYLVANIA TRUST COMPANY as trustee under and pursuant to that certain Revocable Trust Agreement executed by me and dated 16 January 1995, as amended. ITKH IX. I appoint my friend and investment counselor, HARTIN M. CHRONISTER, of Lemoyne, Pennsylvania, executor of this my last will. Should Martin M. Cbronister predecease me or otherwise fail to qualify or cease to serve as executor of this my last will, I appoint WINTON E. HEWITT, of Havertown, Pennsylvania, executor of this my last will. sbould Winton E. Hewitt predecease me or otherwise fail to qualify or cease to serve as executor of this my last will, I appoint AUDREY HEWITT executrix of this my last will. ITEM X. In addition to the other powers and authorities granted to my personal representatives by Pennsylvania law and by the other terms and provisions of this will, 2 ~ I hereby give to my personal representatives the following powers and autborities effective witbout court approval and until actual distribution of all property: to compromise any claim or controversy; to make distribution in cash or in kind, or partly in casb and partly in kind, and in such manner as my personal representatives may determine and at valuations finally to be fixed by tbeml to invest in all forms of property, including any stock or other securities in any corporate fiduciary or its successor without restriction to investments authorized for Pennsylvania fiduciaries, as my personal representatives deem proper, without regard to any principle of risk or diversification; to retain any or all assets of my estate, real or personal, without regard to any principle of risk or diversification; to sell at public or private sale, to exchange, or to lease for any period of time, any real or personal property and to give options for sales, exchanges, or leases, for such prices and upon such terms or conditions as my personal representatives deem proper; and to allocate receipts and expenses to principal or income or partly to eacb as my personal representatives deem proper in their sole discretion. ITKH XI. I direct that my personal representatives and fiduciaries shall not be required to give bond for the faithful performance of their dutios in any jurisdiction. From data gathered on recent sales, it is my estimation that the value for 3430 Green Street, Camp Hill, PA has only increased slightly to 5109,000, It has the greatest potential as it is currently laid-out as a two-unit apartment building. The location is ideally located on a dead end street convcnientto work centers and shopping. The detached, two-car garage would be ideal \0 split among renters. The general condition, unless it has deteriorated severely in the last ten months, is good with only interior painting needed on the first floor unit. The strong possibility still exists that a buyer would want to live in the larger first floor unit and rent out the second floor unit to supplement their income. Considering the large lot and continuing maintenance of an older structure, this would probably be the ideal situation. The location of the 101, bordered on each end by a dead end street and being surrounded by more office buildings than residences, gives great potential for the borough to allow a professional office in this location. BEATTY, widower, of 3430 Green street, Camp Hill, Cumberland County, Pennsylvania ("Settlor") do hereby transfer to The Pennsylvania Trust company of Radnor, wayne county, Pennsylvania ("Trustee") all the property described in Exhibit A which is attached hereto and incorporated herein by reference to constitute, together with any other property that may become subject to this Trust Agreement, the Trust Estate. The Trust Estate shall be held, administered, and distributed by the Trustee as provided in thie Trust Agreement. ARTICLE I RIGHTa RESERVED TO SETTLOR 1.01. The Settlor shall have the right at any time, either during his life or by the terms and provisions of his will at his death, to add other property to the Trust Estate. Any additional property, when received by the Trustee, ehall be subject to administration in accordance with the terms of this Trust Agreement. 1.02. During Settlor's lifetime, Settlor may at any time and from time to time, by written notice executed by Settlor and delivered to Trustee, do or perform any or all of the following acts: A. Revoke or change the interest of any beneficiary in the Trust Estate; 1 B. Upon the death of Settlor, this Trust Agreement shall become irrevocable, and it shall not be subject to amendment. ARTICLE II DISTRIBUTIONS BY TRUaTEE 2.01. During the life of Settlor, Trustee shall pay to settlor so much of the net income and principal as Settlor may from time to time request or specify in monthly installments. The remainder of the net income from the Trust Estate, if any, shall be accumulated and added to the principal of the Trust Estate. 2.02. Should Settlor become incompetent or, in the judgment of Trustee, unable for any reason to act in his own behalf, Trustee may in its discretion pay to or apply for the benefit of Settlor any amounts from the principal of the Trust Estate in addition to the net income from the Trust Estate. Trustee shall pay any federal estate tax, generation skipping tax, and any state death taxes that may be due by reason of Settlor's death. 2.04. upon the death of settlor and the payments, if any, having been made in accordance with Section 2.03, the Trust Estate shall continue to be held by Trustee, and it shall be administered in the manner as hereinafter set forth for the following uses and purposes. Separate Trust For Children of Nieces and Nephews of Evelyn K. Beatty 2.05. Provided that any of the children of the nieces and nephews of my now departed wife, Evelyn M. Beatty, survive my death by thirty (30) days, Trustee shall set aside in separate trust (hereinafter referred to as the Educational Trust) a portion of the Trust Estate equal to $80,000.00. Such surviving children shall be hereinafter referred to as the Education Beneficiaries. Trustee shall hold and manage the Educational 3 Trust and shall use and apply the income of the Educational Trust to pay for the undergraduate college or vocational training expenses of the Education Beneficiaries. Distributione of income from the Educational Trust need not be equal, but Trustee shall make such payments as it deems advisable in its sole and absolute discretion. Any income not so used or applied by Trustee shall be added to the principal of the Educational Trust. As each Education Beneficiary attains the age of forty-five (45) years, Trustee shall distribute that portion of the principal of the Educational Trust equal to the then total principal of the Educational Trust multiplied by a fraction, the numerator of which is one and the denominator of which shall be one plus the total number of then living Education Beneficiaries under the age of forty-five (45). In the event an Education Beneficiary dies prior to attaining the age of forty-five (45), the Educational Trust shall continue for the benefit of the remaining Education Beneficiaries under the age of forty-five (45), if any. If there are no Education Beneficiaries under the age of forty-five (45), but there are one or more former Education Beneficiaries who have attained the age of forty-five (45), the Educational Trust shall terminate, and Trustee shall pay the principal and any accumulated income of the Educational Trust in equal shares to such former Education Beneficiaries. In the event all of the 4 Education Beneficiaries die prior to attaining the age of forty- five (45) years, the Educational Trust shall terminate, and Trustee shall pay the principal and any accumulated income of the Educational Trust, to the persons and in the manner as hereinafter set forth in section 2.06. Distribution to winton B. Hewitt and Audrey J. Hewitt 2.06. Provided Winton E. Hewitt and Audrey J. Hewitt, of Havertown, pennsylvania, or either one of them, survives my death by thirty (30) days, Trustee shall distribute to them or the survivor of them, as the case may be, that portion of the Trust Estate equal to forty-five (45%) percent thereof (as determined after the creation of the Educational Trust if it is funded) free and clear of this Trust Agreement. In the event neither winton E. Hewitt nor Audrey J. Hewitt survive my death by thirty (30) days, the distribution which would have been made to them pursuant to this Section 2.06 shall instead be (i) added to either the Knowlton Trust, the Pearson Trust, or the Hewitt Trust (if only one of them is created as hereinafter set forth); (ii) divided equally among the Knowlton Trust, the Pearson Trust, and the Hewitt Trust (if more than one of them is created as hereinafter set forth); or (iii) distributed free and clear of the Trust Agreement to the Bethesda Mission of Harrisburg, Pennsylvania (if none of them is created as hereinafter set forth). 5 . -<~~..._- ---------""'--. -.......- ... . Knowlton, or the survivor of them, as the case may be. Upon the death of Carol Ann Knowlton and Richard M. Knowlton (or upon my death if neither of them survive my death): A. If they are survived by any children, Trustee shall pay the net income of the Knowlton Trust in equal shares to such child or children until the youngest child attains the age of forty-five (45) years whereupon the principal and accumulated income of the Knowlton Trust shall be distributed in equal shares to those of such children who are then living when the youngest child attains the age of forty-five (45) years free and clear of this Trust Agreement. Should no child attain the age of forty-five (45) years, Trustee shall distribute the principal and accumulated income, if any, of the Knowlton Trust in equal shares to the then living beneficiaries or former beneficiaries of 6 the Pearson Trust and the Hewitt Trust, if any there be, and if the Pearson Trust or the Hewitt Trust is still in effect, such principal and accumulated income shall be added to and administered as a part of the Pearson Trust or the Hewitt Trust, as the case may be. If there be no such beneficiaries or former beneficiaries, Trustee shall distribute such principal and accumulated income to the Bethesda Mission of Harrisburg, Pennsylvania, free and clear of this Trust Agreement; or B. If they are not survived by any children, Trustee shall distribute the principal and accumulated income of the Knowlton Trust in equal shares to the then living beneficiaries or former beneficiaries of the Pearson Trust and the Hewitt Trust if any there be, and if the Pearson Trust or the Hewitt Trust is still in effect, such principal and accumulated income shall be added to and administered as a part of the Pearson Trust or the Hewitt Trust, as the case may be. Thereafter during the lifetime of Janet E. Pearson, Trustee shall pay the net income of the Pearson Trust to Janet E. Pearson. Upon the death of Janet E. Pearson (or upon my death if she does not survive me): A. If she is survived by any children, Trustee shall pay the net income of the Pearson Trust in equal shares to such child or children until the youngest child attains the age of forty-five (45) years whereupon the principal and accumulated income of the Pearson Trust shall be distributed in equal ehares to those of such children who are then living when the youngest child attains the age of forty-five (45) years, free and clear of this Trust Agreement. If sha is not survived by any children, Trustee shall distribute the principal and accumulated income of the Pearson Trust in equal shares to the then living beneficiaries or former beneficiaries of the Knowlton Trust and the Hewitt Trust, if any there be, and if the Knowlton Trust and the Hewitt Trust is still in effect, such principal and accumulated income shall be added to and administered as a part of the Knowlton Trust or the Hewitt Trust, as the case may be. If there be no such beneficiaries or former beneficiaries, Trustee shall distribute such principal and accumulated income to the Bethesda Mission of Harrisburg, Pennsylvania, free and clear of this Trust Agreement. 9 Hewitt Trust 2.09. Provided Thomas E. Hewitt survives my death by thirty (30) days, Trustee shall set aside in separate trust (hereinafter referred to as the Hewitt Trust) a portion of the Trust Estate equal to ten (10%) percent thereof (as determined after the creation of the Educational Trust if it is funded). Thereafter, during the lifetime of Thomas E. Hewitt, Trustee shall pay the net income of the Hewitt Trust to Thomas E. Hewitt. Upon the death of Thomas E. Hewitt or upon his failure to survive my death by thirty (30) days, the distribution which would have been made to the Hewitt Trust shall instead be (i) added to either the Knowlton Trust or the Pearson Trust (if only one of them is created as herein set forth), (ii) divided equally between the Knowlton Trust and the Pearson Trust (if both of them are created as herein set forth) or (iii) distributed free and clear of the Trust Agreement to the Bethesda Mission of Harrisburg, Pennsylvania (if neither of them is created as herein set forth). ARTICLE IXX POWERS AND DUTIEa OF TRUSTEE '3.01. The Trustee is authorized to retain in the Trust Estate for as long as it deems advisable any property, including shares of its own stock, received by it from the Settlor, whether or not the property is of the character permitted by law for the investment of trust funds. 10 . 3.02. The Trustee may exercise the fOllowing powers with regard to any and all property that may at any time be held by it in trust pursuant to this Agreement, whether the property constitutes principal or accumulated income of any trust provided for in this Agreement, in its discretion at any time on the terms and in the manner as the Trustee deems advisable, to act as follows: A. Sell, convey, exchange, convert, improve, repair, manage, operate and control; B. Lease for terms within or beyond the term of the trust provided for in this Agreement and for any purpose, including exploration for and removal of gas, oil, and other minerals; and enter into any covenants and agreements relating to the leased property or any improvements that may be erected on the property; C. Encumber or hypothecate for any trust purpose by mortgage, deed of trust, pledge, or otherwise; D. Carry insurance of the kinds and in the amounts that the Trustee deems advisable at the expense of the trust provided for in this Agreement; E. Commence or defend at the expense of the trust any litigation with regard to.the trust or any property of the Trust Estate as it may deem advisable; 11 F. Invest and reinvest the Trust Estate in property that the Trustee deems advisable, whether or not of the character permitted by law for the investment of trust funds, specifically including, but not by way of limitation, interests in any common trust fund or funds in existence or to be established and administered by the Trustee solely for the investment of trust funds; G. Vote and give proxies to vote any securities held by the Trustee in trust pursuant to this Agreement, inCluding stock of the Trustee; H. Pay any assessments or other charges levied on any stock or other security held by it in trust pursuant to this Agreement; I. Exercise any subscription, conversion, or other rights or options that may at any time attach to the holders of any stocks, bonds, securities, or other instruments held by it in trust pursuant to this Agreement; J. Participate in any plans or proceedings for the foreclosure, reorganization, consolidation, merger, or liquidation of any corporation or organization that has issued securities held by it in trust pursuant to this Agreement and, incident to that participation, deposit securities with and transfer title of 12 securities to any protective or other committee established to further or defeat any such plan or proceeding; K. Enforce any mortgage or deed of trust or pledge held by it in trust pursuant to this Agreement and, at any sale under any such mortgage, deed of trust, or pledge, bid and purchase at trust expense any property subject to the security agreement; L. compromise, submit to arbitration, release with or without consideration, and otherwise adjust any claims in favor of or against any trust provided for in this Agreement; and M. subject to any limitations expressly set forth in this Agreement and the faithful performance of its fiduciary obligations, to do all acts, take part in any proceedings, and exercise all rights and privileges ae could an absolute owner of the Trust Estate. 3.03. The Trustee shall have power to borrow money from any person, firm, or corporation, for any trust purpose on whatever terms and conditions that the Trustee deems proper and to obligate the trust to repay the borrowed money. 3.04. The Trustee is authorized to loan or advance its own funds to the.trust for any trust purpose at the rate of interest being charged by the Trustee at the time the loan or advance is 13 - ._,-.'.. -- .....- made to other persons having a net worth equal to that of the Trust Estate for similar loans or advances. Any loan or advance, together with the interest accruing on loan or advance, shall be a first lien against and shall be repaid from the Trust Estate. 3.05. The Trustee is authorized to purchase securities or other property from and to make loans and advancements from the Trust Estate with or without security to the executor or other representative of the Settlor's estate. 3.06. The Trustee may hold securities or other property subject to this Agreement (i) in its name as Trustee under this Agreement, (ii) in its own name without a designation Showing it to be Trustee under this Agreement, or (iii) in the name of its nominee. Further, the Trustee may hold securities in an unregistered condition such that ownership passes by delivery. 3.07. Except as otherwise specifically provided in this Agreement, the Trustee has full power and authority to determine, in its discretion, what constitutes principal of the Trust Estate, gross income from the Trust Estate, and net income of the Trust Estate distributable under the terms of this Agreement. The determination of the Trustee as to what constitutes r I principal, gross income, or net income of the Trust Estate shall, except as may be otherwise expressly provided in this Agreement, be conclusive and binding on all persons in any manner interested in the trust created pursuant to this Agreement. 14 3.08. All property taxes, assessments, fees, charges and other expenses incurred by the Trustee in the administration or protection of the trusts created by this Agreement, including the compensation of the Trustee provided for in this Agreement, shall be a charge on the Trust Estate and shall be paid by the Trustee before final distribution of the Trust Estate: A. In full out of the principal; B. In full out of the income of the Trust Estate; or c. Partially out of the principal and partially out of the income of the Trust Estate. 3.09. The Trustee may make any elections under the federal and state income and estate tax laws applicable to the Trust Estate that the Trustee determines should be made for the benefit of the trust beneficiaries. No compensating adjustments between principal and income shall be made even though the elections made under the tax laws by the executor of Settlor's eetate or the Trustee may affect, beneficially or adversely, the intereets of the beneficiaries. The actions of the Trustee shall be binding on all beneficiaries. 3.10. If the entire trust is revoked by the Settlor, the Trustee shall transfer the entire Trust Estate to the Settlor. The Trustee shall execute and deliver to the settlor all 15 instruments that are necessary or appropriate to release all interests of the Trustee in the trust. ARTICLB IV ADMINIaTRATIVB PROVIaIONB 4.01. Whenever the right of any beneficiary to payments from the net income or principal of the Trust Estate shall terminate, either by reason of death or other cause, any accrued or undistributed net income from the Trust Estate that remains undistributed by the Trustee on the date of the termination shall be held, administered, and distributed by the Trustee in the same manner as if the income had accrued and been received by the Trustee after the date when the beneficiary's right to receive payments from the trust terminated. 4.02. Except as otherwise expressly provided in this Agreement, no beneficiary of any trust provided for in this Agreement shall have any right, power, or authority to alienate, encumber, assign, or pledge his or her interest in the principal or income of the trust in any manner. No interest of any beneficiary shall be subject to any claims of his or her creditors or liable to attachment, execution, or other process of i I I I I > . f law. 4.03. The receipt by any such person for any payment to or for a minor shall completely discharge the Trustee as to the amounts so paid. 4.04. On any partial or final distribution of the assets of the Trust Estate and on any division of the assets of the Trust Estate into shares or partial shares, the Trustee may distribute or divide the assets in kind, may distribute or divide undivided interests in the assets, or may sell all or any part of the assets and make distribution or division in cash, in kind, or partly in cash and partly in kind. The decision of the Trustee, either before or on any division or distribution of the assets, as to what constitutes a proper division of the assets of the Trust Estate shall be binding on all persons in any manner interested in the trust provided for in this Agreement. ARTICLE V RESIGNATION AND COHPENSATION O~ TRUSTEE 5.01. The Trustee shall have the right to resign at any time. On the resignation of the Trustee, the Settlor shall , appoint a successor Trustee. The Trustee shall receive compensation for the performance of its services hereunder in accordance with its standard _schedule of fees in effect from time to time during the period over which its servicee are performed provided, however, that during the lifetime of Settlor, increases in the schedule of fees shall not be effective until at least thirty (30) days prior written notice thereof has been given to Settlor.
