I, C. RICHARD NYB, SR" of R.D, 6, Shlppensburg, Cumberland Counly,
Pennsylvania, being of sound and disposing mind, memory and understanding, do make, publish
and declare Ihls to be my Last Will nnd Testament, hereby revoking nnd making void all fonner
Wills by me at any lime heretofore made.
I direct the payment of nil my Just debts nnd funeml expenses as soon as conveniently mny
be after my decease.
SPECIFIC BEQUESTS
I.
I give my pool table and nil of the accessories. for example, the table cover, cue sticks, boll
sets, mck, stomge mck. sning counter, overhead light, nnd the like to my son, Timothy Morgnn
Nye. Should he predecease me, then to my son, Frank Craig Nye.
(A) It Is my express wish that, should my aforesaid son, Timothy Morgan Nye,
survive me and be given this table nnd accessories, that he keep such table in fme condition nnd
that, should he ever be disposed to sell it for any reason whatsoever, he should give the first
chnnce to purchase it for a fair nnd reasonable price to his brother Frank CrnIg Nye aforesaid
and/or also his sister. Harriet Sue Nye Scharfenburg.
2.
I give my two (2) "0" gauge elecnic train sets to my son, Fmnk CrnIg Nye. These train
sets came from my home and arc to include engines, cars, track, switches, buildings, equipment,
wire, and the like.
3.
I give to my son, Timothy Morgan Nye, the set of Pilsner Gennan Beer Glasses which he
gave me on his return from Gennnny.
4.
To my son, Timothy Morgnn Nye, I give all my cheny wood bedroom furniture which
was given to me when I was living at home by my mother. Janet Mickey Nye Hollar. Said
furniture includes one (I) double bed; one (1) dressing table with mirror nnd chair; one (I) large
chest of drawers; one (1) small chest of drawers (kept for some years in my son Timothy's room);
two (2) matching bedside tables; one (1) cedar chest; and one (1) reclining chair and foot stool. (It
is possible that the reclining chair nnd foot stool referred to might not be actunl cherry but I wnnt
them to be given as per my instructions nevenheless. Should my son Timothy predecease me,
then to my son, Wade Mickey Nye,

1 give nil of my collections of phonogroph records to my son. Timothy Morgan Nye, 1
give all of my Beta lapes and Beta recorder to my son. Frank Craig Nye. Should either one of
them predecease me, then their bequest shnll go to my son, Wade Mickey Nye,

I give my coin collection to my son, Timothy Morgan Nye. Should he predecease me, then
his bequest goes 10 my son, Wade Mickey Nye.
7.
All of the money remaining in my personal checking account #412-537-568-5 in the
Commonwenlth National Bank. Shippensburg, I give to my wife, Dorothy M. Nye, If she should
predecease me, then it shnll be divided into two (2) equal shares and be distributed between my
daughters, Harriet Sue Nye Scharfenburg and Christy Anne Nye Hoover.

All of the money remaining in my TOTAL CONTROL ACCOUNT with
METROPOLITAN LIFE, Account #80-040726-2 and in Nonhwestem Mutual Life Account
#51-000715-1,1 give as follows: It shall be divided into two (2) equal shares and be distributed
betwecn my daughter, Harriet Sue Nye Scharfenburg and my daughter, Christy Anne Nye
Hoover.
9.
All of the common and preferred shares of stock and any rights or other vnluable
consldemtions which attach thereto. I give as follows to Dauphin Deposit Bank and Trust
Company, as Trustee. in Trust, for the following purposes:
1. All dividends and income therefrom (except that taxes thereon may be withheld if such
withholding is, in the discretion of my Trustee, prudent under the circumstances) shnll go to my
wife, Dorothy M. Nye, for and during her naturnllife.
2. My said Trustee shnll have the power and authority to make changes in the investment
portfolio if it deems such changes 10 be wise and prudent.
3. Should the Trustee at any time deem the net income payable from this Trust to be
insufficient to support my said wife, the Trustee may, as often as it deems necessary. pay 10 or
apply for the use and benefit of my wife such pan of the principnl of this Trust, up to and including
the whole thereof, as the Trustee In Its discretion believes necessnry for the support of my suld
wife,
A, STANDARD
In eKerclslng Its discretion hereunder, the TruSlCC shull take Into consideration the
Income, eumlng capacity. resources and other sources of receipt of my suld wife, together with any
other factor which the Trustee may deem pertinent, Including the accustomed manner of living of
my snld wife. but need not require the eKhaustion of personal resources as a condition for mnklng
disbursements under the authority of this paragraph. The judgment of the Trustee as to the
propriety and amount of all such payments shnll be conclusive.
Notwithstanding any provision to the conttary, the Trustee shnll not distribute
principnl except within the standards of Intemnl Revenue Code sec. 2041.
B. EVIDENCE OF NEED

The Trustee may. In its discretion, require as a condition precedent to the
distribution of any Trust assets for support or advancement, that my snld wife furnish evidence of
her financlnl condition, income euming capacity, and assets, in fonn and content satisfactory to the
Trustee. The Trustee shnll be entitled to rely upon the wrinen certification of my snld wife or any
guardian or power of anomey of my snld wife as to the nature and extent of my snld wife's needs
for support, and the Inadequacy of my snld wife's resources apart from the Trust The Trustee
shnlI not be required to make further inquiry as to the authenticity of the facts so certified.
C. PREFERENCES
In eKerclsing its discretion hereunder, the Trustee is to consider the needs of my
snld wife for support during her lifetime as the primary purpose of this Trust, even if the
satisfaction of such needs requires invasion of the entire Trust Estate.

D. SUCCESSOR TRUSTEES
If,ln the discretion of my Trustee, the principnl of this Trust becomes so low that
costs and minimum fee schedules make it Impracticable for my Trustee to continue to serve In such
capacity, then I hereby appoint my sons, Wade Mickey Nye and Timothy Morgan Nye to serve as
successor trustees.
4. Should my snld wife have predeceased me, then I give these shares and any vnluable
rights which auach thereto or the proceeds from a snle of the same by my Executor or Trustee to be
distributed equally amongst my grandchildren who survive me. Should, however, my wife not
predecease me, but instead die during the tenn of this Trust, then equnlly to my grandchildren who
are surviving at the time of my snld wife's death.
It Is my wish that these slocks be valued and dlsuibuled In kind so far as may be
reasonable and feasible under the circumstances, I also give to my Executor or Trustee, as the case
may be, the right, authority, and power to dlstrlbule such shares of stock to my said grandchildren,
provided that an amicable settlement can be reached amongst them or their guardians as to whom
should take which panicular shares. If for any reason an amicable settlement Is not reached among
all of the above-named grandchildren or their guardians. then I direct that all shares be liquidated
and distributed as cash.
RESIDUE
10.
All the rest, residue and remainder of my estate, real, personal, or mixed. whatsoever and
wheresoever situate, I give, devise and bequeath to my wife, Dorothy M. Nye, to her own use and
benefit absolutely.
11.
In the event, however. that my wife should predecease me, or should die at about the same
time as I die, such as In a disaster common to both of us, I give, devise and bequeath my estate in
equal shares to my seven (7) children named as follows: (1) C. Richard Nye, Jr., (2) Timothy
Morgan Nye, (3) Harriet Sue Nye Scharfenburg, (4) Wade Mickey Nye, (5) Peter Todd Nye, (6)
Fmnk Craig Nye, and (7) Christy Anne Nye Hoover.

I nominate, constitute and appoint my wife. Dorothy M, Nye, to be the Executrix of this,
my Last Will and Testament. If she should predecease me, or for any other reason be unable to
act, or to continue to act as such Executrix, I appoint the Dauphin Deposit Bank and Trust
Company to be the Executor in her place and stead. I further dlrectthat neither of them shall be
required to file bond or other security in the Office of the Register of Wll1s for the purpose of
administering my Estate.
13.
I authorize and empower my personal representative, In her sole and absolute discretion, to
purchase or otherwise acquire and retain any Investments of which I die seized, or any real or
personal property of any nature; to sell, lease, pledge, mortgage, transfer. exchange, dispose of, or
grant options in regard to any or all property of any kind fonning a pan of my Estate for such
tenns and such prices as she may deem advisable; borrow money for any purposes connected with
the protection and preservation of my Estate; to mortgage or pledge any real or personal property
fonning a part of my Estate, or to join in or secure the partition of same; to compromise any claims

SCHEDULE 0
This schedule Is used to report the value of property
that passes to the decedents surviving spouse. It Is ap.
pllcable to estates of decedents dying on or after 1.1.95.
This schedule must be completed If the decedents sur-
viving spouse Is the sole beneficiary of a trust created
by the decedent or If any Interests In property pass
solely to the surviving spouse.
Act 21 of 1995 provides for the Inclusion of a trust or
similar arrangement that Is for the sole use of the surviv-
Ing spouse during the spouse's lifetime as a taxable as-
set In the estate of the surviving spouse and not as a
taxable asset In the transferor's estate. The estate can
elect to Include such a trus~ or similar arrangemen~ or
portion thereof, as a taxable asset In the transferor's es.
tate. This schedule must be completed whether or not
the election to tax the trust Is made.
PART A: ALL INTERESTS PASSING TO THE DE.
CEDENrS SURVIVING SPOUSE: Ust all property
Interests that pass from the decedent to the surviving

This Is In response to your letter dated September 6, 1995 concerning the valuation of the
portion of the above estate which passes to the surviving spouse In accordance with the decedent's
will.
The present vaiue of a simple life estate using the 7.2% tabie applicable to an August, 1995
date of death can be calculated using the factor .60620 times the value of the trust fund at the date of
death. If the surviving spouse does not Intend to Invade the principal of the trust, tax would only be
due on the remainder Interest In the present estate at six percent. The probability that the surviving
spouse will deplete the trust principal can oniy be determined by her Individual circumstances. You
should check the future Interest compromise box on the front of the Inheritance tax return and submit a
completed Schedule M selling forth your position based on the Individual circumstances which exist In
the estate.

the best interests of all concerned that successor trustees be appointed
to administer the trust established under the Will of C. Richard Nye, Sr., It
is hereby ordered and decreed that:
1. Dauphin Deposit Bank and Trust Company is fully released and
relieved of and from all duties, responsibilities and liabilities which
might be associated directly or Indirectly with its having been named as
trustee under the said Will.
2. Timothy Morgan Nye and Wade Mickey Nye are hereby appointed as

PETITION FOR APPOINTMENT OF SUCCESSOR TRUSTEES
To The Honorable Judges of the said Court, NOW comes the Petitioner,
Dorothy M. Nye, by and through her counsel, Charles E. Shields III, of 2
West Main Street, Mechanlcsburg, Cumberland County, Pennsylvania, and
respectfully represents as follows:
1. C. Richard Nye, Sr. departed this earthly life on August 12, 1995
leaving a last will and testament dated June 12, 1992. The said will was
duly probated and letters testamentary were Issued thereon by the
Register of Wills of Cumberland County on August 28, 1995.
2. Petitioner, Dorothy M. Nye, Is the widow of the said C. Richard Nye,
Sr. and Is the duly qualified executrix under his said last will and
testament.
3. The said last will and testament (a copy of which Is attached hereto
as Exhibit A for the convenience of your Honorable Court) provides In
paragraph 9 as follows:

All of the common and preferred shares of stock and any rights or
olher valuable considerations which attach thereto, I give as follows to
Dauphin Dep081t Bank and Trust Company, as Trustee, In Trust, for the
following purposes:
1, All dividends and Income therefrom (except that
taxes thereon may be withheld If such withholding
Is, In the discretion of my Trustee, prudent under
the circumstances) shall go to my wife, Dorothy M.
Nye, for and during her natural life.
2. My said Trustee shall have the power and authority
to make Changes In the investment portfolio If It
deems such Changes to be wise and prudent.
3. Should the Trustee at any time deem the net Income
payable from this Trust to be insufficient to
support my said wife, the Trustee may, as often as
It deems necessary, pay to or apply for the use and
benefit of my wife such part of the principal of
this Trust. up to and Including the whole thereof,
as the Trustee in its discretion believes necessary
for the support of my said wife.
A. STANDARO
In exercising Its discretion hereunder, the
Trustee shall take Into consideration the Income,
earning capacity, resources and other sources of
receipt of my said wife, together with any other
factor which the Trustee may deem pertinent,
including the accustomed manner of living of my
said wife, but need not require the exhaustion of
personal resources as a condition for making
disbursements under the authority of this
paragraph. The Judgment of the Trustee as to the

propriety and amount of all 8uch payments shall be
conclusive.
Notwithstanding any provision to the contrary, the
Trustee shall not distribute principal except within
the standards of Internal Revenue Code sec. 2041.
B. ~DENCE OF NEED
The Trustee may, In Its discretion, require as
a condition precedent to the distribution of any
Trust assets for support or advancement, that my
said wife furnish evidence of her financial
condition, Income earning capacity, and assets, In
form and content satisfactory to the Trustee. The
Trustee shall be entitled to rely upon the written
certification of my said wife or any guardian or
power of attorney of my said wife as to the nature
and extent of my said wife's needs for support, and
the inadequacy of my said wife's resources apart
from the Trust. The Trustee shall not be required
to make further inquiry as to the authenticity of
the facts so certified.
C. PREFERENCES
In exercising its discretion hereunder, the
Trustee Is to consider the needs of my said wife
for support during her lifetime as the primary
purpose of this Trust, even if the satisfaction of
such needs requires invasion of the entire Trust
Estate.
D. SUCCESSOR TRUSTEES
If, In the discretion of my Trustee, the
principal of this Trust becomes so low that costs
and minimum fee schedules make It Impracticable

for my Trustee to continue to serve In such
capacity, then I hereby appoint my sons, Wade
Mickey Nye and Timothy Morgan Nye to serve as
successor trustees.

4. Should my said wife have predeceased me, then I
give these shares and any valuable rights which
attach thereto or the proceeds from a sale of the
same by my Executor or Trustee to be distributed
equally amongst my grandchildren who survive me.
Should, however, my wife not predecease me, but
Instead die during the term of this Trust, then
equally to my grandchildren who are surviving at
the time of my said wife's death.
It Is my wish that these stocks be valued and
distributed in kind so far as may be reasonable and
feasible under the circumstances. I also give to my
Executor or Trustee, as the case may be, the right,
authority, and power to distribute such shares of
stock to my said grandchildren, provided that an
amicable settlement can be reached amongst them
or their guardians as to whom should take which
particular shares. If for any reason an amicable
settlement Is not reached among all of the above-
named grandchildren or their guardians, then I
direct that all shares be liquidated and distributed
as cash."
4. As Is customary, Petitioner has been acting as de facto trustee by
virtue of her office as executrix, pending the approval and confirmation of
her first and final accounting.
5. Your Honorable Court has now confirmed the said first and final
accounting as of April 22, 1996 and the Dept. of Revenue, Inheritance Tax
Division, has accepted all tax calculations and payments.

court for the appointment of successor trustees.
9. Dauphin Deposit Bank and Trust Company, the named trustee, Is willing
to withdraw as trustee in favor of Timothy Morgan Nye and Wade Mickey
Nye, sons of the said C. Richard Nye, Sr.
10. The said Timothy Morgan Nye and Wade Mickey Nye are ready, willing,
and able to act as substitute trustees for Dauphin Deposit Bank and Trust
Company on a permanent basis.
11. Timothy Morgan Nye, Is an adult individual, Is a graduate of
Shlppensburg Area Senior High School, class of 1975; a graduate of
Shlppensburg University, class of 1963, Bachelor of Science Degree, Major
In Economics, and Is well-experienced in the handling of money and
investments In connection with his responsibilities at the H & Hear
dealership in Shippensburg.
