LAST WILL AND TESTAMENT
OF
JOHN P. HOUGHT
I, JOHN P. HOUGHT of the Township of South Franklin,
Washington County, Pennsylvania, do hereby make, publish and
declare this my Last will and Testament, and revoke any and
all Wills and Codicils by me at any time heretofore made.
FIRST: I direct that the expenses of my last
illness and funeral and burial be paid out of my Estate as
soon as may be convenient after my death.
SECOND: I give and bequeath all my tangible
personal property, together with any policies of insurance
thereon, to my beloved wife, CATHY J. HOUGHT; PROVIDED,
however, that if she does not survive me for a period of
sixty (60) days, I give and bequeath to my surviving children
so much of said property as they may each select, and the
rest shall be sold and the proceeds added to my residuary
Estate. The person having custody of any minor child of
mine may assist in selecting said child's share and may
receipt therefor to my personal representative without
giving bond.
THIRD: All the rest, residue and remainder of
my Estate, real and personal and wherever situate, I give,
devise and bequeath to my beloved wife, CATHY J. HOUGHT.

FOURTH: If my said wife shall have predeceased
me or if we shall have died in a common disaster, then and
in such case, I give, devise and bequeath the said rest,
residue and remainder of my Estate unto my children, share
and share alike, the issue of any child who has predeceased
me to take, per stirpes, the share of such deceased child.
AND PROVIDED FURTHER, that if neither my wife nor any of my
children survive me, then and in such case, I give, devise
and bequeath one-half of the rest, residue and remainder of
my Estate unto my mother, ANN SUHON, and my stepfather,
GEORGE SUHON, or, if neither survives me to my mother's
issue, per stirpes; and the remaining one-half of the said
rest, residue and remainder of my Estate unto my wife's
parents, LLOYD R. KING and DOROTHY M. KING, or, if neither
survives me to their issue, per stirpes.
FIFTH: If any property (other than tangible
personal property) as to which I am entitled to appoint
a guardian shall pass to a minor by reason of my death, I
appoint my beloved wife, CATHY J. HOUGHT, Guardian of the
Estate of said minor as to such property; PROVIDED, however
that if my wife shall not survive me, I appoint my wife's
sister and her husband, SHELLY LYNN CRAWFORD and GEORGE
CRAWFORD, of South Franklin Township, Washington County,
Pennsylvania, as said guardians. I authorize such guardian
or guardians in their sole discretion and without Order of
Court, to retain such property in kind or to sell the same,

giving good title to any real estate, to invest and reinvest
in stocks, bonds, or other investments without being limited
to investments which are legal for a minor's funds and to
use both income and principal for the minor's welfare, com-
fort, recreation, support and education, including prepara-
tory, college and post-graduate or professional training.

SIXTH:
Should my wife predecease me, or should
we die as a result of a common disaster, I appoint my wife's
sister and her husband, SHELLY LYNN CRAWFORD and GEORGE
CRAWFORD, guardians of the person of any minor child of mine.
SEVENTH: In the administration of my Estate, my
personal representative or personal representatives shall
have in addition to, and not in limitation of such authority
given to such personal representatives by law and without the
necessity of obtaining the consent of any court, the fOllowing
powers: to retain any or all of the assets of my Estate,
real or personal, without regard to diversification or risk
to invest and reinvest in any kind of property, real or
personal, or part interest therein, without being restricted
to investments which are legal for fiduciaries, but without
any affirmative duty of investment; to give options for sales,
leases, and exchanges/ to borrow money/ to sell, pledge, ex-
change or mortgage any real or personal property; to compromise
claims; to lease real or personal property for any term; to
join in or oppose the merger, consolidation, reorganization
or readjustment of the financial structure of any firm or

corporation in which the Estate may have an interest, to
carry securities in the name of a nominee, and to distribute
my Estate in cash or in kind or partly in cash or partly in
kind.
EIGHTH:
I nominate, constitute and appoint my
beloved wife Executrix of this my Last Will and Testament,
PROVIDED, HOWEVER, that if she shall fail to qualify or
cease to act as such, then and in such case, I nominate,
constitute and appoint my wife's sister and her husband,
SHELLY LYNN CRAWFORD and GEORGE CRAWFORD, to be co-Executors
hereof. If anyone or more of the foregoing shall fail to
qualify or cease to act as such, the remaining persons so
named may nevertheless continue to act hereunder. I direct
that no bond shall be required of my personal representative
or personal representatives in any jurisdiction.

P. Haught, deceased, late of Upper Allen Township, Cumberland County, Pennsylvania,

Cathy J. Haught, intending to be legally bound hereby declares, promises and agrees as
follows:
1. The said John P. Hought died a married man on August 4, 1995, leaving a Last Will
and Testament dated January 15, 19H2, a copy of which is altached and incorporated herein as
Exhibit "A".
2. Decedent's Will was admilted to probate by the Register of Wills of Cumberland
County on August 29, 1995, and leiter Testamentary were Issued to Cathy J. Hought as sole
Executrix.
3. In his. Will, decedent named his widow, Cathy J. Hought, as the sole residuary
legatee conditioned upon her survival of decedent for a period of sixty ((i()) days, which
condition was satisfied,
4. The said Lelters Testamentary on the Estate of John P. Hought were duly advertised
as provided by law in the Sentinel, a newspaper of general circulation, on September 14, 21,

and 28, 1995, and in the Cumherland Luw Journal, aleglll periodical, on Septemher 15, 22 and
29, 1995, proof of puhlieation for which arc nllnched and incnrpornted herein as Exhihit "B" and
"C" respectively.
5. A State Inheritance Tax Return was flied on January 3, 1996 with no inheritance tax
due and owing.
6. Cathy J. Hought desires nnd ngrees to finaliy and permanently settle her respective
interest in the Estate of John P. Hought without the formalities of the filing of a First and Final
Account and the Adjudication thereof and hnve distrihuted to herself her respective share in the
assets of the said Estate as hereinafter set forth:

7. Cathy J. Hought hereby accepts, appruves and agrees that the said accounting of the
asscts, liabililies and Schedule of Distribution shall have the same force and effect as if a First
and Final Account has been filed in the Office of the Register of Wills of Cumberland County,
Pennsylvania, by the Executrix with a proposed Schedule of Distribution as if the said First and
Final Account had been adjudicated and confirmed absolutely by the Court of Common Pleas
of Cumberland County, Pennsylvania, Orphans' Court Division, and the said Court approved
the said Schedule of Distribution.
8. There are no liabilities of the John P. Hought Estate known by Cathy J. Hought
except those herein sct forth; and in the event any legal claims hereafter appear or any additional
inheritance tax is determined to be due and owing, Cathy J. Hought agrees to refund to the said
Estate any amount of monies received or hereafter received in pursuance to this Agreement as
may be necessary in the future to discharge any such liabililies not specifically listed herein of
which she may hereafter receive notice.
9. Cathy J. Hought, individually, hereby releases the said Cathy J. Hought, Executrix
of the Estate of John P. Hought, deceased, of and from any and all claims known or unknown
to her which she has against the said Estate and against the said Cathy J. Hought acting as
Executrix of the said Estate.
10. This is the entire agreement between the Parties hereto, acting in separate capacities,
and shall be binding upon her, her heirs and assigns.

LAST WILL AND TESTAMENT
OF
JOHN P. HOUGHT
I, JOHN P. HOUGHT of the Township of South Franklin,
Washington County, Pennsylvania, do hereby make, publish and
declare this my Last Will and Testament, and revoke any and
all Wills and Codicils by me at any time heretofore made.
FIRST: I direct that the expenses of my last
illness and funeral and burial be paid out of my Estate as
soon as may be convenient after my death.
SECOND: I give and bequeath all my tangible
personal property, together with any policies of insurance
thereon, to my beloved wife, CATHY J. HOUGHT, PROVIDED,
however, that if she does not survive me for a period of
sixty (60) days, I give and bequeath to my surviving children
so much of said property as they may each select, and the
rest shall be sold and the proceeds added to my residuary
Estate. The person having custody of any minor child of
mine may assist in selecting said child's share and may
receipt therefor to my personal representative without
giving bond.
THIRD I All the rest, residue and remainder of

AND PROVIDED FURTHER, that if neither my wife nor any of my
children survive me, then and in suoh case, I give, devise
and bequeath one-half of the rest, residue and remainder of
my Estate unto my mother, ANN SUHON, and my stepfather,
GEORGE SUHON, or, if neither survives me to my mother's
issue, per stirpes I and the remaining one-half of the said
rest, residue:' and remainder of my Estate unto my wife's
parents, LLOYD R. KING and DOROTHY M. KING, or, if neither
survives me to their issue, per stirpes.
FIFTH: If any property (other than tangible
personal property) as to which I am entitled to appoint
a guardian shall pass to a minor by reason of my death, I
appoint my beloved wife, CATHY J. HOUGHT, Guardian of the
Estate of said minor as to such property I PROVIDED, however
that if my wife shall not survive me, I appoint my wife's
sister and her husband, SHELLY LYNN CRAWFORD and GEORGE
CRAWFORD, of South Franklin Township, Washington County,
Pennsylvania, as said guardians. I authorize such guardian
or guardians in their sole discretion and without Order of
Court, to retain such property in kind or to sell the same,

giving good tit to any real estate, to i. Jst and reinvest
in stocKS, bonds, or other investments without being limited
to investments which are legal for a minor's funds and to
use both income and principal for the minor's welfare, com-
fort, recreation, support and education, including prepara-
tory, college and post-graduate or professional training.
SIXTH: Should my wife predecease me, or should
we die as a result of a common disaster, I appoint my wife's
sister and her husband, SHELLY LYNN CRAWFORD and GEORGE
CRAWFORD, guardians of the person of any minor child of mine.
SEVENTH: In the administration of my Estate, my
personal representative or personal representatives shall
have in addition to, and not in limitation of such authority
given to such personal representatives by law and without the
necessity of obtaining the consent of any court, the following
powers: to retain any or all of the assets of my Estate,
real or personal, without regard to diversification or risk
to invest and reinvest in any kind of property, real or
personal, or part interest therein, without being restricted
to investments which are legal for fiduciaries, but without
any affirmative duty of investment I to give options for sales,
leases, and exchanges, to borrow money, to sell, pledge, ex-
change or mortgage any real or personal property I to compromise
claims, to lease real or personal property for any term, to
join in or oppose the merger, consolidation, reorganization
or readjustment of the financial structure of any firm or

my Estate in cash or in kind or partly in cash or partly in

EIGHTH:
I nominate, constitute and appoint my
beloved wife Executrix of this my Last Will and Testament;
PROVIDED, HOWEVER, that if she shall fail to qualify or
cease to act as such, then and in such case, I nominate,
constitute and appoint my wife's sister and her husband,
SHELLY LYNN CRAWFORD and GEORGE CRAWFORD, to be co-Executors
hereof. If anyone or more of the foregoing shall fail to
qualify or cease to act as such, the remaining persons so
named may nevertheless continue to act hereunder. I direct
that no bond shall be required of my personal representative
or personal representatives in any jurisdiction.
