and a copy of his Will is attached hereto as Exhibit "A" and, by
this reference, incorporated herein; and
WHEREAS, the decedent's will was probated in the Office of

Testamentary were issued by the Register of Wills to patricia L.
Bishop on October 11, 1995; and
WHEREAS, publication of the Estate Notice was made in the
CUmberland County Legal Journal and The Sentinel as required by
law, and evidenced by filing of Proofs of Publication in the
Register of Wills's Office of CUmberland County on February 13,
1996; and
WHEREAS, the Executrix has proceeded with the adminis-
tration of the Estate; and
WHEREAS, the Executrix has filed a Pennsylvania Inheritance
Tax Return on June 10, 1996, a copy of which is attached hereto
as Exhibit "B" and, by this reference, incorporated herein,
showing inheritance tax due and paid to the Commonwealth of
Pennsylvania in the amount of $86,092.65 plus an additional
$260.00; and
WHEREAS, a Federal Estate Tax Return was prepared and
filed, a copy of which is attached hereto as Exhibit "C" and, by
this reference, incorporated herein; and
WHEREAS, it is the desire of the parties to this Agreement
that final distribution of this estate be accomplished without a
formal accounting to the Orphans' Court Division of the Court of
Common Pleas of CUmberland County, it being the desire of the
parties to avoid the expense, delay and publicity of a formal
accounting; and
WHEREAS, a Certificate of Notice to Beneficiaries was
served; and
WHEREAS, the parties hereto are the sole heirs and
beneficiaries of the Estate of John M. Hagans, deceased, and the
only ones who could Object to the distribution of the Estate of
John M. Hagans, deceased, by the Executrix.

NOW, THBRBFORB, the parties hereto, intending to be legally
bound, mutually agree as follows:
1. The parties hereto, and each of them, agree and
acknowledge that they have fully and carefully examined this
Family Settlement and Final Release and all the Bxhibits
attached hereto and incorporated herein by reference, and find
them to be true and correct and acceptable to the parties
hereto; and each of them is in agreement with the Schedule of
Proposed Distribution as set forth in Bxhibit "0", which is
attached hereto and, by this reference, incorporated herein.
2. Bach party hereto acknowledges receipt of a copy of the
Family Settlement and Final Release and Bxhibits attached
thereto.
3. Bach party does hereby remise, release, quitclaim and
forever discharge the said personal representative, Patricia L.
Bishop, and the law firm of Stuart A. Cilo, Bsquire, from all
actions, suits, payments, accounts, reckonings, claims and
demands whatsoever for or by reason thereof, or for any other
use, matter, cause or thing whatsoever, tOUChing upon the estate
of the said decedent. The said heirs and beneficiaries do
hereby further covenant and agree that should any liability come
due to the estate of the said decedent after the signing of this
Agreement, we and each of us do hereby covenant and agree with
each other and the aforesaid personal representatives, that we
will contribute pro-rata, our share of the estate to satisfy any
and all claims, demands, suits or causes of action which may be
successfully prosecuted against the said estate or the aforesaid
personal representative after the signing, sealing and delivery
of this Family Settlement and Final Release.
4. This settlement was arrived at and signed by the
parties after a complete disclosure of the assets of the Bstate
and respective rights of the parties in regard to the Bstate.
5. Each party to this Agreement acknowledges that this
Agreement shall be indexed and recorded in the estate
proceedings and that the terms hereof shall be binding upon
their respective heirs, successors, administrators and assigns.

6. This Agreement shall be governed by the laws of the
Commonwealth of Pennsylvania.
7. Bach party to this Agreement understands that prior to
his death, John M. Hagans executed certain documents which
caused the title of certain investments and assets to be
transferred to the name of his sister, Winifred B. Clouser,
which included:
