LAST WILL AND TESTAMENT
I, JOHN W. DEIBEL, of Mechanlcsburg, Cumberland County,
Pennsylvania, makc this my last will and testament and hereby revoke
01 I of my prior wills and codicils.
ITEM I: direct that the expenses of my funeral and burial be
paid out of my cstate In such amount as my Executrix or Executor may
deem propcr, without regard to any limitation In the applicable law
as to the amount of such expenses and without the necessity of prior
court approval.
ITEM II: I hereby affirm my Intention that the beneficial
Interest in all property, real or personal, tangible or Intangible,
which Is registered or held In the names of myself and my wife,
MILDRED W. DEIBEL, (other than tenancy In common), shall pass by
right of survivorship or operation of law and outside the terms of
this will to my wife, If she survives me. To the extent that my
Intention may be defeated by any rule of law, I give all such
jointly held property to my wife, If she survives me.
ITEM III: I give, devise and bequeath my entire estate, both
real and personal, of whatever nature and wherever situate, to my
wife, MILDRED W. DEIBEL, provided she survives my death by thirty
days. Should my wife predecease me or not be living on the
thirty-first day after my death, then the estate herein given,
devised and bequeathed to her shall be divested, and In such event,
I ,give, devise and bequeath the same to my son, SCOTT W. DEIBEL,

provided he Is living on the thirty-first day after my death. Should
my son no' be living on the thirty-first day following my death, then
In such event, his share shall be given to those of his issue who
survive my death by thirty days. In equal shares, share and share alike.
ITEM IV: I direct that all taxes that may be assessed as a
result of my death. of whatever nature and by whatever jurisdiction
Imposed, shall be paid from my residuary estate as part of the
expenses of administration of my estate, with no right of
reimbursement from any recipient of any property received under the
terms of this will.
ITEM V: I appoint my wife. MILDRED W. DEIBEL, as Executrix
of this my Last Will and Testament. If my wife falls to qualify or
ceases to act as Executrix, I appoint my son, SCOTT W. DEIBEL. as
Executor of this my Last Will and Testament. My Executrix or
Executor may resign from office without leave of court at any time
and for any reason by filing a written instrument of resignation
with the clerk of the appropriate court. direct that neither my
Executrix nor my Executor shall be required to furnish bond for the
faithful performance of her or his duties In any jurisdiction. If,
contrary to this direction, any bond Is required by any law. statute
or rule of court, no sureties shall be required thereon.
ITEM VI: My Executrix or Executor is empowered without order
of the court to sell, exchange. mortgage or pledge the whole or any
part of my estate, real or personal. for such prices, on such terms
and to such persons as my Executrix or Executor decides, to make

distribution of my estate wholly or partly In kind. to pay, settle.
compromise or abandon any or all claims. either In favor of or
against my estate. as my Executrix or Executor dcems best, and for
any of the foregoing purposes to make. execute and deliver any and
all deeds. mortgages. bills of sale or other Instruments necessary
or desirable therefor.
ITEM VII: My Executrix or Executor Is empowered to join my
wife. MILDRED W. DEIBEL, or her personal representative or
representatives. in filing a joint Income tax return without
requiring her or her estate to Indemnify my estate against liability
for the tax attributable to her Income. and to consent to any gifts
made by my wife during my lifetime, being treated as having been
made one-half by me for purposes of the federal gift tax law.

I, JOHN W. DEIBEL, of Mechanlcsburg, Cumberland County,
Pennsylvania, make this my last will and testament and hereby revoke
all of my prior wills and codicils.
ITEM I: I direct that the expenses of my funeral and burial be
paid out of my estate In such amount as my Executrix or Executor may
deem proper, without regard to any limitation In the applicable law
as to the amount of such expenses and without the necessity of prior
court approval.
ITEM II: I hereby affirm my Intention that the beneficial
Interest in all property, real or personal, tangible or intangible.
which is registered or held In the names of myself and my wife,
MILDRED W. DEIBEL, (other than tenancy In common), shall pass by
right of survivorship or operation of law and outside the terms of
this will to my wife. if she survives me. To the extent that my
Intention may be defeated by any rule of law, I give all such
jointly held property to my wife. If she survives me.
ITEM III: I give. devise and bequeath my entire estate, both
real and personal, of wha~ever nature and wherever situate, to my
wife, MILDRED W. DEIBEL. provided she survives my death by thirty
days. Should my wife predecease me or not be living on the
thirty-first day after my death. then the estate herein given.
devised and bequeathed to her shall be divested. and In such event,
I give, devise and bequeath the same to my son, SCOTT W. DEIBEL,

provided he Is living on the thirty-first day after my death. Should
my son not be living on the thirty-first day following my death, then
In such event, his share shall be given to those of his Issue who
survive my death by thirty days, In equal shares, share and share alike.
ITEM IV: direct that all taxes that may be assessed as a
result of my death, of whatever nature and by whatever jurisdiction
Imposed, shall be paid from my residuary estate as part of the
expenses of administration of my estate, with no right of
reimbursement from any recipient of any property received under the
terms of this will.
ITEM V: I appoint my wife, MILDRED W. DEIBEL, as Executrix
of this my Last Will and Testament. If my wife falls to qualify or
ceases to act as Executrix, I appoint my son, SCOTT W. DEIBEL, as
Executor of this my Last Will and Testament. My Executrix or
Executor may resign from office without leave of court at any time
and for any reason by filing a written Instrument of resignation
with the clerk of the appropriate court. direct that neither my
Executrix nor my Executor shall be required to furnIsh bond for the
faithful performance of her or his duties In any jurisdiction. If,
contrary to this direction, any bond is required by any law, statute
or rule of court, no sureties shall be required thereon.
ITEM VI: My Executrix or Executor Is empowered without order
of the court to sell, exchange, M~rtgage or pledge the whole or any
part of my estate, real or perscnal, for such prIces. on such terms
and to such persons as my Executrix or Executor decides, to make
