I, THOMAS L. FROMM, of the Township of South Middleton, County of
Cumberland and Commonwealth of Pennsylvania, being of sound and disposing
mind, memory and understanding, do make, publish and declare this as and for my
Last Will and Testament, hereby revoking and making void all former wills and
codicils by me at any time heretofore made.
FIRST. I order and direct that all my just debts and funeral expenses be paid
by my Executors, hereinafter named, as soon as conveniently may be done after my
decease.
SECOND. I order and direct that my Executors shall permit my wife,
YVONNE L. FROMM, to continue to reside in our family home at 7 Kitszell Drive,
South Middleton Township, Cumberland County, Pennsylvania, that we own as
tenams in common, during the administration of my estate and umil it is sold as
provided in the following paragraph, provided that during said period: 0) she
shall pay and be solely responsible for the normal household and utility expenses;
and (2) she shall share equally with my Executors in the payment of: (a) the
reasonable expenses of normal repair and maintenance; (b) real estate taxes
assessed against the property; and (c) premiums for insurance of the property
against loss by fire and other casualty.

Dear Marlin:
This office will be representing Mrs. Yvonne L. Fromm with
respect to all issues arising from the death of her husband.
In addition to providing you with notice of this
representation, the primary purpose of this letter is to exercise
the option in the Last Will and Testament of Mr. Fromm for the
purchase of his one-half interest in the real estate at 7
Kitszell Drive.
We enclose copies of the settlement sheet for the purchase
of the land and the Final Settlement of the construction
transaction.
Although Mr. and Mrs. Fromm contributed equally to these
expenses, we would hope that you would agree that it would not be
necessary for us to go to the trouble to dig out the checks in
view of the fact that the Will gives her the right to exercise
the option at one-half the total price irrespective of the
relative contributions of the parties.
Mrs. Fromm also indicates that the parties paid the real
estate taxes out of their joint checking account. We would
inquire as to whether or not you would be in a position to agree
to waive the real estate tax proration.
We look forward to working with you in concluding this
transaction.

As you know, the Fromm estate has misscld the deadlinc for notifying the FCC of
Mr. Fromm's passing under Ihe relevant ruJes. However. the FCC may waive one of its
rules or orc!ers if good cause Is shown. 47 C.F,R. ~ 1.3. f!>. showing of good c:luse requires
the petitioner to demonstrate special circ:Jmsl<'.nces or hardships that warrant deviation from
Ule rules or orders and how to show such a deviation would be in the public interest.
NortheaST Circular v. FCC, 897 F.2d 1164. 1166 (D,C. Cir. 1990). Although the mailer is
not free from doubt, T believe that you C;\ll satisfy this requirement,
An additional complication is that many such licenses ,are conditional upon beginning
construction within a prescribed time p~riod-lIsually one year. It Is unclear whether your
client has done so. If not, a waiver of this requirement must be sought promptly as well.
Again, a limited extension probably can be obtained.
Obtaining the req:Ji~ite waivers would uot neccssarlly be a routine malter. Thus, I

FAMILY SETTLEMENT AGREEMENT
WHEREAS, THOMAS L. FROMM, late of the Township of South
Middleton, Cumberland County, Pennsylvania, died on October 13,
1995, having first made his Last Will and Testament in writing
dated July 22, 1995, which since his decease has been duly
probated before the Register of wills of Cumberland County,
Pennsylvania, and Letters Testamentary thereon were issued to
Pamela S. Meabon and Mark D. Meabon, the Executors named in the
said Last Will and Testament of the decedent.
NOW KNOW ALL MEN BY THESE PRESENTS, that we, PAMELA S.
MEABON, CURTIS M, FROMM and TRACI LYNNE WALTER, being the
beneficiaries named in the said will of said decedent and the
persons entitled to share in the distribution of the Estate of
said decedent, do hereby declare and say that we have examined
the First and Final Account of Pamela S. Meabon and Mark D.
Meabon, Executors of the Estate of Thomas L. Fromm, Deceased,
dated December 30, 1996, and find the same to be true and
correct, and in strict accordance with the terms and provisions
of the said Will of the said decedent; and we, PAMELA S.
MEABON, CURTIS M. FROMM and TRACI LYNNE WALTER, beneficiaries
as aforesaid, do hereby acknowledge that we this day have had
and received of and from PAMELA S. MEABON and MARK D. MEABON,
Executors of the Estate of THOMAS L. FROMM, the cash or
property set opposite our names in the Proposed Distribution

Deceased, and all interest accrued thereon.
NOW, THEREFORE, we, PAMELA S. MEABON, CURTIS M. FROMM and
TRACI LYNNE WALTER, beneficiaries as aforesaid, do by these
presents remise, release, quit-claim and forever discharge the
said PAMELA S. MEABON and MARK D. MEABON, Executors, their
heirs, executors and administrators, of and from all actions,
suits, payments, accounts, reckonings, claims and demands
whatsoever, for or,by reason of our respective shares or
interests in the said Estate, or of and from any act, matter,
cause or thing whatsoever, from the beginning of the world to
the day and date of these presents.
AND desiring to avoid the delay and expense of the
settlement of said Estate by filing the foregoing Account of
said administration in the Office of the Register of Wills of
Cumberland County, Pennsylvania, and by having the balance in
the hands of the Executors, as shown by said Account,
distributed by the Court of Common Pleas of Cumberland County -
Orphans' Court Division, we do hereby agree that this Agreement
concerning the matter of settlement may be recorded with the
same effect upon us as if the same had been reported upon by
said Court, and a decree of distribution made on such report by

WALTER, being the beneficiaries as aforesaid, do hereby agree
that if any debts or demands other than those included in the
said First and Final Account of the said PAMELA S. MEABON and
MARK D. MEABON, Executors as aforesaid, shall be hereafter
recovered against the Estate of said decedent and be legally
payable out of the' same, each of us will return to the said
Executors such portion of the amount distributed to each of us
as may be necessary to pay such debts or demands, the amount of
such return not to exceed the amount distributed to each of us.
IN WITNESS WHEREOF, we have caused this Family Settlement
Agreement to be executed this 31st day of December, 1996,
intending to be legally bound thereby.
