liabilitips, ppnaltlps, finps, judgments, forfeiturps, losses (Including
without limitation, diminution In thp value of thp Trust propprty, damages
for thp loss of or rpstriction on thp USP of rentable or usable space or of
any ampnlty or thp Trust propprty), costs, or pxpenses (Including
attornpys' fpes, consultants' fpes, and pxpf'rts' fees) arising from or
causpd In wholp or In part, dlrpctly or Inuirpctly, by (A) thp prespncp In,
on, undpr, or about the Trust property or any dischargp or release on or
from thp Trust property of any hazardous substances or Spttlor's use,
analysis, storagp, transportation, disposal, release, threatened releasp.
discharge genpration of hazardous substance to, in. on. under, about, or
from the Trust property, or (8) Settlor's failure to comply with any
pnvlronmental law. Spttlor's Obligations undpr this indpmnlflcatlon shall
includp, without limitation, whpther forpseeable or unforeseeable, any and
all costa incurred in connpctlon with any investigation of site conditions,
and any and all costs of any required or necessary repair, cleanup,
detoxification, or decontamination of the Trust property (Including,
without limitation, the soil and ground water on, under or about the Trust
property), and thp preparation and implempntation of any closure, remedial
action, or othpr requlrf'd plans In connection therewith. Settlor's
obligation under this indpmniflcation shall survive the expiration or
earlier termination of thp Trustee's term as fiduciary under the Trust
Agrppmf'nt. For thp purposps of the release and lndpmnlty provisions
hereof, any acts or omlssion8 or Settlor, or by employees, agents,
asslgnf'ps, contractors, or SUbcolltractors of Sf'ttlor or othprs acting for
or on bphalf of Spttlor (whethpr or not they are negligent, Intf'ntional,
willful, or unlawful), shall bp strictly attributable to Settlor.
No Trustee shall bp liable for any loss or df'preclatlon in value
sustained by the Trust as a result of the Trustee rptainlng any property
upon which there is later discovered to be hazardous materials or
substances requiring rpmedlal action pursuant to any federal, statp, or
local environmpntal law, unless the Trustf'e contributed to thf' loss or
dppreclation in valuf' through willful dpfault, willful misconduct, or gross
npgll gencp.
Notwithstanding any contrary pruvlsion of thp Trust Agrepment, the
Trustf'f' may withhold a distribution to a bpnpflclary until rf'cf'lvlng from
thf' bf'npflciary an lndf'mnlflcatlon agref'mf'nt In which the beneficiary
agrees to Indpmnlfy thp Trustf'f' against any claims fllf'd against thf'

laws" mpans any federal, state, or 10Dal law, rule, re8ulatlon, or

the term "hazardous substanoes" means any substanoe defined as hazardous or
toxic or otherwise regulated by environmental law,

I, J. EDWARD WEIKERT, SETTLOR, of Upp~r AII~n Township, Cumb~rland County,
Pennsylvania, her~by transfer to DAUP~IN DEPOSIT BARK AND TRUST COHPANY
(hereinafter called the TRUSTEE), a Pennsylvania Bank and Trust Company, th~
property described In th~ attached Schedule "A", to be held In trust as

ARTICLE I: DISPOSITIVE PROVISIONS FUR HY UENEFIT---Durlng my lifetime:
A. All of the net lncom~ shall b~ paid to m~, at least monthly or
shall be paid or accumulat~d and added to principal, as 1 may direct in
writing;
B. As much of the principal as I may from time to time requ~st in
writing shall be paid to m~, or as I may otherwise direct;
C. If, In the TRUSTEE'S opinion, I am at any time unable to act or to
applY the payments to my own best interest and advantage, the TRUSTEE may
applY directlY for my benefit as much of the income or principal as the
TRUSTEE may, from time to tlm~. deem appropriate for my welfare, comfort,
support or emergency needs and may add to principal as much of the Income as
the TRUSTEE deems advisable.
D. TRUSTEE shall keep true and correct books of account, which books
of account shall at all reasonable times be open to the Inspection of
SETTLOR or his duly appointed representative. TRUSTEE shall also quarterlY
render SETTLOR a detailed statement showing all receipts and dlsbursments on
account of the trust estate and the manner and form In which the trust
estate Is Invested at the time of the rendition of such statement.
ARTICLE III DISPOSITIVE PROVISIONS AFTER MY DEATH---Upcn my death, If my
wife, NELLIE C. WEIKERT, survives me, this Trust shall become Irrevocable
and continue for her benefit, with the same terms and conditions, until her
death. Should my wife, NELLIE C. WEIKERT, predecease me, or, upon her
death, If she survives me, all principal and Income remaining shall be held
OS a separate trust for the benefit of my two children, JAMES L. WEIKERT and
WANDA E. HAAS, as follows:
A. One-half of the net Income shall be paid to my son, JAMES L.
WEIKERT, until he reaches the age of 65 years, wh~n one half of th~
principal and income may be distributed to him, if he so elects, by written
notice to th~ TRUSTEE. Oth~rwlse, he shall continue to receive one-half of
the net income and os much of one-half of the principal as he may from time
to time requ~st in writing, until his death, when one-half of th~ principal
and income, less any lifetime draws, shall b~ distributed as set forth in
paragraph C hereof.
B, The remaining one-half of the net income shall be paid to my
daughter, WANDA E. HAAS, until she reaches the ag~ of 65 years, when the
remaining one-half of the prlnnlpal and Income may be distributed to her, If
she 50 elects, by written notice to the TRUSTEE. Otherwise, she shall
continue to receive the remaining on~-half of the net Income and as much of
the remaining one-half of the principal os she may from time to time r~quest
In writing, until her death, when the remaining on~-holf of the principal
and Income, less any lifetime draws, shall be distributed os set forth In
paragraph C her~of.

C. Upon the death of my 80n or my daughter at any time, their on~-half

D. Despit~ th~ foregoIng provIsIons, the TRUSTEE shall have the power

TRUSTEE'S sole dIscretion, may be necessary or approprIate, for the b~nefit
of my son, daughter or grandsons, for th~lr welfare, comfort, support or
emergency n~eds, prior to th~lr attainIng th~ age when full benefits under
thIs Trust v~st.
ARTICLE III: RIGHT TO REVOKE OR AHEND---I reserv~ the rIght to revoke or
am~nd this trust, In whole or in part, or to chan8~ trustees, at any tlm~
and from tim~ to time by an Instrument In wrIting, dellv~red to th~ TRUSTEE
and int~nded to take effect durIng my lifetime, except that the dutIes,
powers and lIabilitIes of th~ TRUSTEE shall not be changed wIthout Its
writt~n consent, The TRUSTEE re9~rves th~ right, at any tIme upon thIrty
(30) days advance writt~n notIce to me, to resIgn the trust and dellv~r the
trust estate to me, aft~r deductIng th~refrom Its fees and any exp~nses th~n

B. To Invest In all forms of property (IncludIng, but not by way of
limItatIon, real estate, 011 types of stocks, bonds, and particIpatIons In
common trust funds and mon~y mark~t funds), without being confIned to
Investments prescribed by statut~ and wIthout being r~qulred to diversify.
C. To buy Investm~nts at a premium or dIscount.
D. To hold property unreglst~r~d or In th~ nam~ of a nomInee.
E. To give proxIes, both mlnlstorlal and dIscretionary.
F. To compromls~ claIms.
G. To join In any merger, consolidatIon, r~organlzatlon, voting trust
plan, or other conc~rted action of s~curlty holders, and to delegate
dlscr~tlonary dutl~s with respect thereto,
H. To borrow from DauphIn Deposit Dank and Trust Company or from

or Income or partly to each, without being obliged to apply the usual rules
of trust accounting.
K. To Distribute In cash or In kind or partly In each.
L. To retain any part or all of my business Interests held In this
Trust as long as the TRUSTEE considers It advisable to do so, and to
conduct, alone or with others, any such business In which we are engaged,
with all the powers of an owner or with respect thereto, Including the power
to delegate discretionary duties to others and to pay adequate compensation
to any such person, to Invest other property In such business, and to
Incorporate It or change Its form,
ARTICLE VII COMPENSATION---The TRUSTEE shall be compensated In accordance
with Its standard schedule of charges In effect from time to time during the
period of Its services, and this compensation shall be paid from principal
or Income or partly from each In the sole discretion of the TRUSTEE.
ARTICLE VII: NON-ASSIGNMENT---No part of the Income or principal of the
property held under this Trust shall be subject to attachment, levy or
seizure by any creditor, spouse, assignee or trustee or receiver In
bankruptcy prior to actual receipt thereof. The TRUSTEE shall pay over the
net Income and the principal to the persons herein designated, as their
Interests may appear, without regard to any attempted anticipation (except
as specifically provided In this agreement), pledging or assignment under
the Trust, and without regard to any claim thereto or attempted levy,
attachment, seizure or other process against us.
ARTICLE VIII: NON-LIAUILITY FOR COMPLIANCE WITII ENVIRONMENTAL LANS---Hy
TRUSTEE shall not be personally liable to any beneficiary under my Trust, or
to any other party Interested In my Trust, for any claim against my Trust
for the diminution In value of Trust property rising from the compliance by
my TRUSTEE with any federal, state, or local law, rule or regulation
Including (1) the reporting of or other response to the contamination of
Trust property by substances or materials prohibited or regulated by
federal, state, or local law or that are known to pose a hazard to the
environment or to human health, (2) the reporting of or other response to
violations of any other federal, state or local law, rule or regulation
involVing materials or substances regulated by federal, state or local law
or that are known to pose a hazard to the environment or human health, or
(]) other matters relating to environmental laws.
ARTICLE IXI MONITORING OF PROPERTY---My TRUSTEE may, In its discretion,
periodically Inspect, review and monitor, or require the Inspection, review
and monitoring of any and all property held In my Trust for the purpose of
determining compliance with any law, rule or regulation affecting such
property, with all expenses of such Inspection, review and monitoring to be
paid from the Income or principal of the Trust.

ARTICLE X: POWER TO UNDERTAKE CLEANUP OF TRUST PROPERTY---Hy TRUSTEE shall
have the power, In order to proteot the assets held In my Truat, to take any
and all aotlon It shall reasonably deem neoessary, In Its sole dlsoretlon,
to prevent, abate, "olean-up", or otherwise respond to any violation of any
federal, atate or 10001 law, rule or ordlnanoe affeotlng any property held
In my Truat related to the generation, uae, treatment, atorage, dlapoaal,
release, dlsoharge, or oontamlnatlon by any materials or substanoea that are
prohibited or regulated by federal, state or looal law or that are known to
pose a hazard to the environment or human health. Suoh aotlona may be taken
prior to the Initiation of enforoement aotlon by a federal, state or 10001
agenoy. Hy TRUSTEE shall obtain an estimate of the oost of suoh reaponse to
suoh violation or oontamination and ahall notify the beneflolarles of my
Truat of the estimated ooat of auoh response. Suoh beneflolariea shall have
the right to pay for auoh reaponae oosts. If the beneflolarlea of my Trust
for any reason fall to pay for or authorize payment of suoh oosts from Trust
assets, my TRUSTEE shall be entitled to use Trust assets to pay suoh oosts.
ARTICLE XII: LAW GOVERNING TRUST---Thls Trust Is oreated and aooepted In
the Commonwealth of Pennsylvania and shall in all respeots be governed by
Its laws and shall have its situs at Cumberland County, Pennsylvania.

19108, grandson of J. Edward Weikert, deceased, and one of two (2)
sons of James L. Weikert (hereafter referred to as a "REMAINDER
BENEFICIARY"); and
F. Mark E. Haas, 1299 Letchworth Road, Camp Hill, Pennsylvania
17011, grandson of J. Edward Weikert, deceased, and only child of
Wanda E. Haas (hereafter referred to as a "REMAINDER
BENEFICIARY");
hereafter cumulatively referred to as "PETITIONERS".
2. J. Edward Weikert, late of 916 Aspen Avenue, Messiah Village,
Mechanlcsburg, Pennsylvania, (hereafter referred to as "SETTLOR") died on
September 20, 1995 (at eighty-one (81) years of age) survived by PETITIONERS.
3. On June 23, 1993 SETTLOR executed1 a certain Instrument titled "Trust of
J. Edward Weikert, Settlor" (hereafter referred to as "TRUST INSTRUMENT" or
"TRUST"). A copy is attached as Exhibit "A".

On December 23, 2005. Nollie C. Weikert amonded samo, substltuting tho Janestown Bank Bnd Trust Company, as lruslDO for
Manufacturers and Traders Trusl Company (formorly Dauphin Deposit Bank and Trust Company). Tho transition of
fiduciaries and transfer of assols has boen accomplished thereon.

4. Upon the TRUST's creation, the SETTLOR designated the Dauphin
Deposit Bank and Trust Company of Carlisle, Pennsylvania, a Pennsylvania banking
corporation, as Trustee (pursuant to the preamble). By process of acquisition and
merger Dauphin Deposit Bank and Trust Company has become the Manufacturers &
Traders Bank of One West High Street, Carlisle, Pennsylvania (hereafter referred to as
"M & T BANK").
5. During SETTLOR'S lifetime the TRUST was revocable, he reserving the
power to revoke, amend, and/or change the Trustee (see Article III).
6. During SETTLOR'S lifetime all TRUST income and principal (such as he
directed in writing) were payable to him (see Article I-A).
7. Upon SETTLOR'S death, the TRUST became Irrevocable (See Article II).
8. Upon SETTLOR'S death, the TRUST Income became payable (and has
since been paid) to his widow and PRIMARY BENEFICIARY (see Article II).
9. The TRUST'S language provides that upon the death of Nellie C. Weikert:
a. One-half (1/2) of the TRUST's assets be held for and the net Income
be paid to SETTLOR'S son and SECONDARY BENEFICIARY, James
L. Weikert until age sixty-five (65), he having the right to elect (then
and subsequently) whole or partial asset dlstributlon2 (See Article II-A);
b. One-half (1/2) of the TRUST's assets be held for and the net Income
be paid to SETTLOR'S daughter and SECONDARY BENEFICIARY,
