LAST WILL AND TESTAMENT

I, DALE K. FETROW, widower, of South Middleton Township (mailing address: 9
Earl Street, Boiling Springs, Pcnusylvania 171K17), Cumberland Counly, Pennsylvanin, being of
sound and disposing, mind, memory and understanding, do hereby make, publish and declure
this liS and for my Lust Will und Tcslllment, hereby revoking lmd making VOId any and all Wills
by me IU any time heretofore made.
I. I direct my hereinafter nllmed Executors to pay all of my just debts and funeral
expenses as soon after my dellth ns may be found convenicntlo do so. I direct that alllnheritnnce,
estate and deuth taxes which may be pnyablc on account of my denth shnll be paid from the
residue of my estatc as expenscs of IIdministnuion, regardless of whether the assets upon which
such taxes are based ure a pun of my probate estate, I direct that my funeral servlccs be conducted
by Ewing Brolhers Funeral Home, 630 South Hanover Street, Carlisle, Pennsylvania, nnd tllllt
my body be intcrred on my burinl lot localed in Paxtang Cemetery, Dauphin County.
Pennsylvania, beside that of my wife, Evelyn Fetrow.
2, All of the rest, residue and rcmalnder of my estate, real, personal and mixed, nnd
wheresoever the same may be sltunte, I give, devise IInd bequcath to Fnnncrs Trust Company nnd
its successors, One West High Street, Carlisle, Pennsylvllnlll, in trust, to receive IInd invest the
SlIme and to pny the income arising therefrom at regular intervllls lit least annually as follows:
a) One-half (1/2) to my grandson, Michael Lombardo, and the other one-half (1/2)
to my granddaughter, Jodi Lombardo, until such time each grllndchlld has attained 40 years of age
at which time the trust shall terminate as to that grandchild and one-hnlf (112) of the principal of
snid lnIst shall be distributed to that grandchild, and the bnlance of the trust shall be retained by
the Trustee until the other grandchild nttains 40 years of age at which time snid trust shall
terminnte and the principal thereof distributed to that grandchild. Should either of my said two
grandchildren become deceased prior to attaining 40 years of age then at the time of his or her
death the persons who constitute the legitimate issue of such grandchild shall receive said
principal sum, per stirpes, and if there be no sueh legitimate issue the same shall lapse and be
added to the shure of my other grandchild and be distributed to that grandchild or to the legitimate
issue of that grandchild, per stirpes.
3. I have made no provision herein for my daughter, Carol A. Lombardo. not because of
any want of affection for her but because she has already received from me all that I wish her to
have.
4. I hercby nominate, constitute and appoint my accountant, Pnul Casner, and my
attorney, Robert M. Frey, ns co-Execlllors of this my Last Will and Testament, and I further
direct that neither of them shall be rcquired to postllny bond to secure the faithful perfonnance of
his duties In the Commonwellhh of Pennsylvania or in any other jurisdiction.
5. In addition to the powers conferred by law, my TntSlee and Executors lire empowered:
a. To invest any part of the trust corpus in such securities, investments, or other
property liS may be deemed advisnble and proper, irrespective of whether the same nre authorized
for the investment of trust funds under the laws of any governing jurisdiction.
b. With respect to any corporation, the slocks, bonds, or other securities of which
may be held, to vote in person or by proxy on any shares of stock; to consent to the merger,
consolidation or reorganiZluion of such corporations; to consent to the leasing, mongaging or sale
of the property of any such corponuions; to make any surrender, exchange or substitution of such
stocks, bonds or other securities as an incident to the merger, consolidation or reorganization of
such corporations; to pay all assessments, subscriptions and other sums of money which may be
decmed wise and expcdient for lhc proleclion and mainlenance of thc proponionntc Intcrcst of thc
investment in such corponuions; to excrcise any option or prlvilegc which may be confcrred upon
the holders of such stocks, bonds, or other sceurlties of such corporations either for the
conversion of the snme into olher sccurities or for thc purchase of additional securities, nnd to
mnke any nnd all necessary pnymcllls which mny bc requircd in connection therewith; and
generally to have nnd excrcise as to all such stocks, bonds and othcr securities. the powers of an
individual owncr who is undcr trust obllgntion.
c. To hold the trust corpus in one or more consolidnted funds in which sepamte
shares shall have undivided intcrcsts.
d. To sellnt public or privnte sale for cllsh or upon credit, or partly for cash and
partly on credit, nnd upon such terms and conditions as shall be deemed proper, any pan or pans
of the lrust estllle, and no purchnser at any such sale shllll be bound to inquire into the cxpediency
or propriety of any such sale or to see to the npplication of the purchllse moneys arising
therefrom.

f. To compromise, settle or arbitrate any claim or demand in favor of or against the

principal or income of the tnIst fund, and shall funher be entitled to charge against the pnncipal or
Income such other reasonable expenses and charges as may be necessary and proper to incur for
the proper discharge of fiduciary duties and for the proper management and administnltlon of the

h. In making any division of property into shares for the purpose of any
distribution thereof directed by the provisions of the tnIst, to make such division or distribution,
either In cash or In kind, or partIr in cash and panly in kind, as shaH be deemed most expedient,
and In making any division or distribution in kind may allot any specific security or property or
any undivided interest therein to anyone or more of such shares, and to that end may appraise any
or all of the property so to be allotted and the judgment as to the propriety of such allotment and as
to the relative value for purposes of distribution of the securities or propenr so allotted shall be
final and conclusive upon all persons Interested in the tnIst or in the diVision or distribution
thereof.

Re: Appraisal of Four Properties Owned by Dale Fetrow
Dear Executors:
At your request, I have appraised the following four properties
situate in Cumberland County, Pennsylvania, which were owned by Dale
Fetrow at the time of his death on November 9, 1995. In my opinion,
the fair market value of each of these properties as of his date of
death on November 9, 1995, is as follows:
1. Tract of land in the Village of Boiling Springs, South Middleton
Township, Cumberland County, Pennsylvania, improved with 12 modular
dwelling units, 10 of which have no basements, and are in need of some
repairs. Being all of the property conveyed to Dale Fetrow by deed
dated March 22, 1995, and recorded in Cumberland county Deed Book "K",
Volume 16, Page 82. - $325,000.00.
2. Building at 113 South Hanover Street in the Borough of Carlisle,
Cumberland County, Pennsylvania, containing two small storerooms and
five apartments, \~hich was severely damaged by fire prior to November 9,
1995, the reconstruction of which remains to be completed. The two
small storerooms on the first floor are tenantable and occupied, but
the five apartments are untenantable and were unoccupied at the time of
decedent's death and continue to be unoccupied as of the date of this
letter. Being all of the property which John E. Billet, Jr. conveyed
to Dale Fetrow by deed dat~ March 1, 1989, and recorded in Cumberland
County Deed Book "V", Volume 33, Page 199. - $60,000.00.
3. Property situate in Shippensburg Township, Cumberland County,
Pennsylvania, known as 408 South Fayette Street, improved with a 5-bay
garage over which two apartments are located and on which three old
mobile homes are located. Being all of the property which Ray C.
Porter and wife conveyed to Dale Fetrow by deed dated July 23, 1987,
and recorded in Cumber land County Deed Book "V", Volume 32, Page 31. -
$100,000.00.

4. Unimproved lot of land situate in Heading 'l'ownship, Adams
County, Pennsylvania, designated Lot No. 487 on Plan of Lots of Lake
Meade Subdivision as described in deed dated August 16, 1994, and
recorded August 24, 1994, in Adams County Deed Book 929, Page 297. -
$2,000.00.
I have no interest of any kind in the Estate of Dale Fetrow, and
this appraisal is submitted by me based on my more than 35 years
experience as an active real estate broker in Cumberland County.
