I direct that all my legal debts and funeral expenses, including my

right, title and interest with respect to an IIgreal'ent of Sale of Ileal Estate,
datoo June 13, 1987, by and anong myself and my forner husband, 'l1lOM1\S W.E.
HOFFMAN, as Sellers, and my son, Dl\VID L. llOFFMAN, and his wife, J/lMIE I..
HOFFMAN, as Purchasers, together with all my right, title and interest in the
real estate described therein being a 13 1/2 acre tract situate in Lower Allen
Township, Cumberland County, Pennsylvania. In the event that my son, Dl\VID L.
IIOH"MIIN, shall predecease 00, then I devise and bequeath all of my right, title
and Interest with respect to said Agt:'lX!1ent of Sale of Real Estate and said
real estate to my daughter-in-law, JIIMIE L. IIOFI'MlIN, provided she shall survive

Should any of my issue entitled to a share of my estate not attained the

COMPANY, IN SEPARA1'E 1'RUS'I', to hold, manage, invest and reinvest the share so
received, and the accumulation of incare thereon, and to use and apply the
incaoo and principal, or so milch thereof, as in Trustee's sole and absolute
discretion, may be necessary or appropriate for such issue's support and
education (including trade school and college educa tion, ooth graduate and
undergraduate) without regard for his or her parent's ability to provide for
such support or education, or to make paynents for these purposes, without
further responsibility, to such issue or to sllch issue's parent or to any
person taking cam of such isslle. Any principal Ot' incolo not so applied shall
be distributed to sllch issue absolutely when he or she attains the age of
tlo.\3nty-Clve (25) years. If he or she dies before attaining the age of

'I1lOMJ\S R. HOFFMAN, shall fail to qualify or cease to act as Co-Executor, then I
appoint the other as Executor, of this, my last will. Should both my sons,

Co-Executors or as Executors, I appoint 'I11E FJlRMER'S 'muS'I' COMPANY, as Executor
of this, my last will.
LX.
I direct that my Co-Executors, Executor, or their or his successor, shall
not be required to post bond for the faithful performance of their duties in
any jurisdiction.

My corporate fiduciary shall be entitled to compensation based on its
regularly scheduled fees for said services in effect fran time to time during
the pericxl over which its services are performed.

2002, by and between Donald W, Hoffman, Executor of the Will of
Helen F, Hoffman, Deceased, and Donald W. Hoffman, David Hoffman,
Linda Flach and Thomas Hoffman, J.ndividually,
WITNESSETH:
WHEREAS, Helen F. Hoffman died on December 3, 1995,
having first made and published her Last Will and Testament dated
June 22, 1990, in which she named Donald W, Hoffman as executor;
and
WHEREAS, on December 29, 1995 said Will was duly
probated by the Register of Wills of Cumberland County,
Pennsylvania, and Letters Testamentary granted thereon to Donald W.
Hoffman, as Executor; and
WHEREAS,
the Execu tor has proceeded wi th the
administration of said estate and has prepared his First and Final
Account and Schedule of Distribution.
A true and correct copy
thereof is attached hereto, made part hereof and marked Exhibit
"All; and
WHEREAS, the parties hereto desire that the Executor
shall not be required to file said Account with the Orphan's Court
of Cumberland County, and that the net estate of the dec'3dent shall
be distributed without the necessity of filing a formal account,
NOW, THEREFORE, the parties hereto intending to be
legally bound hereby, mutually agree as follows:
l. The parties hereto, and each of them, agree and
acknowledge that they have fully and carefully examined the First
and Final Account of Donald W, Hoffman, Executor of the Will of
Helen F, Hoffman, Deceased, and Schedule of Distribution relating
thereto, and find them to be true and correct, and acceptable to
the parties hereto and each of them, and further that each of them
has received a copy of this Agreement and of the said Account and
Schedule of Distribution.
2, The parties hereto do hereby release, remise and
forever discharge the Estate of Helen F. Hoffman and Donald W.
Heffman, Executor of and from all manner of acts, suits, claims,
accounts, accountings, debts, dues and demands whatsoever which
they or any of them of their legal representatives or assigns may
at any time hereafter have, against the Executor, the said Estate
or the assets thereof, from, for, touching or concerning any of the
assets and property of the said Estate and/or any claim or interest
thereto or therein, and the administration, management, collection,
sale or any money, interest, income, assets or proceeds out of the

same, from the time of the death of the said decedent to and
including the date of this Agreement and Release,
3, This instrument is a full and final FamJ.ly
Settlement Agreement by and among the parties hereto, both
fiduciary and individual, all of the same having been arrived at,
concluded and executed after a full and complete disclosure of the
assets of the said estate and the rights of the parties therein and
thereto and all of the parties hereto, and each of them agrees to
abide by the terms hereof.
4. The parties hereto, and each of them, agree that
they will at all times in the future and whenever necessary,
appropriate or convenient, make, execute and deliver to the said
Executor, and/or to the other party or persons, any and all
instruments, documents, conveyances, deeds, releases or other
instruments of any kind necessary or convenient to carry out the
intention of this Agreement and/or to permit, assist and enable the
Executor to fulfill his duties with reference to the said estate
and all of the assets thereof.
5. This Agreement consti tutes the entire understanding
among the parties hereto, and each of them acknowledges that no
representations or statement of any kind, written or oral, have
