5. Hempt agreed to set up a credit account with Diller provided that all
invoices evidencing the material supplied by Hempt to Diller were paid within thirty
(3D) days of the date of said invoices.
6. Diller agreed to pay Hempt for the material provided to Diller in
accordance with its normal credit account, that being payment of the outstanding
invoices within thirty (30) days of issuance and in addition to pay the sum of one
and one quarter (1 1/4%) percent interest per month for any outstanding invoices
which were unpaid over thirty (30) days from date of issuance.
COUNT I
7. The averments of paragraphs 1 thru 6 are incorporated herein by
reference as though set forth fully herein.
8. Hempt, at the insistence and request of the agents, servants, or
employees of Diller, acting within the scope of their employment. sold and delivered
to Diller certain goods and materials at the times, in the amounts. and for the prices
set forth on the various invoices sent to Diller which are compiled and make up
Hempt's Accounts Receivables Detail Listing Report which is attached hereto and
marked as Exhibit A.
9. Diller accepted and received all the material and goods ordered from
Hempt which are contained on said invoices and are referenced on Exhibit A.

10, Diller has failed or refused to pay Hempt for the material received by
Diller which is identified by the invoices which are referenced on Exhibit A.
11. Diller has breached the agreement with Hempt by its failure to pay for
the materials received pursuant to the terms and conditions of the credit account.
12. Hempt has been damaged in the amount of $209,382.07 as a result of
Diller's failure to pay for all outstanding invoices in accordance with the agreement
between Hempt and Diller.
13. Hempt is entitled to receive interest at the rate of one and one quarter
(1 1/4%1 percent per month for all invoices due over thirty (301 days as a result of
Diller's failure to pay for the goods and materials received from Hempt in
accordance with the agreement between the parties and the terms and conditions
of the credit account established with Hempt.
WHEREFORE, Hempt demands judgment against Diller in the amount of
$209.382.07, plus additional interest at the rate of one and one quarter (1 1/4%1
percent per month for all outstanding invoices due over thirty (30) days to be
calculated from July 1, 1997, until the time of the judgment in this case, plus costs
of suit.

14, Paragraphs 1 thru 13 are incorporated herein by reference as if more
fully set forth herein.
15. The prices charged for the goods and materials are just and reasonable
and are the prices which the agents, servants and employees of Diller, acting within
the scope of their employment, orally promised to pay for those goods and
materials.
16. Diller has failed or refused to pay for the goods and materials received
by Diller despite repeated demands by Hempt.
17. Diller has been unjustly enriched at Hempt's expense by failure to pay
for the goods and materials it has received in the amount of $209,382.07.
18, Hempt is entitled to receive interest at the rate of one and one quarter
11 1/4%) percent for all invoices due and owing over thirty 1301 days as a result of
the agreement between the parties and the terms and conditions of the credit
account set up by Diller with Hempt.
19. Diller owes Hempt an additional one and one quarter 11 1/4%) percent
per month for all invoices due and owing over thirty (30) days as a result of its
acceptance of the goods Ind materials delivered by Hempt and used by Diller.
