AGNEW, individually and trading as RESULTS FITNESS CENTER, CIVIL ACTION - LAW Defendants COMPLAINT AND NOW, comes Plaintiff, Hampden Center, Inc., by and through its attorneys, the Law Offices Stephen C. Nudel, Esquire, and respectfully represents as follows. 1. Plaintiff, Hampden Center, Inc., is a Pennsylvania corporation, with an address of 444 Park Avenue South, Suite 302, New York, New York 10016. 2. Plaintiff owns real property located at 4830 Carlisle Pike, Mechanicsburg, Cumberland County, Pennsylvania 17055. 3. Defendant, William J. Agnew, is an adult individual with an address of 4830 Carlisle Pike, #08-012, Mechanicsburg, Cumberland County, Pennsylvania 17055, and trades and does business as Results Fitness Center. 4. Defendant, James R. Agnew, is an adult individual with an address of 4830 Carlisle Pike, #08-012. Mechanicsburg, Cumberland County, Pennsylvania 17055. and trades and does business as Results Fitness Center. 5. On or about August 17, 1992, Plaintiff as Landlord and . , Total Fitness Connection, Inc. as Tenant executed an Agreement of Lease for 8,840 square feet of the premises located at and known as 4830 Carlisle Pike, Spaces D-8, D-9, D-10 and D-12, Mechanicsburg, CUmberland County, Pennsylvania, ("PREMISES"). A true and correct copy of the Agreement of Lease is attached hereto and made a part hereof as "Exhibit A". 6. On or about December 22, 1995, Total Fitness Center, Inc. as Assignor and Defendants as Assignee executed an Assignment of Lease whereby Total Fitness Center, Inc. assigned all of its right title and interest in the Agreement of Lease to Defendants and Defendants assumed the performance of and agreed to perform all the terms and obligations, covenants and provisions of the Agreement of Lease. A true and correct copy of the Assignment of Lease is attached hereto and made a part hereof as "Exhibit B". The Agreement of Lease and Assignment of Lease are collectively referred to as the "LEASE", 7. It is believed and therefore averred that, on or about July 19, 1997, without prior notice to Plaintiff, Defendants abandoned the Premises. COUNT I - DAMAGES 8, The averments set forth in paragraphs 1 through 6 are incorporated herein by reference as if set forth at length. 9, The lease provides, intef alia, for the payment by Defendants of rent, common area maintenance charges, taxes and insurance. ... 10. Defendants defaulted under the terms of the Lease in that Defendants failed to pay when due rent, common area maintenance charges, taxes and insurance. The amount past due and owing by Defendants is $40,860.70. The statement attached hereto and make a part hereof as "Exhibit C" more fully sets forth the debt of Defendants. 11. No notice of default for nonpayment of rent or other charges is required under the terms and conditions of the Lease. WHEREFORB, Plaintiff demands judgment in favor of Plaintiff and against Defendants in an amount in excess of $35,000 plus interest, costs of suit and attorneys fees. COUNT I I - DAMAGES 12. The averments set forth in paragraphs 1 through 11 are incorporated herein by reference as if set forth at length. 13. The Lease provides, inter alia, that in the event Plaintiff exercises its remedies under the terms of the Lease, Defendants remain liable for future rent through the Lease Term. 14. Under the terms of the Lease, the Lease Term was to expire December 31, 1997. 15. Defendants owe future rent for July 1997, through December 31, 1997, in the amount of $6,457.42 per month for a total of $32,287.10. Defendants contacted Plaintiff during the course of the lease and expressed to Plaintiff their financial condition and the need to reduce the rental payments on a monthly basis. 21. After discussion, Plaintiff, through its representative, agreed to reduce the rent on a monthly basis and accept $6,000.00 as a monthly rental fee. 22. Defendants confirmed that with Plaintiff in writing by letter dated February 21,1997, which is attached hereto and made a part hereof. 23.
