CONTRACTORS WAIVER OF LIENS AGREEMENT
THIS AGREEMENT, made and concluded this 2'Jth day of July ,19 97, between
CIllIl1 Aneriam Ibrtnerffii p with an address of Johnstown, Pennsylvania
("Owner/Construction Acent"), and Sl<ytl'rh Syst(Jl>; ("Contractor").
Whereas by a duly tsrculed written purchase order (Ibe "Purchase Order"). a copy of which
is attached hereto as Exhibit" A" and the prnvisions of wbich art made a part hereof as if fuBy set
forth htrtin. Owner/Construction ActDt and Contractor ban contracted for the ertction,
coastruction and completion of Skylights (the "Impronmenu") to be el'ttted
on rtal atate described in Exhibit "8" attached (the Property); and
Wbel'tU by the terms of the Purchase Order; Contractor bas convenanttd, promised and
auttd that no mechanics or maltrialmen' s Iim or claims would be filed or maintained acainst the
Property or any part thel'tOf tither by bimstlf or anyone tlse for or on account of any work, labor or
maltrials supplied in the performance of the Purchut Order, or under any supplemental contract or
for utra work. in the ertttion. construction or completion of the ImprovCIDmu on the Property.
NOW THIS AGREEMENT WITNESSETH:
I. The Contractor, for himself and anyone tilt adinC or doiminc throuch or under bim, for
and in consideration of the Purcbut Order and the considerations mentioned tbertin, and
in orden to permit the Owner/Construction ACmt to procure the makinC of one or more
loans on the ImprnantuU and the Property and intmdinc to e lceally bound bereby,
docs hereby waiver, release, mmquish and quitclaim in favor of the Owner/Construction
Accnt and each and every ICDder on the Property and ImprovtmalU. all richt to lien,
claim or notice of intmtion to file any lien or claim, and docs bereby coVCllant. promise
and Acree that no Iicn or claim of any kind whaUocver shall be flltd or maintained acainst
the Improvaneats or tbe estate or title of Owner/Construction Accnt in the properity by
or in the name of contractor or any subcontractor. matmallllCft or labortn for work
done or maltrials fumished under the Purchase Order or by any other party actine
throueh or under them or any of them for and about the improVtmalt of the Property or
any part tbcnof, or on credit tbtl'tOf, and that all subcontracton, materialmm. and
Iaboren on the work shall look to and hold Contractor penonally liable for payment of
all subcontracton. materials furnished and work and labor done. so that tbtre shall not
be uy Iceal or lawful claim of any kind whatever qaiast Owner/Construction Accnt for
any work d_ or labor or materials furnished punuant to the Purcbasc Order for and
about the ertttion. construction and completion of the Improvcmcnu. or under any
contract or chance order for enra work. or for work supplemental thereto or othenrise.

Contractor agrees to commence pertonnance of the conlract work within the (5) days aileI' noUce from
the O\\ner. and thereafter to prosecute the same continuously \\lth due diligence so as not to cause any delays or
mterfercnce with the completion of the Project If the Comractor docs not complete the contract work upon notice
as aforC5ald. or if the said work is not performed \\ith due speed. the contractor agrees. upon se\.en (7) days'
notice from the o\\ner. to supply such equipment. materials. o\enime work. workers and other de\'ices and
facllll1es as the o\\ner shall direct so as to expedite the completion of the work. Such notice. once gi\'en. shall
continue in effect until the work spL'Cified therein has bt:erJ fully completed. e\en though the Contractor has acted
under the nollce but has fuiled to continue 10 do so uninterruptedly until complete perfonnance thereof
Contractor shall work overtime. Saturdays and Sundays at the direction of O\\ner \\ithout additIOnal cost to
O\mer if such O\.ertime and Saturday and Sunday work is necessary to cure delinquCllC). in mamtaining
established completion schedules and such delinqucnC). is due to delays by Conlractor.
II IS agreed that lime is of the essence of this contract and thaI Contractor shall progress and coordinale
the contract work \\ith all other work as directed by the o\\ne' so as to ensure the o\mer or to obtain the earliest
possible completion of the Project. e\1:II though the rate of progress al the time any directions are gh'en may be
funher advanced than that anllcip3ted in any schedule pre\'iously furnished in COIUIecllon \\ilb the perfonnancc of
the whole I\ork or any part thereof Where the Contractor has knowledge. or. in the exercise of ordinary
attention to its operations. should have knowledge, of the necessny for its work or any p3lI thereof 10 progress at
any partICUlar lune so that ensumg operations by others \\ill not be delayed or interfered \\lth. but fails to cause
such progress, the O\\ner may. \\lthout any notice to Contractor, permit such operations by others to proceed
