premllles of Total FItncss, locatcd at 4900 Carlisle IJlke, Mechanicsburg, IJennsylvWlla 17055 (the
"Prcmlscs").
6. Thc AllI1cWS purchased the anets of Total Fitness In an agrcement dated December
22, t 995, WId thereafter conducted a business running a gymnasium in which customcrs could buy
mcrnbershlps a1lowinllthe customers to conduct physicallltncss training and excrcise al. the Premises.
7. Subsequent to their purchase of the assets of Total Fitness, the Agnews agreed with
Moore and Total Fitness to allow certain lormer customers ofTolal Fitness to use the Premises to
exercise and conduct physical fitness training (the "Customer Agreement"). A copy of the Customer
Agreement is attached hereto, made a part hereol; and identified as Exhibit" An.
8. The AllI1ews refused thereafter to allow the former customers who were the subjects
ofthe Customer Agreement to use the Premises, and otherwise breached the terms of the Customer
Agreement.
9. As a result of the Agnews breaching the Customer Agreement, the Bureau of
Consumer Protection of the Pennsylvania Attorney General's Office flied a lawsuit against Total
Fitness WId its owners WId shareholders, including WI individual action seeking damages WId civil
penalties against Moore (the "Lawsuit").

Aonew partnership for the unreported pre-paid members not disclosed on thQ
certain Asset Purchase Agreement deted 22 December 1995, and for any end 1111
