2, Defendant, Geebees, Ltd. is a corporation organized and
existing under the laws of the Commonwealth of Pennsylvania, with
its place of business located at 516 Bridge Street, New 'Cumberland,
Cumberland County, Pennsylvania 17070,
3, Individual Defendant, John C, Baker, is an adult
individual whose last known address is: 1075 Orrs Bridge Road,
Mechanicsburg, Cumberland County, Pennsylvania 17055. At all
relevant times, the said Defendant John C. Baker was a co-partner
trading and doing business as Geebees, Ltd., also known as Geebees.
4. Individual Defendant, James E. Blacksmith, is an adult
individual whose last known address is: 946 Indiana Avenue,
Lemoyne, Cumberland County, Pennsylvania 17043. At all relevant
times, the said Defendant James E. Blacksmith was a co-partner
trading and doing business as Geebees, Ltd., also known as Geebees.
5, Individual Defendant, Raymond C. Grandon, Jr., is an
adult individual whose last known address is: 130 Cumberland Road,
Lemoyne, Cumberland County, Pennsylvania 17043. At all relevant
times, the said Defendant Raymond C. Grandon, Jr., was a co-partner
trading and doing business as Geebees, Ltd., also known as Geebees.
6, On or about February 23, 1995, in consideration of a loan
of $250,000.00 made by Fulton Bank to the said corporate and
individual Defendants, the said Defendants did all execute and
deliver to Fulton Bank a Mortgage Note with accompanied Mortgage
securing the improved real estate located a~ 110 North 7th Street,
Lemoyne, Cumberland County, Pennsylvania. A true and correct copy

of said Note is attached hereto, marked Exhibit "A" and made a part
hereof by reference thereto. Likewise, a true and correct copy of
said accompanying Mortgage is also attached hereto, marked Exhibit
"B" and made a part hereof by reference thereto, It is noted that
said Mortgage was recorded Oil or about February 27, 1995, in and
for the Office of the Recorder of Deeds of Cumberland County, in
Mortgage Book 1252, Page 1161.
7. The said Note provided that the said Defendants,
commencing on March 23, 1995 and continuing each month thereafter
for a period of no less than twenty (20) years from the date of the
Mortgage, would pay to Fulton Bank monthly payments of Two Thousand
Five Hundred Thirty-eight and 07/100 ($2,538,07), being in part
interest at the annual rate of one and one-quarter (1.1/4t) percent
above the Fulton Bank prime rate as defined in the Mortgage Note.
8. The Mortgage Note furthermore provided that in the event
that any of the payments of principal and int.erest shall become
overdue for a period in excess of fifteen (15) days, Defendants
would be subject to a late charge and that any default in payment
of the Mortgage Note for a period of fifteen (15) days would, at
the option of the Bank, and without further notice, accelerate all
due and payable all the debt then due, unless any payments are made
prior thereto.
9. The said Defendants did fail and refused to make the
payment due on March 23, 1997, and have refused to make any further
payments since that date, rendering the obligation in default on or

For value received, each of the Undersigned, jointly and
severally if more than one, promises to pay to the order of
FULTON BANK, A Pennsylvania Corporation, having its Principal
Office in Lancaster, Pennsylvania, hereinafter called the Bank, the
sum of Two Hundred Fifty Thouliand and 00/100 ($250,000,00) Dollars
and interest from date as tollows:
(1) Beginning one month from date, monthly payment of Two Thousand
Five Hundred Thirty-eight and 07/100 ($2,538.07) Dollars, being in
part interest at the annual rate of one and one-quarter (1-1/4')
percent over the FULTON BANK PRIME RATE as hereunder defined, and
in part a repayment of principal, Interest rate used for
determining the monthly installment was 10,75'. Fulton Bank Prime
Rate on the date hereof is 9.00'.
(2) FULTON BANK PRIME RATE, as used herein, means the rate
regularly and from time to time established by the Bank as its
prime rate, and so designated, whether or not the Bank shall at
times lend at lower rates to specific borrowers. Changes in the
FULTON BANK PRIME RATE for purposes of increasing and decreasing
the interest rate hereunder from time to time shall be effective on
the effective date(s) established from time to time in the futurp.

(3) All payments shall be applied first to accrued interest at the
aforesaid rate and then to the reduction of principal.
(4) Any unpaid principal and interest to be paid 20 years from the
applicable date provided in (1) above for commencement of monthly
payment of principal and interest.
(5) In the event that any of the aforesaid payments of principal
and interest shall become OVERDUE FOR A PERIOD IN EXCESS OF FIFTEEN
(15) DAYS, the Undersigned shall pay to the Bank a 'late charge' of
FIVE CENTS ($.05) for each dollar so overdue.
(6) The Undersigned may prepay the whole or any part of the
principal at any time and from time to time without penalty and
without the payment of unearned interest; provided, however, that
no prepayment shall affect the obligation to continue to pay
monthly installments required hereunder until the entire
indebtedness has been paid.
(7) Any sums due hereunder after the stated or accelerated
maturity date shall continue to bear interest at the rate specified
herein until such sums are paid in full.
(8) FULTON BANK PRIME RATE and consequently the amount of interest
paid by the Maker will vary from time tq time, the amount of each
installment applied to principal will vary from time to time since
installments are to be applied first to interest and then to
principal and thus could lengthen or shorten the intended 20 year
payout of the loan unless the installments are adjusted.
Therefore, Bank may, at the beginning of each calendar month,
decrease or increase the monthly installment of principal and
interest (required to be paid by Maker hereunder) to an amount
estimated by Bank as sufficient to pay the amount of the principal
then remaining unpaid, with interest, by equal successive monthly
installments within the then remaining portion of the projected 20
year payout of the loan. The Undersigned shall not commence
decreased or increased monthly installments until notification in
writing is given to Undersigned by Bank.
