Defendant. : IN THE COURT OF COMMON PLEAS : CUMBERLAND COUNTY, PENNSYLVANIA : NO. 03-82 CIVIL TERM : : CIVIL ACTION - LAW GREAT-WEST LIFE & ANNUITY INSURANCE COMPANY'S PRELIMINARY OBJECTIONS TO COUNTERCLAIM OF ARNOLD TRANSPORTATION SERVICES~ INC. NOW COMES, Plaintiff, Great-West Life & Annuity Insurance Company ("Great- West"), by and through its attorneys, Buchanan Ingersoll Professional Corporation, and files this Preliminary Objection to the Counterclaim of Defendant Arnold Transportation Services, Inc. ("Arnold") as follows: PRELIMINARY OBJECTION I: LEGAL INSUFFICIENCY OF A PLEADING (DEMURRER) 1. Great-West commenced this breach of contract and unjust enrichment action by Complaint on February 24, 2003 (the "Action"). 2. As a matter of background, Arnold entered into a contractual relationship with Great-West for the establishment and maintenance of Arnold's self-funded Employee Health and Welfare Benefit Plan (the "Plan"), effective January 1, 1997. (Complaint at ¶ 4). 3. Great-West's claim in the instant action arises out of Arnold's breach of the parties agreement and consists of medical claims satisfied by Great-West on behalf of Arnold's employees under the terms of Arnold's Plan. Complaint on April 7, 2003 (the "Answer"). Arnold filed its Answer, Counterclaims and New Matter to Great-West's 5. In its Answer, Arnold asserts a single counterclaim "in equi.W under Pennsylvania law seeking an accounting of the disputed $47,358.70." (Answer, Counterclaim at ¶ 1) (emphasis added). o · . the plaintiff possesses an adequate remedy at law." Mifflintown, 531 A.2d 1122, 1124 (Pa. Super. 1987). "Pursuant to Pa. R. Civ. P. 1530, an equitable accounting is not proper where. Buczek v. First National Bank of 7. Moreover, "[e]quitable jurisdiction for an accounting does not exist merely because the plaintiff desires information that he could obtain through discovery." Buczek v. First National Bank ofMifflintown, 531 A.2d 1122, 1124 (Pa. Super. 1987). 8. Arnold has not asserted in the Action that it is owed any sum or amount from Great-West. 9. Arnold asserts instead simply that "Plaintiff failed to provide Arnold with documentation to support [its claim for the disputed $47,358.70]." 10. Arnold's demand for an equitable accounting is thus in the nature of a defense or off-set as to Great-West's legal claims in the Action. 2 11. Arnold has an adequate remedy at law in this breach of contract and unjust enrichment Action. 12. Arnold can obtain the information it needs to defend against Great-West's claims through the normal discovery process. 13. Arnold's claims in equi ,ty for an accounting thus fail to state a claim upon which relief can be granted and should be dismissed with prejudice pursuant to Pa. R. Civ. P. 1028(a)(4). See Buczek v. First National Bank of Mifflintown, 531 A.2d 1122, 1124 (Pa. Super. 1987). WHEREFORE, Great-West respectfully requests that this Honorable Court dismiss Arnold's Counterclaim seeking an Accounting with prejudice and award Great-West its costs, attorneys' fees, and whatever further relief this Court deems just.
