several allempts to close pursuant to the terms of the Agreement. Wid, In addition, presented
proposals to Defendants which far exceeded what was required by the Agreement, but
Defendants failed to respond in any manner, At best, and notwithstanding any collateral
circumstances. the Agreement requires that Plaintiff pay the balance of the purchase price.
$649.000.00 to Defendants upon the sale by Plaintiff of each sub.divided lot in the amount of
$7,222,22 per lot, This term of payment was originally requested by Defendants. but
subsequently, Defendants allempted to unilaterally amend the Agreement by demanding the
$649.000.00 be paid to them immediately in one lump sum.

extent a response is required, it is specifically denied. By way of further reply. Paragraph 29 of

5, l'ursuantto said Agreement, and as a condition precedent to I'laintitl's obligation to
purcha~e the Real Property, Plaintitl' was to obtain from Silver Spring Township, il/lur alia, approval
of his construction plan for a residential housing development on the Real Property ("Plan"), with
tinal approval to be obtained on or belore March 24, 1996.
6 In 1995, Silver Spring Township began work on a new Comprehensive Plan for zoning
in the Township and tabled all pending Plan applications until early 1996. Said Comprehensive Plan
amended the zoning for the Real Property trom Residential to Conditional Use,
7, Consequently, on or about Febl1lary 7, 1996, Plaintiff and Defendants extended the
term for obtaining final approval pursuant to the Agreement to September 24, 1997, A true and
correct copy of said Addendum is marked Exhibit "C", attached hereto and made a part hereof
8, Despite diligent efforts and substantial expense, Plaintiff was unable to obtain final
approval of his Plan from Silver Spring Township by September 24, 1997, although he did obtain
conditional use zoning for the Real Property and made considerable progress on Plan approval.
9, Defendants have failed to respond to Plainittl's request for an additional extension,
