OEIMLER, by and through their respective attorneys, Wayne F. Shade. Esquire, and
Michael G. Oleyar. Esquire, and stipulate and agree to resolution of the above-captioned
matter upon the following tenns:
I. Both Defendants are fully liable to PlaintilTin the amount ofS2 I ,777 plus costs
and interest at the legal rate on the respective amounts of each invoice attached to the
Complaint herein from thirty days after the date of each invoice.
2. Plaintiff will not enter judgment on this Stipulation prior to June 9, 1998.
J. If Plaintiff is not paid in full by June 9,1998. it will be pennitted to enter an
amicable judgment against Defendants by Praecipe.
4. It is the desire and intention of the parties hereto that this Stipulation be filed in
the above-captioned matter in the Office of the Prothonotary of Cumberland County,
Pennsylvania,

Defendant Sue Deimler is an adult individual who in no way, form or
manner has no involvement with "Greg Deimler Scrap Recyclers
In June of 1998, PlaintitT and Defendant Greg Deimler entered into an
agreement to have scrap metal removed from Defendant Greg Deimler's place of
business
Defendant, Gregory A. Deimler is not an authorized agent for both
Defendants The Business premises is only the business location for Gregory A.
Deimler Kathy Sue Deimler has no business association, authority, responsibility
or interest in Greg Deimler Scrap Recyclers

This is a contract action wherein the Plaintiff,
John W. Gleim, Jr., Inc., is suing the Defendants, Gregory A.
Deimler, Sr., and Kathy Sue Deimler, for failure to pay for
certain services connected with a scrap metal business which
Defendants allegedly own. Defendant Gregory A. Deimler, Sr.,
does not contest his liability in the matter, but Defendant
Kathy Sue Deimler maintains that she is not an owner of the
business and is not liable to the Plaintiff on the contract.
This will be a nonjury trial of an estimated
duration of one hour. By separate Order of Court, trial in this
matter has been scheduled for Thursday, April 16, 1998, at 1:30
p.m.
Defendants' counsel has indicated that he would
not object to the authenticity of certain documents from a Perry
County Court proceeding so long as they are certified to be true
and correct by the appropriate Perry County Court official.

Defendants present for trial without the necessity for
Plaintiff's issuance of a subpoena for their appearance and will
be calling an additional witness, as well.
With respect to settlement negotiations, Defendant
Gregory A. Deimler, Sr., has offered to permit a judgment to be
entered against him, but Plaintiff has demanded that
both Defendants be included in the judgment, which has, to date,
not proven acceptable to the Defendants.

I am requesting a 60 day continuance in the above matter, My client has
informed me that he is in the process of obtaining a loan which would allow him
to settle the above matter, The defendant also advised me that me he has a
hearing scheduled in Federal Bankruptcy Court on April 16, 1998 which is the
same date of the trial, (Attached is a copy of the bankruptcy hearing notice,)

In June of 1997, Defendant Gregory A. Deimler, Sr" individually and as an
authorized agent for both Defendants, engaged Plaintiff to load scrap metal at the
business premises of Defendants with payment to be made as invoiced on the basis of $84
per hour,
Plaintiffperfonned the requested work from June 30,1997, through August 7,
1997, at a total cost of$21,777,
Plaintiff has provided Defendants with invoices for the work, but Defendants have
refused to pay,

AMENDED COMPLAINT
1.
Plaintiff JOHN W. GLEIM, JR., INC., is a corporation
organized and existing under the laws of the Commonwealth of
Pennsylvania, with its main office and principal place of
business located at 90 Stover Drive, carlisle, Cumberland County,
pennsylvania 17013.
2.
Defendants GREGORY A. DEIMLER, SR. and KATHY SUE DEIMLER are
adult individuals who are trading and doing business as tenants
by the entirety or in partnership as Greg Deimler scrap Recyclers
with offices at R.D. #1, Box 336-D (163 Sleepy Hollow Road), New
Bloomfield, Perry county, Pennsylvania 17068.

On or about June 30, 1997, Defendant GREGORY A. DEIMLER,
SR., individually and as authorized agent for both Defendants,
engaged Plaintiff to load scrap metal at the business premises of
Defendants with payment to be made as invoiced on the basis of
$84 per hour.

Defendants orally engaged Plaintiff as aforesaid at the
aforesaid offics of plaintiff, and payment was to be made at the
aforesaid office of Plaintiff.
5.
Plaintiff performed the requested work on the following
dates for the following prices:
(a) June 30, 1997 $ 5,103
(b) July 13, 1997 7,938
(c) July 25, 1997 4,998
(d) July 31, 1997 2,352
(e) August 7, 1997 1. 386
TOTAL $21,777
6.
Plaintiff has provided Defendants with involces on the
aforesaid dates in the aforesaid amounts, but Defendants have
failed and refused to pay the same.
WHEREFORE, Plaintiff demands judgment against Defendants in
the amount of $21,777 plus costs and interest on the aforesaid
respective amounts from thirty days after the date of each
invoice.

I. FACTS AS TO LIABILITY AND DAMAGES:
Plaintiff John W, Gleim Jr, Inc. is an excavating Corporation,
Defendant Gregory A Deimler. Sr, is an adult individual who trades and
does business as Greg Deimler Scrap Recyclers,
Defendant Sue DeimJer is an adult individual who in no way, form or
manner has no involvement with "Greg Deimler Scrap Recyclers,
In June of 1998, Plaintiff and Defendant Greg Deimler entered into an
agreement to have scrap metal removed from Defendant Greg Deimler's place of
business,
Defendant, Gregory A Deimler is not an authorized agent for both
Defendants, The Business premises is only the business location for Gregory A.
DeimJer, Kathy Sue DeimJer has no business association, authority, responsibility
or interest in Greg Deimler Scrap Recyclers,
II. ISSUES OF LIABILITY AND DAMAGES
Defendant Gregory A, Deimler admits the debt owed to the Plaintiff.
Defendant Kathy Sue Deimler does not admit to the debt owed to the Plaintiff.
Whether the evidence will establish that the business of Greg Deimler
Scrap Recyclers i~ operated solely by Defendant Gregory A, Deimler and that
Defendant Kathy Sue Deimler has no involvement in the business,

I. Defendants object to Paragraphs 3, 4, 5 and 6 of the complaint. All three
paragraphs lack specificity as to allow defendant enough knowledge for a response, The
complaint fails to allege a contract. either oral or written. Also, it fails 10 describe the
required perfonnance,
2. Defendant objects to the entire Complaint as a Demurrer on two grounds. First,
the Complaint fails to establish a cause of action, The essential minimal elements for a
breach of contract action have not been pleaded, The Complaint fails to allege that a
contract was fonned, Second, the complaint fails to allege a cause of action specifically
against Kathy Sue Deimler, The complaint does not state that a specific transaction
occurred between Kathy Sue Deimler and the Plaintiff. Nor does it allege any breach of
contract against Kathy Sue Deimler,

WHEREAS, GREGORY A. DEIMLER, SR. and KATHY S. DEIMLER, his
wite, and TELHARK, INC. have entered into an agreement to modity
the required monthly payments to be made by GREGORY A. DEIMLER, SR.
and KATHY S. DEIHLER, his wite, to TELHARK, INC., in accordance
with the terms at the lease:
NOW, THEREFORE, intendinq to be leqally bound hereby, the
parties hereto aqree as tollows:
1. GREGORY A. DEIHLER, SR. and KATHY S. DEIHLER, his wit.,
aqree to make the tOllowinq lease payments to TELKARK, INC. as a
moditication ot the payment terms involvinq Lease 02579: payments
ot Five Hundred Dollars ($500.00) per month tor six (6) months
(Hay, June, July, August, September, and October, 1994); tollowed
by payments at One Thousand Forty-Five Dollars Forty-Five Cents
($1,045.45) per month tor thirty-six (36) months (November and
December, 1994, January throuqh December, 1995, January throuqh
December, 1996, and January throuqh october, 1997).

of TELMARX, INC. and forwarded to Timothy D. Sheffey, Esquire,
Egli, Reilly, Wolfson, Sheffey and Schrum, ,1601 Cornwall Road, P.O.
Box 390, Lebanon, Pennsylvania, 17042-0390, or to any other address
as directed by TELMARK, INC.
3. The parties hereto agree to execute any documents
necessary or appropriate in ordsr to have this Agreement filed and
made a part of and an amendment to the existing Chapter 13
Bankruptcy Plan of GREGORY A. DEIMLER, SR. at Case No. 1-92-01705
before the United States Bankruptcy Court for the Middle District
of Pennsylvania.
4. It GREGORY A. DEIMLER, SR. and KATHY S. DEIHLER, his wite,
fail to pay any payment or payments as required by THIS AGREEMENT,
such that it is not paid and received by TELMARK, INC. within the
month during which payment is required, TELMARK, INC. shall be
required to give written notice to GREGORY A. DEIHLER, SR. and
KATHY S. DEIMLER, his wife, of said default in payment, and if said
default in payment is not cured within fifteen (~5) days from the
date of the written notice of default in payment" then TELHARK,
INC. shall be entitled to take any and all steps available to it,

to collect the amount yet remaining due and payable according to

5. Upon tull and complete payment according to the terms ot
THIS AGREEMENT, TELMARK, INC. will cancel the described lease,
terminate any existing Uniform Commercial Code Finanoing
statements, and issue a bill ot sale to GREGORY A. DEIHLER, SR. and
XATHY S. OEIHLER, his wife, oontirming ownsrship of the leased
equipment in GREGORY A. DEIHLER, SR. and KATHY S. OEIHLER, his
wits.
6. THIS AGREEMENT shall enure to the benefit of and be
binding upon the parties hereto, their heirs, exeoutors,
administrators, suocessors, and assigns.
7. THIS AGREEMENT contains the entire agreement and
understanding between the parties. The parties acknowledge that
the ter.ms hereof cannot be changed except by a writing signed by
the parties or their respective counsel.
8. THIS AGREEMENT shall be construed according to the law. of
the Commonwealth of Pennsylvania.

COMPLAINT
AND NOW comes plaintiff TELMARK, INC., by and through its
attorneys, Reilly, Wolfson, Sheffey, Schrum and Lundberg and
represents to your Honorable Court as follows:
1. Plaintiff TELMARK, INC. (hereinafter "TELMARK"), is a
corporation duly organized and existing undsr the laws of the State
of New York, with its registered office in the Commonwealth of
Pennsylvania being c/o C.T. Corporation System, 123 South Broad
street, philadelphia, philadelphia County.
2. Defendants, GREGORY A. DEIMLER, also known as GREGORY A.
DEIMLER, SR., and Y.ATHY SUE DEIMLER, also known as KATHY S. DEIMLER
(hereinafter referred to as "DEIMLER") are sui juris individuals,
presently residing within the Commonwealth of pennsylvania with
their current address being, Greg ~eimler scrap Recyclers, R.D. #1,
Box 336D, New Bloomfield, County of Perry.
3. On or about March 30, 1990, Plaintiff TELHARJ< and
Defendants DE IMLER executed and delivered a written Lease, Lease
02579, for a period of thirty-six (36) months, which provided for
Defendants DEIHLER to make twenty-eight (28) lease payments
according to the terms described within the lease of Two Thousand
Ninety Dollars ($2,090.00) and, upon the completion of the initial
term, an option to become the owner of the leased equipment upon
making a residual payment. A true ~nd correct copy of said Lease is
attached hereto, made a part hereof, and marked Exhibit "A".
4, Plaintiff TELHARJ< has performed all conditions required of
it according to the terms of the Lease, and Defendants DEIHLER have
llccepted performance by plaintiff TELHARJ< as evidenced by the

execution ot an Acceptance Notice. A true and correct copy ot said
Notice is attached hereto, made a part hereof, and marked Exhibit
"B".
5. On about July 15, 1992, Detendants DEIMLER tiled a
Chapter 13 bankruptcy proceeding betore the united states
Bankruptcy Court tor the Middle District ot Pennsylvania, case
number 92-01705RJW.
6. On about July 11, 1994, an agreement was entered into
between plaintift TELHARK and Defendants DEIMLER modifying payments
under the terms of tha lease. Attached hereto, made a part hereot,
and marked Exhibit "c" is a true and correct copy ot the AGREEMENT
TO MODIFY PAYMENTS PURSUANT TO CHAPTER 13 PLAN.
7. During September, 1994, the Chapter 13 Bankruptcy ot
Defendants DEIMLER was dismissed by the United states Bankruptcy
Court tor the Middle District of Pennsylvania.
8. plaintiff TELHARK and Detendants DEIMLER continuad to
tollow the modified payment agreement set out in the July 11, 1994
Agreement.

~. Defendants DEIMLER made a payment of Two Thousand Five
Hundred Dollars ($2,500.00) which was received by Plaintiff TELMARK
on August 27, 1996, which payment covered the payments for the
months of January and February, 1996 and a partial payment for the
month of March, 1996.
10. Defendants DEIHLER have failed to pay the agreed-to
payments due for the remaining po~tion of the month of March, 1996,
and all subsequent months through to the present time.
11. On or about April 9, 1997, Plaintiff TELMARK, through
its counsel, in accordance with the terms of the lease and of the
Agreement to Modify Payments, (Exhibit "C") made demand upon
Defendants DEIMLER for the amount past due and payable, and for the
entire am~unt due and payable of Nineteen Thousand Four Hundred
Fifty-Four Dollars and Forty-Five Cents ($19,454.45). A true and
correct copy of such demand correspondence is attached hereto, made
a part hereof, and marked Exhibit "D".
12. Although demand has been made by counsel for plaintiff
TELMARK, Defendants DEIMLER have failed and refused to make suoh
payment.

13. According to the terms of the leaRe, Plaintiff TELHARK
requires Defendants DE IMLER to pay a reasonable attorney's
collection fee for instituting such acti?n and collecting the
account due, said reasonable attorney's fee to be fifteen percent
(15\) of the amount sued for.
