shareholder. When ballots were mailed they were mailed to evcry addrcss In Westwood Village

16. The Board of Directors puid to have an allomey present ut the election meeting of
the Council of Westwood Village, Clearly legal services were not relaied to the recrclltlonal
uetlvities ofWcslwood Villagc, The Board of Directors has no standing ill the Council election.
This acl constituted gross mismanagemcnt of the funds of the Board and a wlllf\tlllnd knowing
breach of t1duclary responsibilities.
17. The Board of Directors did authorize the use of the club-house/community
building without collecting the nomlal and appropriate rental fees. The Board of Directors did
not charge the "Concerned Homcowners" when the clubhouse was used by them to meet with
legal counsel and to conduct meetings with the Coml11unity to further the political agenda of the
"Concerned Homeowners". These meeting occurred in February, March and April of 1997, and
the failure to colleclthis money constituted gross mismanagement of the recreational facilities
and a breach of the t1duciary responsibilities of the Board members.
18. The Board of Directors rcquested the assignment of a bulletin board on the mall
kiosk maintained by Council. The rcquest was approved and a bulletin board was turned over to
the Board of Directors. In late July or early August 1997, the Board of Directors installed
lighting on this bulletin board tapping into the electricity used at the mail kiosk and paid for by
Council and completely replaced the bulletin board with a bulletin board three times as large.
This constituted gross mismanagement in not rcquesting the concurrence of Council in any of

19. The Board of Directors failed to develop u policy for Ihe posling ofmaleriuls on

the libelist muterluls, which hud been po sled were not ordered to be removed by the Directors.
20. Aller being notlt1ed Ihut Council would nO longer be providing collecUon services
Ihe Bourd of DiI'eclors did nol establish u eolleclion policy and procedure. The Board of
Directors failed 10 me claims lor ussessments due und fees owed for unlls being sold al sheriff
sule thereby losing Income to tho orgunizatlon und requiring other unit OWners to beur the
t1nunelul burden thaI wus 10 be shared. This conslltuted a wlllfulmisconducl and gross
mismunugement.
21. The Board of Directors hired lifeguards for the community swimming pool and
puid the lifeguards "under Ihe luble" 10 avoid paying the employer ta)les due, inclu<llng, but not
limited to, worker's compensation and unemployment compensation. The said lifeguards
claimed to be independent contractors however clearly failed to meelthe 17 polnttesl
promulgated by the Intemal Revenue Service und were, In fact, employees.
WHEREFORE, Plaintiff request this Honorable Court to eompellhe Board of Directors
and the individual Defendants to secure an audit of their books and records by a certified public
accountant as required by the By-laws; to enjoin the individual members and the Board of
Directors from further violation of the By-laws; for each of the individuals to reimburse the
organization for the illegal fees paid to attorneys and to refrain In the future from violating the
By-laws oCthe organization and such other relief as the Court deems appropriate.

Westwood Village, these are contained in a written document which
speaks for itself. The allegations conc~rning blatant failures to

folloW the Bylaws, gross mismanagement and rllcklessness by all
members of the Board of Pi rectors are denied and are absurd.

The statement which appears in
quotation marks is a misquotation of Anne Nisson's actual
statement. The balance of the allegations are denied.
14. Denied. The allegations that the books of the Board of
Directors are not audited in accordance with the Bylaws is a
conclusion of law to which no response is required.' As to the
audit requirements contained in the. Bylaws, the written document
speaks to itself. The allegation that the, Board of Directors "had
their books audited by an unqualified auditor' is,denied. As for
the dissemination of the information in the audit report, the
report was posted for all shareholders to see and available at,all
'times for review. Furthermore, a monthly statement of accounts is
available for review by any shareholdFi!r who attends monthly
meetings. The allegations that the Board has committed gross and
willful mismanagement and breaches of fiduciary responsibilities,
willful misconduct. and reckles'sness on the part of the Board of
Directors, these allegations are ,denied and are absurd.

alleged,or that they secured or used legal counsel for an improper
purpose.

knowing breach of fiduciary responsibilities are false and absurd.

The "Concerned Homeowners" who used the
clubhouse facility were residents and shareholders of Westwood
Village Commun~ty Assoc., Inc.' As shareholders, they are entitled
to use the facilities without charge when the meeting is held for
a public purpose.
As for the purpose of the meeting, the
Defendants believe that,the meetings concerned matters of community

interest and were for a public, purpose and as far as the Defendants
know, the meetings were not held for any improper purpose. At to
the allegations that the Board's failure to collect rental fees
constituted gross mismanagement
and breach of
fiduciary
responsibility, these allegations are denied and absurd.

been an ongoing dispute concerning the placement of a bulletin
board in, the mail kiosk area of the Westwood Village community. It

donated by a resident and that an electric light was installed to
