The Plaintiff herein is SOUDER FEED & GRAIN, INC., a Pennsylvania business corporation, having its principal place of business at 275 Shady Lane, Carlisle, Middlesex Township, Cumberland County, Pennsylvania. 2. The Defendant herein is COASTAL MILLING, INC., reportedly a business corporation, having a place of business at 6801 State Road (Philadelphia county), Philadelphia, Pennsylvania. 3. At all times relevant hereto, Plaintiff was ~n the business of buying and selling raw bakery and similar products, manufacturing animal feed from such products and buying and selling animal feed products, ,4. At all times relevant hereto, Defendant was in a business similar to that mentioned in paragraph 3 above. 5. Commencing on or about May 13, 1996, the parties entered into a course of dealing whereby Plaintiff sold raw bakery and similar produots to Defendant at Plaintiff's pl~ce of business LAW O"'ICII:Q SNELUAKF.I1. BRENNEMAN a SP^"~ looated at 275 Shady Lane, carlisle, Cumberland county, Pennsy~vania. said oourse of dealing consisted of telephone crders with agreed prices, 6. Attaohed hereto marked "Exhibit A" and incorporated herein by reference thereto are true and correct copies of Plaintiff's records oovering said course of dealing consioting of the listing of loads of product sold to Defendant, indicating dates of transactions and payments (where applicable). 7. As the result of said course of dealing, Plaintiff Bold such products to Defendant with a current unpaid balance due on said sales of $173,897,70. 8. commencing on or about December 4, 1996, the parties entered into a further cour~e of dealing whereby Defendant agreed to sell finished bakery feed by-product to Plaintiff and the price thereof ,would be credited against Defendant's unpaid balance owing to Plaintiff, said course of dealing also consisting of telephone orders with agreed prices and with Defendant delivering such product to Plaintiff's place of businoss at 275 Shady Lane, Carlisle, Pennsylvania. ,9. The products sold to Plaintiff are also listed on "Exhibit A" attached hereto and have a total price of $37,720.62. 10. In all the transactions comprising the foregoing courses of dealing, the prices charged were fair, reasonable and the amounts actually agreed upon by and between the parties. 11.
