Mechanicsburg, Pennsylvania ("Owner') and John W. Gleim, Jr., Inc.. a PE nnsylvania
corporation, With its oflices In 90 Slover Drive. Carlisle, Pennsylvania ("Contractor":
WHEREAS, by a duly executed written agreement dated November 7,1997 (tM
"Contract"), Owner and Contractor have contracted lor the installation, constr Jction and
completion of streets. a storm water system and all matters pertaining :hereto inclucing but "ot
Ij~lted to seeding. grading, and curbing all in accordance with the Ccntract (the "Improvements.')
on the Property situate in Silver Spnng Township, Cumberland Ccunty, Pennsy,vania (the
"Property"), said Property being more particularly cescribed In Exhii:;it "A" artached,ereto and
by this reference incorporated herein; and

WHEREAS, no authorization has yet been given by Owner to Ccntractor to
commence its work or purchase materials for same: and
WHEREAS, no work has commenced on the Property and no labor: r materials

NOW, THEREFORE. the Contractor, for itself, its successors and alsigns ilnd
ar.yone else acting or claiming through or under it, for and in consideration of the C"ntract and

1. Waiver 01 lien. Cortractor hereby waives and relinqUishes all Ights to 'I!e

or on credit thereof, and that all subcontractors, materialmen, and laborers on the Nark l>hall
look to Contractor for all subcontracts, materials furnished under the contract for and about the
erection, construction snd completion of the Improvements, or under ar.y contract for t xtra work,
or for work supplemental thereto, or otherwise.
2. Indeoendent Covenanl. This Agreement waiving the right of liE n shall be
an independent covenant and shaH operate and be effective as well with respect to work done
and materials furnished under any supplemental contract for extra worl< In the erection.
construction and completion of the said Improvements and as to any work and iabor done and
matenals fumished under the Contract.
3. Power of Atlome'l. In order to give owner full power and a Jthorlty to
protect itself. the prope~y. tM ~state or title of owner therein, and the appurtenancl's therelo,
against any and sllliens filed by Contractor or anyone acling under or through it in violation of
the foregoing covenant, Contractor hereoy Irrevocably authorizes ana empowers ary attorney
of any Court of Common Pleas of the Commonwealth of Pennsylvanta to (I) appear ,.s attorney
for It, them or any of them. in any such Court, and in Its or their name or names, to the extent
cermltted by law, mark satisfied of record at the cost and expense of Contractor or of any
subcontractor or materialman. any and all lien or liens, filed In violat:on of the foregoing
covenant, or (iil cause to be filed and served in conneciion with s\.och lien or liens any pleading
or :nstrument, or any amendment to any pleading or Instrurr.ent previously filed by It or them. and
to incorporate therein, as part of the record, the waiver contained in this Instrument; and for such
act or acts this instrument shall be good and sufficient warrant and authority A refewnce to the
court, term and number In which and where this agreemer.t shall have been filed shell be
conclusive evidef'ce of the author1ty herein to warrant such action, and Contractor, fcr itself and
for them. hereby remises, releaseS and quit.clalrr.s all rights and all manner of eITo:'s, de(rCls
and Imcerfectlons whatsoever in entering such satisfaction or In filing such pleading, instrument
or amendment, or in any way COr1ceming them. In the event anyone acting lhroug" or under
contractor shall so file a lien in ',iolation of the foregoing covenant, owner may not exercise its
ngt'.ls under this Paragraph 3 unless such lien has not been stricken or discharged (bv payment.

4. PubliC Notice This Agreement shall be filed in the Cumberland Counl:y
