CIVIL ACTION - EQUITY
CQMPLAINT
AND NOW, comes the Plaintiff., Natural Lands Trust, Inc., by and
through their attorney, Christopher C. Houston, Esquire, who status
as follows:

Plaintiff is Natural Lands Trust, Inc., a not-for-profit
Pennsylvania corporation, having its principal office at 1031
Palmers Mill Road, Media, Delaware County, Pennsylvania.

Defendant Ui Ung Lee, is an adult individual, currently residing at
31 Old Willow Mill Road,' Mechanicsburg, Cumberland County,
Pennsylvania.

Defendant I:ihan Kim, is an adult individual, currently residing at
30 Middle Road, Sands Point, New York, New York.

Defendants are the owners of certain real property located in
Silver E'"pring Township, Cumberland County, Pennsylvania,
(hereinafter the "Premises"), more particularly described on
Cxhibit A attached hereto and made a part hereof.

The Premises were previously known as a part of the McCormick Homo
G'arm, originally having been settled in 17A5 by Thomas McCormick,
the common ancestor .in the United States of the McCormick family
that invented the reaper which made possible the development of
modern agricultural industry.

Located on the Premises are certain structures, being a barn and
dwelling, which have been placed on the National Register of
Historic Places maintained by the Department of the Interior
(hereinafter the "Historic Structures").

The Historic Structures are significant in American and, local
history as landmarks of importance.

Plaintiff was established as a public charity for the purpose of
preserving and conserving historically significant land areas and
structures, natural resources, natural habitats, environmentally
sensitive areas and other charitable, scientific, and educational
purposes.
Plaintiff was the prior owner of L•he Premises and had, and
cgntinues to have, a significant .interest in preserving and
protecting the Historic Structures.

On or about Uocember 16, 1986 Plaintiff conveyed the Premises to
Defendants.

Recognizing the historical significance of the Historic Structures,
the Defendants promised to Plaintiff that the architectural facades
of the Historic Structures would be preserved, protected and
maintained in perpetuity in accordance with all those certain
restrictive covenants, as more particularly set forth in a Deed of
Grant of L'acade Easement and Declaration of Restrictive Covenants,
dated December 16, 1986, by and between Defendants, as grantors,
and Plaintiff, as grantee, as recorded in Y.he Office of the
Recorder of Deeds in and for Cumberland County, Pennsylvania, in
Miscellaneous Book 327, Page 2'IO (hereinafter "Doed of Grant and
Declaration"). A copy of said Deed of Grant and Declaration is
marked as Exhibit D, attacked hereto and made a part hereof.

Paragraph C.2 of the aforesaid Deed of Grant and Declaration
provides as follows as it relates to the Historic Structures:
GranL-or shall maintain the listoric Structures and the
facade in good repair, 'Phis Covenant shall be deemed
violated if an act of• omission or conunission of L-he
grantor results in either of the followinyt
(a) Material alteration o1` the facadef or
(b) Material adverse effect on the structural
soundness of t:he Historic Structures.
The opinion of the grantee shall be conclusive as to ttie
materiality of the effects of any acts of omission or
commission of Lhe grantor.

Plaintiff conducts periodic monitoring of the condition of the
Historic Structures by performing site visits and generating
monitoring reports, copies of which are provided to Defendants.

Monitoring visits were conducted by Plaintiffs on or about April 6,
1994, February 21, 1996, and January 13, 1997, copies of which are
marked as Exhibit C, D, and E, attached hereto and made a part
hereof (hereinafter "Monitoring Reports").

The Monitoring Reports for 1996 and J.997 (Exhibits p and E)
revealed that boards were missing on the southwest errd of the barn.

By letter dated November lA, 1996, Plaintiff requested a definite
plan from Defendants for correcting the violations, as noted in the
Monitoriny Reports (Exhibits C and U). A copy of said letter is
marked as Exhibit I', attached hereto and incorporated herein by
reference.

By letter dated November 7, 1997, counsel for Plaintiff
specifically delineated the corrective action that would need to be
taken by Defendants. A copy of said correspondence is marked as
Exhibit G, attached hereto and incorporated herein by reference.

There has been a material degradation and alteration of the facade
of the barn as follows:
A. The cedar shingle roof has generally cupped and split with
several large holes exposing interior elements to the weather.
B. Gutters and down spouts that are not missing are rusted and
deformed.
C. The siding and trim on the barn are deteriorated with numerous
twisted and missing boards and chipped and peeling paint.
D. All visible doors, windows and vents on the barn are severely
damaged and, most likely, inoperable.
E. The entire structure needs to be painted.

Based on the degradation of the facade, Plaintiff believes, and
therefore avers, that damage has been caused to the interior of the
barn.

Defendants have breached the provisions of Paragraph C.2 of the
Deed of Grant and Declaration in failing to maintain the Historic
Structures and facades in good repair.

Defendants' failure to maintain the Historic Structures and facade
in good repair causes great harm to the historically significant
structures on the Premises.

Notwithstanding Plaintiff's notice and notwithstanding the terms of
the Deed of Grant and Declaration, Defendants persist in a course
of action in failing to maintain the Historic Structures and,
i,
facades thereby causing a material alteration of the facade and,
Plaintiff avers, a material adverse effect on the structural
soundness of the Historic Structures.
WHEREFORE, Plaintiff requests this Honorable Court to:
A. Order Defendants to pormlt Plaintiffs to perform an on-site
inspection of not only the exterior, but also the interior of
L-he Historic 5tructuresf
B. Order Defendants to repair the Historic Slructurr;s, as deemed
necessary by Plaintiff after inspection including, but not
limited to;
1. Removal of the old roof on the barn with the repair of
the damaged .lath and the replacement thereof with a need
cedar roof.
2. The repair and, if necessary, installation of new gutters
and down spouts on the barn.
3. Replacement of all twisted and missing boards on the
exterior of the barn.
9. Repair and, if necessary, replacement of trim, doors,
windows and vents.
5. Any rotted wood to be replaced is to be replaced with
similar materials, using similar construction techniques.
6. All doors, windows and vents are to be made functional.
7. All exterior woodwork to be properly prepared and painted
by an experienced painter.
8. Such other repairs as are deemed necessary by the
Plaintiff to the exterior and interior oL• the Historic
Structures.
C. Order the Defendants to continue to maintain the Historic
Structures in good repair in accordance with the terms of tha
Deed of Grant and Declaration
D. Enjoin Defendants from causing any further decay to the
exterior of the Historic Structures on the Premises!
E, Such other general relief as may be just and proper.

Pennsylvania (Grantee).
A. DACKGROUND
1. Grantor is the owner of certain real property
located in Silver Spring Township, Cumberland County,
Pennsylvania legally described on Exhibit "A" attached hereto and
made a part hereof, said parcel being hereinafter referred to as
the "Property" and previously known as a part of the McCormick
Home Ferm, originall settled in 1785 by 'Thomas McCormick, the

3. Certain portions of the exterior of the Historic
Structures (i.e., all faceF of the Existing Dwelling except the
western exposure and al] faces of the Existing Darn except the
northern exposure) resemble, as of the date of this conveyance,
all of those photographs, renderings, architectural drawings
and/or architectural descriptions attached as Exhibit "C" hereto
(collectively, the "Facade"). The Facade shall not include any
items of personal property visible in photographs but not
incorporated in or affixed to the exterior surface of the
Historic Structures.

perpetual existence, established as a public charity for the

environmentally sensitive areas and other charitable, scientific
and educational purposes, Grantee has both the funds end
commitment to hold this Facade Easement exclusively for
conservation purposes in perpetuity and to enforce the
restrictions contained herein.
B. DEED OI'" GRANT OF FACAUE EASEMENT

the Grantee, its successors and assigns forever a perpetual
easement in gross over the Facade of the Historic Stptructures (the

the public shall have only the following rights pursuant to this
easement, and in no event shall any provision herein be construed
to grant a right of entry to the public either onto the Property
or into the Historic Structures:

at reasonable times, to enter the Property end insper_t the

3. The right of the public to view the Historic
Structures from the public thoroughfare;
4. The right of the Grantee to enter and correct
violations of any restrictive covenant contained herein and to
charge the Grantor for any repair or restoration costs incurred
by Grantors violation of this Facade Easement.
C. GRANTOR'S DECLARATION OF COVENANTS AND RESTRICTIONS
The Grantor, on behalf of him/herself, and his/her
heirs, successors, and assigns covenants and declares the
following restrictions on the use of the Property which shat], run
with and bind the Property in perpetuity:

rebuilding of the Historic Structures or the Facade may be
undertaken if either of the Following may, or is likely to,
result therefrom:
(a) Material alteration of the Facade; or
(b) Material adverse effect of the structural soundness
of the Historic Structures.
The opinion of the Grantee shall be deemed conclusive as
to the materiality of the effects of any of the above-mentioned
operations affecting the Historic Structures or the Facade.
Grantor may, but is not required to, request and obtain a prior
written opinion of Grantee as to the materiality of the effects
of any contemplated construction, alteration or any other
operation which may result in the alteration of the Facade or the
structural soundness of the Historic Structures.
2. Grantor shall maintain the Historic Structures and
the Facade in good repair. This covenant shall be deemed
violated if an act of omission or commission of the Grantor
results in either of the following;
(e) Material alteration of the Facade; or
(b) Material adverse effect on the structural soundness
of the Historic Structures.
The opinion of the Grantee shall be conclusive as to the
materiality of the effects of any acts of omission or commission
of the Grantor.
3. Notwithstanding Grantor's obligation to maintain the
Historic Structures in good repair, in the event that the
Historic Structures are so destroyed by fire or other casualty so
that the beneficial purpose of historic preservation is (in the
oppanion of Grantee) frustrated, then Grantor may be relieved of
the obligation to repair and restore the Historic Structures to
their condition prior to such casualty loss and ttte Property
shall be released from the burden of this Facade Easement and
Declaration of Covenants which shall be removed from the public
record by the Grantee.
A. No signs, billboards or outdoor advertising
Structures shall be affixed to the Facade or placed, erected, or
maintained on the property so as to obstruct public view of the
Facade except one sign not exceeding four feet by six feet for
each of the following purposes:
(a) to state the name of the Property and the names and
addresses of the occupants]
(b) to designate and commemorate the historic
significance of the Historic Structures on the Property;
(c) to advertise the sale of the Property or any
portion of the Property subject to the easement granted herein;
(d) to identify lands subject to a conservation or
facade easement in favor of Grantee.
5. The terms and conditions of this Deed of Grant of
Facade Easement and Declaration of Covenants shall be included in
any subsequent deed of the tract or parcel of the Property
underlying the historic Structures.
D. GAANTEE'6 DECLARATION OF COVENANTS AND RESTRICTIONS
IN CONSIDERATION of the aforementioned covenants and
restrictions declared by the Grantor on behalf of him/herself,
and his/Iter successors, heirs, and assigns, the Grantee, by
acceptance of the perpetual easement in gross, covenants end
declares the following on behalf of itself and its successors and
assigns
1. Grantee shall hold the easement ggranted herein
exclusively for conservation purposes, ss specificnlly described
herein, in perpetuity.
2. Grantee shall fully enforce both the rights granted
to it end the restrictions imposed under this Deed of Grant and
Declaration. If the Grantee or any successor Grantee shall fail
to enforce fully the easement or L•he restrictions imposed under
this Deed of Grant of Facade Easment and Declaration of
Restrictive Covenants, or fails to hold the Facade Easement
exclusively for conservation purposes as specifically described
herein, then the rights and duties under this Deed of Grant of
Facade Easement and Declaration of Restrictive Covenants shall be
awarded to another qualified organization having similar purposes
under the doctrine of c res by a court of competent
jurisdiction, provided, owever, that at the time of such award
such entity shall agree to hold this Facade Easement exclusively
for conservation purposes, as specifically described herein, in
perpetuity.
3. Grantee, and any successor Grantee, shell have the
right to assign, either wholly or partially, its right, title and
interest hereunder provided that the assignee shall hold this
Conservation Easement exclusively for conservation purposes es
specifically described herein.

Dear Gentlemen:
Please be advised that I represent Natural Lands Trust. As you are
aware by receipt of prior notice from my client, you have failed to
maintain in good repair, order and condition the barn located on
the property owned by you in Silver Spring Township, Cumberland
County, Pennsylvania, in accordance with the terms and conditions
of a certain Deed of Grant of Facade Easement and Declaration of
Restricted Covenant dated December 16, 1986.
It is clear to my client that there has been little or no
maintenance or repairs since the time of the entry of the Deed of
Easement.
More specifically, all exterior portions of the barn have
deteriorated significantly since 1986. The cedar shingle roof on
the barn is cupped and split and there are several large holes
exposing the interior to the weather. Any gutters and down spouts
that are not missing are rusted and deformed. It would appear that
the roof would have to be removed, the damaged structural support
below repaired, and a new cedar roof, gutters and down spouts
installed by an experienced roofer.
The siding and trim also show signs of deterioration. There are
numerous twisted and missing boards, and the paint is chipped and
peeling. All visible doors, windows, and vents in the barn are
severely damaged and, most likely, inoperable. The entire
structure is aL` least five years over due for a paint job. A.11
damaged siding, tri}n, doors, windows, and vents should be repaired.

Any rotted wood should be replaced with similar materials, using
similar construction techniques. All doors, windows, and vents
should become functional. All exterior woodwork should be properly
prepared and painted by an experienced painter. You should be
advised that the above assessment is based on a site view which
took place in January of this year. No access to the interior barn
was obtained; however, judging from the deterioration of the
exterior, it is very likely that there are repairs needed to the
interior, as well.
We need to accomplish two things. Cirst of all, either you or your
attorney would need to contact ms within ten days of the date of
this letter to arrange for a mutually-satisfactory time at which we
can schedule an inspection of the interior of the barn so that a
complete site assessment can be determined. Secondly, we need to
establish a schedule for. which repairs will be conducted. You
should be advised that should I not hear from you or your attorney
