AND NOW, comes the PlaintilTs, Suburban Roofing Co., Inc., by and through their attorney,
Kurt A. Blake, Esquire and in support of this complaint avers the following;
I. The Plaintiff is a Pennsylvania Corporation with a principal of business at 1012
AlIendale Road, Mechanicsburg, Cumberland County, Pennsylyania 17055.

The Defendant is an adult individual, trading and doing business as Rory Smith
Auto, with a place of business at 5215 Simpson Ferry Road, #107, Mechanicsburg,

Cumberland County, Pennsylvania.
3. In early January of 1995, the Defendant contacted the PlaintilTregarding the plaintiff
regarding the Plaintiff perfonning roof repairs and replacements.
4. On or about January 24, 1995, the PlaintilTand iJefendant entered ;nto a contract for
roofrepairs to property located at 5215 Simpson Street (5215 Simpson Ferry Road),

Mechanicsburg, PA., the consideration of which was $7,491.00. A true and correct
(
copy of the contract is attached hereto as Exhibit "A".

5. On or about February I, 1995, the PlaintilTprovided Defendant with a bill for extra's
incurred in the eomplction ofthc January 24, 1995 contract. Such extra cost was for
a total of$716.00. A truc and correct copy of the Extra's Bill is attachcd hercto as
Exhibit "B".
6. On or about February 7, 1995, the PlaintilTand Defendant cntered into a contract for
additional roof repairs to property located at 5215 Simpson Street (5215 Simpson
Ferry Road), Mechanicsburg, PA., the consideration of which was $19,849.00. A
true and correct copy of the contract is attached hereto as Exhibit "C".
7. On or about August 21, 1995,the PlaintilTand Defendant entered into a contract for
additional roof repairs to property located at 5215 Simpson Street (5215 Simpson
Ferry Road), Mechanicsburg, PA., the consideration of which was $8,467.00. A true
and correct copy of the contract is attached hereto as Exhibit "0".
8. All of the roof repairs and replacement were done in a good and workmanlike
manner with good and workmanlike materials.
9. The total roofing contracts entered into by Defendant were for the amount of
$41,065.00.
10. Plaintiff has not received any complaints from the Defendant regarding the quality
of the work.
11. Plaintiff made sporadic payments during the course of the work on this project for
a total amount of$29,914.91.
12. Plaintiff is still due and owing the amount of$II,150.09 from the Defendant on the
contract. Attached hereto as Exhibit "E" is a true and correct copy of Plaintiffs

5. Admitted with clarification, The Plaintiff knew at that time that the Defendant did not
own but only managed the building in issue, and that the building owners would be
responsible for payment of the Plaintiffs invoices.

roofing repairs. The Plaintiff knew at that time that the Defendant did not own but only
managed the building in issue, and that the building owners would be responsible for
payment of the Plaintiffs invoices.

II. Denied. Defendant has never made any payments directly to Plaintiff for the work
performed. Instead, at the direction of the building's owners, Defendant turned over rent
check from various tenants to the Plaintiff, including the Defendant's rent check. It is
believed and therefore averred that Property Management, Inc., also made several
payments to the Plaintiff.

the Plaintiff in its Complaint. Under the documcnts as pleaded, the total amount Plaintiff
could be seeking is $6,608.09.

Defendant. It is denied that the Defendant is liable to the Plaintiff.

15. Defendant Smith (hereinafter "Smith") ncver owned the building on which the Plaintiff
allegedly perfonned the roof repairs.
16. Smith managed the building on behalf of its owners.
17. The building was owned at all times relevant to this suit, by the Ward Group, Inc.
18. Smith believes and therefore avers that the Ward Group was owned by Barry Rauhauser
(hereinafter "Rauhauser"), an adult individual, and John McGreevy (hereinafter
"McGreevy"), and adult individual.
19. Jeffrey O. Gates, an officer with PlaintilT, knew that Smith was acting as an agent of the
buildings' owners, Ward Group, Inc., Rauhauscr, and McGreevy.
20. At all times and throughout the several repairs perfonncd by the PlaintilT, the Plaintiff
was well aware that Smith did not accept personal liability for the work perfonned.

22. Plaintin'agreed to perfonn the work knowing tllllt Smith wus not pcrsonully liable for
payment of the services.

24. PlaintilT accepted as partial paymcnt for thc work pcrfonned rent checks paid by vurious
tenants of the building, including but not limited to Smith.

25. In 1991, the Resolution Trust Corporution, RTC Mortgage Trust I 994-N2 (hereinafter the
"RTC"), instituted ulegal proceeding against the Ward Group, Inc., apparently because
the Ward Group, Inc., had defaulted undcr the terms ofits mortgage.
26. On May 28, 1996, Judge Oler of this Honorable Court issued an Ordcr which amended

his Order of April I, 1996, Designating Property Munngement, Inc., (hereinafter "PM(")
the Receiver of the property in issue, and to specify the duties and compensation of PM(

27. PMI's duties under Judge Oler's Order included paying expenses related to the building,
and contracting with the building's subcontractors for repairs and maintenance.
28. The Plaintiff's claims against the Defendant arc barred by thc doctrine of consent.

30. The Plaintiff's claims against the Defendant arc barrcd by the doctrinc of failure of
consideration.

32. The Ward Group, Ine., Rauhauser, and McGreevy are indispensable parties to this lIetion.
33. The Ward Group, Inc., Rauhauser, and McGreevy lire so pervasively involved in the
subject mailer of this litigation tlmttheir absence prevents the Court from ordering full
and complete relief, and substantially impairs their ability to defend against this claim.
WHEREFORE, Defendant respectfully requests judgment in its favor, together with

SCHEDULE A
1. Duties of property Managuent, Inc. ("PHI"). PHI shall
perform the following duties:
a. Collect and deposit all rents and payments due for
the property into a checking account established
at PNC Bank.
b. Approve and pay all "operating expenses" for the
Property.
c. Pay any other expenses of the Property as directed
by Plaintiff.
d. Submit complete monthly operating financial
statements to Plaintiff.
e. Arrange for and supervise PMI employees or outside
contractors to perform regular maintenance work on
the Property.
f. Arrange for and supervise determination of major
repairs and, with Plaintiff's approval, proceed
with the work.
g. Negotiate and prepare all leases.
h. Arrange for advertising and promotion of rentals
as required.

PMI is to be paid the following as a priority operating
A. Manaqement Fee. As compensation for its continu-
ing management services, PMI shall be paid a man-
agement fee of five percent (5%) of the monthly
gross income collected of the Property, payable
each month as collected or a minimum of $500.
B. Leasinq Commission. The following commissions
shall be deemed earned by PMI upon delivery of an
executed lease by a prospective tenant. These
commissions shall be payable upon receipt from a
tenant of the first month's rental. The commis-
sion schedule is as follows:
1. Five percent (5%) of lease years one
through five.
2. TWo and one-half percent (2 1/2%) of the
sixth and any lease year thereafter.
3. "Operating Expenses" defined. The following shall be
included as operating expenses of the Property:
A. PMI Compensation. This shall be considered a
priority operating expenses and shall be paid from
rents collected prior to payment of any other
operating expense or other expense or to payments
to Plaintiff.
B. All actual maintenance work (not to include main-
tenance coordination or supervision) performed on
the Property by PHI employees.
C. All costs of outside contractor work performed on
the Property at cost.
D. All purchases of equipment and parts for sole use
of the Property at cost.
E. Costs of utilities and services necessary to the
Property.
F. all real estate taxes, insurance premiums, assess-
ments for municipal improvements, and governmental
levies on the Property.
G. All purchase of supplies, materials, and advertis-
ing and promotion for the Property at cost.
4. owner Consent. PHI will first secure the consent of
Plaintiff before making expenditures in excess of the sum of One
Thousand and 00/100 Dollars ($1,000) in connection with the costs
of outside contractor work, purchase of supplies and materials,
and the purchase of equipment and parts.
5. Rental Collection and payments. PMI shall collect all
rents and payments due under the leases and shall pay all operat-
ing expenses and other expenses of the Property; provided,
however, that in the event rental collections are not sufficient
to pay all such expenses, PMI shall promptly notify Plaintiff and
detail for Plaintiff the amount of such shortage and the vendors
or other persons who cannot be paid by reason thereof. PHI shall
have no responsibility to fund such operating deficit in any way.

20. Denied. Plaintiff was not aware that Smith would not accept personal liability for
the work performed.
21. Denied. It is denied that Plaintiff knew of and accepted Smith's representation
and that he acted only as a manager for the Ward Group, Inc. Plaintiff received
payments from Defendant in the fonn of check written on his personal business
account, never from the Ward Group.
22. Denied. It is denied that Plaintiff agreed to perfonn the work knowing that Smith
was not personally liable for payment. Plaintiff agreed to perfonn the work,
knowing that Smith was in the process of purchasing the building and in a
position to guarantee payment upon completion of the work, either individually or
as the management agent.
23. Denied. Plaintiff did not know that Smith signed the contracts as an agent for the
building's owners.
24. Denied. It is denied that Plaintiff that accepted rent checks paid by various
tenants of the building as partial payment for work performed. Not until PMI took
over was this procedure started.
25. Plaintiff is without sufficient infonnation, knowledge or belief to fonn an opinion.
Therefore such is denied.
26. Admitted. It is admitted that Judge Oler issued an Order which amended his
Order of April I, 1996.

AND NOW, comes the Plaintiffs, Subwban Roofing Co.. Inc., by and through their allomey,
Kurt A. Blake, Esquire and in support of this complaint avers the following:
I. The Plaintiff is a PClUlSylvania COlpOration with a principal of business at 1012
Allendale Road, Mechanicsburg, Cumberland Counly, PelU1Sylvania 17055.
2. The Defendant is an adult individual, trading and doing business as Rory Smith
Auto, with a place ofbl!sincss at 5215 Simpson Feny Road. 11107, Mechanicsburg,
Cumberland County, Pennsylvania.
J. In early January of 1995, the Defendant contacled the Plainliffregarding the plaintiff'
regarding the Plaintiff performing roofrepairs and replacements.
4. On or about January 24, 1995, the Plaintiff and Defendant entered inlo a contract for
roofrcpairs to property located at 5215 Simpson Street (5215 Simpson Ferry Road),
Mechanicsburg, PA., the consideration of which was $7,491.00. A trUe and correct
copy of the conlract is auached hereto as Exhibit "A".

5. On or about February I, 1995, the PlalntilTprovidctl Defendant with II bill for extra's
incurred in the completion of the January 24, 1995 contract, Such extra cost WRS for
a total ofS7I6.00. A true l1/Id correct copy ofthc Extra's Bill is attachcd hcreto as
Elthibit "B".
6. On or about February 7, 1995, the PlaintilT and D~fendl1/lt entered into a contract for
additional roof repairs to property located at 5215 Simpson Street (5215 Simpson
Ferry Road), Mechanicsburg, PA., thc consideration of which was $19,849.00. A
true and correct copy of the contract is attached hcreto as Exhibit "C".
7. On or about August 21, 1995, the Plaintiffand Dcfendant entered into a contract for
additional roof repairs to property located at 52 J 5 Simpson Street (5215 Simpson
Ferry Road), Mechanicsburg, PA., the consideration of which was S8,467.oo. A truc
and correct copy of the contract is attached hereto as Exhibit "D".
8. AU of the roof rcpairs and replacement wcrc done ill a good and workmanlike
manner with good and workmanlike materials.
9. The tolal roofll\g conlrncts entered into by Defendant were for the amount of
$41,065.00.
10. Plaintiff has not rce<:ivcd l1/IY complaints from the Defendant regarding the quality
ofthe work.
11. Plaintiff made sporadic payments during thc course of the work on this project for
a total amOlll\lof$29,914.91.
12. Plainliffis still due and owing the l1/I1ount ofS 11,150.09 from the Defendanl on the
contract. Attached hereto as Exhibit "E" is a true and correct copy of Plaintiffs

1. Duties of property Management, Inc. ("PMI"), PMI shall
perform the following duties:
a. collect and deposit all rents and payments due for
the property into a checking account established
at PNC Bank,
b. Approve and pay all "operating expenses" for the
Property,
c. Pay any other expenses of the Property as directed
by Plaintiff.
d. Submit complete monthly operating financial
statements to Plaintiff.
e. Arrange for and supervise PMI employees or outside
contractors to perform regular maintenance work on
the property.
f. Arrange for and supervise determination of major
repairs and, with Plaintiff's approval, proceed
with the work,
g. Negotiate and prepare all leases.
h. Arrange for advertising and promotion of rentals
as required.

payments from Defendant in the form of chcck written on his pcrsonal busincss
account, never from the Ward Group.
22. Dcnied. It is denied that Plaintiff agreed to perform the work knowing that Smith
was not personally liable for paymcnt. Plaintiffagrecd to pcrform thc work,
knowing that Smith was in the process of purchasing thc building and in a
position 10 guarantcc paymcnl upon completion of the work, cither individually or
as the management agcnt.
23. Denied. Plaintiff did not know that Smith signed thc contracts as an agent for the
building's owncrs.
24. Denied. It is dcnied that Plaintiff that accepted rent checks paid by various
tenants of thc building as partial payment for work performed. Not until PMI took
over was this proccdure started.
25. Plaintiff is without sufficicnt information, knowledgc or bclief to form an opinion.

AND NOW, comes the Plaintiffs, Subwban Roofing Co., Inc., by and through their attomey,
Kurt A. Blake. Esquire and in support of this complaint avers the following:
1. The Plaintiff is a pennsylvania Corporation with a principal of business at 1012
Allendale Road, Mechanicsburg, Cumberland Counly. Pennsylvania 17055.
2. The Defendant is an adult individual, trading and doing business as Rory Smith
Auto, with a place ofbl1sincss at 5215 Simpson Feny Road. #107, Mechanicsburg,
Cumberland COWlty, Pennsylvania.
3. In early January of 1995, the Defendant contacted the Plaintiff regarding the plaintiff'
regarding the Plaintiff performing roof repairs and replacements.
4. On or about January 24, 1995, the Plaintiff and Defendant entered into a contract for
roofrcpairs to property located at 5215 Sinlpson Street (5215 Simpson Ferry Road).
Mechanicsburg, PA., the consideration of which was $7,491.00. A true and correct

5. On or about February I, 1995, the Plaintilfprovidcd Dcfendant wilh a bill for extra's
incurred in the completion of the 1anuary 24, J 995 contract. Such extra cost was for
a lotal ofS716.00. A true and corrcct copy oflhe Extra's Bill is al1achcd hereto as
Elthibit "B'.
6. On or aboul February?, 1995, the Plaintiffand Defendant entered into a contract for
additional roofrepairs to property located at 5215 Simpson Street (5215 Simpson
Ferry Road), Mcchanicsburg, PA., the consideration of which was $19,849.00. A
true and correct copy of the contract is attached hereto as Exhibit "C'.
7. On or about August 21, 1995, thc Plaintiff;md Dcfendant entered into a contract for
additional roof repairs to property located at 52 J 5 Simpson Street (5215 Simpson
Ferry Road), Mechanicsburg, P A., thc consideration of which was $8,467.00. A hue
and correct copy of the contract is attached hereto as Exhibit "D'.
8. All of the roof rcpairs and replaccmenl were done in a good and workmanlike
malUler with good and workmanlike materials.
9. The total roofing conlructs entered into by Dcfcndant wcre [or the amount of
$41,065.00.
10. Plaintiff has not received any complaints from the Defendant regarding thc quality
ofthe work.
11. Plainliffmade sporadic payments during the course ofthc work on this project for

1. Duties of property Management, Inc. ("PHI"). PHI shall
perform the following duties:
a. Collect and deposit all rents and payments due for
the property into a checking account established
at PNC Bank.
b. Approve and pay all "operating expenses" for the
property.
c. Pay any other expenses of the Property as directed
by plaintiff.
d. Submit complete monthly operating financial
statements to Plaintiff.
e. Arrange for and supervise PMI employees or outside
contractors to perform regular maintenance work on
the property.
f. Arrange for and supervise determination of major
repairs and, with Plaintiff's approval, proceed
with the work,
g. Negotiate and prepare all leases.
h. Arrange for advertising and promotion of rentals
as required.

his complaint against additional dcfcndants Ward Group, Inc. (hercinaftcr "Ward") and Barry
Rauhauser (hereinaftcr "Rauhauscr") in this action by publication. In support of this motion,

5. On or about February I, 1995, the Plaintilfprovidcd Defendant with a bill for extra's
incurred in the completion of the January 24, 1995 contract. Such extra cost WAS for
a total of$716.oo. A true and correct copy oCthe Extra's Bill is attached hereto as
Exhibit "B".
6. On or about February 7, 1995,the Plaintilfand Defendant entered into a contract for
additional roof repairs to property located at S21 5 Simpson Street (5215 Simpson
Ferry Road), Mechanicsburg, PA.,the consideration of which was $19,849.00. A
true and correct copy of the contract is attached hereto as Exhibit "C".
7. On or about August 21, 1995, the Plaintifhnd Defendant entered into a contract for
additional roof repairs to propertY located at 5215 Simpson Street (5215 Simpson
Ferry Road), Mechanicsburg, PA., the consideration of which was $8,467.00. A true
and correct copy of the contract is attached hereto as Exhibit "D".
8. All of the roof repairs and replacement were done in a good and workmanlike
manner with good and workmanlike materials.
9. The to1a1 roofing contmets entered inlo by Defendant were for the amount of
$41,065.00.
10. Plaintiff has not received any complaints from the Defendant regarding the quality
ofthe work.
11. Plaintiff made sporadic payments during the course of the work on tltis project for
a total amonnlof$29,914.9I.
12. Plaintiff is still due and owing the amount of$ll,150.09 from the Dcfendant on thc
contract. Attached hereto as E:o.hibit "E" is a true and correct COP)' of Plaintiffs

at PNC Bank.

e. Arrange for and supervise PMI employees or outside

g. Negotiate and prepare all leases.
h. Arrange for advertising and promotion of rentals

5. On or about February I, 1995, the Plalntilfprovidcd Dcfendanl wilh 0 bill for extra's
incurred In the completion of the January 24, 1995 contract. Such exllll eosl WAS for
a tolDI ofStI6,OO, A true and correct copy oClhe Extra's Dill is attachcd hereto as
Exhibit "B".
6. On or about February 7, 1995, lhe Plaintiff and Dllfendant entered into a contracl for
additional roofrepairs to propcrty located at 5215 Simpson Street (5215 Simpson
Ferry Road), Mcchanicsburg, PA,Ihe consideration of which was SI9,849.00. A
true and correct copy oCthc contract is allached hcreto as Exhibit "C".
7. On or aboul August 21, 1995, the Plaintiffand Defendant entered into a contract for
additional roof repairs to property located at 5215 Simpson Strcct (5215 Simpson
Feny Road), Mechanicsburg, PA., the consideration ofwltich was $8,467.00. A huc
and correct copy of the contract is allached hereto as Exhibit "D".
8. All of the roof repairs and replacement werc done in a good and workmanlike
malU1cr with good and workmanlike materials,
9. The total roofing contmclS entered into by Dcfendant were for lhe amount of
$41,065.00.
10. Plaintiff has not received any complaints from the Defendant regarding the quality
oflhe work.
11. Plaintiff made sporadic paymcnts during tllC course oftllc work on tltis project for
a lotal amollnt 0[$29,914.91.
12. Plainliff is still due and owing the amount of $11,150.09 from thc Dcfcndant on the

18. Smilh believes and therefore avers thalthc Ward Group was owned by Barry Rauhauser
(hcreinalier "Rauhauser"), an adult individual, and John McGrccvy (hel'einalier
"McGreevy"), and adult individual.

1. Duties of property Kanagement, Inc. ("PHI"). PHI shall
perform the following duties:
a. Collect and deposit all rents and payments due for
the property into a checking account established
at PNC Bank.
b. Approve and pay all "operating expenses" for the
Property.
c. Pay any other expenses of the Property as directed
by Plaintiff.
d. Submit complete monthly operating financial
statements to Plaintiff.
e. Arrange for and supervise PMI employees or outside
contractors to perform regular maintenance work on
the Property.
f. Arrange for and supervise determination of major
repairs and, with Plaintiff's approval, proceed
with the work.
g. Negotiate and prepare all leases.
h. Arrange for advertising and promotion of rentals
as required.

PMI is to be paid the following as a priority operating

Manaaement Fee. 1\s compensation for its continu-
ing management services, PMI shall be paid a man-
agement fee of five percent (5%) of the monthly
gross income collected of the Property, payable
each month as collected or a minimum of $500.
B.
Leasina Commission. The following commissions
shall be deemed earned by PMI upon delivery of an
executed lease by a prospective tenant. These
commissions shall be payable upon receipt from a
tenant of the first month's rental. The commis-
sion schedule is as follows:
1. Five percent (5%) of lease years one
through five.
2. Two and one-half percent (2 1/2%) of the
sixth and any lease year thereafter.
3. "operating Expenses" defined. The following shall be
included as operating expenses of the Property:
A. PMI compensation. This shall be considered a
priority operating expenses and shall be paid from

rents collected prior to payment of any other
operating expense or other expense or to payments
to Plaintiff.
B. All actual maintenance work (not to include main-
tenance coordination or supervision) performed on
the Property by PMI employees.
C. All costs of outside contractor work performed on
the Property at cost.
D. All purchases of equipment and parts for sole use
of the Property at cost.
E. Costs of utilities and services necessary to the
Property.
F. all real estate taxes, insurance premiums, assess-
ments for municipal improvements, and governmental
levies on the Property.
G. All purchase of supplies, materials, and advertis-
ing and promotion for the Property at cost.
4. OWner Consent. PMI will first secure the consent of
Plaintiff before making expenditures in excess of the sum of One
Thousand and 00/100 Dollars ($1,000) in connection with the costs
of outside contractor work, purchase of supplies and materials,
and the purchase of equipment and parts.
5. Rental Collection and payments. PMI shall collect all
rents and payments due under the leases and shall pay all operat-
ing expenses and other expenses of the Property; provided,
however, that in the event rental collections are not sufficient
to pay all such expenses, PMI shall promptly notify Plaintiff and
detail for Plaintiff the amount of such shortage and the vendors
or other persons who cannot be paid by reason thereof. PMI shall
have no responsibility to fund such operating deficit in any way.
