ARTICLE II DIVORCE 2.1 This Agreement is not prcdicatcd on divorcc. It is specifically understood and agreed by and between the parties hereto that each of the said parties does hcreby warrant and represent to the other that the execution and delivery of this Agreement is not predicated upon nor made subjcct to any agreement for institution, prosccution, defcnse, or for the non-prosecution or non- defense of any action for divorcc; providcd, howcvcr, that nothing containcd in this Agreement shall prevent or prcclude cithcr of the parties hereto from commencing, instituting or proseeuting any aClion or actions for divorce, cithcr absolute or othcrwisc, upon jusl, legal and propcr grounds; nol to prcvent eithcr party from defcnding any such uClion which hus becn, may, or shall be inslitutcd by the olhcr party, or from muking uny just or proper defense thereto. Husband and Wife do each hereby warrant, covcnant and agree thaI, in any possible evcnt, hc and shc arc and shall forever be estopped from asserting any illegality or unenforceabilily as to all or any part of this Agrecmenl. 2.2 It is further specifically understood and agrecd that the provision of this Agreement relating to the equitable distribution of propcrty of thc parties are acccptcd by each party as a final settlcmcnt for all purposes whatsoevcr. Should either of the parties obtain a decree, judgmcnt or order of scparalion or divorce in any other state, country, or jurisdiction, each of the parties to this Agrecment hereby consents and agrces that this Agrecment and all its covenants shall not be affected in any way by any such separation and divorce. 2.3 This Agreement shaH survive any dccrce in divorce and shall be forever binding and conclusive on thc parties. It is understood by and betwecn thc parties that this Agrcement shall be incorporatcd into any decree, divorce or separation, but it shall not be deemed merged in such decree. ARTICLE 11/ EQUITABLE DISTRIBUTION OF MARITAL PROPERTY 3.1 Thc partics havc attcmpted to dividc thcir marital propcrty in a manner which conforms to thc criteria sct forth in thc Pcnnsylvania Divorcc Codc, and taking into account the following considerations: the lcngth of thc marriagc; the prior marriagcs of the partics; the age, hcalth, station, amount and sources of income, vocational skills, employability; cstate, liabilities, and needs for each of the parties; thc contribution of one party to thc cducation, training or increascd earning power to the other party; the opportunity of each party for future acquisition of capital assets and income; the sources of income of both parties, including but not limited to medical, retirement, insurance or other benefits; the contribution or dissipation of each part in the acquisition, preservation, depreciation, or appreciation of marital property, including the contribution of a party as a homemaker; the value of the propcrty set apart to each party; thc standard of living of the parties cstablished during their marriage; thc cconomic circumstances of each party, including fedcral, state and local tax ramifications, at the time of the division of the property is to become effcctive; and whether the parties will be serving as the custodian of any dependent minor children. 3.2 The division of existing marital property is not intended by the parties to constitute in any way a sale or exchange of assets and the division is being effected without the introduction of outside funds or other property not constituting marital property. The division of property under this Agreement shall be in full satisfaction of all rights of equitable distribution of the parties. 3.3 Persollal Property. Each party agrecs that the other party shall have sole ownership and possession of any life insurance policies owned by the other party. Each party shall have the right to borrow against, cash in policies, change beneficiarics, and excrcise any other incidents of ownership of the respective policies free of any right or claim by the other party. Husband and Wife agrec to waive and relinquish any and all right that he or she may now have or hereafter acquire in any real or tangible personal property subsequently acquired by the other party. Husband and Wife specilically agree to waive and relinquish any right in such propcrty that may arise as a result of the marriagc relationship. 3.6 , ~, \, " Real Estate. The parties were formcrly the joint owners of real cntate located at 121 Mountain Road, Shermans Dalc, Pcrry County, Pennsylvania as tcnants by thc entiretics. The property was sold by the mutual agreement of the partics to a third party purchaser for vulue with I. I..,. sclllemcnt Inking plnce on July 28, 1999. Thus, the sum of $40,967.36 is initially due to cach party. Howevcr, within fiftccn (15) days of cxccution of this agrccmcnt by Husband, Husband shall provide documcntation from Mellon Bank rellccting thc total amount of principal paid down by him as a rcsult of his mortgage paymcnts made to Mellon bank on the mortgagc jointly owcd by parties on the fonner marital residencc for the pcriod of Novembcr 1997 through July 1999. From Wife's fifty percent (50%) interest in the net proceeds ofsalc shall be deducted one-half (\I,) of the principal paid down made by Husband as rcllected on such documentation from Mellon Bank for that period. Aftcr the calculations for contribution by Husband for one half of the principal paid to Mellon Bank on the parties' mortgage is madc, the net proceeds shall then be distributed at those corrected figures. Each party shall endorse the above rcfcrenced net proceeds check within ten (10) days of being requested to do so. The procceds shall be dcposited to the trust or eserow account of Husband's legal counsel and then disbursed by Husband's legal counsel as direeted above. Following final settlement on this matter, if and when refunds are received for the escrow deposits held by the mortgage company or from the homcowners' insurance eompany for cancellation of the homeowners' insurance, those refunds shall be Husband's sole possession. Husband agrecs to waivc, relinquish or transfer uny and all of his right, title and intercst he has or may have in his individual capacity or as Wife's Husband in any profit-sharing or retirement accounts of any naturc whatsoevcr that Wife has securcd through her prcscnt or prior employment or which she may have secured independent of her employment. 3.8 Vehicles. At the time of execution of this Agreement, the parties have already retained sole ownership and possession of any vehicles that they were purchased during the parties marriage which they intend to retain as their sole property. Neither Husband nor Wife will make any claim against the other party for vehicles retained by the other party. Each party shall be obligated for maintenance, insurance, and payment of encumbrances of any vehicle that they have retained. 3.9 [I/tallr:;ble Persol/al Prooerty. The partics have already transferred or waived rights and interest in their intangible pcrsonal property including their various bank accounts, credit union accounts, and the like. Morc specifically, the parties previously distributed a certain savings account held at Mcllon Bank which,atthc limc of distribution, held thc sum of$14,DID.67. At thc time of closing this account, it is Husband's position that the procccds from this account were dividcd on a 50/50 basis. It is Wife's position that shc only rcccivcd $5,000,00 from this sum and, thercfore, in order to provide for a 50/50 distribution of tlmt sum, she is still duc the sum of $2,005.33. Bccause of this discrcpancy in thc partics' positions, Husband is compensating Wifc an additional $1,000.00 as dcscribcd in paragraph 3.3 above, after which, neither party shall make any claim of any nature wha(soevcr relative to personal propcrty in the other partics positions. Wife is hereby given the opportunity for a pcriod of thirty (30) days from the date of this Agrcementto sccure documentation from Mellon Bank rcflecting or cvidencing the fact that she only received $5,000.00 from the closing of this savings account. If Wife produces independent documentation from Mellon Bank evidencing this fact, Husband shall compensate Wife the sum I I , I of $2,005.33. If Wife docs not produce documentation rcflecting the fact that she received $5,000.00 and not $7,005.33 from this disburscment, the parties waive any claims against each I I other from that time forward relative to this account. Evidence of dcposits made by either party specifically are not acceptable as evidencc of amounts received. Except as hereinbefore set forth rclative to the savings account at Mellon Bank, neither party will make any claim of any nature whatsoever against the other relative to financial " '':\ accounts or other investments or intangible pcrsonal property that have already been retained by the other party. und Bradley L. Each party agrees to be responsiblc for his or hcr own legal fees and expenses, and each party hereby agrees to waive any claim for alimony, alimony pcndente lite, counscl fecs, expenscs or costs. 6.3 Mutual Release. Husband and Wife each do hercby mutually remise, release, quitclaim, and forcver discharge the other and the estate of such other, for all times to come and for all purposes whatsoever, of and from any and all right, titlc and intercst, or cluims in or against the property (including income and gain from propcrty hereaner accruing) of the other or against the estate of such other, of whatever naturc and whercsocver situate, which he or she now has or at any time hereaner may have against such other, the cstate of such other, or any part thereof, whether arising out of any fonner acts, contracts, engagements, or liabilities of such other as by way of dower or curtesy, or claims in the nature of dower or curtesy or widow's or widower's rights, family exemption, or similar allowancc, or under the intestate laws, or the right to take against thc spousc's Will; or thc right to trcat a lifctime conveyance by the other as testamentary, or all other rights of a surviving spouse to participate in a deceased spouse's estate, whether nrising undcr thc Inws of (n) Pcnnsylvnnia, (b) any statc, commonwcnlth or tcrritory of thc Unitcd Statcs, or (c) any othcr country, or any rights which cithcr party may havc or at any timc hcrcaficr havc for past, prcscnt, or futurc support or maintcnancc, alimony, alimony pcndcn(c Iitc, counsel fccs, costs or cxpcnscs, whcthcr nrising as a rcsult of thc marital relation or otherwise, cxccpt and only cxccpt, all rights and agrccmcnts and obligations of whatsocvcr nature arising or which may arise under this Agrccmcnt or for the breach of any thcrcof. 1\ is the intention of Husband and Wifc to give to each othcr by execution of this Agrccmcnt a full, complctc, and gencrnl release with rcspcct to any and all property of any kind or nature, rcal or pcrsonal, not mixcd, which the other now owns or may hcreaficr acquire, cxcept and only except, all rights and agrecments and obligations of whatsoever nature arising or which may arise under this Agrccmcnt or for the brcach of any thereof. 6.4 Warrallties. Each party represcnts that thcy have not heretofore incurred or contrnctcd for any debt or liability or obligation for which the cstate of the othcr party may be responsiblc or liable, except as may be providcd for in this Agrecmcnt. Each party agrees to indemnify or hold the other party hannless from and against any and all such debts, liabilities or obligations of evcry kind, including those for necessities, exccpt for thc obligations arising out of this Agreement. Husband and Wife cach warrant, covenant, rcprescnt and agrce that each will, now and at all times hcrcaficr, save hannless and keep thc othcr indemnified from all dcbts, charges, ~ ... There are no reprcsentations or warranties othcr than those expressly sct forth herein. 6.10 Severability. Ifany term, condition, clause, section, or provision of this Agreemcnt shall be determined or declarcd to be void or invalid in law or othcrwise, then only that term, condition, clause or provision shall be stricken from this Agrcement, and in all other respects, this Agreemcnt shall bc valid and continue in full forcc, cffcct, and operation. Likewise, the failure of any party to I11cet his or hcr obligation undcr anyone or more of thc articlcs and sections hercin shall in no way void or altcr thc rcmaining obligations of thc parties. 6./l It is spccifically understood and agrccd that this Agrccmcnt constitutcs and equitable distribution of propcrty, both real and persllnal, which was Icgally and beneficially acquired by Husband and wife, or cithcr of them, during the marriagc as contcmplatcd by thc Divorce Code of the Commonwcalth of Pennsylvania. 6.12 Di.fC[OSlIre. The parties each warrant and represent to the other that he or she has made a full and complcte disclosure to the other of all assets of any nature whatsoever in which party has an intcrest, of the sources, and amount of thc incomc of such party of every type whatsoevcr, and all other facts relating to the subject matter of this Agreemcnt. 6.13 E,tfnrceability alld COllsideratioll. This Agrcement shall survive any action for divorce and decree of divorce and shall forcvcr be binding and conc1usivc on the partics; and any indcpendent action may be brought, either at law or in equity, to enforce the tenns of the Agreement by either Husband or Wife until it shall have been fully satisfied and perfonned. The considcration for this contract and agreement is the mutual benefits to be obtained by both of the parties hereto and the covcnants and agreements of cach of the parties to the other. The adequacy of the consideration for all agrecments herein contained in stipulated, confessed, and admitted by the partics, and the partics intend to be legally bound hercby. In the event either party breaches the aforesaid Agreement and it is detennined through appropriate legal action that the allcgcd party has so bcachcd thc Agrecmcnt, the breaching party shall be responsible for any and 1I1111ttonlcy's fecs as well as costs lInd expcnses associated with litigation incurred by the non-breaching party to cnforce this Agrccmcnt lIgainst thc brcllching party. In the cvcnt of brcach, the non- breaching party shall have the right, at his or hcr elcction, to suc for damagcs for such brcach or to scck such othcr and additional rcmcdics as may be available to him or hcr including equitable enforcement of this Agrcemenl.
