COMPLAINT
1. Plaintiff, William R. Grace, is an adult individual residing at 1705 Edgar
Lane, Lower Allen Township, Cumberland County, PA. ~'~t~./~lp ,~i(oO/,/' / ~
2. Plaintiff, The Dockyard, Inc., is a Pennsylvania corporation with offices at
119 Bridge Street, New Cumberland, Cumberland County, PA.
3. Defendant Total Filter Recycling, Inc., is a New Jersey corporation
registered to do business in the Commonwealth of Pennsylvania with offices at
2323 Woodlawn Street, Harrisburg, Dauphin County, PA.
4. Defendant, Landmark Commercial Realty, Inc., is a Pennsylvania
corporation with offices at 20 Erford Road, Suite 215, Lemoyne, Cumberland
County, PA.
5. At all times mentioned herein, defendant Total Filter Recycling, Inc. was
the owner of the real property at 597 Salem Road, Fairview Township, York
County, PA (hereinafter referred to as the "Real Estate").
6. Defendant Total Filter Recycling, Inc. agreed to sell the Real Estate to
Dockyard Services or its assigns for the sum of $485,000.00 in accordance with
the terms of a written agreement of sale dated May 29, 2002 (hereinafter referred
to as the "Agreement of Sale"), a true copy of which is attached hereto as Exhibit
7. On June 17, 2002, Plaintiff William R. Grace, the chief executive officer of
The Dockyard, Inc. and signatory to the Agreement of Sale, and in accordance
with the terms thereof, paid Defendant Landmark Commercial Realty, Inc. the
sum of $20,000.00 as a deposit on account of the purchase price.
8. Section 5 of the Agreement of Sale, "Special Clauses" provides in
pertinent part that "This agreement is expressly contingent upon the following
terms and conditions being met or waived or this agreement shall become null
and void and the deposit together with interest shall be returned to the BUYER
and neither BUYER or SELLER shall have any further obligation to the other..."
SELLER grants BUYER a forty-five (45) day Due Diligence
Period commencing upon SELLER'S acceptance of this
Agreement to ascertain, at BUYER'S sole discretion, the
suitability of the property for BUYER'S intended use.
9. By virtue of an Extension of Agreement For the Sale of Commercial Real
Estate, a true copy of which is attached hereto as Exhibit "B," the Due Diligence
Period was extended until August 15, 2002.
10. By letter to defendant Landmark Commercial Realty, Inc. dated August 14,
2002, a true copy of which is attached hereto as Exhibit "C," Plaintiffs gave notice
of their intention to decline completion of sale of the Real Estate, citing as their
reason their determination that the Real Estate was not suitable for Buyer's
intended use, and requesting refund of the $20,000.00 deposit.
11. Despite this request and repeated demands thereafter, and
notwithstanding the defendants' liability to repay the deposit with interest,
defendants have wholly failed and refused to do so.
WHEREFORE, plaintiffs demand judgment against defendants for the
sum of $20,000.00, with interest from June 17, 2002, and costs including but not
limited to reasonable attorney's fees.
The amount claimed does not exceed the jurisdictional amount requiring
arbitration referral.
