2. Pursuant to 28 U.S.C. !i1446, MetLife has attached as
Exhibit A to this Notice of Removal the complaint filed in state
court in this case.
3. Plaintiff's complaint seeks payment of benefits
pursuant to a group life insurance policy (the "Policy") purchased
by Denise Murphy's (the "Decedent") employer, Giant Food Stores,
Inc., an employer engaged in commerce and activities affecting
commerce, as part of an employee benefit plan for its eligible
employees. [Complaint at " 3 - 5). The benefits plaintiff seeks
to recover are therefore provided pursuant to an employee welfare
benefit plan as defined by ERISA !i3(1), 29 U.S.C. !i1002(1), and
plaintiff's only remedy for the recovery of such benefits is
provided pursuant to ERISA !i502, 29 U.S.C. !i1132.
4. The Court has original jurisdiction over this action
because plaintiff's claims are preempted completely by ERISA and
are removable as a matter of law. MetroDolitan Life Ins. Co. v.
Tavlor, 481 U.S. 58 (1987).
5. Because this Court has jurisdiction under 28 U.S.C.
!i1331 and 29 U.S.C. !i1132 (e) (1), this action may be removed without
regard to the citizenship or residency of the parties or the amount
in controversy.
6. Plaintiff's complaint was filed on March 5, 1998 and
this Notice of Removal has been filed within thirty days of service
of the complaint on MetLife.
7. Written notice of the filing of this Notice of
Removal has been served on plaintiff's counsel, and a true and

AND NOW comes Debra Marchese, as Executrix of the Estate of Denise Murphy and
Trustee of the testamentary trust created under the Last Will and Testament of Denise Murphy,-by
and through her attorneys, MARTSON, DEARDORFF, WILLIAMS & OTIO, and files this
Complaint against Metropolitan Life Insurance Company, as follows:
I. Plaintiff Debra Marchese is the Trustee of the Trust for the benefit of Dawn Marie
Weiss and Jason Lee Weiss (hereinafter the "Trust''), established under the Last Will and Testament
of Denise Murphy, dated December 31, 1996 (hereinafter the "Will''). Plaintiff Debra Marchese is
named in the will as the Executrix of the Estate of Denise Murphy. A true and correct copy of said
Will is attached hereto and incorporated herein by reference as Exhibit "A."
2. Defendant Metropolitan Life Insurance Company (hereinafter "MetLife") is a
corporation incorporated under the laws of the State of New York and having a home office at I
Madison Avenue, New York, New York 10010 and at all times stated hereafter conducted business
in the Commonwealth of Pennsylvania, specifically in Cumberland Counly.
3. At all times pertinent hereto, Defendant was in the business of providing and or
issuing life insurance policy coverage under a Group Life Plan to those eligible employees of Giant
Food Stores, Inc. who selected additional life benefits.
4, At all times relevant hereto, Giant Food Stores, Inc. was the Plan Administrator and
agent for service of process for Defendant MetLife for disputes arising out of the Plan. Giant Food
Stores has an address of II Shady Lane, P.O. Box 249, Carlisle, Pennsylvania 17013.
5, On or about January 10, 1995, Denise Murphy, Plaintiffs Decedent, was an eligible
employee of Giant Food Stores, Inc. On said date, Decedent selected additional life benefit coverage
under the Group Life Plan in the amount of 550,000.00 and designated her two minor children,
Dawn Weiss and Jason Weiss, as the beneficiaries. Coverage for this benefit under the Group Life
Plan was provided through her employment at Giant Food Stores, Inc. by Defendant MetLife or its
predecessor in interest.
6. During 1996, Decedent was diagnosed with cancer.
7. On December 31, 1996, Decedent contemporaneously executed her Will, a Living
Will, and a Durable General Power of Attorney. The Will, as noted above, created the Trust for the
benefit of Decedent's minor children. It was Decedent's intention and desire that her life insurance
proceeds would flow directly into the Trust.
8, Decedent's Power of Attorney appointed her sister, Debra Marchese, as her attomey-
in-fact. A true and correct copy of the Durable General Power of Attorney is attached hereto and
incorporated herein as Exhibit "B."
9. On or about February 3, 1997, pursuant to the Power of Attorney, Debra Marchese
effectuated a change of beneficiary for the Group Plan Life insurance benefits. A copy of this
change of beneficiarj is attached hereto and incorporated herein as Exhibit "e" .
10. On March 16, 1997, Denise Murphy, then 36 years old, died.
11. As of March 16, 1997, the 550,000.00 in additional life benefits were provided
pursuant to the aforesaid policy through the Group Life Plan issued by Defendant MetLife.
12. On March 25,1997, Letters Testamentary were granted to Plaintiff by the Register
of Wills for Cumberland County.
13. On or about July 7, 1997, John Hancock, which provided basic life benefits as part
of Decedent's employment with Giant Food Stores, Inc. paid its policy benefits to the Trust, in
accordance with the February 3, 1997 selection of beneficiaries.
14. Despite repeated demands, Defendant MetLife has refused to pay its additional life
benefits,
15, Finally, ten months after Decedent's death, on January 16, 1998, Defendant MetLife
issued a letter denying the claim and refusing payment of the proceeds to the Trust. A copy of the
January 16, 1998, letter from MetUfe denying the claim is attached hereto and incorporated herein
as Exhibit "0".
16. As set forth in its letter, Defendant MetLife has denied Plaintit'rs claim for the
Decedent's additional life benefits based on its interpretation of the Decedent's Power of Attorney.
MetLife avers that the February 3, 1997 change of beneficiary by the attorney-in-fact is invalid
because the Power of Attorney did not contain a specific grant of authority regarding insurance
contracts.
17. Decedent's Power of Attorney contains a general clause providing her attorney-in-fact
with the "the fullest possible powers to act on my behalf: to transact business, make, execute and
acknowledge all agreements, contracts. . . with the SllII1e powers and for all purposes with the same
validity as I could, if personally present."
18. Defendant MetLife's narrow interpretation of the General Durable Power of Attorney
is unreasonable and contrary to Pennsylvania law. Estate ofReifsneider, 610 A.2d 958 (pa. 1992);
T~lor v. Vernon, 652 A.2d 912 (Pa. Super. 1992).
COUNT I
BREACH OF CONTRACT
19. Paragraphs I through 18 are incorporated by reference as though set forth herein at
length.
20. The terms and conditions of the Defendant's Group Life Plan and beneficiary
selections fonned a contract between MetLife and Decedent. A copy of the Group Life Plan was
requested from the Plan Administrator, but said Administrator had only a summary of the Plan
available. A copy of this summary is attached hereto and incorporated herein as Exhibit"E". It is
averred that the Defendant has a copy of the complete Plan and is not prejudiced by the failure to
attach a copy to this Complaint.
21. By failing to pay its policy proceeds to the Trustee, as designated in the February 3,
1997, beneficiary selection, Defendant materially breached its contract with Decedent.
WHEREFORE, Plaintiff demands judgment against Defendant in the amount of$50,ooO.00,
plus interest and costs.

COUNT II
BAD FAITH
22. Paragraphs I through 21 are incorporated herein by reference as though set forth
herein at length.
23. By its unreasonable actions, Defendant has acted in bad faith to Plaintiff.
24. Because of Defendant's bad faith, Plaintiff is entitled to punitive damages and
attorneys fees.
WHEREFORE, Plaintiff demands judgment against Defendant in the amount ofS50,ooo.00,
plus interest and costs along with punitive damages and attorney's fees.
COUNT III
BREACH OF FIDUCIARY DUTY
25. Paragraphs I through 24 are incorporated herein by reference as though set forth
herein at length.
26. By virtue of the special contractual relationship between Decedent and Defendant,
Defendant has a fiduciary duty to Decedent and the beneficiaries of Decedent's life insurance.
27. In its delay and subsequent denial of the claim for the proceeds, Defendant violated
its fiduciary duties.
28. Because Defendant violated its fiduciary duties, Plaintiff is entitled to punitive
damages and attorneys' fees.
WHEREFORE, Plaintiff demands judgment against Defendant in the amount ofS50,ooo.00,
plus interest and costs along with punitive damages and attorneys' fees.

Pennsylvania, being of sound and disposing mind and memory, do hereby make, publish and declan:
this to be my Last Will and Testament, hereby revoking any and all fanner Wills or Codicils by me
made.

taxes (whether such taxes may be payable by my estate or by any recipient of any property) sbaU be

for any sucb tax so paid, even though on proceeds of insurance or other property not passing under
this Will.

I give, devise and bequeath all of my estate, both real and personal property, unto my Trustee,
in trust, for the following purposes;

eighteen (18) years.
c. In the event any of my said children shall fail to attain the age for distribution of any
part of their share and shall be swvived by issue, then his or ber shan: shall be beld by my Trustee
for said issue and distributed to them equally as eacb shall attain the age of twenty (20) years. The

Dear Attorney Bloom
This is in regards to the Group Life ,Insurance Claim for Denise
Murphy.
Denise Murphy designated on January 10, 1995, her minor children,
Dawn Marie Weiss and Jason Lee Weiss, ,as her beneficiaries. On
February 3, 1997, Debra Marchese, .acting under a Power of
Attorney changed the beneficiary designation to "Trust under my
will for benefit of Dawn Marie Weiss and Jason Lee Weiss
(children)."
The Power of Attorney grants Debra General powers and many
specific powers, but not the authority to engage in insurance
transactions.
Since Debra was not given the "Authority to engage in insurance
transactions" the claim for Debra Marchese as trustee under
Denise Murphy's will for the benefit of Dawn Marie Weiss and
Jason Lee Weiss must be denied.
This claim was processed in accordance with the terms of the
Employee's Benefit Plan.

request for a review of the claim can be made. This request for
review should be sent to Group Claims Review, at the address of
the Metropolitan Office which processed the claim, within 60 days
after receipt of the notice of denial of the claim. When
requesting a review, please state the reason you believe the
claim was improperly denied, and submit any data, questions or
comments to Metropolitan deemed appropriate. Metropolitan will
re-evaluate all the data, and you will be informed of the
decision in a timely manner.

AND NOW comes Debra Marchese, as Executrix of the Estate of Denise Murphy and
Trustee of the testamentary trust created under the Last Will and Testament of Denise Murphy, by
and through her attorneys, MARTSON, DEARDORFF, WILLIAMS & OTIO, and files this
Complaint against Metropolitan Life Insurance Company, as follows:
I. Plaintiff Debra Marchese is the Trustee of the Trust for the benefit of Dawn Marie
Weiss and Jason Lee Weiss (hereinafter the "Trust"), established under the Last Will and Testament
of Denise Murphy, dated December 31, 1996 (hereinafter the "Will"). Plaintiff Debra Marchese is
named in the will as the Executrix of the Estate of Denise Murphy. A true and correct copy of said
Will is attached hereto and incorporated herein by reference as Exhibit "A."
2. Defendant Metropolitan Life Insurance Company (hereinafter "MetLife") is a
corporation incorporated under the laws of the State of New York and having a home office at I
Madison Avenue, New York, New York 10010 and at all times stated hereafter conducted business
in the Commonwealth of Pennsylvania, specifically in Cumberland County.
3. At all times pertinent hereto, Defendant was in the business of providing and or
issuing life insurance policy coverage under a Group Life Plan to those eligible employees of Giant
Food Stores, Inc. who selected additional life benefits.
4. At all times relevant hereto, Giant Food Stores, Inc. was the Plan Administrator and
agent for service of process for Defendant MetLife for disputes arising out of the Plan. Giant Food
Stores has an address of II Shady Lane, P.O. Box 249, Carlisle, Pennsylvania 17013.

5. On or about Janunry 10, 1995, Denise Murphy, Plnintill's Decedent, was an eligible
employee ofGinnt Food Stores, Inc. On said dnte, Decedent selccted ndditionnllife benefit coverage
under the Group Life Plan in the nmount of $50,000.00 and designated her two minor children,
Dawn Weiss and Jason Weiss, as the beneficiaries. Coverage for this benefit under the Group Life
Plan was provided through her employment at Giant Food Stores, Inc. by Defendant MetLife or its
predecessor in interest.
6. During 1996, Decedent was diagnosed with cancer.
7. On December 31, 1996, Decedent contemporaneously executed her Will, a Living
Will, and a Durable General Power of Attorney. The Will, as noted above, created the Trust for the
benefit of Decedent's minor children. It was Decedent's intention and desire that her life insurance
proceeds would flow directly into the Trust.
8. Decedent's Power of Attorney appointed her sister, Debra Marchese, as her attorney-
in-fact. A true and correct copy of the Durable General Power of Attorney is attached hereto and
incorporated herein as Exhibit "B."
9. On or about February 3,1997, pursuant to the Power of Attorney, Debra Marchese
effectuated a change of beneficiary for the Group Plan Life insurance benefits. A copy of this
change of beneficiary is attached hereto and incorporated herein as Exhibit "C" .
10. On March 16, 1997, Denise Murphy, then 36 years old, died.
II. As of March 16, 1997, the $50,000.00 in additional life benefits were provided
pursuant to the aforesaid policy through the Group Life Plan issued by Defendant MetLife.
12. On March 25,1997, Letters Testaraentary were granted to Plainliffby the Register
of Wills for Cumberland County.
13. On or about July 7, 1997, John Hancock, which provided basic life benefits as part
of Decedent's employment with Giant Food Stores, Inc. paid its policy benefits to the Trust, in
accordance with the February 3, 1997 selection of beneficiaries.
14, Despite repeated demands, Defendant MetLife has refused to pay its additional life
benefits.
15. Finally, ten months after Decedent's death, on January 16, 1998, Defendant MetLife
issued a letter denying the claim and refusing payment of the proceeds to the Trust. A copy of the

January 16, 1998, letter from MetLife denying the claim is attached hereto and incorporated herein
as Exhibit "0".
16. As set forth in its letter, Defendant MelLife has denied Plaintirrs claim for the
Decedent's additional life benefits based on its interpretation of the Decedent's Power of Attorney.
MetLife avers that the February 3, 1997 change of beneficiary by the attorney-in-fact is invalid
because the Power of Attorney did not contain a specific grant of authority regarding insurance
contracts.
17. Dccedent's Power of Attorney contains a general clause providing her attorney-in-fact
with the "the fullest possible powers to act on my behalf: to transact business, make, execute and
acknowledge all agreements, contracts. . . with the same powers and for all purposes with the same
validity as I could, if personally present."
18. Defendant MelLife's narrow interpretation of the General Durable Power of Attorney
is unreasonable and contrary to Pennsylvania law. Estate ofReifsneider, 610 A.2d 958 (Pa. 1992);
Taylorv. Vernon, 652 A,2d 912 (Pa. Super. 1992).
COUNT I
BREACH OF CONTRACT
19. Paragraphs I through 18 are incorporated by reference as though set forth herein at
length.
20. The tenns and conditions of the Defendant's Group Life Plan and beneficiary
selections fonned a contract between MetLife and Decedent. A copy of the Group Life Plan was
requested from the Plan Administrator, but said Administrator had only a summary of the Plan
available. A copy of this summary is attached hereto and incorporated herein as Exhibit"E". It is
averred that the Defendant has a copy of the complete Plan and is not prejudiced by the failure to
attach a eopy to this Complaint.
21. By failing to pay its policy proceeds to the Trustee, as designated in the February 3,
1997, beneficiary selection, Defendant materially breached its contract with Decedent.
WHEREFORE, Plaintiff demands judgment against Defendant in the amount of$50,OOO.00,
plus interest and costs.

BAD FAITH

plus interest and costs along with punitive damages and attorney's fees.
COUNT III
BREACH OF FIDUCIARY DUTY
25. Paragraphs 1 through 24 are incorporated herein by reference as though set forth
herein at length.
26. By virtue of the special contractual relationship between Decedent and Defendant,
Defendant has a fiduciary duty to Decedent and the beneficiaries of Decedent's life insurance.
27. In its delay and subsequent denial of the claim for the proceeds, Defendant violated
its fiduciary duties.
28. Because Defendant violated its fiduciary duties, Plaintiff is entitled to punitive
damages and attorneys' fees.
WHEREFORE, Plaintiff demands jUdgment against Defendant in the amount of$50,OOO.00,
plus interest and costs along with punitive damages and attorneys' fees.

I, DENISE MARIE MURPHY, of South Middleton Township, Cwnberland County,
Pennsylvania, being of sound and disposing mind and memory, do hereby make, publish and declare
this to be my Last Will and Testament, hereby revoking any and all fonner Wills or Codicils by me
made.
1.
'I direct that all my just debts, funeral expenses, testamentary expenses and all inheritance
taxes (whether such taxes may be payable by my estate or by any recipient of any property) shall be
paid from my residuary estate as soon as practicable after my decease and as part of the
administration of my estate. My Executor shall have no duty or obligation to obtain reimbursement
for any such tax so paid, even though on proceeds of insurance or other property not passing under
this Will.

I give, devise and bequeath all of my estate, both real and personal property, unto my Trustee,
in trust, for the following purposes;
a. I direct that my Trustee shall hold, invest and reinvest the same, collect the income
arising therefrom, and after paying all expenses incident to the management of the trust, to use and
apply as much of the income and principal as may be necessary in the sole discretion of my Trustee,
in equal shares, for the support, well-being and education of my children, DAWN MARIE WEISS
and JASON LEE WEISS.
b. I direct that each of my said children shall have the right of withdrawal of his or her
equal share of the principal and any accwnulated income of said trust as each attains the age of
eighteen (18) years.
c. In the event any of my said children shall fail to attain the age for distribution of any
part of their share and shall be survived by issue, then his or her share shall be held by my Trustee
for said issue and distributed to them equally as each shall attain the age of twenty (20) years. The

Dear Attorney Bloom
This is in regards to the Group Life Insurance Claim for Denise
Murphy.
Denise Murphy designated on January 10, 1995, her minor children,
Dawn Marie Weiss and Jason Lee Weiss, .as her beneficiaries. On
February 3, 1997, Debra Marchese, acting under a Power of
Attorney changed the beneficiary designation to "Trust under my
will for benefit of Dawn Marie Weiss and Jason Lee Weiss
(children)."
The Power of Attorney grants Debra General powers and many
specific powers, but not the authority to engage in insurance
transactions.
Since Debra was not given the "Authority to engage in insurance
transactions" the claim for Debra Marchese as trustee under
Denise Murphy's will for the benefit of Dawn Marie Weiss and
Jason Lee Weiss must be denied.
This claim was processed in accordance with the terms of the
Employee's Benefit Plan.
In the event the claim has been denied, in whole or in part, a
request for a review of the claim can be made. This request for
review should be sent to Group Claims Review, at the address of
the Metropolitan Office which processed the claim, within 60 days
after receipt of the notice of denial of the claim. When
requesting a review, please state the reason you believe the
claim was improperly denied, and submit any data, questions or
comments to Metropolitan deemed appropriate. Metropolitan will
re-evaluate all the data, and you will be informed of the
decision in a timely manner.
